About this file

This is a Standard Form 1449 (SF1449) Solicitation for a Blanket Purchase Agreement (BPA) issued by the Federal Emergency Management Agency (FEMA) for fuel delivery services at the Mount Weather Emergency Operations Center (MWEOC). The solicitation seeks a two-year BPA for procuring five different fuel types: Regular Unleaded Gasohol, Winter and Summer Blend Ultra Low Sulfur Diesel, Red-Dyed #2 Grade Ultra Low Sulfur Diesel, and Jet A Turbine Fuel with Prist. Vendors must be located within a 50-mile radius of the MWEOC facility and have delivery personnel capable of passing a National Crime Information Center (NCIC) investigation.

The BPA allows FEMA to place "calls" for fuel as needed, with a total estimated individual call order limit of $4 million and no single call order exceeding $4.95 million. The contract is set aside for small businesses, with a NAICS code of 424720 and size standard of 200 employees. Potential offerors are not required to provide all fuel types to bid, but must have at least one fuel type available. The solicitation includes comprehensive access and security requirements for vendor personnel entering the Mount Weather facility, emphasizing strict identification and screening protocols. The period of performance is expected to begin in Spring 2025 and continue for two years, with potential for extension.

SECTION B—GENERAL BLANKET PURCHASE TERMS AND CONDITIONS

B.1 INTRODUCTION

In the spirit of the Federal Acquisition Streamlining Act, the Department of Homeland Security (DHS), Federal

Emergency Management Agency (FEMA), Mt. Weather Emergency Operations Center (MWEOC) and [enter vendor name] hereby enter into a cooperative agreement, otherwise referred to as a Blanket Purchase Agreement (BPA), to further reduce the administrative costs of acquiring supplies/services. The objective of this BPA is to provide needed fuels and fuel delivery services for FEMA/MWEOC.

The agreement details all services with descriptions, which may be ordered under this BPA. The contractor agrees to the following terms of a Blanket Purchase Agreement (BPA) exclusively with the DHS/FEMA/MWEOC.

All orders placed against this BPA are subject to the terms and conditions of all the clauses and provisions in full text or incorporated by reference in this document.

B.2 EXTENT OF OBLIGATION

This BPA is not a contract, but a prearranged understanding establishing the terms of any purchases to be made in the future. The establishment of this BPA creates no obligation on either the Government or the Contractor. The Government is not obligated to buy from the Contractor and the Contractor is not obligated to accept orders from the Government. The

Government is obligated only to the extent of the authorized orders actually issued under this BPA.

B.3 NON-PERSONAL SERVICES

a. In performance of this BPA, the contractor will provide services as required by the Ordering Officers or the

Contracting Officer. This will be based upon the BPA's Statement of Work.

b. The services required under the BPA constitute professional and management services within the definition provided by FAR 37.201. Under this Agreement the Government will obtain professional services, which are essential to FEMA's mission but are not otherwise available within FEMA.

c. The Government will neither supervise contractor employees nor control the method by which the contractor performs the required tasks. Under no circumstances shall the Government assign tasks to, or prepare work schedules for, individual contractor employees. It shall be the responsibility of the contractor to manage their employees and to guard against any actions that are of the nature of personal services, or give the perception of personal services. If the contractor feels that any actions constitute, or are perceived to constitute personal services, it shall be the contractor's further responsibility to notify the Contracting Officer immediately.

d. These services shall not be used to perform work of a policy/decision making or management nature. All decisions relative to programs supported this BPA will be the sole responsibility of the Government. Support services will not be ordered to circumvent personnel ceilings, pay limitations, or competitive employment procedures.

B.4 PERIOD OF PERFORMANCE

The period of performance for this BPA is a two year base period began on XX/XX/2025 and ending on XX/XX/2027.

B.5 OPTION TO EXTEND THE TERM OF THE BPA

The Government may extend the term of this BPA by written notice to the Contractor at any time prior to the expiration of the BPA, provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 15 days before the BPA expires. The preliminary notice does not commit the Government to an extension.

B.6 PRICING DATA

The price to the Government for all purchases made under this BPA shall be, to the Contractor's best knowledge and belief, as low as, or lower than, those charged to the Contractor's most favored customer(s) for comparable quantities under similar terms and conditions, in addition to any discount for prompt payment.

B.7 AUTHROIZED LIMITS

The Government estimates, but does not guarantee, that individual BPA Call Orders placed under this BPA by FEMA

Ordering Officers may reach up to $4M per Call Order. Individual Call Orders above $1M must be authorized by FEMA's

Contracting Officer prior to commencement of work. All unauthorized work, regardless of amount, will be processed through the ratification process. No single call order placed under this BPA shall exceed the maximum dollar limitation of

$4.95M.

B.8 INDIVIDUALS AUTHORIZED TO PLACE CALL ORDERS

The following acquisition staff individuals are authorized to place call orders against this BPA:

• Kevin Hennigan, Contracting Officer

52.212-4 Contract Terms and Conditions—Commercial Items. (NOV 2023)

(aa) Inspection/Acceptance. The Contractor shall only tender for acceptance those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. If repair/replacement or reperformance will not correct the defects or is not possible, the Government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services. The Government must exercise its post-acceptance rights-

(1) Within a reasonable time after the defect was discovered or should have been discovered; and

(2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.

(b) Assignment. The Contractor or its assignee may assign its rights to receive payment due as a result of performance of this contract to a bank, trust company, or other financing institution, including any Federal lending agency in accordance with the Assignment of Claims Act (31 U.S.C. 3727). However, when a third party makes payment (e.g., use of the Governmentwide commercial purchase card), the Contractor may not assign its rights to receive payment under this contract.

(c) Changes. Changes in the terms and conditions of this contract may be made only by written agreement of the parties.

(d) Disputes. This contract is subject to 41 U.S.C. chapter 71, Contract Disputes. Regulation (FAR) 52.233-1, Disputes, which is incorporated herein by reference. The Contractor shall proceed diligently with performance of this contract, pending final resolution of any dispute arising under the contract.

(e) Definitions. The clause at FAR 52.202-1, Definitions, is incorporated herein by reference.

(f) Excusable delays. The Contractor shall be liable for default unless nonperformance is caused by an occurrence beyond the reasonable control of the Contractor and without its fault or negligence such as, acts of

God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, and delays of common carriers. The

Contractor shall notify the Contracting Officer in writing as soon as it is reasonably possible after the commencement of any excusable delay, setting forth the full particulars in connection therewith, shall remedy such occurrence with all reasonable dispatch, and shall promptly give written notice to the Contracting Officer of the cessation of such occurrence.

(B) If EFT banking information is not required to be on the invoice, in order for the invoice to be a proper invoice, the Contractor shall have submitted correct EFT banking information in accordance with the applicable solicitation provision, contract clause (e.g., 52.232-33, Payment by Electronic Funds Transfer-System for

Award Management, or 52.232-34, Payment by Electronic Funds Transfer-Other Than System for Award

Management), or applicable agency procedures.

(C) EFT banking information is not required if the Government waived the requirement to pay by EFT.

(2) Invoices will be handled in accordance with the Prompt Payment Act ( 31 U.S.C. 3903) and Office of

Management and Budget (OMB) prompt payment regulations at 5 CFR Part 1315.

(4) Discount. In connection with any discount offered for early payment, time shall be computed from the date of the invoice. For the purpose of computing the discount earned, payment shall be considered to have been made on the date which appears on the payment check or the specified payment date if an electronic funds transfer payment is made.

(5) Overpayments. If the Contractor becomes aware of a duplicate contract financing or invoice payment or that the Government has otherwise overpaid on a contract financing or invoice payment, the Contractor shall-

(ii) The Government may issue a demand for payment to the Contractor upon finding a debt is due under the contract.

(iii) Final decisions. The Contracting Officer will issue a final decision as required by 33.211 if–

(A) The Contracting Officer and the Contractor are unable to reach agreement on the existence or amount of a debt within 30 days;

(B) The Contractor fails to liquidate a debt previously demanded by the Contracting Officer within the timeline specified in the demand for payment unless the amounts were not repaid because the Contractor has requested an installment payment agreement; or

(C) The Contractor requests a deferment of collection on a debt previously demanded by the Contracting

Officer (see 32.607-2).

(iv) If a demand for payment was previously issued for the debt, the demand for payment included in the final decision shall identify the same due date as the original demand for payment.
