B-010 TYPE OF CONTRACT
THIS RFP IS A TOTAL SMALL BUSINESS SET-ASIDE ONLY
The Government contemplates award of a hybrid Firm Fixed Price/Fixed-Rate/Cost-Reimbursable contract resulting from this solicita-tion. No additional sums will be payable on account of any escalation in the cost of materials, equipment or labor, or because of the Contractor’s failure to properly estimate or accurately predict the cost of difficulty of achieving the results required by this contract.
The hourly rates stated in the contract shall include all direct and indirect costs, insurance, overhead, general and administrative ex-penses, profit, and all applicable uplifts (fully loaded).
Changes in the contract price or time to complete will be made only due to changes made by the Government in the work to be per-formed, or by delays caused by the Government.
a) The labor category description for each labor category is in the Statement of Work.
b) The negotiated fixed fully-loaded hourly labor rates are in United States currency.
c) The negotiated fixed fully-loaded hourly labor rates apply regardless of whether the individual performing the labor works (either as an employee or consultant) for the prime contractor or a subcontractor.
d) Each negotiated fixed fully-loaded hourly labor rate consists of an unloaded hourly labor rate, any labor-related direct costs [e.g., any direct fringe benefits, any direct bonuses, any direct incentive compensation (e.g., any direct post hardship differential pay, any direct danger pay), MANDATORY DEFENSE BASE ACT (DBA) Insurance costs, any costs associated with satisfying local labor laws], applicable indirect costs, and profit amount. It does not include any other costs.
e) Any costs included in the negotiated fixed fully-loaded hourly labor rates shall not be charged elsewhere under this contract.
f) The negotiated fixed fully-loaded hourly labor rates will also apply to any equitable adjustment resulting from any change to the contract requirement.
g) The following describes the normal workweek for Contractor and subcontractor employees:
1. A normal workweek falls within a consecutive seven-day period.
2. The negotiated fixed fully-loaded hourly labor rates apply to a normal workweek of 50 hours for Training Mentors (TMs) and Subject Matter Experts (SMEs), and 40 hours a week for Language Assistants (LAs),
h) The Government will pay the negotiated fixed fully-loaded hourly labor rate minus (to be inserted at award) % attributable to profit for those hours the Contractor incurs when replacing or correcting services or materials [reference FAR 52.246-6 (Inspection – Time-and-Material and Labor-Hour)].
Overtime:
a) The Contractor agrees to perform this task order, so far as practicable, without using overtime, particularly as a regular employment practice, except when lower overall costs to the Government will result or when it is necessary to meet urgent program needs [reference FAR 22.103-2 (Overtime – Policy)].
b) Overtime is defined as time worked in excess of the number of hours in a normal workweek.
c) “Number of hours” includes productive time hours, travel time hours, and paid time off hours (e.g., sick, vacation, holiday).
d) “Productive time hours” consist of hours that, other than travel time hours, directly benefit the contract.
e) Government payment for overtime will be made at the fixed fully-loaded hourly labor rates negotiated in the contract.
f) Authorization for any Contractor employee’s performance of overtime is required, and must be made in advance and in writing to the COR and by the Contracting Officer.
B-008 TRAVEL COSTS (LABOR HOUR)
(a) Except as otherwise provided herein, the Contractor shall be reimbursed for its reasonable actual travel costs in accordance with its usual accounting practices consistent with FAR Subpart 31.2, specifically FAR 31.205-46. Travel must be directly related to and required for performance of this contract, and authorized in advance and in writing by the Contracting Officer's Representative (COR).
In no event shall costs associated with employee commuting be reimbursable as a direct cost under this contract.

(b) Travel costs shall not be burdened with any indirect costs unless specifically allowable in accordance with the Contractor's usual accounting practices consistent with FAR Subpart 31.2. In no event shall travel costs be burdened with fee/profit.
(c) The Contractor shall include a breakout of all authorized travel expenses as an attachment to his invoices. Administrative support (coordination of travel arrangements, etc.) will be the responsibility of the Contractor.
(d) Should any Contractor personnel be requested to perform in any area which has been determined by the Department of State to be a hazardous duty area, hazardous duty premium pay if and to the extent requested and allowed, will be payable at the same rate as would be given to Department of State direct-hire employees pursuant to Chapter 650 of the U.S. Department of State Standardized Regulations (Government Civilians, Foreign Areas).. Hazardous duty premium pay shall not be burdened with any indirect costs (e.g., overhead, G and A) or fee/profit.
(e) When local travel between the Contractor employee's regular place of performance and other locations is specifically authorized by the COR, transportation expenses shall be allowable costs under this contract. For the purposes of this clause, local travel means travel within a 50 mile radius of the Contractor employee's regular place of performance and does not include daily commuting or as-sociated costs.
(f) For travel where use of a personal automobile has been specifically authorized by the COR, reimbursement shall be computed on the basis of actual miles traveled from starting point to destination. Other related miscellaneous expenses, such as tolls and parking fees, incurred in the performance of tasks authorized under this contract, will be reimbursed. Car rentals require advance approval by the COR and will be authorized only when consistent with good business practice. Allowable costs shall not exceed the actual cost of renting a compact automobile (a maximum of one for four Contractor personnel), unless extenuating circumstances (e.g., excess bag-gage) require other arrangements and subsequent COR approval is obtained.
(g) The Government will reimburse the Contractor for Contractor employee's travel time to or from other authorized work locations;
except that for labor categories which are exempt from the Fair Labor Standards Act (FSLA), a reimbursement will be allowed only for travel during the employee's regular working hours. The Contractor will not be reimbursed for time spent in stand down or tempor-ary layovers for the convenience of the Contractor by FLSA exempt contractor employees except as authorized by the Federal Travel Regulations.
(h) The Contractor shall be responsible for ensuring that all personnel who will be required to travel outside the United States have current and valid passports. The Contractor shall also be responsible for obtaining any visas required for travel to foreign countries un-der this contract. The Contractor shall make no direct labor charges for obtaining/maintaining passports and/or visas.

These buildings must be well constructed with sturdy walls, masonry floors, and watertight roofs, and shall be maintained in good condition. The buildings shall be kept dry, clean, well ventilated, free of dampness (to prevent dampness related growths like mold and mildew), free of moths, rats, mice, and other vermin and shall be kept in an orderly condition at all times. In addition, a definite fire prevention and control plan shall be posted and maintained in each building and the necessary fire extinguishers and/or other approved type of fire-fighting appar-atus shall be available and in good order at all times. All articles handled under this Contract shall be properly stored within the ap-proved buildings until they are loaded on or in carrier's vehicle for delivery to the pier.
Periodic inspection will be made by Government representatives to ascertain that proper protection is being provided all articles handled under this Contract. The Contractor agrees to give full cooperation for such inspections. Following such inspections, the rep-resentative of the Government will inform the Contractor in writing of any deficiencies and request that measures be taken to correct them. If, after forty-eight (48) hours, corrective measures have not been taken, the Government may take such steps as are authorized by law, whether or not specified in this Contract, including, but not limited to, termination for default and/or the removal of property.
In the latter event, the Contractor shall be liable to the Government for the cost of removal, transfer, and placement of said property, and for any excess storage costs incident thereto for as long as the property remains therein.
In any instance when circumstances require intervention by the police (break and enter, theft, etc.), the COR shall be immediately no-tified by telephone and given all the details. An inspection of the site and affected items may be ordered at that time by the COR. A written report from the contractor is required within three (3) business days after the reported incident. This report shall list all circum-stances and details of the situation so that disposition may be initiated by the Department and claims action begun if appropriate. A copy of the police report shall be sent to DOS to be included with the report.
In any circumstance which result in damage to Department of State shipments, such as water damage, mildew or dampness related growths, accidental damage by personnel or equipment, etc., the COR shall be immediately notified by telephone and given all the de-tails. An inspection of the site and affected items may be ordered at that time by the COR. A written report from the contractor is re-quired within three (3) business days after the reported incident. This report shall list all circumstances and details of the situation so that disposition may be initiated by the Department and claims action begun if appropriate.
E.5. PERFORMANCE DEFICIENCY
The Contractor shall be informed by the COR in writing of any performance deficiency which may be discovered by quality inspec-tions or otherwise, and request that measures be taken to correct them. The Contractor may be given a minimum twenty-four (24) hour period to do so in lieu of the ten (l0) day period specified in the clause entitled Default (Fixed-Price Supply and Ser-vice)-Alternate I.
Failure of the Contractor to take immediate measures to correct performance deficiencies so as to prevent their recurrence or the re-peated failure of the Contractor to comply with any of the provisions of this Contract may be cause for the Government to take such steps as authorized by law, whether or not specified in this Contract, including, but not limited to, partial or complete termination for default. Should partial or complete termination for default occur, the Contractor shall be liable to the Government for all costs, in ex-cess of the Contractor's rates for the same services, incident to all services which the Government may have to procure from other commercial sources.
E.6. QUALITY ASSURANCE (NON-PERFORMANCE DEDUCTIONS)
When the contractor fails to perform its contractual obligations, the contractor has committed a contract breach. The Government re-tains the right to prescribe terms that result from a contract breach. Depending on the severity of the breach, such terms may range from price adjustment, deductions, to a termination for default.
Acceptable Quality Level (AQL) requirements are listed below to which values have been assigned for purposes of contract adminis-tration. The AQL deficiencies can be discovered by complaints or inspection and are for specific circumstances or conditions. If these quality levels are not maintained, remuneration can be received by the USG from the Contractor for administrative or other charges involved.
Written notification will be given to the contractor per occurrence when AQL requirements are not met; this notification will cite AQL items in violation, any supporting documentation, and the amount to be remitted to the Department for the violation. Replies to the COR from the contractor for AQL violations is required within seven business days of the date of the AQL deficiency notification. If disputes cannot be resolved between the COR and the contractor on AQL issues, final determination will be made by the Contracting Officer.
AQL Deductions
A. Omission of, or erroneous inclusion of, freight on a packing list. Deduction: $200.00 per shipment error. AQL AMOUNT:
$200.00
B. If claims are made by the Despatch Agency against the Contractor and not settled under other items in this contract and found to be valid based on investigation by the U.S. Despatch Agency, the said claims not paid by the Contractor within 45 days of claim initi-ation date will be deducted from the Contractor's voucher payments. If Contractor's checks are not honored for payment by the bank for any reason (insufficient funds, etc.), an administrative charge of $100.00 will be deducted from the contractor's voucher payments in addition to the claims amount. AQL AMOUNT $100.00
C. Once freight has been received at warehouse and a shipment receipt issued, contractor must be able to produce shipment when re-quested. AQL AMOUNT $500.00
D. Failure to provide a complete and accurate report of Freight in-house by the tenth of each month as required will result in a deduction of $50.00 for each report. AQL AMOUNT: $50.00
52.246-6 Inspection - Time-and-Material and Labor-Hour (May 2001)
(a) Definitions. As used in this clause-
"Contractor's managerial personnel" means any of the Contractor's directors, officers, managers, superintendents, or equivalent repres-entatives who have supervision or direction of-
(1) All or substantially all of the Contractor's business;
(2) All or substantially all of the Contractor's operation at any one plant or separate location where the contract is being performed; or
(3) A separate and complete major industrial operation connected with the performance of this contract.
"Materials" includes data when the contract does not include the Warranty of Data clause.
(b) The Contractor shall provide and maintain an inspection system acceptable to the Government covering the material, fabricating methods, work, and services under this contract. Complete records of all inspection work performed by the Contractor shall be main-tained and made available to the Government during contract performance and for as long afterwards as the contract requires.
(c) The Government has the right to inspect and test all materials furnished and services performed under this contract, to the extent practicable at all places and times, including the period of performance, and in any event before acceptance. The Government may also inspect the plant or plants of the Contractor or any subcontractor engaged in contract performance. The Government shall perform inspections and tests in a manner that will not unduly delay the work.
(d) If the Government performs inspection or test on the premises of the Contractor or a subcontractor, the Contractor shall furnish and shall require subcontractors to furnish all reasonable facilities and assistance for the safe and convenient performance of these duties.
(e) Unless otherwise specified in the contract, the Government shall accept or reject services and materials at the place of delivery as promptly as practicable after delivery, and they shall be presumed accepted 60 days after the date of delivery, unless accepted earlier.
(f) At any time during contract performance, but not later than 6 months (or such other time as may be specified in the contract) after acceptance of the services or materials last delivered under this contract, the Government may require the Contractor to replace or cor-rect services or materials that at time of delivery failed to meet contract requirements. Except as otherwise specified in paragraph (h) of this clause, the cost of replacement or correction shall be determined under the Payments Under Time-and-Materials and Labor- Hour Contracts clause, but the "hourly rate" for labor hours incurred in the replacement or correction shall be reduced to exclude that portion of the rate attributable to profit. The Contractor shall not tender for acceptance materials and services required to be replaced or corrected without disclosing the former requirement for replacement or correction, and, when required, shall disclose the corrective action taken.
(g)(1) If the Contractor fails to proceed with reasonable promptness to perform required replacement or correction, and if the replace-ment or correction can be performed within the ceiling price (or the ceiling price as increased by the Government), the Government may-
(i) By contract or otherwise, perform the replacement or correction, charge to the Contractor any increased cost, or deduct such in-creased cost from any amounts paid or due under this contract; or
(ii) Terminate this contract for default.
(2) Failure to agree to the amount of increased cost to be charged to the Contractor shall be a dispute.
(h) Notwithstanding paragraphs (f) and (g) of this clause, the Government may at any time require the Contractor to remedy by correc-tion or replacement, without cost to the Government, any failure by the Contractor to comply with the requirements of this contract, if the failure is due to-
(1) Fraud, lack of good faith, or willful misconduct on the part of the Contractor's managerial personnel; or
(2) The conduct of one or more of the Contractor's employees selected or retained by the Contractor after any of the Contractor's ma-nagerial personnel has reasonable grounds to believe that the employee is habitually careless or unqualified.
(i) This clause applies in the same manner and to the same extent to corrected or replacement materials or services as to materials and services originally delivered under this contract.
(j) The Contractor has no obligation or liability under this contract to correct or replace materials and services that at time of delivery do not meet contract requirements, except as provided in this clause or as may be otherwise specified in the contract.
(k) Unless otherwise specified in the contract, the Contractor's obligation to correct or replace Government-furnished property shall be governed by the clause pertaining to Government property.
(End of clause)
52.246-2 Inspection of Supplies - Fixed-Price (Aug 1996)
(a) Definition. "Supplies," as used in this clause, includes but is not limited to raw materials, components, intermediate assemblies, end products, and lots of supplies.
(b) The Contractor shall provide and maintain an inspection system acceptable to the Government covering supplies under this con-tract and shall tender to the Government for acceptance only supplies that have been inspected in accordance with the inspection sys-tem and have been found by the Contractor to be in conformity with contract requirements. As part of the system, the Contractor shall prepare records evidencing all inspections made under the system and the outcome. These records shall be kept complete and made available to the Government during contract performance and for as long afterwards as the contract requires. The Government may perform reviews and evaluations as reasonably necessary to ascertain compliance with this paragraph. These reviews and evaluations shall be conducted in a manner that will not unduly delay the contract work. The right of review, whether exercised or not, does not relieve the Contractor of the obligations under the contract.
(c) The Government has the right to inspect and test all supplies called for by the contract, to the extent practicable, at all places and times, including the period of manufacture, and in any event before acceptance. The Government shall perform inspections and tests in a manner that will not unduly delay the work. The Government assumes no contractual obligation to perform any inspection and test for the benefit of the Contractor unless specifically set forth elsewhere in this contract.
(d) If the Government performs inspection or test on the premises of the Contractor or a subcontractor, the Contractor shall furnish, and shall require subcontractors to furnish, at no increase in contract price, all reasonable facilities and assistance for the safe and con-venient performance of these duties. Except as otherwise provided in the contract, the Government shall bear the expense of Govern-ment inspections or tests made at other than the Contractor's or subcontractor's premises; provided, that in case of rejection, the Gov-ernment shall not be liable for any reduction in the value of inspection or test samples.
(e)(1) When supplies are not ready at the time specified by the Contractor for inspection or test, the Contracting Officer may charge to the Contractor the additional cost of inspection or test.
(2) The Contracting Officer may also charge the Contractor for any additional cost of inspection or test when prior rejection makes re-inspection or retest necessary.
(f) The Government has the right either to reject or to require correction of nonconforming supplies. Supplies are nonconforming when they are defective in material or workmanship or are otherwise not in conformity with contract requirements. The Government may reject nonconforming supplies with or without disposition instructions.
(g) The Contractor shall remove supplies rejected or required to be corrected. However, the Contracting Officer may require or permit correction in place, promptly after notice, by and at the expense of the Contractor. The Contractor shall not tender for acceptance cor-rected or rejected supplies without disclosing the former rejection or requirement for correction, and, when required, shall disclose the corrective action taken.
(h) If the Contractor fails to promptly remove, replace, or correct rejected supplies that are required to be removed or to be replaced or corrected, the Government may either (1) by contract or otherwise, remove, replace, or correct the supplies and charge the cost to the Contractor or (2) terminate the contract for default. Unless the Contractor corrects or replaces the supplies within the delivery sched-ule, the Contracting Officer may require their delivery and make an equitable price reduction. Failure to agree to a price reduction shall be a dispute.
(i)(1) If this contract provides for the performance of Government quality assurance at source, and if requested by the Government, the Contractor shall furnish advance notification of the time--
(i) When Contractor inspection or tests will be performed in accordance with the terms and conditions of the contract; and
(ii) When the supplies will be ready for Government inspection.
(2) The Government's request shall specify the period and method of the advance notification and the Government representative to whom it shall be furnished. Requests shall not require more than 2 workdays of advance notification if the Government representative is in residence in the Contractor's plant, nor more than 7 workdays in other instances.
(j) The Government shall accept or reject supplies as promptly as practicable after delivery, unless otherwise provided in the contract.
Government failure to inspect and accept or reject the supplies shall not relieve the Contractor from responsibility, nor impose liability on the Government, for nonconforming supplies.
(k) Inspections and tests by the Government do not relieve the Contractor of responsibility for defects or other failures to meet con-tract requirements discovered before acceptance. Acceptance shall be conclusive, except for latent defects, fraud, gross mistakes amounting to fraud, or as otherwise provided in the contract.
(l) If acceptance is not conclusive for any of the reasons in paragraph (k) hereof, the Government, in addition to any other rights and remedies provided by law, or under other provisions of this contract, shall have the right to require the Contractor (1) at no increase in contract price, to correct or replace the defective or nonconforming supplies at the original point of delivery or at the Contractor's plant at the Contracting Officer's election, and in accordance with a reasonable delivery schedule as may be agreed upon between the Contractor and the Contracting Officer; provided, that the Contracting Officer may require a reduction in contract price if the Con-tractor fails to meet such delivery schedule, or (2) within a reasonable time after receipt by the Contractor of notice of defects or non-conformance, to repay such portion of the contract as is equitable under the circumstances if the Contracting Officer elects not to re-quire correction or replacement. When supplies are returned to the Contractor, the Contractor shall bear the transportation cost from the original point of delivery to the Contractor's plant and return to the original point when that point is not the Contractor's plant. If the Contractor fails to perform or act as required in paragraph (l)(1) or (l)(2) of this clause and does not cure such failure within a peri-od of 10 days (or such longer period as the Contracting Officer may authorize in writing) after receipt of notice from the Contracting Officer specifying such failure, the Government shall have the right by contract or otherwise to replace or correct such supplies and charge to the Contractor the cost occasioned the Government thereby.
(End of clause)

(1) Any subcontract for critical and complex items (see 46.203(b) and (c)); or

The order shall be specifically identified as a stop-work order issued under this clause. Upon receipt of the order, the Contractor shall immediately com-ply with its terms and take all reasonable steps to minimize the incurrence of costs allocable to the work covered by the order during the period of work stoppage. (1) The stop-work order results in an increase in the time required for, or in the Contractor's cost properly alloc-able to, the performance of any part of this contract; and
(2) The Contractor asserts its right to the adjustment within 30 days after the end of the period of work stop-page; provided, that, if the Contracting Officer decides the facts justify the action, the Contracting Officer may receive and act upon the claim submitted at any time before final payment under this contract.

Adjustment shall also be made in the delivery or performance dates and any other contractual term or condition affected by the delay or interruption. However, no adjustment shall be made under this clause for any delay or interruption to the extent that performance would have been delayed or interrupted by any other cause, including the fault or negligence of the Contractor, or for which an adjustment is provided or excluded under any other term or condition of this contract.
(b) A claim under this clause shall not be allowed-
