In no event shall costs associated with employee commuting be reimbursable as a direct cost under this contract.

(b) The Contractor shall include a breakout of all authorized travel expenses as an attachment to its invoices.

(c) The Contractor's administrative support costs (coordination in booking travel arrangements, etc.) should be treated as an indirect costs (G&A) and not a direct cost. Furthermore, cost should be included as G&A per task order, not charged as a travel cost.

(d) Should any Contractor personnel be requested to perform in any area which has been determined by the Department of State to be a hazardous duty area, hazardous duty premium pay may be payable at the same rate as would be given to Department of State direct-hire employees pursuant to Chapter 650 of the U.S. Department of State Standardized Regulations (Government Civilians, Foreign Areas). Section C- Descriptions/Specifications/Statement of Work

Clause SECTION C DESCRIPTIONS AND SPECIFICATIONS/STATEMENT OF WORK was deleted.

SECTION C DESCRIPTIONS AND SPECIFICATIONS/STATEMENT OF WORK

C.1 Background

The U.S. Department of State, Office of the Under Secretary for Management, Major Events and Conferences Staff (M/MECS) is re-sponsible for managing and coordinating assigned domestic and international events/conferences hosted by the U.S. Government.

Events could be pre-planned several months in advance or could be convened at the last possible moment. Maximum flexibility is re-quired.

Attendance can run from a few hundred to over several thousand participants; participants are typically foreign government and United States delegations. The events can cover any theme, have extensive coverage by the domestic and foreign press, and utilize several different simultaneous languages. Summit locations can include all 50 states plus any international destinations.

C.1.2 Purpose

The purpose of this multiple award Indefinite-Delivery Indefinite-Quantity (IDIQ) contract is to provide a full range of event produc-tion services for domestic and international summit / conferences.

C.1.3 Overview

The U.S. Department of State (DoS) is tasked with managing and coordinating summits / events held anywhere in the world.

Historically, most assigned summits have been located in the United States; in 2015, the office mission expanded to encompass events hosted by the United States government at international locations.

The U.S. Department of State is seeking contractors that possess the necessary qualifications, experience, organizational infrastruc-ture, and conceptual approached to plan, design, build and provide a full range of event production services to support such events.

Given the diversity and mission of the U.S. Department of State, use of local suppliers, personnel and materials are encouraged.

Quality control for such local products remains the responsibility of the contractor. Contractors are also expected to follow local building codes and are expected to observe the selected site(s) requirements for facility operation, rules and regulations.

The DOS may, under certain conditions or in accordance with International treaties, direct the contractor to use certain suppliers.

Such direction will be incorporated into individual task orders issued under the contract. Environmental and “Greening” best practices shall be applied to materials, parts, and equipment used at each site.

C.1.4 Typical Description of Services

To accommodate a wide variety of meetings, lounge and dining events during a typical event, preparations must adhere to specific guidelines. Such standards may be modified due to the type of summit and/or infrastructure available, and will be provided in ad-vance (see Section C.2).

Given the unique and custom nature of events, standards developed at one event may be changed at subsequent summits. In awarding this contract, the U.S. Government will give additional consideration to contractors who can suggest cost-saving elements or factors over the life of the contract, as evidenced or demonstrated by past examples or approaches contractors may have utilized with commercial or government clients.

Attachments A and B describes in detail and with a level of specificity, general production elements that may be requested for an event. Depending upon the nature or theme of the event, additions, deletions and changes may be required to meet the needs of the summit.

C.1.5 General Performance Guidelines

A) Contractors will be invited to walk-through the selected venue space(s). Contractors are strongly encouraged to include all technical experts in any walk-through in order to be able to accurately assess the requirements and costs involved with produ-cing this event. Areas of interest may include, but are not limited to, the venue operating environment, process and procedures, freight elevators and dock locations, electrical/mechanical system capabilities, on-site storage and vehicle parking and construction area staging, floor protection, and venue security requirements, etc. Under no circumstance will DOS pay for any escalation in costs due to lack of due diligence by the Offeror to completely explore all of these areas. The contractor is strongly encouraged to ask questions and identify potential problems and issues that may impair efficient performance. Responses to questions will be immediate and/or will be provided to the contractor within five (5) business days of the walk-through. If an additional walk through(s) is re-quired, the contractor may contact the Contracting Officer to assist with scheduling.

B) Contractors shall be prepared to conduct a formal "technical rehearsal" at a time determined by the COR but at least one day prior to the event. This rehearsal shall simulate actual event conditions as closely as possible, including simultaneous demands which stress all available systems. This rehearsal should be carried out by the staff that will perform the various roles during the actual event. This rehearsal is in addition to a room configuration check or sound test. A "one-channel-at-a-time" approach would be con-sidered insufficient. Within the rehearsal, all contractors shall test primary, backup and/or redundant systems and replicate and test any communications systems used, including but not limited to intercom, telephone bridge lines and wireless radio.

C) Each issued task order proposal shall require the inclusion of CAD drawings for set design floor plans. Each drawing shall in-clude high-quality 2-dimensional plan drawings of proposed set designs. In many cases, DOS will require 3-dimensional renderings of their proposed set designs. Drawings shall identify each piece of equipment to be used, to the extent that such equipment may be relevant in cost planning or decision-making.

In these renderings, the Contractor must adhere to a consistent, standardized presentation. The following views/perspectives should be rendered and presented as sequenced to DOS:

• A: Head-On view (from the press riser), tight iso to center podium

• B: Head-On view (from the press riser), medium

• C: Head-On view (from the press riser), wide

• D: Cut view (from the cut press riser, tight (podium profile)

• E: Cut view (from the cut press riser), wide

• F: Overhead view of entire space (from back of house looking towards stage), 3/4 view

• G: Overhead view of entire space (from back of house looking towards stage), 4/4 view

In response to this RFP, the Offeror should make clear whether they a) possess the ability to render 2-dimensional and/or 3-dimensional plans, or if a subcontractor would be required to complete such design work, and b) the typical timeline for such docu-ment production.

C.1.6 Removal of Items

Upon completion of the event, the contractor must remove all items and debris and ensure that all event venues are returned to their original operational condition. A walk-through with the Contracting Officers Representative (COR) will be conducted to ensure that there is no damage to the venue(s) site. All damage claims will be settled prior to final contract payment.

C.1.7 Event Timeline

All venue sites must be fully operational and available at a time to be determined by the COR, through the close of activity. Times are tentative and may be adjusted to accommodate venue security requirements.

C.2 Prototypical Requirements for an Event

The specific requirements for each Summit or Event will vary widely, but generally consist of:

a) conceptualization of a design of a main “plenary” space and supporting rooms to advance key public affairs and meeting object-ives;

b) the temporary acquisition/rental, installation, integration and removal of a number of production elements; and

c) The successful testing and execution of aforementioned elements.

In exceptional cases, the U.S. Government may request additional services, including creative (e.g. development of a logo or brand), technical (e.g. creation or hosting of a website, live streaming of program content) or operational (e.g. direct registration of event par-ticipants).

Specific illustrative examples of typical requested production elements follow in sample task orders identified at Attachment A and B.

This text should be used to enhance, clarify and/or understand the complexity of an event.

Once awarded, the contractor can expect that individual task order specifications will be consistent with the level of detail contain herein.

The quality system is a documented organizational process which describes responsibilities, procedures, and resources for providing qual-ity control and quality assurance on this project. The Contractor shall indemnify and save harmless the Government from and against all claims, damages, losses and expenses, direct, indirect or consequential arising out of or resulting from any act or omission of the Contractor, its agents, employees, or any subcon-tractor, in the execution or protection of the work. The Contractor’s assumption of liability continues independent of the insurance policies.

Failure to agree to any adjustment contemplated under this provision shall be a dispute within the meaning of the disputes clause.

However, nothing in this clause shall excuse the Contractor from proceeding with the work, including the repair and/or replacement as herein provided.

H.6 ORDER OF PRECEDENCE

In addition to the provisions of contract clauses 52.215-8, Order of Precedence—Uniform Contract Format (Oct 997), and 52.236-21, Specifications and Drawings for Construction (Feb 1997), the following order of precedence shall apply:

Any inconsistency among the Contract Documents shall be resolved by giving precedence in the following order: In case of differ-ences between small and large scale drawings the latter will govern. Where a portion of the work is drawn in detail and the remainder of the work is indicated in outline, the parts drawn in detail shall apply also to all other like portions of the work. In case of apparent error, discrepancy, or omission either in the drawings or specifications, the questions shall be submitted promptly to the project man-ager for clarification. The project manager shall review the question and submit a response in writing. If it is determined by the project manager that there is an error, discrepancy, or omission, and changing it would modify the contract, a written decision from the Contracting Officer must be requested by the Contractor. Any contract changes made by the Contractor before receipt of Con-tractor Officer Approval shall be at the Contractor’s own risk and expense.

H.7 PERMITS

The Contractor shall be responsible for obtaining any necessary passports, visas, licenses, certifications, authorizations, approvals, permits, and for complying with any and all applicable Federal, State and Municipal Laws, codes and regulations. The same respons-ibility shall apply to local requirements at International locations.

NOTE: The Government shall reimburse the Contractor for any applicable permits required based on ACTUAL cost(s). No G&A, overhead, profit, etc. shall be included in these costs.

H.8 INFORMATION TECHNOLOGY ACCESSIBILITY FOR PERSONS WITH DISABILITIES

All services and Electronic Information Technology (EIT) delivered as result of orders placed under this contract shall comply with accessibility standards in accordance with Federal Information Technology Accessibility as required by Section 508 of the Rehabilita-tion Act (20 U.S.C. 794d), as amended. Information about the Section 508 Electronic and Information Technology Accessibility Standards may be obtained via the Web at the following URL: www.Section508.gov.

H.9 CONTRACTOR COMMITMENTS, WARRANTIES, AND RESPONSIBILITIES

Any written commitment by the Contractor within the scope of this contract shall be binding upon the Contractor. Failure of the Con-tractor to fulfill any such commitment shall render the Contractor liable for liquidated or other damages due to the Government under the terms of this contract. For the purpose of this clause, a written commitment by the Contractor is limited to the proposal submitted by the Contractor, and to specific written modifications to the proposal. Written commitments by the Contractor are further defined as including (1) any warranty or representation made by the Contractor in a proposal as to hardware or software performance; total sys-tems performance; and other physical, design, or functional characteristics of equipment, software package or system, or installation date; (2) any warranty or representation made by the Contractor concerning the characteristics or items described in (1) above, made in any publications, drawings, or specifications accompanying or referred to in a proposal; and (3) any modification of or affirmation of representation as to the above which is made by the Contractor in or during the course of negotiations, whether or not incorporated into a formal amendment to the proposal.

H.10 SAFEGUARDING OF INFORMATION

The Contractor and its employees shall exercise utmost discretion in regard to all matters relating to their duties and functions. They shall not communicate to any person any information known to them by reason of their performance of services under this contract which has not been made public, except to the extent necessary to perform their required duties in the performance of the contract re-quirements or as provided by written authorization of the Contracting Officer.

All documents and records (including photographs) generated during the performance of work under this contract shall be for sole use of and shall become the exclusive property of the U.S. Government. No article, book, pamphlet, recording, broadcast, speech, televi-sion, appearance, film or photograph concerning any aspect of the work performed under this contract shall be published or dissemin-ated through any media without the prior written authorization of the Contracting Officer. These obligations do not cease upon the ex-piration or termination of this contract or at any other point in time. The Contract shall include the substance of this provision in all subcontracts hereunder.

H.11 NONPAYMENT FOR UNAUTHORIZED WORK

No payments will be made for any unauthorized supplies or services or for any unauthorized changes to the work specified herein.

Only a duly appointed Contracting Officer is authorized to change the specifications, terms, and/or condi-tions of this contract. (End of clause)

H.12 TECHNICAL DIRECTION

(a) Performance of the work hereunder shall be subject to technical instructions, whether oral or written, issued by the Contracting Officer’s Representative specified in SECTION G and Subsequent Task Orders of this contract. As used herein, technical instructions are defined to include the following:

(1) Directions to the Contractor which suggest pursuit of certain lines of inquiry, change work emphasis, fill in details or otherwise serve to assist in the Contractor’s accomplishment of the Statement of Work;

(2) Guidance to the Contractor which assists in the interpretation of drawings, specifications or technical portions of work description.

(b) Technical instructions must be within the general scope of work stated in the contract. Technical instructions may not be used to:

(1) assign additional, or out of scope work under the contract;

(2) Direct a change as defined in the “Changes” clause of this contract;

(3) Increase or decrease the contract price or estimated contract amount (including fee), as applicable, the level of effort, or the time required for contract performance; or

(4) Change any of the terms, conditions or specifications of the contract.

(c) If, in the opinion of the Contractor, any technical instruction calls for effort outside the scope of the contract or is inconsistent with this requirement, the Contractor shall notify the Contracting Officer in writing within ten working days after the receipt of any such in-struction. The Contractor shall not proceed with the work affected by the technical instruction unless and until the Contractor is noti-fied by the Contracting Officer that the technical instruction is within the scope of this contract.

(d) Nothing in the foregoing paragraph shall be construed to excuse the contract from performing that portion of the contractual work statement which is not affected by the disputed technical instruction.

(e) All direction shall come from the COR for the project(s). Names and contact information will be provided after the Task Order is awarded. Vendors must communicate through authorized M/MECS COR for all changes and are prohibited from taking direction or communicating with other Department of State offices or other Government agencies. Any expenses incurred due to direction of anyone other than the Contracting Officer are not allowable and will be borne by the contractor. (End of clause)

H.13 ORGANIZATIONAL CONFLICT OF INTEREST - GENERAL

The Contractor warrants that, to the best of its knowledge and belief, there are no relevant facts or circumstances which would give rise to an organizational conflict of interest, as defined in FAR subpart 9.5, or that the Contractor has disclosed all such relevant in-formation.

The Contractor agrees that if an actual or potential organizational conflict of interest is discovered after award, the Contractor will make a full disclosure in writing to the Contracting Officer. This disclosure shall include a description of actions which the Contractor has taken or proposes to take to avoid or mitigate the actual or potential conflict.

If the Contractor was aware of a potential organizational conflict of interest prior to award or discovered an actual or potential conflict after award and did not disclose or misrepresented relevant information to the Contracting Officer, the Government may terminate the contract for default.
