Contractor shall provide the criminal records check files to ODFW upon request from ODFW.
36.5 ODFW has the sole right to determine the acceptability of each individual for access to the Facility based upon the result of criminal and other background checks.

Contractor shall immediately return all access cards or keys and other means of access to ODFW upon termination or cancellation of this Contract in whole or in part. Contractor shall immediately retrieve from any person re-assigned, transferred or terminated from providing Services any access card or key assigned to or in the possession of that person.
37.2 Contractor shall be liable and responsible for any and all ODFW’s costs, losses and damages, including but not limited to the cost of re-keying doors, gates, and locks, arising out of or related to the loss of or failure by Contractor to return or account for access cards or keys identified to this Contract. 37.4 Contractor shall be liable and responsible for all State and ODFW’s costs, losses or damages, arising from or related to the willful, negligent, or accidental release of means of access by the Contractor, any subcontractor or their respective employees or agents to persons not authorized by ODFW to possess access cards or keys. This liability includes but is not limited to costs to make changes or corrections to the Facility security system.
38. Confidential Information:
38.1 Contractor acknowledges that it and any subcontractor or their respective employees or agents may, in the course of performing the Services under this Contract, be exposed to or acquire information that is confidential to ODFW or ODFW’s clients. Any and all information of any form (including but not limited to records, files, papers, materials, documents, and communications, in written, verbal, oral or electronic form) that Contractor, any subcontractor or their respective employees or agents may come into contact with in the performance of Services under this Contract is deemed to be confidential information of ODFW (“Confidential Information”). Confidential Information includes any materials and things discarded as rubbish or designated for destruction or recycling. Confidential Information is deemed not to include information that (a) is or becomes (other than by disclosure by Contractor) publicly known; (b) is furnished by ODFW to others without restrictions similar to those imposed by this Contract; (c) is rightfully in Contractor’s possession without the obligation of nondisclosure prior to the time of its disclosure under this Contract; (d) is obtained from a source other than ODFW without the obligation of confidentiality; (e) is disclosed with the written consent of ODFW; or (f) is independently developed by employees, agents or subcontractors of Contractor who can be shown to have had no access to the Confidential Information.
38.2 Confidential Information.
38.2.1 Contractor agrees to hold Confidential Information in confidence, using at least the same degree of care that Contractor uses in maintaining the confidentiality of its own confidential information.
38.2.2 Contractor agrees that, except for purposes directly connected to this Contract, Contractor shall not at any time during or after the term of this Contract disturb, read, copy, reproduce, sell, assign, license, market, transfer, disclose, directly or indirectly, or otherwise dispose of, give or disclose any Confidential Information or use Confidential Information for any purpose except in accordance with this Contract.
38.2.3 Contractor shall not permit the breach of the confidentiality of this Confidential Information by any employee, agent or subcontractor, including subcontractor’s employees and agents.
Contractor shall advise each of its employees, agents, and subcontractors of their obligations to keep Confidential Information confidential.
38.2.4 Contractor shall use commercially reasonable efforts to assist ODFW in identifying and preventing any unauthorized access to or use or disclosure of any Confidential Information.
38.2.5 Contractor shall implement security measures that reasonably and appropriately provide administrative, physical and technical safeguards that protect the confidentiality, integrity and availability of the Confidential Information to which it has access. Contractor’s security measures must be documented in writing and be available for review by ODFW upon request by ODFW. ODFW’s review of the reasonableness of security measures will take into account Contractor’s physical, administrative, and technical capabilities related to security measures and the potential risk of unauthorized use or disclosure of Confidential Information by Contractor, its officers, employees, agents or subcontractors.
38.2.6 Without limiting the generality of the foregoing, Contractor shall advise ODFW immediately in the event Contractor learns or has reason to believe that any person who has had access to Confidential Information has violated or intends to violate the terms of this Contract and Contractor will at its expense cooperate with ODFW in seeking injunctive or other equitable relief in the name of ODFW or Contractor against any such person.
38.2.7 Upon termination of this Contract or at ODFW’s request, Contractor will turn over to ODFW any and all Confidential Information in Contractor’s possession.
38.2.8 Contractor acknowledges that any disclosure of Confidential Information or removal of ODFW property or Confidential Information by Contractor or Contractor’s employees or agents may be cause for the immediate removal of such person from performing work under this Contract. Such disclosure or removal may result in Contract termination and may result in criminal or civil prosecution.

38.3.1 In the performance of the Contract, Contractor may have access, possession, custody or control of “Personal Information” as that term is used in ORS 646A.602(11), including Social Security numbers. If Contractor receives access, possession, custody or control of “Personal Information”, Contractor must maintain appropriate safeguards for the security of that “Personal Information” as required by the Oregon Consumer Identity Theft Protection Act, ORS 646A.600 to 646A.628, and shall do so in the performance of this Contract.
Accordingly, Contractor represents and warrants that it will maintain, operate and enforce, prior to the receipt of, and during the period in which Contractor has possession of or access to, any Personal Information, an active and effective written information security program that at a minimum complies with the requirements of the Oregon Consumer Identity Theft Protection Act to preserve the security and confidentiality of all Personal Information that is contained in any document, record, compilation of information or other item to which Contractor receives access, possession, custody or control.
38.3.2 In addition to and without limiting the generality of Sections 38.1 and 38.2, Contractor shall not breach or permit the breach of the security of any Personal Information (as “Personal Information” is defined in ORS 646A.602(11)) that is contained in any document, record, compilation of information or other item to which the Contractor receives access, possession, custody or control under this Contract. Contractor shall not disclose, or otherwise permit access of any nature, to any unauthorized person, of any Personal Information that is contained in any document, record, compilation of information or other item to which Contractor receives access, possession, custody or control under this Contract. Contractor shall not use, distribute or dispose of any Personal Information in any manner other than expressly permitted by this Contract, required by applicable law, or required by an order of a tribunal having competent jurisdiction.
38.3.3 Requirement that Contractor Report Security Breaches. Contractor shall promptly report to the ODFW Contract Administrator, any breach of security, disclosure, theft, loss, or other unauthorized access or use of any document, record, compilation of information or other item that contains Personal Information to which Contractor receives access, possession, custody or control in the performance of this Contract.
38.3.4 Requirement that Contractor Make its Employees Agree to Comply. Contractor shall require its employees, officers or agents, including any subcontractor, to whom Contractor gives access possession, custody or control of Personal Information that relates to this Contract to comply with the restrictions and conditions set forth in Sections 38.3.1 to 38.3.3 of this Contract.
38.3.5 Termination for Breach of Security Requirements. In response to the breach or violation of any provision of Sections 38.3.1 to 38.3.4 of this Contract ODFW may:
(i) Notify Contractor of the breach and specify a reasonable opportunity in the notice for Contractor to cure the breach or end the violation, reserving the State’s right to terminate this Contract if Contractor fails or refuses to cure the breach within the time specified by ODFW; or
(ii) Terminate this Contract immediately, or as of a time specified by ODFW if cure by Contractor is not possible, as determined in ODFW’s reasonable judgment.
The rights and remedies provided in this Section 38.3.5 are in addition to the rights and remedies provided elsewhere in this Contract.
38.3.6 Contractor’s Duty to Return or Destroy Personal Information on Termination. On termination of this Contract for any reason, or at the expiration of this Contract, Contractor must, as directed by ODFW, return or destroy all Personal Information received from the State, or created or received by Contractor under this Contract or on behalf of the State.
This requirement shall apply to all Personal Information in the possession of subcontractors or agents of Contractor. On termination or expiration of this Contract, whichever applies, Contractor shall retain no copies of any of the Personal Information.
38.4 Contractor is liable and responsible for all State’s costs, losses or damages, including but not limited to attorney fees, in any action or suit brought against State arising from the willful, negligent, or accidental or otherwise unauthorized use, release, or theft of Confidential Information by Contractor, its employees or agents.

40. Pay Equity:
As required by ORS 279B.235 or ORS 279C.520, Contractor shall comply with ORS 652.220 and shall not unlawfully discriminate against any of Contractor’s employees in the payment of wages or other compensation for work of comparable character on the basis of an employee’s membership in a protected class. “Protected class” means a group of persons distinguished by race, color, religion, sex, sexual orientation, national origin, marital status, veteran status, disability or age. Contractor’s compliance with this section constitutes a material element of this Contract and a failure to comply constitutes a breach that entitles Agency to terminate this Contract for cause.
Contractor may not prohibit any of Contractor’s employees from discussing the employee’s rate of wage, salary, benefits, or other compensation with another employee or another person. Contractor may not retaliate against an employee who discusses the employee’s rate of wage, salary, benefits, or other compensation with another employee or another person.
