About this file

This is a sample contract template for use by the Charles County Commissioners in Maryland for services procured through a Request for Quote (RFQ), Invitation to Bid (ITB), or Request for Proposal (RFP). The template establishes the framework for a contract requiring a contractor to provide services within a specified consecutive number of calendar days from the issuance of a Notice to Proceed. The contract incorporates General Provisions and Special Provisions by reference and requires the contractor to commence work upon written notice and complete all obligations within the designated timeframe. The document specifies that compensation is based on aggregate costs for services, materials, and supplies at rates identified in the contractor's quote, bid, or proposal, with payment due according to the terms outlined in the General and Special Provisions.

The contract template requires execution by authorized representatives of both the contractor and the Charles County Commissioners, with appropriate seals, signatures, and witnesses. Specific execution requirements vary based on the contractor's business structure: corporations must include the corporate secretary's signature and corporate seal (or circled seal with initials if no seal exists), while other business entities must also sign, circle the seal designation, and provide initials. The document must be approved as to form and legal sufficiency by the County Attorney prior to execution. The template does not specify pricing structures, insurance requirements, performance bonds, or other substantive contract terms, as these are incorporated through reference to the General and Special Provisions applicable to individual procurements.
