About this file
This is a sample construction contract template used by Napa County, California, for public works projects. The contract establishes the framework for hiring a contractor to complete construction work according to specified plans, specifications, and bid proposals. The project referenced in the related contract opportunity involves repair work on Redwood Road at milepost 5.41, where November 2025 storms caused a landslide that undermined approximately 33 linear feet of roadway edge. The repair scope includes installation of a rock slope protection (RSP) buttress at a 1:1 slope, approximately 10 feet high and averaging 5 feet in thickness, followed by reconstruction or repaving of the damaged road surface extending approximately 100 feet. The contract incorporates by reference the project's Plans and Specifications, the contractor's Bid Proposal, Special Provisions, and the 2023 Standard Specifications of the California Department of Transportation. The sample bid table includes line items for Mobilization, Traffic Control, and Clearing and Grubbing, though the final bid schedule will be project-specific upon contract execution.
The contract specifies that the contractor shall furnish all materials and perform all work at its own cost and expense for the prices stated in the bid schedule, with compensation constituting full payment for all labor, materials, losses, damages, and risks associated with the work except as prohibited by law. The contractor must accept the contract terms as presented, with any conflicting provisions in the bid proposal being subordinate to other contract terms. The contract requires approval by the Napa County Board of Supervisors and the County Counsel's Office before execution. Contractor signature authority requires either two corporate officers (with specific title combinations) or a single signature accompanied by documentation of legal authority to bind the company; all contractor signatures must be notarized.
