About this file
This addendum document issued by The University of North Carolina at Chapel Hill provides official responses to 121 vendor questions submitted by the October 16, 2026 deadline regarding Request for Qualifications (RFQ) 65-2026TCM_CNDP for the Carolina North mixed-use development project. The project encompasses a 240-acre university expansion located 1.6 miles north of the main UNC Chapel Hill campus, requiring development of a 30-50 acre mixed-use district with a minimum of 1,100 undergraduate and 1,000 graduate student housing beds; 15 percent affordable housing units (at least half at 65 percent AMI and remainder at 80 percent AMI); workforce housing; UNC Health medical office space; and complementary retail, dining, office, and hospitality uses. This is a two-stage procurement process with the RFQ submission deadline of October 16, 2026 at 4:00 PM Eastern Time; shortlist announcements anticipated in mid-November 2026; shortlist interviews scheduled for the week of November 2, 2026; and Stage 2 RFP issuance to qualified respondents the week of November 23, 2026. The contract will be structured as a Pre-Development Agreement followed by an at-risk Development Agreement for Phase 1 implementation, with ground leases up to 99 years and no developer purchase options. Key response deadlines for questions were September 25, 2026 at 5:00 PM ET, and the University Board of Trustees recommendation for the preferred Development Partner is anticipated in early 2027.
The University retains fee ownership of all land with improvements reverting to the state at lease termination; the Development Partner must source all development costs through private equity and non-recourse debt with no University financial guarantee or credit pledge. UNC has allocated $8 million for advanced planning and $35 million for early infrastructure works during fiscal year 2026-2027 to be funded and delivered independently of the Development Partner's responsibilities. The University anticipates delivering the mixed-use site with mass grading complete and primary utility infrastructure installed to the parcel boundary; environmental studies, environmental mitigation, and remediation discussions with the North Carolina Department of Environmental Quality regarding the Ready for Reuse Program will be shared with shortlisted respondents. Respondents must be registered North Carolina vendors and identify key project leadership including a lead developer, lead developer partner for student housing, and core development team capable of delivering the contemplated program; multiple qualified development partners may be proposed provided only one lead developer entity participates. Final ground lease economics, infrastructure funding allocation, parking ownership and operations, District governance, common area maintenance, design standards, and other commercial terms will be negotiated through the Pre-Development Agreement, subject to UNC Board of Governors approval.

Question # Vendor Question UNC Response
1 What is the acreage of the cleared area? The cleared area on the Horace William Tract is approximately 100 acres. This has not been verified by survey.
2 Will environmental studies be provided? Environmental reports and studies are anticipated to be provided to shortlisted Respondents during the next stage of the procurement process. Publicly available information regarding the Project Site’s historic uses can be found through the North Carolina Department of Environmental Quality’s website.
3 What is the existing lawful egress? Existing access to the Airport Tract is via Estes Dr Extension and Municipal Drive.
Existing access to the Homestead Ops Tract is via Homestead Dr and Aquatic Drive.
Existing access to the Facilities Drive Tract is via Estates Drive Extension.
Airport Drive and Facilities Drive transverse the tract.
4 Is the solar farm being relocated? Per the RFQ, the solar farm will be relocated elsewhere within Carolina North as development progresses. It is not anticipated that the solar farm will be relocated as part of the initial phase, unless an opportunity for that land area is presented.
5 Can the presentation slides that were referenced during the Chancellor’s announcement of the project at the Jan 2026 University Board meeting be provided?
The deck can be found in the agenda for the University Affair Committee of the University’s Board of Trustees Meeting for January 21, 2026.
https://bot.unc.edu/2026/01/11/january-21-22-2026-regular-meeting/
6 Must all responding firms (including partners) have a NC Secretary of State ID#? (Or just the lead Developer?)
Where part of a team, only the Led Developer needs to be registered with the Secretary of States office and obtain a State ID#.
7 Will draft forms of the Pre-Development Term sheet, PDA or Development Agreements be made available as part of the procurement process?
No. As part of the second phase of the procurement process, the University intends to evaluate terms proposed by shortlisted Respondents. Accordingly, draft forms of the Pre-Development Agreement, Development Agreement, or other related term sheets will not be provided during the RFQ stage. The Pre- Development Agreement and subsequent Development Agreement(s) will be negotiated with the preferred Development Partner at the completion of the selection process.
8 UNC has already assembled a large team of master planning and general project consultants. Will those firms be barred from joining the selected developer’s team after selection?
No. A consultant engaged by UNC is not prohibited from participating on the preferred Development Partner’s team, other than the exception stated in response to Question 33. However, any work product, analyses, drawings, or other materials prepared for UNC in connection with Carolina North remain the property of UNC and may not be shared with or used by the selected Development Partner without UNC’s prior written approval.
9 In section 2.4 of the RFP, the master plan phase is described as carried out by the University, with a transition to traditional at-risk development model under a negotiated Development Agreement. Does UNC expect to retain and fully compensate its identified team of consultants through the completion of the master plan phase? Or is it expected that the selected master developer will participate in master planning costs, either through engagement of its own consultant team, or through pre-development contributions to
UNC?
The specific roles, responsibility, and cost allocations between the University and the preferred Development Partner will be subject to negotiations as part of the Pre-Development Agreement. However, the University currently anticipates the following arrangement: UNC will retain and compensate the team it has engaged to undertake the master planning effort for Carolina North. The preferred Development Partner will be expected to collaborate throughout the process. Any market studies, feasibility analysis, due diligence efforts, consultant services, or other reporting undertaken independently by the Development Partner, and outside of the scope of the University’s master planning effort would be at the Development Partner’s sole cost and expense.
Following the completion of the master planning effort, the Development Partner would be responsible for funding the design and development services necessary to advance individual projects pursuant to the negotiated Development Agreement.
10 What is UNC’s timeline for establishing the minimum and maximum program of academic uses for Carolina North, and what flexibility is expected to be preserved in the master plan for types of uses, research / academic space?
The development program for the University-led academic and research components of Carolina North will be established through the master planning process.
The University intends for the master plan to provide sufficient flexibility to accommodate a range of academic, research, or related uses over time. The https://bot.unc.edu/2026/01/11/january-21-22-2026-regular-meeting/
(ie, wet or dry labs, bio manufacturing, data processing, etc?)
specific mix of research and innovation space will be determined by the University’s evolving strategic, academic, and research priorities.
11 Is there anticipated (or required) phasing of the academic uses? Or is this meant to be to be established in the collaborative Master planning exercise between UNC and the selected development partner?
The University anticipates that development outside of the Mixed-Use District, including academic, research, athletics and campus recreation facilities, will occur over multiple phases. Overall project phasing will be established through the master planning effort. The timing and phasing of the campus will be at the sole distraction of the University.
12 Are there any prohibited or discouraged uses in the mixed-use development at Carolina North (understanding that illegal uses are, of course, prohibited)? i.e, will F&B use that includes alcohol service be permitted?
The University, as landowner, retains the right to prohibit specific uses at Carolina North. No definitive list has been prepared at this time but uses that would be inconsistent with the University’s mission, values, place strategy and long-term vision for Carolina North may be restricted.
Food and beverage establishments, including through that serve alcohol as part of a broader dining, hospitality and entertainment offering would generally be considered permissible.
13 Please describe the ownership, operation and maintenance structure of the current student housing buildings on campus? If there are multiple models or structures, please provide a high level description of each. Are any of these structures preferred (or required) for the new student housing being requested as part of Carolina North?
Respondents should assume student housing will be delivered, leased, operated and maintained by the Development Partner or its affiliates. While the University may consider opportunities for collaboration that advances its housing goals, no specific occupancy support, leasing commitment, or operating structure as been determined at this time.
The sequencing, mix, and delivery strategy for student housing will be developed collaboratively with the Development Partner through the master planning effort and documented in the Pre-Development Agreement and subsequent Development Agreement(s).
14 Can UNC provide additional detail on the expected scale, timing, location, and operational requirements for UNC Health medical office building(s), including whether UNC Health is expected to anchor an early phase?
UNC Health’s is evaluating is current and long-term plans as its relates to Carolina North. As details are finalized, it will be shared with the preferred Development Partner.
15 The RFQ states that UNC will provide infrastructure to the Mixed-Use District parcel boundary and that the Development Partner will be responsible for utilities, connections, streets, and proposed infrastructure within the awarded phase.
a. Can UNC clarify the anticipated scope boundary between University-funded enabling infrastructure and Development Partner-funded district infrastructure?
The University has not yet established the boundary for the Mixed Use District.
Accordingly, the scope boundary between University-funded infrastructure and Development Partner-funded infrastructure has not yet been determined. The final responsibility and obligation of each part will be documented in subsequent agreements.
16 Is there a list, description or conceptual plans for the scope anticipated to be funded by the $35M awarded from the NC General Assembly to the University?
a. What is the current timeframe for expenditure of these funds and what is the status of the work they are intended to cover?
b. Is there any timeframe after which that funding is reclaimed if not utilized?
The University is currently finalizing the scope of works to be funded by the appropriated funds. The University expects works associated with these funds to commence in 2027.
17 Are the future ROW’s within the development area anticipated to be private roads or transferred to public jurisdiction?
The ownership and jurisdiction of future roadways within the Project Area have not yet been determined and will be evaluated through the master planning effort.
18 On the mixed use development area, and how is common area maintenance anticipated to be allocated and managed?
The specific structure of District governance, common area maintenance, operations, and cost allocation will be negotiated as part of the Pre- Development Agreement, and subsequent Development Agreement(s).
19 What is the term and status of the solar panel farm currently on the project site? Is this use required to be maintained on site (either in place or relocated?)
See Question 4.
20 Regarding the potential presence of hazardous materials or spills on the project site (as mentioned in section 3.2 of the RFP), has UNC determined if remediation responsibility will be on UNC, the developer, or shared?
As outlined in the RFQ, the University intends to submit an application to the North Carolina Department of Environmental Quality’s Ready for Reuse Program. The remediation, mitigation and land-use management requirements applicable to Carolina North are expected to be informed by this process and any resulting agreements and determinations.
The University is in the early stages of this effort, and no final decisions have been made. These matters will be evaluated as additional information becomes available and are expected to be addressed through future negotiations.
21 Current Zoning is described as “Not Applicable” in section 3 of the RFP. Will the zoning exemption currently granted to UNC extend to the private development parcels owned and operated by the selected mix use developer? In the absence of zoning regulations, does the University have a sense of massing, bulk or height limits it is considering for its portion of the mixed use campus and would it assume similar controls for the private development if also exempted?
In accordance with the Regulatory Reform Act of 2025 (Session Law 2025-94), Section 18, amending N.C. General Statute §160D-913 (Public Buildings), the State Construction Office will issue permits for development at Carolina North.
Horizontal and vertical improvements will be required to comply with State Building Code.
As part of the Carolina North master planning effort, the University is developing Built Form and Landscape Development Standards and Guidelines applicable to the Project Area. The University anticipates that future development within the Mixed-Use District will comply with these standards.
22 Will UNC serve as an anchor tenant for the project and enter pre-lease commitments for planned academic and research buildings at Carolina North?
The University anticipated funding and constructing academic and research buildings at Carolina North, outside of the Mixed-Use District. At this time, the University cannot commit to any specific pre-lease, master lease, occupancy support, or other tenancy arrangement.
23 Will UNC locate academic and research programs at Carolina North? If so, which academic and research programs are proposed?
The campus component of Carolina North will be delivered over a long planning horizon and must remain responsive to the University's evolving needs. The University is currently evaluating which academic and research units may ultimately be located at Carolina North. Under the leadership of the Provost, this ongoing assessment will be guided by factors such as projected student enrollment growth, academic priorities, and the facility needs of individual schools, departments, and research programs. Because the campus at Carolina North is anticipated to be developed over several decades, the specific academic and research facilities ultimately delivered may change over time in order to address emerging needs, opportunities, and the best interests of the University. Decisions regarding the location, timing, and composition of academic and research programs at Carolina North will be made at the sole discretion of the University and in furtherance of its educational, research, and public service mission.
24 What, if any, vertical development is UNC planning to undertake independently at Carolina North?
The University anticipates undertaking the development of the remaining portion of Carolina North. This will include the academic campus, including classrooms, research, athletics and campus recreation.
25 What is the plan for funding the infrastructure required within the project boundary, including roads, utilities, structured parking, public realm improvements, and other district-wide infrastructure?
The University’s approach to funding University-led infrastructure improvements will be shared with the preferred Development Partner.
26 Has a preliminary infrastructure cost estimate and funding strategy been established beyond the funding sources currently identified?
No. This will be identified through the master planning effort.
27 Have tax increment grants (TIGs), tax increment financing (TIF), other infrastructure financing instruments, and/or tax abatements been discussed and/or agreed upon with local and state governments?
With the exception of preliminary discussions with the Department of Environmental Quality regarding the Ready for Reuse Program, which does allow for tax incentives to future developers, the University has not pursued any discussions with local or state entities regarding TIGs, TIFs, tax abatements, or other infrastructure financing mechanisms.
28 Are there opportunities to pursue public-private funding programs, infrastructure grants, economic development incentives, or other governmental resources jointly with
UNC?
Other than the opportunities identified in Question 27, the University has not currently pursued such alternative funding sources. However, the University is open to discussing and evaluating such opportunities with the preferred Development Partner at the appropriate time.
29 What commitments can be secured during the planning phase for vertical development uses other than student housing?
See Question 22.
30 Will UNC master lease student housing at Carolina North?
See Questions 13 & 22.
31 What is the process and timeline for deciding which athletic programs could be relocated to Carolina North?
UNC Athletics will determine which varsity athletics programs will be located at Carolina North as part of the master planning effort.
The University has not made any decisions regarding the Smith Center. Per the University press release, dated March 2026: The University of North Carolina is suspending ongoing discussions regarding the future of the Smith Center in order to focus on identifying and selecting a new head men’s basketball coach.
Arena discussions will resume after the new coach has had time to acclimate to the program and focus on future needs.”
32 What is the plan for transportation options connecting Carolina North to the main campus, including the number of stops and service frequency?
Carolina North is currently served by multiple Chapel Hill Transit routes that connect the Project Area to Main Campus and other destinations throughout Chapel Hill and Carrboro. The Town of Chapel Hill is also advancing NS Rapid, which is expected to provide enhanced transit services between the two campuses. More information can be found on the Town of Chapel Hill’s website.
33 Are fully formed mixed-use development teams required at the RFQ stage, or can
With regard to individual team members, Respondents should identify their key project leadership, primary decisionmakers, and day-to-day points of contact as additional development team members be selected at later phases of the development process?
part of their RFQ submission, as the qualifications and experience of these individuals will be considered during the evaluation process. Changes to key personnel between the RFQ and RFP stages may prompt further discussion with the University, particularly if such changes result in a team that is materially less qualified than the team originally proposed.
Regarding development firms, and the formation of teams, the University expects Respondents to identify the core development team that would lead delivery of the project in the RFQ. The University recognizes, however, that as planning advances and specific development opportunities become better defined, additional partners with specialized expertise in particular asset classes may be added, subject to University review and approval.
Notwithstanding the above, Respondents should propose a team that is capable of delivering the program currently contemplated by the University. For example, student housing is the University's highest priority use for Carolina North, and as such any led-Developer that does not possess in-house student housing development expertise should identify its student housing development partner as part of its RFQ submission. By contrast, certain uses, such as a hotel, remain subject to future feasibility analysis and program refinement; therefore, it is not necessary at this stage to identify a hotel development or operating partner.
34 Given that graduate housing is identified as an Early Programmatic Priority, what support (e.g., affiliation, co-marketing, or other resources) is UNC willing to provide?
The University anticipates that graduate housing delivered at Carolina North would be considered an affiliated property and would participate in joint marketing efforts.
35 Will graduate academic programming at Carolina North/UNC align closely with the delivery of graduate housing?
See Question 23.
36 Is the developer in a purely advisory role during the planning phase? Under what conditions does UNC anticipate proceeding to the development phase with the selected developer?
During the master planning phase, the Development Partner's role is anticipated to be primarily advisory and collaborative. The Development Partner will not be expected to undertake a separate master planning exercise, but rather to provide input on matters such as market considerations, development strategy, land uses, phasing, infrastructure, and implementation of the Mixed-Use District in coordination with the University and the master planning team.
The Stage 2 RFP process will provide short-listed Respondents with the opportunity to submit detailed proposals regarding the proposed partnership structure, financial and business terms, development approach, and other key commercial considerations. The conditions under which the parties would proceed from the pre-development phase to vertical development have not yet been established and will be negotiated as part of the Pre-Development Agreement and any subsequent Development Agreement(s).
37 If the developer and UNC do not proceed beyond the planning phase, will the developer be compensated for its contributions to the planning effort?
See Section 36.
38 Will UNC's research and academic investments and partnerships at Carolina North differ from those within the UNC System RTP District?
The University is not involved in the System office’s RTP property.
39 Would UNC Health consider a pre-lease or master lease for all or a portion of the medical office component, and for approximately how many square feet?
Please see Question 22.
40 Would UNC consider a pre-lease or master lease for any traditional or R&D office component (i.e., excluding the medical office)?
See Question 22.
41 Would the University consider occupancy support (e.g., a master lease, committed use agreement, or similar) for other uses, including hotel or ground-floor retail?
The University does not anticipate providing occupancy support for uses the University would not directly occupy. The Mixed-Use District is intended to be market supported, and financially self-sustaining, rather than dependent on the University as its primary source of occupancy.
42 Can the University share any current guidance on the anticipated size, program mix, and delivery timing of the University-led uses, including the extent to which they are expected to be delivered concurrently with the first sub-phases of the Mixed-Use District?
See Question 23.
43 Appendix 2 indicates that undergraduate housing at Carolina North will not be part of the Carolina Housing portfolio or managed by Carolina Housing, and that the University may need to retain greater control over graduate
See Questions 12, 23 & 34.
housing to encourage affordability, with openness to creative financing and ownership solutions. Can the University elaborate on the nature of support it anticipates providing for each?
a. Specifically: (i) for undergraduate housing, whether the University contemplates any master lease, occupancy guarantee, referral or preferential placement mechanism, or other occupancy support beyond joint marketing; and (ii) for graduate housing, whether the University anticipates subsidizing rents, master leasing beds, etc.?
44 Recognizing that this process is ongoing and that no decision has been announced, is the University able to share any guidance on whether a new basketball arena or related athletics venue remains under consideration for the Project Area, and if so, how a respondent should account for that possibility in its approach to the District?
Please see Question 31.
45 Is the University aware of any tax incentive, economic development, or brownfield programs that could be available?
As stated in the RFQ, the University has commenced discussions with the Department of Environmental Quality to participate in the Ready for Reuse Program. The University is not actively pursuing other tax incentives or economic development programs as it relates to Carolina North. The University is open to discussing and evaluating such opportunities with the preferred Development Partner at the appropriate time.
46 Given the leasehold-only structure, reversion at term, and limited lender protections, what would the University expect regarding leasehold assignment, subleasing, or change of control during the term, particularly if we bring in operating partners for student or affordable housing, or for the UNC Health space?
Transfer and assignment rights will be negotiated as part of the Pre- Development Agreement and subsequent Development Agreement(s).
47 Lender protections are described as limited and tied to State law and sovereign immunity.
In practice, would a lender have the right to cure a default or take over the lease? Has a ground lease like this been financed by an institutional lender before?
The right to cure a default will be negotiated as part of the Pre-Development Agreement and subsequent Development Agreement(s).
48 The schedule shows Board of Trustees approval as a milestone but no specific dates, and doesn’t mention UNC System or State-level approvals. What governance path and timeline should we expect at each stage, particularly for the decisions that gate moving from the Pre-Development Agreement into the at-risk Development Agreement?
The Selection Committee’s recommendation regarding the preferred Development Partner is anticipated to be presented to the University’s Board of Trustees in early 2027. The Pre-Development Agreement and subsequent Development Agreement(s) will require approval by the UNC Board of Governors. The timing of those approvals will depend on the progression of negotiations.
49 The Partner is expected to fund pre-development costs, including design work, at its own risk. If we don’t end up signing a Development Agreement, is there any way to recover those costs?
See Questions 36.
50 Since the site falls under the NC State Construction Office instead of Town zoning, what design and construction standards would actually apply to our buildings?
See Question 21.
51 For the required 2,100 student beds, would rent be fixed by the University, or would we have some input in setting it?
See Question 13.
52 Since undergraduate housing won’t be part of the Carolina Housing portfolio, who carries the risk if beds don’t fill up, and would the University offer any occupancy support?
At this time, the University cannot commit to any specific pre-lease, master lease, occupancy support, or other tenancy arrangement.
53 UNC Health is expected to commit to medical office space, with details still to be worked out. Would that space be leased from us, or
Please see Question 14.
would UNC Health hold its own separate ground lease?
54 For the 15% deed-restricted affordable units, who would administer income certification and ongoing compliance monitoring over the life of the lease: the University, the Partner, or a third party?
The University anticipates that the Development Partner would likely engage a qualified third-party affordable housing provider, or similar organization, to perform income certification and ongoing compliance monitoring.
55 Since the UNC Health commitment is still undefined, would UNC Health share patient-catchment, employment, or space-utilization data to help size the medical office program and related uses like staff housing, childcare, or retail?
The University anticipates working collaboratively with the preferred Development Partner to support the planning and delivery of any future UNC Health-related medical office building at Carolina North, including sharing relevant information as appropriate, and subject to University and UNC Health policies, legal requirements, and privacy considerations.
56 Since the District will likely be delivered in sub-phases, what would determine whether phases after the first one move forward?
The University anticipates the timing, sequencing and scope of future development phases will be negotiated as part of the Pre-Development Agreement and subsequent Development Agreement(s). The specific criteria governing future phase delivery has bot yet been established.
57 Would the Development Partner have exclusivity or first right on those later phases?
The University anticipates any specifics around timing and content of phasing will be negotiated the Pre-Development Agreement.
58 The materials reference a potential arena within the Project Area. When do you expect a decision on whether that moves forward, and how would it affect the District’s boundary and programming? If not yet confirmed, we believe that the presence of an arena must be confirmed early in the Pre-Development phase to fully benefit from the venue as an anchor tenant.
The RFQ document did not refer to a potential arena at Carolina North.
59 The $35M in infrastructure funding includes site mitigation and remediation. What type of remediation is anticipated? What’s the estimated cost for the clean-up itself, and who’s responsible if it costs more than what’s allocated?
See Question 20.
60 The University has begun discussions with DEQ and may pursue a Brownfield Agreement. Would the environmental studies and DEQ correspondence be shared with us, and when?
With regard to the provision of environmental studies, see Question 20. The status of discussions with DEQ regarding the Ready for Reuse Program will be shared with the shortlisted Respondents.
61 Is the 2012 wetlands permit for the airport site still valid, and how much developable land does it affect?
The USACE Permit remains valid until the end of 2062. It applies to a land area of ±228 acres.
62 The $35M in infrastructure costs is tied to the 2026–2027 fiscal year. Is further State funding expected for later phases?
As the project evolves, the University will continue to evaluate funding needs and a range of potential sources for later phases, including public, private, and partnership-based funding.
63 The University is in discussions with Duke Energy about a new substation and evaluating a geothermal system. Who bears the cost, and would geothermal be mandatory?
The University is in the early stages of evaluating both the potential substation requirements and feasibility of a geothermal system and will continue to be evaluated through the master planning process.
64 The NS RAPID bus line is expected to finish by 2030. Do the University’s parking assumptions depend on that timeline?
The University is assuming the NS Rapid will be operation prior to the first buildings are Carolina North being occupied.
65 The University plans athletics and recreation facilities elsewhere in the Project Area. How might those affect parking and demand in our District?
The University intends to develop a comprehensive parking and transportation strategy for Carolina North as part of the master planning effort. While University athletics, recreation and other campus uses will generate parking demand, the associated impacts have not yet been evaluated. The University anticipates providing parking to support University facilities, unless otherwise negotiated.
66 A Lead Developer can only be part of one team. Does that extend to its affiliates or parent company, or just the named entity?
It applies to affiliated and parent companies.
67 Non-lead firms can join multiple teams. Does that flexibility extend to a capital partner backing more than one team?
Capital Partners may be part of multiple teams.
68 A design team isn’t required for this submission. Once a Partner is selected, how much say would we have in choosing our own
The selection process will be negotiated as part of the Pre-Development Agreement. However the University currently anticipates that the preferred Development Partner would be responsible for choosing the design team, subject to the University’s approval. Given the scale of the Mixed-Use District, design partner(s), and is that a separate process the University reviews or approves?
the University anticipates that a diverse range of design professionals will be engaged over the life of the project, particularly in respect to building architecture.
69 Market studies and financial pro formas aren’t required at this stage and appear to fall to the Development Partner going forward. Has any preliminary market or feasibility work already been done that can be shared with us?
The University anticipates working collaboratively with the preferred Development Partner to support the successful delivery of the Mixed-Use District, including sharing relevant information as appropriate.
70 Ayers Saint Gross has been appointed to lead the integrated master planning effort. How would decision rights, and any data or analysis the Partner produces, be shared or owned between the Partner, the University, and the master planner?
Materials, analysis, drawings and other work product prepared by the University’s master planning team as part of that effort will remain the property of the University. The University intends to work collaboratively with the preferred Development Partner throughout the master planning effort and anticipates sharing relevant information, analysis and planning materials as appropriate to support an informed and productive process.
With respect to materials prepared by the Development Partner, ownership would remain with the Development Partner. The University would anticipate that information generated by the Development Partner that is relevant to the planning and implementation of the project would be shared with the University to support the success of the project.
It is anticipated the above would be negotiated in the Pre-Development Agreement.
The University will retain final decision-making authority with respect to the master plan and any subsequent modifications.
71 What baseline data would the University share during the Pre-Development phase, for example enrollment projections, campus mobility and parking counts, event attendance at Kenan Stadium and the Smith Center, Franklin Street foot traffic, and Carolina North Forest trail usage, to help with demand modeling and district programming?
The University anticipates working collaboratively with the preferred Development Partner to support the successful delivery of the Mixed-Use District, including sharing relevant information as appropriate.
72 Does the University have expectations or standards for smart-district infrastructure, such as sensors, connectivity, energy or geothermal monitoring, or a shared data platform, and would the Partner be able to deploy its own analytics or intelligence layer across the district?
The University has not established any specific requirement or standards for smart city/IoT infrastructure at this time.
73 Given the heavy visitation from nearby athletics and cultural venues, would the Partner have the right to collect and analyze anonymized visitor and mobility data across the district, and combine it with the Partner’s own data sources? What University data-governance, privacy, or FERPA constraints would apply?
The University is not in a position to provide an answer at this time. Any request involving the collection, analysis, or integration of visitor and mobility data would require additional information and would be evaluated on a case-by-case basis.
Such requests would be subject to the applicable University policies, legal requirements and privacy considerations.
74 For the desired program, including retail, office/R&D, hotel and conference, and childcare, would the University expect us to size and phase these based on our own market analytics, or does the University have its own demand studies it wants us to work from?
The University has identified in the RFQ the range of desired uses for the Mixed-Use District but, with the exception of student housing, has not established specific square footage targets for individual uses. The University expects the preferred Development Partner to use its market expertise and analytics to propose a feasible development program that aligns with the University’s place strategy objectives and supports the District’s long-term success.
Given the anticipated multi-phase build out of Carolina North, the development program should be flexible and capable of adapting to changing market conditions, evolving University needs, and future growth opportunities. The University is seeking a program that is both grounded in market realities and positioned to capture long-term demand as the District matures.
75 Beyond the required beds and affordable housing, what KPIs would the University use to judge district performance and decide whether later phases proceed, such as occupancy, absorption, tenant mix, transit ridership, or community-benefit measures, and how often would that data be reported?
The University anticipates that any specifics regarding the Development Partner’s performance will be negotiated in the Pre-Development Agreement and subsequent Development Agreement(s).
76 Has the University identified the 30-60 acres for the initial mixed-use site?
No. The boundary of the Mixed-Use District will be determined as part of the master planning effort.
77 In what condition does the university plan to deliver the mixed-use site?
The specific condition of the development parcel will be determined through the Pre-Development Agreement, and subsequent Development Agreement.
However, the University anticipates delivering the tract with mass grading complete and primary utility infrastructure installed to the parcel boundary.
78 Is parking for the student housing expected to be located in the mixed-use district?
The University anticipates that parking required to support developer-led student housing will be provided within the Mixed-Use District and located in close proximity to residential uses it serves. While a parking strategy will be prepared as part of the master planning effort, the University anticipates parking to be accommodated in structured or otherwise integrated parking facilities. At full build out, the University does not anticipate the presence of surface parking within the Mixed-Use District.
79 Is parking for the workforce housing and market rate housing expected to be provided in private, dedicated parking structures? Or will parking for the entire district be centralized? If it’s centralized, who owns, controls and operates the parking?
The University anticipates that parking required to support developer-led affordable housing will be provided within the Mixed-Use District and located in close proximity to residential uses it serves. While a parking strategy will be prepared as part of the master planning effort, the University anticipates parking to be accommodated in structured or otherwise integrated parking facilities. At full build out, the University does not anticipate the presence of surface parking within the Mixed-Use District.
The parking approach to workforce housing will ultimately be determined by the product type.

83 Will police fire and life safety be provided by the University?
The Mixed-Use District will be located on University-owned property and will fall within the jurisdiction of UNC Police. UNC Police routinely coordinate with other local law enforcement agencies, including Chapel Hill Police Department, Carrboro Police Department, and the Orange County Sheriff’s Office.
Fire and emergency response, and related life-safety services will be provided by the Chapel Hill Fire Department.
84 Will building permits be obtained through SCO or Town of Chapel Hill?
See Question 21.
85 Will each phase be developed on a distinct ground lease parcel?
The ground lease structure will be negotiated as part of the Pre-Development Agreement. However, the University currently anticipates that the project will be implemented through multiple ground leases likely to correspond with individual development phases and/or parcels, consistent with a phased buildout of the Mixed-Use District.
86 How will the economics of the ground leases be negotiated?
As part of the next stage of the procurement process, shortlisted Respondents will be asked to submit their proposed economic and business terms for the partnership, including those related to the ground lease structure. Ultimately, the ground lease structure will be negotiated as part of the Pre-Development Agreement.
Respondents should refer to Section 2.4 of the RFQ for the anticipated partnership framework.
87 What, if any, University design specifications will be required? Or will the Mixed-Use District have its own design standards?
As part of the Carolina North master planning effort, the University is developing specific Built Form and Landscape Development Standards and Guidelines applicable to the Project Area. The University anticipates that future development within the Mixed-Use District will comply with these standards.

See Question 34.
90 Will the undergraduate and graduate housing have a formal affiliation agreement with the University?
See Question 34.
91 Will the RFP (Step 2) require conceptual design and cost proposals? If so, will Developer teams be requested to name architects, contractors and other consultants at that stage or will the University seek to jointly select those team members at a later stage?
Shortlisted Respondents will be asked, as part of the next stage of this process, to prepare a preliminary conceptual plan for the Mixed-Use District that demonstrates their approach to placemaking, urban design, and the creation of a vibrant mixed-use environment at Carolina North. For the purposes of this exercise, the Mixed-Use District boundary will be hypothetical and is not intended to establish or predetermine future master planning outcomes. Rather, the exercise is intended to assist the University in evaluating which Respondent's vision and approach most closely align with the University's objectives for Carolina North.
The University anticipates that shortlisted Respondents will engage one or more design consultants to support the preparation of this conceptual plan and will be asked to identify those consultant team members as part of their submission.
However, there will be no obligation to retain those design consultants beyond the procurement process.
In contrast to the University's response to Question 8, shortlisted Respondents will be prohibited from engaging any of the consultants identified in Appendix 3 of the RFQ for purposes of this exercise.
Shortlisted Respondents will be required to submit a partnership proposal as part of Stage 2. This is anticipated to include proposed financial and business terms, including considerations relevant to the University’s evaluation of the proposed partnership.
92 We understand the intent for the student housing component of the Mixed-Use District is for it to be developed and operated by the Development Partner. Apart from the contemplated potential involvement in the graduate student housing as listed in the RFQ, what, if any, oversight or involvement in the operations of the student housing does the University anticipate (i.e. pricing restrictions, qualification of residents, etc.)?
Requirements and obligations regarding student housing will be negotiated as part of the Pre-Development Agreement and subsequent Development Agreement(s).
93 We understand that the property is not subject to local zoning and land development regulations; however, can you please confirm the governing authority for construction site plans, permitting, etc.?
See Question 21 & 48.
94 With the affordable housing component to be included within the market rate project, is there governing authority on the affordable requirements (ie Town of Chapel Hill, NC Housing Finance Agency, other)? With the work force housing component Is there a governing authority?
As stated in the RGQ, the University has committed to aligning with the Town of Chapel Hill’s affordable housing requirements, including applicable affordable housing percentages and AMI thresholders. The preferred Development Parter will be responsible for demonstrating compliance with those requirements.
See Question 54 for additional information regarding income verification and compliance monitoring.
The University is open to a range of affordable housing delivery approaches, including integrated as standalone product.
95 Of the university wide growth and enrollment projections for the next decade, what percentage of this growth is expected to be directed to the Carolina North campus?
The university has not established a specific target for the proportion of projected enrollment growth that will be directed to Carolina North. For example, the University has not predetermined that a specific number or percentage of undergraduates, graduates, or professional students will be located at Carolina North.
The University is currently evaluating the academic, research, student life, athletics, and other programmatic uses that may be accommodated at Carolina North as part of its ongoing planning efforts.
