All pricing must be firm, fixed, and all-inclusive on a $/kWh basis, with no pass-through charges, surcharges, or additional fees permitted after contract execution. Market price adjustments at the time of award are limited to the lesser of documented market changes over four weeks or 5% of the proposed $/kWh. Broker compensation must be embedded in the quoted $/kWh rate with no separate broker fees allowed. Cost proposals will be evaluated using a lowest total cost formula where the lowest cost proposer receives the maximum 50 points, with technical proposals evaluated on experience (20 points), qualifications (15 points), and financial stability (15 points). The incumbent contractor is Constellation New Energy, which was awarded a contract within the past five years. Bidders must demonstrate financial stability, regulatory licensing eligibility in New York State, experience serving higher education or public sector entities, and the ability to manage fixed-price contracts subject to market volatility. Technical proposals require submission of three bound hard copies plus two electronic copies, while cost proposals require two hard copies with original signatures. All required forms, including conflict of interest disclosures, non-collusive bidding certifications, financial statements for the past three years, and references from at least three similar institutional clients must accompany proposals.

SUNY Schenectady reserves the right to withdraw this RFP at any time and for any reason, and to issue such clarifications, modifications, and/or amendments, as it may deem appropriate.

Receipt of proposal materials by SUNY Schenectady or submission of a proposal to the College confers no rights upon the offeror nor obligates SUNY Schenectady in any manner. 9. PROPOSAL DEADLINE

Proposals must be received by the Division of Administrative Services of SUNY Schenectady no later than the deadline date and time stated in the timetable above. Any proposal received after this time will not be considered, and will be rejected or returned to the proposer. The College reserves the right to postpone the proposal deadline for any reason.

Brokers may submit multiple supplier proposals. Each must be separate, complete, and independently evaluated. Award is not based solely on price but also qualifications, experience, financial stability, and compliance. Multiple submissions confer no advantage.

10. DUPLICATE SUPPLIER SUBMISSIONS AND BROKER REPRESENTATION

In the event that multiple proposals are submitted by different brokers, agents, or representatives for the same electricity supplier, and such proposals reflect materially identical pricing, products, and contractual terms, the College reserves the right, at its sole discretion, to:

• Evaluate such proposals as a single supplier offering for purposes of cost and technical evaluation;

• Differentiate among proposing brokers based on non-price factors, including but not limited to:

o Experience and qualifications o Quality of account management and customer service o Responsiveness, completeness, and clarity of the proposal o Administrative value and ease of implementation

• Disregard any perceived advantage due to timing of submission, broker affiliation, or prior relationship with the supplier.

The College may, at its discretion:

• Request clarification from the supplier regarding its authorized representative(s);

• Require the supplier to designate a single authorized representative for purposes of contract negotiation and execution; or

• Require disclosure of all broker relationships associated with the submitted proposals.

Nothing herein shall limit the College’s right to:

• Contract directly with the electricity supplier; or

• Reject duplicate proposals where, in the College’s judgment, such submissions do not provide meaningful differentiation or value beyond identical pricing.

For purposes of this section, the determination of whether proposals are materially identical shall be made solely by the College, whose determination shall be final.

SUNY Schenectady Electricity Supply Services, RFP 2026-06 10 of 38

11. DEBRIEFING OF UNSUCCESSFUL PROPOSERS/PROTESTS

Upon request, a debriefing conference will be scheduled with an unsuccessful proposer. The request for a debriefing conference should be sent to purchasing@sunysccc.edu with the words

“Request for Debriefing” in the subject line within five (5) business days after the notification that the proposal was unsuccessful has been emailed to the bidder. The debriefing must be held within seven (7) business days of the request, unless otherwise agreed to by the parties, except that the request will be stayed pending negotiations of the final agreement with the successful proposer. Discussion will be limited to a critique of the requester’s proposal. Comparisons between proposals or evaluations of the other proposals will not be allowed. Debriefing conferences may be conducted in person, Microsoft Teams, or on the telephone and will be scheduled for no more than one hour.

12. REJECTION OF PROPOSALS

SUNY Schenectady reserves the right in its sole discretion to reject any or all proposals in whole or in part, without incurring any cost or liability whatsoever. All proposals will be reviewed for completeness. If a proposal fails to meet material requirements of the RFP, if it is incomplete, or contains irregularities, the proposal may be rejected.

Material deviations may cause a bid to be rejected. SUNY Schenectady may or may not waive an immaterial deviation in a proposal. The College’s waiver of an immaterial deviation will in no way modify the RFP or excuse a bidder from full compliance with the RFP requirements. A deviation is “material” if it is not in substantial accord with RFP requirements.

Proposals containing false or misleading statements may be rejected if in SUNY Schenectady’s opinion the information was intended to mislead the College regarding a requirement of the RFP.

13. AWARD AND EXECUTION OF CONTRACT

Upon the Board’s adoption of a resolution awarding a contract for electricity supply service, a written notice of contract award will be sent electronically to the awardee and a contract will be executed.

No contract or agreement, express or implied, shall exist or be binding on SUNY Schenectady before the execution of a written contract by both parties. If agreement on the terms of such contract cannot be reached after a reasonable period (deemed such by the college in its sole discretion), SUNY Schenectady may enter into negotiations and sign a contract with another firm.

14. CONTRACT TERM

The term of the contract shall be for either three (3) years or five (5) years, at the discretion of the College, at the cost set forth in the proposal; however, final pricing may be adjusted based on market conditions at the time of the Award, adjustments are limited to the lesser of: (a) documented market change over four weeks or (b) ±5% of proposed $/kWh.

SUNY Schenectady Electricity Supply Services, RFP 2026-06 11 of 38

ATTACHMENT 1: SCOPE OF SERVICES

Introduction

This RFP solicits proposals from qualified, responsive, and responsible electricity suppliers and brokers to provide fixed-price electricity supply. Pricing shall be firm, fixed, and all-inclusive on a $/kWh basis for each 3-year and 5-year term.

The selected supplier(s) shall provide electricity supply, account management, coordination with utilities, and customer service support.

Service Territory The College’s accounts are located within NYISO Zone F National Grid (Niagara Mohawk /

NIMO) and proposals must reflect pricing and delivery consistent with this zone and utility structure.

Broker Compensation and Fee Structure The College shall not be responsible for broker fees. Compensation must be paid by supplier and embedded in $/kWh. No separate fees are allowed. Broker authorization may be required with no financial obligation.

Pricing Validity and Market Conditions Electricity is a market-based commodity subject to fluctuations. Pricing submitted is for evaluation purposes. A period of up to four (4) weeks may occur between bid submission and award. Suppliers must refresh pricing at time of execution consistent with their proposed structure.

Market Price Adjustment Mechanism Award shall be based on proposed pricing; however, final pricing may be adjusted based on market conditions. Adjustments must reflect verifiable wholesale market changes, maintain structure, and not introduce new costs. Adjustments are limited to the lesser of: (a) documented market change over four weeks or (b) ±5% of proposed $/kWh.

For clarity, this prohibition on new costs includes, without limitation, any adjustments arising from changes in law, regulatory actions, ISO or utility charges, or market structure changes.

Fixed Price Integrity All pricing under this RFP shall remain firm, fixed, and all-inclusive for the full contract term following execution. Suppliers shall not introduce or apply any additional charges, adjustments, or cost components after contract execution, including but not limited to regulatory changes, ISO or utility charges, changes in law, or market structure changes, except as expressly permitted under the Market Price Adjustment Mechanism prior to contract award.

This requirement applies regardless of any supplier contract language or industry practice.

This information is provided for reference only and is not guaranteed. Normal variations in usage, load profile, or seasonal demand shall not justify repricing.

The College reserves the right to add or remove meters and associated load during the term of the contract due to acquisition, disposition, or changes in facilities. Any such additions or removals shall be incorporated into the agreement at the contracted $/kWh rate, without penalty, repricing, or additional fees.

At all times during the transition period and unless directed otherwise in writing by SUNY

Schenectady, the Successful Bidder shall continue all contractual obligations set forth in the

Contract until such time as an orderly transition of operations to the college or a third party has taken place. The Successful Bidder shall be required to meet its contractual obligations pursuant to this paragraph notwithstanding the issuance of a termination for cause or convenience.

Within fifteen (15) days of the giving of a notice of termination as set forth in the Contract or three

(3) months prior to the end of the term of the Contract, whichever event occurs first, the Successful

Bidder shall provide for approval by SUNY Schenectady a detailed written plan for Transition

(Transition Plan) which outlines, at a minimum, the tasks, milestones and deliverables associated with the smooth transition of Project Services to the college or the successor contractor. Successful

SUNY Schenectady.

Proposals or any portions thereof received after the deadline for proposal submission will not be accepted and may be returned to the submitting entity at SUNY Schenectady’s discretion.

The College will accept amendments to a Bidder’s Proposals only if the amendments are received prior to the Proposal Due Date and time. Proposals which fail to address the format requirements above may be deemed non-responsive and not considered further.

Cost Proposal The proposal should include a completed and signed bid cost form (attached hereto as Exhibit

“A”). The signature must be made by a person able to contractually bind the firm to the bid cost.

Bidders must submit the completed bid cost form in a separately sealed envelope clearly labeled on the outside “RFP 2026-06, Electricity Supply Services - Cost Proposal” by the due date specified in the Timetable of Key Events. All cost proposals must include only the completed

Bid Form which has been signed by an authorized representative of the Bidder.

The cost proposal should be based on the current kWh market price, for (3) three and (5) five years, at the time of the proposal’s submittal. All pricing must be firm, fixed, and all-inclusive in

$/kWh including energy, capacity, ancillary services, transmission, losses, and margin. No pass-through charges or adders allowed.

All submitted pricing shall remain subject to the requirements of this RFP regardless of any conflicting language in supplier proposals or contracts.

Technical Proposal Requirement, Content, And Organization The purpose of the technical proposal is to demonstrate the qualifications, competence, and capacity of the firms seeking to provide services in conformity with the requirements of this RFP and the services set forth in the Scope of Services. The proposal should demonstrate the qualifications of the firm and/or the particular staff to be assigned to this engagement. It should describe an approach to providing services that will meet the RFP requirements.

The proposal should be prepared simply and economically, providing a straight-forward, concise description of the proposer’s ability to satisfy the requirements of the RFP. Adherence to the organization requirements will assist the evaluation committee in fairly and effectively evaluating the proposals. The technical proposal must be organized and presented in the manner described in in this section.

Bidders must submit a detailed Technical Proposal in a sealed envelope clearly labeled on the outside “RFP 2026-06, Electricity Supply Services - Technical Proposal” by the due date and time specified on Page One (1). Proposals may include parts of the original RFP if answering questions asked or used in tailoring a specific response, but should not be included in full unaltered form for filler. If specific submission requirements are particularly large and self-contained, they may be included in a separate appendix. Proposals should not direct the evaluation team to visit online sources to obtain information, or include “to be provided after award,” or “provided upon request” clauses.

ATTACHMENT 3: EVALUATION OF PROPOSAL

Cost Proposal Evaluation Bidders must submit completed cost bid forms attached hereto as Exhibit “A”. The cost proposal must include all costs associated with the bidder’s plan to carry out the services set forth in the

Scope of Services in the manner described in this RFP. The cost proposal will be reviewed and scored by a representative of the College who is not a member of the evaluation committee assigned to evaluate the technical proposal.

The College will award based on best value and is not obligated to select the lowest cost proposal.

The evaluation is based on price, experience, qualifications, financial stability, and responsiveness.

Failure to meet mandatory requirements, including pricing format and licensing, may result in disqualification.

The following formula will be used to score each cost proposal, with the lowest “Total Cost”

(LTC) from among the proposals being awarded the maximum number of points for cost (50) during the evaluation process:

LTC/TC x 50= PCS

Where: PCS=Proposer’s cost score

LTC= Lowest Total Cost (of all proposals)

TC=Proposer’s total cost bid

Technical Proposal Evaluation All proposals will be reviewed initially by the Procurement Officer to determine compliance with administrative requirements and instructions specified in this RFP. Only responsive proposals will be forwarded to the evaluation committee for further review.

Each responsive proposal will be evaluated by an evaluation committee comprised of representatives of the College. The goal of the evaluation process is to award a contract to the firm which offers the best value to the College, as that term is defined in the law. As such, cost will be considered in the evaluation process, but the lowest cost will not determine the selection for contract award.

The Evaluation Committee will review the technical proposals in accordance with the criteria set forth below. The scores from the technical review will be combined with the cost scores for a total score. The total scores will be ranked highest to lowest.

The College will be the sole judge as to the acceptability, for its purposes, of any and all proposals.

In cases where multiple proposals represent the same electricity supplier with materially identical pricing and terms, evaluation will be conducted in accordance with Section 11 (Duplicate

Supplier Submissions), with emphasis on overall best value and non-price differentiators.

In the event that two or more proposals receive identical or substantially equivalent combined scores, including proposals representing the same electricity supplier, the College reserves the right to make a final selection based on its determination of overall best value, including qualitative and administrative considerations.

A contract will be awarded on the basis of which proposal the College deems best suited to fulfill the requirements of the RFP. The College also reserves the right not to make an award if it is deemed that no single proposal fully meets the needs of the College.
