I. PURPOSE
The Rivanna Water and Sewer Authority and the Rivanna Solid Waste Authority (Authority), are seeking proposals from qualified firms, also referred to herein as “Offeror”, “candidate”, “firm”, to provide employee compensation and benefit consulting services to the Authority and their respective Board of Directors. The successful Offeror shall have experience in conducting employee compensation-related surveys and other employee benefit consulting services for local governments and public service authorities in Virginia.
It is the intent of the Authority to award a term contract under this solicitation for a period of 12 months, with the option to renew up to four times (total of 5-years), each renewal being a term of 12 months.
II. BACKGROUND
The Rivanna Water and Sewer Authority (“RWSA”) is a regional non-profit corporation and political subdivision of the Commonwealth chartered in 1972 under the Virginia Water and Sewer Authorities Act (1950, as amended). The RWSA owns and operates multiple water and wastewater treatment facilities and provides finished water distribution and wastewater collection services to two wholesale customers: the City of Charlottesville Public Utilities Division (the “City”) and the Albemarle County Service Authority (the “ACSA”). The City and ACSA own and operate numerous smaller water and sewer mains and provide all retail services within the RWSA service area. The City subsequently provides wholesale service to the University of Virginia.
The RWSA operates under the terms of a Service Agreement (a.k.a. The Four-Party Agreement) executed June 12, 1973, by the City of Charlottesville, Albemarle County, the Albemarle County Service Authority and the RWSA. A seven-member Board of Directors governs RWSA. The RWSA Board appoints an Executive Director who manages the RWSA operations under its direction. Pertinent financial data may be found on the RWSA’s website: www.rivannawater.org.
The Rivanna Solid Waste Authority (“RSWA”) was formed in 1991 by the City of Charlottesville (City) and Albemarle County (County) under the authority of the Virginia Water and Waste Authorities Act to assume the operation of the Ivy Sanitary Landfill that had been previously operated by the City and the County. The landfill is currently closed, with the RSWA responsible for post-closure care and corrective action, financed through a funding agreement with the City, County, and the University of Virginia.
However, portions of the RSWA’s 300-acre property on which the closed landfill is located (the Ivy Site) continue to be used for solid waste services including a municipal solid waste (MSW) transfer station (the Ivy Transfer Station) and a recycling Convenience Center. RSWA is governed by a seven-member Board of Directors. The RSWA Board appoints an Executive Director who manages the RSWA operations under its direction. Pertinent financial data may be found on RSWA’s website: www.rivannasolidwaste.org.
The Administrative, Finance and IT staff are fully employed by the RWSA but are shared with the RSWA for administration and business functions. Both RWSA and RSWA are separate legally and financially.

Proposals should include a description of a similar process for other public sector clients.
1. Recommend appropriate classification and ensure compliance with applicable standards.

(ii) The Company’ statement of all fees earned since the last invoice. Such amount shall be based on the percentage of the total Services called for in the Work Authorization completed since the last invoice.
(iii) Evidence of payment or commitment for payment of all taxes, subcontractors, and labor as the Authority may reasonably require.
(2) Time and Materials Work Authorization - For Services performed pursuant to a Time and Materials Work Authorization, the Company will invoice the Authority for time performed and materials paid for during the immediately preceding month.
At the Completion of Services specified in a Time and Materials Work Authorization, and either (i) monthly during the performance of such Services or
(ii) at the completion of milestones specified in the Work Authorization (whichever the Authority specifies), the Company will submit to the Authority’s Project Manager invoices/documents in form and detail satisfactory to the Authority providing, at a minimum, the following:
(a) Project Title and Work Authorization date, the Ceiling Price, a summary of the Services performed since the last invoice, and the total cumulative amounts previously invoiced under the Work Authorization for prior months.
(b) A summary of Services performed by each employee including the employee's name, hourly rate, and hours Servicesed.
(c) Documentation of Expenses.
(d) Evidence of payment or commitment for payment of all taxes, subcontractors, and labor as the Authority may reasonably require.
(e) A signed certification by the Company’s representative that all labor and expenses included in the invoice reflect Services for the Authority as authorized by this Agreement and the appropriately specified Work Authorization.
d. The Company shall submit such invoices to the attention of the Authority’s Project Manager (as defined in the Work Authorization) within thirty (30) days of the performance of the Services specified in the invoice. The Authority will not pay for invoices submitted for Services performed more than twenty-one (21) days prior to the receipt of the invoice. The Authority agrees to pay properly invoiced charges approved by the Authority’s Project Manager within thirty (30) days after the Authority’s receipt of properly completed invoices. The Authority will notify the Company of objections to any invoice within fourteen (14) days after receipt of such invoice and will make payment within thirty (30) days after receipt of the Company’s corrected invoice, provided that, if the Company demonstrates to the satisfaction of the Authority that its original invoice is correct, the Authority will make payment within fifteen (15) days thereafter. The Authority shall promptly pay for undisputed invoice charges. The Authority reserves the right to specify additional invoice processing procedures in individual Work Authorizations.
e. Any payment(s) otherwise due the Company for any item of Services not in dispute may be withheld by the Authority (in whole or part) in order to off-set any damages caused by the Company or its subcontractors to the Authority or the Authority's property in connection with the performance of any Services under the disputed Work Authorization or any other Work Authorization. In no event shall payment be made for any Services performed by the Company or its subcontractors if such Services is not stated in or is not otherwise agreed to be within the scope of the Work Authorization.
f. At any time prior to final payment for Time and Material Services under this Agreement and within one (1) year thereafter, the Authority shall have the right to audit direct charges, to the extent the Authority may deem necessary, for the purpose of verifying charges claimed under invoices. The Company agrees to maintain and make available records and books of account detailing costs and expenses charged against this Agreement or invoice hereunder. If the Authority contracts directly for an item, it shall be solely responsible for the performance of the party from whom it contracts for the item.
g. The amount charged to the Authority by the Company for Services or for materials which are purchased by the Company for resale without modification, shall not exceed the amount paid by the Company for such Services or material, except as specified below:
For subcontracted technical Services provided by others or purchased material or equipment for use at the Authority’s site(s), the mark-up will not exceed 5% of the subcontracted Services or purchased material, with a ceiling of $50,000 per specified subcontracted task. The mark-up is intended to cover the cost of subcontract administration and payment and accounting associated with the management of the subcontract. Mark-up is not intended as profit; the Company may include a mark-up in lieu of the labor costs associated with these Services but may not charge the Authority both direct labor and mark-up for the same Services.
For incidental charges directly related to a project, such as travel, postage, or copy charges, the Authority will reimburse the Company on an actual cost basis (unless otherwise indicated on Exhibit A).
The Authority will compensate the Company for reasonable charges that relate to normal use of land and wireless telecommunications, internet Services, facsimile transmissions, invoice preparation, and computer time and usage at a rate not to exceed two-percent (2%) of monthly labor (unless otherwise indicated on Exhibit A).
h. The Company shall utilize only that number of supervisory and other personnel reasonably necessary to ensure proper performance of the Services and shall not overstaff any element of the Services. The Company shall utilize the level or job class of personnel commensurate with the Services required, unless the Authority has given prior approval for a different level or class of personnel to be used. The Company shall only charge travel as reasonable and necessary to the project. All air travel shall be coach or economy class. Any travel expense in excess of five hundred ($500) must be approved by the Authority in writing before the expense is incurred.
i. In no case shall the total compensation obligated or paid by the Authority for the combined total of all Work Authorizations subject to this Agreement within a one-year term exceed the limits defined for multiple project professional Services contracts contained in Section 2.2-4301 of the Virginia Public Procurement Act, as amended.
ARTICLE 4 - EXCUSABLE DELAYS AND CLAIMS
a. Except for weather delay claims (which are covered in subparagraph (e)), should the progress or completion of the Services required under any Work Authorization be delayed due to causes for which the Company was not responsible and causes beyond the control of Company, such as accidents, wars, and natural disasters, the time for completion of said Services shall be extended for an equivalent period of such delay as may be approved in writing by Authority (such approval not to be unreasonably withheld). Delays caused by acts of subcontractors or parties engaged by Company shall not be excusable unless such subcontractor's or party's delay was excusable within the meaning of this clause and Company was unable to secure alternate sources of supply or Services within a commercially reasonable time. Whenever Company believes that there has occurred an act or omission of Authority or an event beyond the reasonable control of Company that may cause a delay to perform, it shall promptly notify Authority by telephone as soon as practicable under the circumstances, and shall also send written notice to Authority. The Company shall use its best efforts to minimize any delay and continue its performance.
b. Where the Company is unable to perform within a commercially reasonable time period, or its performance is progressing at a rate unacceptable to Authority in the sole and unfettered judgment of the Authority, the Authority reserves the right, upon written notice to the Company, to contract with other firms in order to complete the Services, and a change order to this Agreement shall be executed by the parties to equitably reduce the Company's compensation.
c. The Authority shall be excused for any delays due to causes beyond its reasonable control.
d. If the Company suffers any injury or damage because of an act or omission of the Authority, its employees, agents or others for whose acts the authority is legally liable, written notice of such injury or damage, whether or not insured, by the Company shall be given by the Company to the Authority within a reasonable time not exceeding twenty-one (21) days after first observance. The notice shall provide sufficient detail to enable the Authority to investigate the matter. If a claim of additional cost or time related to this claim is to be asserted, it shall be filed in writing.
e. The Company, in submitting his proposal, acknowledges that he has taken into consideration normal weather conditions. Normal weather does not mean statistically average weather, but rather means a range of weather patterns which might be reasonably anticipated based on weather data for the past ten (10) years, (i.e., conditions which are not extremely unusual). Normal weather conditions shall be determined from the public historical records available. No additional compensation will be paid to the Company because of adverse weather conditions; however, an extension of time for abnormal weather will be reasonably considered by the Authority under the following conditions:
(1) The request for additional time shall be further substantiated by weather data collected during the period of delay at the Site. Said data must demonstrate that an actual departure from normal weather occurred at the Site during the dates in question.
(2) The extension requested must be supported by a delay in completion of the entire Project shown on the critical path of the accepted CPM Schedule required for the Project. Extensions will be granted only for delays in completion of the Project, not for that portion of any delay which consumes only "float" time.
(3) A request for extension of time based on abnormal weather must be made in writing within five (5) calendar days of the completion of the calendar month during which abnormal weather is claimed at the Site.
(4) All of the evidence and data supporting the request must be furnished to the Authority before any consideration will be given to the request. That supporting data shall be submitted by the end of the calendar month following the month for which the request is made.
ARTICLE 5 – INTENTIONALLY OMITTED
ARTICLE 6 – CHANGES
a. At any time during the performance of any Work Authorization hereunder, the Authority shall have the right to make Changes in, deletions from (see Article 13 – Termination and Suspension), or additions to the Services, hereinafter collectively referred to as "Changes." In the event that such Changes require different and/or additional Services by the Company, prior to commencement of Services under such Change, the Company shall present to the Authority, and the Authority shall consider, a proposal for an equitable increase in its compensation for Services rendered because of such Change. Such proposal shall be supported by such data and information as the Authority reasonably may require. Any such proposal by the Company for an equitable change in compensation and/or schedule shall be mutually agreed to through a new executed Work Authorization prior to the commencement of Services under the proposed Change.
b. The parties anticipate that certain Changes hereunder may be required under urgent circumstances not permitting sufficient time in which to meet the formalities described in subsection a, above. In such event, both parties agree to use their best efforts to execute a new Work Authorization required as well as to fully define equitable increase in compensation, as soon as reasonably possible after the Change is ordered by the Authority. In no case shall Services performed under urgent circumstances cover a period longer than fourteen (14) calendar days or cause a total liability to the Authority in excess of five thousand ($5,000) dollars without first being reduced to writing in an executed Work Authorization.
