The agreement establishes an exclusive contract for providing professional on-demand taxi and shuttle transportation services for cruise passengers at designated locations within Port Canaveral. The initial contract term is three years, with the potential for two additional one-year extensions, contingent upon the Concessionaire's satisfactory performance. The financial terms include an Annual Franchise Fee to be paid by the Concessionaire to the CPA, with specific details to be provided later in Exhibit "B". The Concessionaire will be responsible for maintaining specific insurance coverage, including Workers' Compensation, Commercial General Liability, and Business Automobile Liability, with the Canaveral Port Authority listed as an Additional Insured. The agreement requires the Concessionaire to provide monthly invoices and maintain detailed trip logs documenting vehicle operations. The contract also includes provisions for professional conduct, compliance with laws, potential subcontractors, and comprehensive indemnification and defense obligations, emphasizing the Concessionaire's responsibility to provide high-quality, reliable transportation services.
