About this file

This document is a Special Terms and Conditions for Consultant Services agreement issued by the City of Urbana, Illinois, effective July 11, 2025, which supplements the Standard Agreement Provisions for Consultant Services established by the Illinois Department of Transportation. The agreement governs consultant services contracts for the City of Urbana, including the Impervious Area Mapping Services project, which requires the production of a GIS file geodatabase identifying impervious areas on all parcels within the City to determine square footage of impervious surface for stormwater utility fee billing purposes. The document establishes definitions, general clauses, service requirements, legal obligations, and payment methods applicable to all consultant service agreements executed by the City prior to June 30, 2026. Key personnel requirements include designation of the City Engineer or Public Works Director as the City's liaison manager, with advance written notification required for substitution of key personnel. The agreement specifies that consultants are independent contractors and establishes procedures for progress reports, reviews, acceptances, and record retention.

The agreement mandates comprehensive insurance coverage requirements, including professional liability insurance, general liability, automobile liability, employer's liability, umbrella/excess liability with limits of $5,000,000, and cyber liability insurance with limits of $3,000,000 per claim when services involve access to City information technology infrastructure or sensitive data. Insurance providers must maintain an A.M. Best rating of A-VIII or better, and the City of Urbana must be named as additional insured on a primary and non-contributory basis. Payment provisions specify that no more than 95 percent of the total agreement amount shall be paid until final deliverables are reviewed and accepted by the City, and the Local Government Prompt Payment Act does not apply to these agreements. The document deletes numerous standard state provisions related to prevailing wage, disadvantaged business enterprise participation, felony convictions, and other state-mandated clauses, while incorporating the City's Vendor Representations and Additional Duties form and Equal Employment Opportunity Guidelines requiring EEO approval letters or Affirmative Action Forms before contract execution. Consultants are responsible for all reasonable costs incurred by the City in enforcing contract terms, and all disputes shall be litigated exclusively in Champaign County, Illinois courts under Illinois law.
