About this file
This is a Justification for an Exception to Fair Opportunity document from the Transportation Security Administration (TSA) for extending a sole-source task order to ManTech Advanced Systems International Inc. for IT Operations and Maintenance support services. The extension is for a four-month period from December 1, 2024 to March 31, 2025 (three-month base plus one-month option) at a value of $13,892,609.33.
The justification allows TSA to continue critical IT O&M services for the Technology Solutions Division Mission Operation Systems, specifically Secure Flight and the Vetting and Credentialing System, while transition activities are completed for a new competitive task order that was delayed due to protest. ManTech currently provides network infrastructure operations, system security, asset management, configuration management, hardware maintenance, and help desk services through their GSA Alliant 2 GWAC (47QTCK18D0031). The exception is based on FAR 16.505(b)(2)(i)(B), as ManTech is deemed the only vendor capable of providing uninterrupted specialized services with cleared personnel during the transition period to prevent risks to national security vetting systems.

SECTION III: Description of Supplies or Services
The scope of this TO is to provide continued IT O&M support services for the current suite of TSD-MOS systems. These major systems, SF and VCS play a critical role in securing the Nation’s transportation systems by providing a host of vetting and credentialing services. These systems are an integral part of TSA’s Security Threat Assessment process for a multitude of populations as well as providing support for mission assurance, help desk and telecom efforts.
Currently, ManTech provides TSD a host of IT O&M services to include, Network and Infrastructure Operations Support, System Security Support, Asset Management Support, Configuration Management, in addition to ensuring all systems maintain their Authority-to-Operate (ATO). ManTech also provides TSD with ensuring continued hardware maintenance and software/subscription management and Program Management Support. These services are required to continue mission critical services until the transition from the current contractor (ManTech) to the new contractor is concluded.
SECTION IV: Identification of the Exception to Fair Opportunity Rationale
FAR 16.505 (b)(2)(i)(A) The agency need for the supplies or services is so urgent that providing a fair opportunity would result in unacceptable delays.
FAR 16.505 (b)(2)(i)(B) Only one awardee is capable of providing the supplies or services required at the level of quality required because the supplies or services ordered are unique or highly specialized.
FAR 16.505 (b)(2)(i)(C) The order must be issued on a sole-source basis in the interest of economy and efficiency because it is a logical follow-on to an order already issued under the contract, provided that all awardees were given a fair opportunity to be considered for the original order.
FAR 16.505 (b)(2)(i)(D) It is necessary to place an order to satisfy a minimum guarantee.
Exception to Fair Opportunity
FAR 16.505 (b)(2)(i)(E) For orders exceeding the simplified acquisition threshold, a statute expressly authorizes that the purchase can be made from a specified source.
Original Order Number: ________________________
SECTION V: Description of Fair Opportunity Exception Rationale
This action will ensure continuity of IT O&M support services without any disruption to mission critical operations while transition-in activities, to include on-boarding staff are completed on the new competitive task order. This four-month extension period is required to continue essential IT O&M support services while the transition-in activities are completed for the follow-on award. The commencement of the new task order was delayed due to protest and a stop work order, which was lifted September 9, 2024.
Currently, ManTech is providing services IT O&M services scheduled to end on November 30, 2024. As such, ManTech is the only vendor able to continue services as they have knowledgeable staff of security-cleared personnel that can provide the required services and support of TSD major systems. TSA has a continual need for the current level of IT O&M Support Services of the TSD-MOS systems, and only the current provider ManTech, is capable of providing uninterrupted support without a duplication of startup costs and a delay in performance. ManTech has the experience needed in order to support TSDs unique and highly specialized scope of this effort, which requires their continued work, without interruption to mission essential systems. The unique support required for TSD mission essential systems includes the understanding of the convergence (consolidation) of various credentialing systems, the highly specialized requirements for supporting the Secure Flight system and its support of the airports and airlines; and supporting on-site IT Professional Services The unique services also include operating and maintaining a 24/7 help desk in two geographical locations, understanding the processes and procedures for running the help desk, in addition to handling various levels of incidents. A lapse in support for TSDs mission operations systems would not only cause an interruption to daily critical systems operations but would result in little to no support of the physical and network infrastructures in the case of an emergency. Furthermore, a gap in service could result in a potential national security incident, in the event systems are not available to vet and validate proper access of travelers, transportation workers, and airline staff. Without continued contractor support of the TSD operations and systems maintenance and monitoring, TSA is at a great risk of not fulfilling its mission of protecting the nation’s transportation systems to ensure freedom of movement for people and commerce. Therefore, it is in the best interest of the Government to ensure continued operations while the agency properly executes transition activities.
SECTION VI: Contracting Officer’s Determination that the Order Represents the Best Value
The Contracting Officer will ensure that the resulting order represents the best value by comparing the ManTech proposal to the Performance Based Statement of Work and the independent government cost estimate, reviewing historical pricing, and comparing their proposed labor rates against their competitively awarded GSA GWAC Alliant 2 labor rates to determine the price to be fair and reasonable.
SECTION VII: Market Research Description
Market research was not conducted for this action as no company other than ManTech is capable of fulfilling these mission critical requirements without a lapse in service.
SECTION VIII: Other Facts Supporting the Fair Opportunity Exception Justification
None.
SECTION IX: Actions Taken to Remove Barriers to Competition
A competitive follow-on TO was awarded for this requirement, as such, there are no barriers to competition for this requirement. This requirement is a four-month extension to allow the completion of transition-in activities for the follow-on TO and is essential to maintain continuous IT O&M support services.
