7. AWARD TERM
7.1. Award Term Contract
This contract contains Award Term incentive(s). Award Terms will be awarded based on the criteria set forth in paragraph b. below. The final decision whether the Award Term has been earned will be made annually and is at the sole discretion of the Contracting Officer. Award Terms that have been earned, but not yet awarded, are contingent on the availability of funds and/or the continuing need of the items or services set forth in the Statement of Work. As the determination not to award the Award Term is not considered a termination, no equitable adjustments to the contract price will be made. There is no guarantee the Government will continue Performance beyond the base performance period. If the Contracting Officer determines that the Award Term has been earned and the Government's need for the items or services still exists and funds are available, the estimated cost will be increased as set forth in the AWARD TERM PRICES in this contract.
7.2. Award Term Provisions
7.2.1. This contract has a base performance period of one (1) year, anticipated as Sept 30, 2017 to Sept 30, 2018. The Contractor will have the opportunity to earn an additional year of work, (anticipated Oct 1, 2018 to Sept 30, 2019) using the evaluation process described herein. This additional year of work is called an Award Term. Additional Award Terms may be earned. The maximum number of Award Terms under this contract is four (4). The total duration of this contract, including all Award Terms, shall not exceed a period of five (5) years (anticipated Sept 30, 2017 to Sept 30, 2022.
7.2.2. A unilateral contract modification to add the Award Term will be issued when scoring meets or exceeds that set forth in the contract. The Government shall issue this modification at least 30 days prior to contract expiration. The Award Term determination and the methodology for determining the award term are unilateral decisions made solely by the Government and are not subject to dispute.
7.2.3. Quality Assurance Surveillance Plan (QASP)
The Contractor's performance under this contract will be observed and evaluated continuously by the Government in accordance with the Quality Assurance Surveillance Plan (QASP). The QASP defines the performance standards and performance measures of deliverables indicated in the Contract. The QASP also describes the procedures that Government will use to monitor the Contractor's contract performance.
WR#: C102403
It is important to note that the Government's primary concern is with the services provided by the Contractor and not with the procedures used to produce them.
Therefore, the QASP focuses on examining the services provided by the Contractor and not the processes used to produce them. It is intended that the QASP be a tool to guide the Contracting Officer (CO), and the Contracting Officer's Representative (COR) in assessing contractor performance.
The Government will use the QASP and the associated performance standards to assess and rate the Contractor's performance. An overall rating will be disseminated to the Contractor annually. The Award Term earned will be determined based upon review of the Contractor's performance against the performance indicators and standards.
The Contracting Officer is responsible for making the final decision on the Contractor's rating and for determining whether the Contractor has earned the Award Term.
The evaluation/determination of Award Term shall be binding on both parties and not subject to the 52.233-1, Disputes, included in the clause at 52.212-4, Contract Terms and Conditions—Commercial Items of this contract.
7.2.4. Changes to the QASP
The Government will retain the right to change the surveillance methods and Quality Assurance (QA) procedures, and/or to increase or decrease the degree of surveillance efforts at any time necessary to assure contract compliance. Updates to the QASP shall ensure that the QASP remains a valid, useful, and enforceable document. Copies of the original QASP and any revisions shall be provided to the Contractor and Government officials implementing surveillance activities.
Unilateral changes to the QASP may be made if the Contractor is provided written notification by the Contracting Officer at least 30 days before the start of the upcoming evaluation period. Changes affecting the current evaluation period must be by mutual agreement of both parties.
7.2.5. Contractor Performance Evaluation
The COR and Contracting Officer will prepare reports required by FAR 42.15 to determine the Contractor's overall contract performance. Unless specifically identified as a rating criterion in the QASP, this evaluation report will not be used in the Award Term determination.
