Note: Offerors are reminded that the staff proposed in the technical proposal must be the same staff proposed in the cost proposal. If an Offeror's proposed labor category differs in name from those listed in the Statement of Work, a chart shall be included which identifies how these categories correspond to the ones listed in the solicitation. In addition, the Offeror shall provide a copy of the letter of intent to hire for any individual proposed who is not currently employed by the Offeror or subcontractor.

b. Direct Labor Costs: Direct, Indirect and FCCM Rates:

If the Offeror utilized standard forward pricing rate proposals to derive its pricing information, then the Offeror shall provide the title and date of the standard forward pricing rate proposal used. If the Offeror decided to develop any specific direct or indirect rates that deviate from its standard forward pricing rate proposal, then the Offeror shall highlight the particular rate in the pricing database and submit specific backup documentation showing how that particular rate in the pricing database is derived.

Specifically, the backup rate documentation shall be in Microsoft Excel format, with linked formulas showing clear traceable linkage between the basis of the rates being developed and the resultant rate that was used in the pricing database. The rate documentation shall contain written labels to identify what basis of estimates, allocation basis, were used to derive the finalized rate(s). The rate documentation shall illustrate step-by-step logic flow of how the rate(s) were derived and how or if it was applied to the standard forward pricing rates. The offeror shall identify any escalation rates utilized in the preparation of their cost proposal, and shall provide historical information pertaining to the actual escalation rate experienced over the past three (3) years. Note, the Government may request the relevant DCAA activity to verify the calculation basis used to derive the proposed rates. Therefore, any deviated rate(s) calculations must be set forth in the proposal by burden center. If the offeror is proposing subcontracted labor, and is not utilizing offeror’s rate package submission as the basis for the labor rate proposed, then the offeror shall provide the basis for the labor rate.

Offerors shall list the cost elements that comprise the overhead, general and administrative expenses, and the other indirect pools. All indirect rates shall be summarized. Offerors shall list proposed indirect rates, DCAA recommended rates, and historical actuals (audited and unaudited) for the past three (3) years. If the proposed rates reflect negotiated forward pricing rates, a copy of the current for award pricing rate agreement shall be provided. If the rates are not negotiated forward pricing rates, then the basis for the proposed rates shall be explained.

If an Offeror fails to identify, as part of its proposal, an indirect cost rate(s) that would otherwise be applicable to one of the support cost items, it shall not be allowed to invoice for the indirect rate(s) after award since the evaluation of its offer did not include that rate(s).

At the time of contract award, the contract will reflect the stated support cost estimate plus any applicable proposed markup costs, which were considered in the evaluation of the offer.

Facilities Capital Cost of Money: If this cost element is proposed, the offeror shall provide information pertaining to the derivation of the FCCOM costs (i.e. FCCOM factors and application bases). Facilities Capital Cost of Money shall not bear any fee.

In accordance with FAR 52.237-10 and the need to adequately evaluate all offers, Offerors shall include:

A factual statement which states either: “The contractor’s proposal includes labor hours associated with employees who work uncompensated overtime”, or “The contractor’s proposal does not include labor hours associated with employees who work uncompensated overtime.”

Identification of the proposed employees’ names/labor categories that perform FLSA exempt effort (uncompensated overtime), with supporting payroll/human resources records substantiating that those employees’/labor categories are FLSA exempt.

A copy of the company’s written policy on the use of uncompensated overtime which should explain how uncompensated overtime hours are accounted for its in accounting system. (ii) whether the contractor adjusts the hourly rates of FLSA exempt employees for uncompensated overtime, (iii) how labor rates of FLSA exempt employees are adjusted for uncompensated overtime (e.g., total salary divided by total hours worked equals the adjusted hourly rate), and other information deemed relevant by the company.

If a company does not have employees who work uncompensated overtime, this section should be identified as “Not Applicable - because (sub)contractor employees do not work uncompensated overtime.”

An explanation on why the company is not proposing adjusted labor rates for uncompensated overtime (e.g., “Proposed labor rates have not adjusted for uncompensated overtime because exempt employees are not proposed in this solicitation”). This section is only required if a company’s practice is for its exempt employees to work uncompensated overtime, and the company is not proposing adjusted hourly rates for uncompensated overtime under this solicitation.

Formulas in electronic media showing how the company calculated the proposed adjusted hourly rates.

These formulas shall be supported by historical accounting records (which shall be included in the proposal package) demonstrating that the proposed adjusted hourly rates are realistic. Such historical data may be supported a company’s historical average annual level of uncompensated overtime hours from preceding years. The formulas provided shall identify the FLSA exempt employees’ salaries, and the adjustments made for purposes of calculating adjusted hourly rates. The adjustments should also consider the impact of annual escalation. In addition, the adjusted hourly rates should also support the company’s proposed Contract Year 1 hourly rates. (This information is only needed when a company is proposing uncompensated overtime). NOTE: This data must be verifiable either with DCAA or through the analysis of supplemental statistical data that the company includes in the cost proposal.

An identification of proposed hours as compensated or uncompensated.

The basis for the number of hours used as well as the mix (i.e., compensated and uncompensated).

c. Subcontracting Costs:

The proposal shall include subcontract cost data in the same level of detail as provided for the offeror.

Any subcontracting costs shall be supported. It is the Offeror's responsibility to ensure that this support documentation is received by the Government within the timeframe (i.e. closing date) established for this solicitation.

Consultants: If applicable, provide a detailed listing of consultants expected to be used, rationale for selection and associated costs which are proposed for reimbursement. Include those items of costs associated with consultants (i.e. hour’s proposed and hourly rate). A copy of the Consultant Agreement shall also be provided by the Offeror.

d. Other Direct Costs:

These costs represent material, travel and incidental subcontracting costs. For proposal purposes, the estimated base amounts for support costs have been pre-established and specified in Section B.

Offerors are required to clearly identify as part of their proposal any indirect markup rates (i.e. G&A and material handling) which will be applicable to base support costs. The proposed amount for CLINs identified as Other Direct Cost (ODC) CLINs in Section B, shall include the estimated base amount and the offeror's proposed markup costs, which will be used for evaluation purposes. It is intended to reimburse support costs on the basis of actual reasonable and allowable costs. Lastly, it should be noted that all Other Direct Costs are non-fee bearing costs.

If an offeror fails to identify, as part of its proposal, an indirect cost rate(s) that would otherwise be applicable to one of the support cost items, it shall not be allowed to invoice for the indirect rate(s) after award since the evaluation of its offer did not include that rate(s). At the time of contract award, the contract will reflect the stated support cost estimate plus any applicable proposed markup costs, which were considered in the evaluation of the offer.

e. Fee:

Identify the fee rate and total amount proposed and identify the various cost elements for which the fee is being applied. Offerors shall not propose fee for cost plus fixed fee level of effort contracts of more than 10% per FAR 15.404-4(C)(4)(I)(c).

f. Accounting System:

In order to obtain a cost-reimbursement type contract, the offeror’s accounting system must be considered adequate by the Defense Contract Audit Agency (DCAA). Accordingly, an offeror’s cost proposal must provide information showing their accounting system has been found to be (or is in the process of being found to be) adequate by DCAA.

Offerors are cautioned that proposals unrealistically high or low in cost may be deemed reflective of an inherent lack of technical competence, or indicative of failure to comprehend the complexity and risks of the proposed work, and may be grounds for rejection of the proposal.
