SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS
The following have been modified:
INSTRUCTIONS
PART A GENERAL INSTRUCTIONS
1.0 GENERAL
The Offeror is required to submit sufficient information concerning the following areas to enable Government personnel to fully ascertain capabilities of the Offeror to perform the requirements. The proposal must be sufficient in detail and scope to permit evaluation and provide the evaluators a clear understanding of the Offeror’s capability to meet or exceed the defined elements as required by the solicitation. All proposals must clearly and convincingly demonstrate that the Offeror has a thorough understanding of the requirements, associated risks and is able, willing and competent to devote the resources necessary to meet the requirements, and that the Offeror has valid and practical solutions for all requirements and potential risk areas. Offeror must respond to all requirements of the solicitation and not alter or rearrange the solicitation. The Offeror has the burden of proof to demonstrate compliance with all the evaluation factors and or subfactors identified in this solicitation. The Offeror is advised that the Government may incorporate into the final contract enhancing features included in the Offeror’s proposal deemed beneficial to the Government. With the exception of the Price/Cost volume, no cost or pricing information should appear in any volume. Alternate proposals are not acceptable.
In presenting material in the proposal, the Offeror is advised that quality of information is more important than quantity. Clarity, brevity, and logical organization should be emphasized during proposal preparation. The Offeror is responsible to present enough information to allow the Government to evaluate the proposed work effort, support, and approach, as well as the price/cost proposal without opening discussions. Statements that the prospective Offeror understands, or can and/or will comply with, the specifications, and paraphrasing the requirements or parts thereof without supporting information are considered inadequate by the Government, and may render a rating of unacceptable. The Offeror must include any data that illustrates the adequacy of the various assumptions, approaches, and solutions to problems. Failure to address a specific factor or subfactor clearly may be considered a deficiency. There is no need to repeat information in more than one volume if an overlap exists; the detailed information must be included in the most logical place and summarized and referenced in other areas. Unnecessarily elaborate brochures or other presentation materials beyond that sufficient to present a complete and effective proposal is neither necessary nor desired.
The Offeror is expected to comply with all requirements of the RFP. The Government advises the Offeror that taking exception or deviating from any term or condition of the RFP may make an offer unacceptable, and the proposal unawardable, unless the RFP expressly authorizes such an exception or deviation with regard to that specific term or condition. The Government may consider any exception or deviation to any term or condition of the RFP that is not expressly authorized by the RFP to be a deficiency.
Throughout these instructions, a “principal subcontractor” is defined as a subcontractor who provides at least 10% of the proposed total price/cost (excluding the Offeror’s profit/fee), for the contract. “Team member” is defined as those entities that make up a joint venture or any other partnership or teaming arrangement formed for the purpose of responding to this solicitation. “Critical team member” is defined as those entities of the Offeror that perform a critical function in the performance of the resulting contract, whether it is technical or financial, and/or that have important roles in any high or medium risk areas identified in the Offeror’s proposal.
2.0 PROPOSAL FORMAT
Written proposals must be formatted using a Times New Roman 12 pt normal font (no reduction permitted, except for tables and figures but much be legibility maintained), single-spaced with 1-inch margins all around, formatted for standard 8.5 x 11 inch paper, and double-sided. All pages should be numbered with section and page numbers. When foldout pages are used they must not exceed 11 x 17 inches and will be counted as 1 page. Drawings may be provided separately and may be any size but should be folded to approximately 8.5 x 11 inch standard size and will count as 1 page. Graphs shall be presented in no smaller than a 10 pt font and should contain a grid, which allows values to be read directly from the graph to the same accuracy that a 10 x 10 to the ½ inch grid provides. Graphic resolution should be consistent with the purpose of the data presented.
The Offeror will provide one complete copy of the written proposal to the Procuring Contracting Officer PCO as electronic files fully compatible with Microsoft Office 2000 and for information not supported by MS Office products, with the latest Adobe Acrobat reader on a CD-ROM. The Offeror must include the Price/Cost Volume on a separate CD-ROM. Each CD-ROM is to be labeled for content and the Offeror’s name. If a discrepancy exists between the original paper copy of the proposal and the disk copy, the paper copy will take precedence.
The Offeror must present proposal information in a manner that facilitates a one-to-one comparison between the information presented and this Proposal Instruction. Proposal information must be structured such that its paragraph number/letter is identical to the Proposal Instructions paragraph number to which it is responding, although the Offeror may add lower tier subparagraphs. The Offeror must provide reasons it will not provide information for a particular paragraph. The proposal information instructions are structured by paragraph numbers where first, second, third, and fourth parts correspond to the volume, book, section, and element, etc., in Offeror’s proposal.

iv. Guarantee the length of proposal validity is at least 180days after proposal submission.
(b) This Volume shall also contain a copy of Section B with the Contract Line Item (CLIN) and Sub-CLIN Unit Prices and, for evaluation purposes, the Total Prices filled in using the estimated quantities value in the solicitation and the instructions below. Section B prices shall be provided separately in one digital data copy in MS Office 2010 Excel format on CD-ROM media. Within all Excel spreadsheets, the Offeror shall use formulas and functions to the maximum extent possible and avoid using output type “value only” cells. If links are utilized, supply those referenced files. Spreadsheets shall not be protected.
(c) All price/cost and price/cost supporting information shall be contained in Section B and the price/cost proposal. No price or pricing information shall be included in any other technical volume including cover letters. Offeror are responsible for submitting sufficient information to enable the Government to fully evaluate their price/cost proposal.
5.2 Ground Rules and Assumptions:
(a) As this is a competitive acquisition with adequate price competition anticipated, any price/cost documentation requested shall not be certified cost or pricing data in accordance with FAR 15.406-2. However, in the event that adequate price competition does not exist after receipt of proposals, the Government reserves the right to request additional cost or pricing data as necessary from both the Offeror and subcontractors and may conduct negotiations with the Offeror, pursuant to FAR Part 15.403-4, in order to ensure a reasonable and realistic price/cost. Further, the Offeror may be required to provide a Certificate of Current Cost or Pricing Data prior to award, pursuant to FAR 15.406-2. Offeror shall acknowledge the requirement to provide additional cost or pricing information and certify the data prior to award if/when requested by the Government.
(b) The cost of general purpose items required to conduct normal business operations will not be considered allowable Other Direct Charges. The following types of general purpose costs required to conduct normal business operations are not directly reimbursable: the cost and associated costs for telephones and telephone charges (except for project-related telephone charges for performance of this contract which, per contractor's DCAA-approved accounting system, may be directly reimbursed under communication expenses), modems, typewriters, reproduction machines, word processing equipment, personal computers, computer software, Internet access charges, facsimile machines, commercial carrier charges, pagers, and other general purpose office equipment and office supplies.
(c) The Offeror shall provide sufficient information to support its price/cost as well as an explanation of all ground rules and assumptions that affect the price/cost estimates. Any apparent imbalances in the pricing, high or low proposed prices/costs as compared to historical data, or any other anomalies should be fully explained. Topics to be addressed include, but are not limited to, investments, programmatic variables (e.g., inflation/escalation, location, make/buy decisions, prime/subcontractor relationships, and business base concerns), etc.
5.3 Price/Cost Information:
(a) Reasonableness and Consistency between the Technical and Price/Cost Volumes. Demonstrate that the unit prices and the total proposed price/cost are reasonable, realistic, and commensurate with the work required by the solicitation and the technical and management approaches identified in the Technical Volume of the proposal. Show traceability with the CLINS, SubCLINs, the PWS, proposed effort, proposed manning levels, and the prices/costs. Refer to specific sections in the Technical Volume as needed to illustrate the consistency between the Price/Cost Volume and the Technical Volume. The Offeror shall explain any inconsistency between promised performance and price/cost, as well as any appearance of unbalanced pricing, in the proposal.
(b) The Government is not soliciting any investments. However, in order for the Government to properly assess a proposed price/cost that appears low due to a corporate decision to absorb costs, e.g., lower than usual burdens or rates, the Offeror shall fully identify and explain any such investments.
(c) The Offeror shall identify the proposed prices/costs for each CLIN as specified in Section B of this solicitation. The Offeror shall provide a fully burdended Firm Fixed Price for CLINs 0X01 for Aircraft Readiness. The Offeror shall also provide a fully burdened rate (i.e., "wrap-rate") for each CLIN in Section B that a Fixed Rate is required (e.g. 0X02 -0X03). The Offeror shall sum up the proposed Total Prices/Costs by contract year and provide a total overall price of the proposal using the estimated quantities provided within the RFP for the mission specific CLINs 0X02-0X03, and submit a completed Section B as part of the Price Volume. Offerors shall also complete Attachment 4, Price Summary Format, for each line item contained in Section B and submit that completed attachment as part of the Price Volume. This attachment requires Offeror's to list the proposed dollar value for each CLIN per contract year and provide the individual elements and associated prices of those elements that make up the Fixed Price (0X01), Fixed Rate (0X02-0X03) and/or Cost Plus Fixed Fee (0X06) line items. Offerors shall also complete the cost reimbursable line items (0X04 and 0X05) within the attachment by taking the Government-provided Not to Exceed (NTE) dollar amounts for those line items listed in paragraph 5.3 (f)(2) below and applying any appropriate burdens, if applicable. The Price Summary Format attachment will total the proposed contract prices per year to calculate a total proposed contract price for this five year ordering period. Offerors shall ensure that the proposed prices listed in Price Summary Format attachment are consistent with the proposed prices listed in the completed Section B, both of which are required to be provided in the Volume 5, Price/Cost proposal. In accordance with paragraph 5.2(c) above, Offerors shall provide sufficient information to support each of the prices/costs proposed by the Offeror. This information shall include the calculation of the Offeror’s proposed Prices/Rates and substantiation for those prices/rates.
(d) Firm Fixed Price CLINs (0X01) for Aircraft Readiness: The Offeror’s proposed Firm Fixed Price for this line item shall include all of the contractor’s applicable costs and allowable indirect costs consistent with information contained in the solicitation. This line item includes costs that the contractor will incur regardless of number of missions such as pilots, mechanics, managers, support personnel, Hull insurance, liability insurance, recurrent training, weather services, depreciation of the aircrafts, leasing of aircraft, etc. In the event that any additional insurance is being purchased by the contractor/subcontractors to satisfy the requirements of this contract, the type of insurance policy, amount, price and explanation of why the purchase is needed shall be provided in the Price volume. The Government shall provide facilities at no cost to the contractor and no cost to use the facilities should be included in any CLIN unit price. None of the individual price elements included within this Firm Fixed Price line item should be included in the calculation of the Fixed Rate for any of the mission specific or any of the cost reimbursable line items. As previously referenced, the Offeror shall provide a breakdown of each of the individual elements and associated prices of those elements that make up the Firm Fixed Price for this line item.
(e) Indefinite Delivery/Indefinite Quantity (ID/IQ) Fixed Rate CLINs: CLINs 0X02 through 0X03 are mission specific ID/IQ line items that require a proposed Fixed Rate per minute. The estimated flight minutes listed in the table below are the number of minutes used for purposes of evaluation. The Offeror shall utilize these estimated minutes in determining the total proposed extended price for these line items and the total value of the proposal for the five year period of performance.
Computation of Flight Minute Rates (CLINs 0X02 and 0X03):
The offeror shall provide a single, fully burdened rate for each of the mission specific line items contained in Section B by utilizing the information provided below and information contained in the solicitation.
The following table provides the historical minutes per year for each of the mission specific line items contained in Section B. Offerors shall utilize these estimates in formulating the total value of their Price proposal.
Estimated Flight Minutes (per Contract Year)
CLINs 0X02--Medium Lift Capability Helicopter
13,500
CLINs 0X03--Heavy Lift Capability Helicopter
10,500
i. The proposed Fixed Rate for each CLIN shall include the costs that are specific to the mission associated with that CLIN such as the costs for flying the aircraft, aircrews, support personnel, equipment, tools, materials, spare and replacement part and all other items, except as specified herein as Government Furnished Property (GFP) and Government Furnished Equipment (GFE), that are necessary to perform the services required in this PWS. Costs for flights such as, but not limited to, maintenance test flights, or to ferry/transport personnel, aircraft or equipment to and from maintenance facilities, or to train aircrew, are to be included in the Fixed rates and are not allowable as a direct charge. The Fixed rates shall also include all costs for passports, visas, entry/exits permits, etc.; the shipment or trans-shipment of supplies, tools and equipment; and the transportation of contractor personnel and their belongings to the contractor’s permanent operating bases. Travel and Per Diem costs associated with deployment costs will be reimbursable under the Travel line item.
ii. Offerors shall not include the cost of fuel to fly Government missions in the Fixed rates. Fuel will be provided by the Government or reimbursed up to the rate for Government contract fuel under the Materials line items. Surge aircraft may be permanently based at locations of the contractor’s choosing. If the contractor selects a facility that does not have a Government fuels contract, the contractor shall be reimbursed for fuel only up to the published Defense Energy Supply Center (DESC) rates and not to exceed the actual minutes flown in direct support of this contract
(f) ODCs Cost Reimbursable Line Items (CLINs 0X04 and 0X05) for Travel and Material. The Government has entered an estimated amount for these CLINs as shown in the table below. Travel and Material are cost reimbursable line items, with no profit included. For Travel, the Offeror shall identify any applicable G&A rate. Profit is not allowed for the cost reimbursement CLINs and may not be included as part of the G&A rate. The cost associated with G&A on Travel may be added to the Government-provided estimate for Travel in the table below for purposes of evaluation and in completing the CLIN 0X04 prices in Section B and in completing Attachment P6, Price Format Summary.
The Offeror may propose a Material handling rate for CLIN 0X05 (Material); upon commencement of the contract, the handling rate percentage shall be considered a final “fixed” rate percentage for all contract periods. Offerors shall include this fixed material handling rate in their Price proposal and calculate the dollar amount of this rate/cost and add it to the Government-provided material cost outlined in the table below for purposes of evaluation and in completing the CLIN 0X05 prices in Section B and in completing Attachment P6, Price Format Summary.
The Government’ s estimated costs for Travel/Per Diem and Material/Shipping CLINs are set forth in the chart below. Offeror’s shall propose the Not to Exceed (NTE) amounts specified in the table below, plus any G&A and material handling if proposed:

Offerors shall propose a fee rate in addition to the NTE amounts shown in the above table and shall be shown as fee in Section B, and Attachmnet P6 Price/Cost Summary Sheet.
Offerors shall submit their fully completed cost/price proposal utilizing the Cost Summary Format (Proposal Attachment P6). The spreadsheet shall be formatted on letter size (8.5 X 11) paper and shall be unprotected and unlocked, with formulae intact to show mathematical operations. The Offeror shall use the CLIN Summary tab to breakout total proposed costs by CLIN.
Offerors may elect to add additional rows in the P6 Price/Cost Summary Spreadsheet as necessary.
Complete Proposal Attachment P6 (Fully Burdened Labor Rates), detailing the fully burdened labor rates for all prime contractors and their subcontractor personnel. Fully burdened labor rates are defined as direct labor rates plus all applicable burdens, to include indirect rates, fee, and subcontractor pass-through costs where applicable. For subcontractor labor, the fully burdened labor rates shall be inclusive of any pass-through charges (e.g., subcontractor handling, fixed fee on subcontractor labor, etc.) applied by the prime contractor. Some labor categories identified may be subject to NAVAIR tripwires as identified in Section M. Offerors are strongly encouraged not to exceed the labor rate tripwires, however if they do, the Offeror shall identify the rate(s) in excess and provide rationale that justifies the higher rate(s) as reasonable.
Show traceability with the CLINs, SubCLINs, PWS, proposed effort, proposed manning levels, and prices/costs.
(c) Direct/Indirect Rates: The Offeror shall submit Forward Pricing Rate Agreements (FPRAs), Collective Bargaining Agreements (CBAs), and Area Wage Determinations (AWDs) as applicable for all proposed personnel. The Offeror shall identify whether the labor rates proposed are FPRAs, CBAs, AWDs, ACO/DCAA recommended rates (FPRRs), or Offeror proposed rates (FPRPs). The Offeror shall propose in compliance with the current hourly rate set forth in the Department of Labor Wage Determination as applicable. The Offeror shall provide Defense Contract Audit Agency (DCAA) Information/Payroll Verification information as follows: A DCAA point of contact, with a current e-mail address, must be provided for the prime and each subcontractor. The Offeror and proposed subcontractors shall provide the most current DCAA Provisional Billing Rate Approval Letter, DCAA Final Billing Rate Approval Letter, and/or DCAA Forward Pricing Rate Agreement recommendation, payroll verification for currently employed proposed personnel, and any other information necessary to substantiate the rates proposed. Payroll verification shall consist of a form containing the title, direct labor rate, and a signed certification by an authorized representative of the company that the information contained in the form is correct. For contingent hires, the offeror shall provide contingent offer letters outlining salary information for contingent hire employees. For any prospective hires for any non-key personnel, provide information to substantiate the rates proposed. All contingent hires shall have a letter of intent submitted under the Cost Volume. The letter of intent is a separate written agreement signed by the potential employee(s) to work for the Offeror effective at contract award. Any proposed consultants shall have a consultant agreement substantiating the rates proposed. If a composite rate or other pricing methodology (e.g. cost estimating relationships) is utilized, the Offeror shall demonstrate how those rates were developed. Subcontractors and team members shall provide this information either separately or included in the Offeror’s submission of this document.
