INSTRUCTIONS TO QUOTERS

ADDENDUM TO FAR PROVISION 52.212-1 ENTITLED “INSTRUCTIONS TO OFFERORS –

COMMERCIAL ITEMS”

I. GENERAL

In addition to FAR 52.212-1, “Instructions to Offerors – Commercial Items” and any other instructions contained elsewhere in this solicitation, the following information is provided. Quoters are required to submit their quotes in two separate volumes as follows:

Volume I: Non-Price Quote

Factor I: Technical (Acceptable/Unacceptable)

Factor II: Past Performance (Acceptable/Unacceptable)

Volume II: Price Quote

Volume I – Non-Price

Factor I: Technical

The quoter shall provide a video on CD/ROM in which their proposed speaker will demonstrate task knowledge, speaking ability and style of the instructor. The video shall be 10 to 15 minutes in duration.

The video shall clearly display the speaker, both visually and aurally, in the act of presenting to an audience. Additionally, the performance approach submission shall provide a demonstration of the quoter’s understanding of and familiarity with, the specific requirements as indicated in the Performance

Work Statement.

Quoters simply providing general statements or paraphrasing/parroting the PWS in whole or in any part shall result in a rating of unacceptable.

Factor II: Past Performance

The quoter shall provide information on no more than three (3) previous contracts whose effort was relevant to the effort required by this solicitation; the contracts provided should have been performed within the last five (5) years from the closing date of this solicitation. Evaluation will focus only on work experience already performed. Yet-to-be performed work and experience prior to the last five (5) years will not be considered. Quoters may submit performance data regarding current contract performance as long as a minimum of one year of performance has been completed as of the closing date of this RFQ. The

Government may contact some or all of the references provided, as appropriate, and may collect information through questionnaires, telephone interviews and existing data sources to include but not limited to Contractor Performance Assessment Reporting (CPARS). The Government reserves the right to obtain information for use in the evaluation of past performance from any and all sources including sources outside of the Government.

The quoter shall complete a “Past Performance Information Form” for each reference submitted. The form is an attachment to the solicitation. The forms will count toward the Volume II page limit described above.

For additional information regarding a particular reference beyond that which will fit on the form, the quoter may continue onto another sheet of paper. Such continuation sheet(s) for submitted references will count toward the Volume II page limit. The quoter shall also provide a copy of the corresponding

Performance Work Statement (PWS)/Statement of Work (SOW)/Statement of Objectives (SOO) for each contract referenced in the quoter’s past performance submission. The PWS/SOW/SOO will NOT be included in the past performance page count. A quoter’s past performance submission may be determined to be “Not Relevant” if this substantiating information is not provided.

For purposes of this solicitation, a contract is defined as a single contract or a single task order placed under an Indefinite Delivery/Indefinite Quantity (ID/IQ) contract, a Blanket Purchase Agreement (BPA), or a

Federal Supply Schedule. Additionally, quoters may submit, as part of its (up to) three (3) past performance contracts, a combination of up to three (3) delivery orders (DOs), task orders (TOs), technical direction letters (TDLs), and/or technical area tasks (TATs) placed under an ID/IQ or BPA. Such a combination of

DOs, TOs, TDLs and or TATs must also meet the requirements stated above: each individual example in the combination must demonstrate at least one (1) year of completed performance and have been performed within five (5) years of the solicitation issuance date.

Quoters may provide contracts describing their own experience as a subcontractor. Quoters shall describe the major or critical aspects of the work performed, as well as the dollar value of work performed, under the submitted contract.

Quoters may also submit contracts of subcontractors they propose to use under this contract. Quoters shall describe the major or critical aspects of the work subcontractors are proposed to perform under the contract.

Subcontractor performance (either the quoter’s own subcontractor experience or proposed subcontractors experience) of major or critical aspects of this requirement will be considered as highly as prime contractor past performance information for the quoters.

The quoter shall demonstrate relevant and completed past performance or affirmatively state that it possesses no relevant past performance. Relevant past performance is performance under contracts or efforts within the past five years prior to the solicitation closing date that is the same as or similar to, the scope and magnitude of the work described by this solicitation.

Additionally, the Government requests the quoters provide a Past Performance Report Form (PPRF) to each point of contact (POC) identified and submitted as Past Performance information. The PPRF shall be emailed directly from the quoter’s POC to the NAVSUP FLC Contracting Department POC Shannon Davis at shannon.davis@navy.mil by the due date and time of this request for quote. The Government reserves the right to consider past performance report forms received after the due date of the solicitation and to contact references for verification or additional information.

Volume II Price Quote

This volume shall include the following completed solicitation documents (to be provided in Volume II):

A complete and signed SF1449 (Solicitation/Contract/Order for Commercial items) and executed copy of

Amendments, if applicable, completed by the quoter;

Page 3 of the RFQ “Schedule of Supplies/Services” completed by the quoter;

A completed “Edutainment Contract Pricing” spreadsheet provided as an attachment of this RFQ. The pricing spreadsheet will indicate pricing information for the base and well as the total to include the option.

The completion and submission of the above items will constitute a quoter and will indicate the quoter’s unconditional assent to the terms and conditions of this RFQ and any attachments and/or exhibits hereto. All price and price supporting information shall be contained in the price quote. No price or pricing information shall be included in any other volume including cover letters. Quoters are responsible for submitting sufficient information to enable the Government to fully evaluate their price quote.

The quote shall be valid for 180 days from solicitation closing date.

IMPORTANT NOTES:

(1) In order to be eligible for award, the quoter shall be a small business under the NAICS 611430. The quoter shall submit documentation substantiating this qualification as a matter of responsibility. Any quoter determined to be not qualified will be ineligible for award.

(2) Quoters shall respond to all requirements of the solicitation document. Quoters are cautioned not to alter the solicitation. Hand-carried quotes are not authorized and will not be accepted. Each page of each copy shall be affixed with the following legend:

(3) In the event any person who is not a bona fide employee of the quoter participated in the creation, formulation, or writing of any portion of the quote, a certificate to this effect shall be included in the quote which shall be signed by an officer of the quoter. Such certificates shall identify the name of the person who is not a bona fide employee, that person’s employment capacity, the name of the person’s firm, the relationship of that firm to the Quoter, and the portion of the Quote in which the person participated.

(4) In order to ensure that all questions submitted by potential Quoters are answered prior to the solicitation closing date, one consolidated list of questions concerning the solicitation should be submitted via e-mail to the contracting point of contact, Nic Hatcher at erica.hatcher@navy.mil NO LATER THAN 11:00 AM, Eastern Standard Time (EST), on Wednesday, 11 July 2018. The Government reserves the right not to respond to any questions received concerning this solicitation after the questions receipt date above.

Accordingly, Quoters are encouraged to carefully review all solicitation requirements and submit questions to the Government early in the Quote timeframe.

(5) Quotes are to be submitted via electronic mail submission to Shannon Davis at shannon.davis@navy.mil; in the attachments, format and quantities as identified. All electronic files and versions of quotes shall be compatible with the current release of Adobe Acrobat and Microsoft Office Suite version 2010 (Excel).

(6) Quotes are due NO LATER THAN 11:00 AM Eastern Standard Time (EST) Monday, 16 July 2018.

II. REQUIREMENTS FOR FORMAT OF QUOTE CONTENT

(1) Introduction and Purpose: This section specifies the format that quoter shall use in this RFP The intent is not to restrict the quoters in the manner in which they will perform their work but rather to ensure a certain degree of uniformity in the format of the responses for evaluation purposes.

(2) Each attachment should contain the following items in addition to the other information required by this solicitation:

Cover: The cover should indicate the following:

Volume Number (I or II)

RFQ Number

Name and address of quoter, Cage Code, DUNS and applicable Tax I.D. Number (TIN)

Quote validity period for 180 days from solicitation closing

Table of Contents: The table of contents should provide sufficient detail as to allow the important elements to be easily located.

(3) Requirements for Style: Each quoter shall submit a quote that clearly and concisely describes and defines the contractor’s response to the requirements contained in the RFQ. Unnecessary elaboration or other presentations beyond that sufficient to present a complete and effective quote are not desired.

Each volume is limited to the maximum number of pages as defined in the table above. These page limitations are inclusive of the executive summary and any charts, diagrams, and/or other graphics. Graphics (including tables) in the quote may use an alternative font with 8 point size type or larger. Each “page” is defined as one sheet, 8 ½ x 11 inches, with at least one inch margins on all sides, using a font with a point size of 10 or greater (e.g., Times New

Roman style with 10 point font). Lines shall, at a minimum, be single-spaced. Pages shall be consecutively numbered. Multiple pages, double pages, two-sided pages, or foldouts will count as an equivalent number of 8 ½ x

11 inch pages. Quoters are permitted to submit no more than one page for each of the following which will not be included in the page count: a cover sheet, list of tables, list of figures, tabs, and dividers. Tables of contents and any compliance matrices may exceed one page, which will not be included in the page count. Pages submitted in excess of the page limitations described above will not be evaluated.

The price quote is not page limited; however, the Price quote is to be strictly limited to price information and completed solicitation documents as described in the General Section at the beginning of this text.

* Page limits represent the maximum pages the Government will evaluate and are not construed as de facto standards for the amount of material expected in the quote.

CLAUSES INCORPORATED BY FULL TEXT

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

The Government will award a contract resulting from this solicitation to the responsible vendor whose quote conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate quotes: Technical, Past Performance and Price. A determination of responsibility will be made prior to award.

The Government will conduct a Lowest Price Technically Acceptable (LPTA) source selection process. To determine the LPTA quoter, the Government will place all quotes in order of lowest total price to highest total price.

Starting with the lowest total priced quote, the Government will review Technical and Past Performance for acceptability. If the quote is found to be “Acceptable,” no other quotes will be reviewed and award will be made.

However, if the quote is found to be “Unacceptable,” the next lowest total priced quote will be considered. This process will continue until either a quote is considered “Acceptable” or until all quotes have been considered

“Unacceptable.”

In order to be considered awardable, the quoter must have received an “Acceptable” rating in every non-priced factor. LPTA non-price factors for this requirement will consist of Technical and Past Performance. Past

Performance will be evaluated for acceptability based on the relevance and quality of the submitted contracts.

Tradeoffs will not be used during the source selection process.

EVALUATION CRITERIA

Evaluation of Factor I: Technical Approach

The quoter will be evaluated on the demonstrated edutainment topics, knowledge, and ability to present in accordance with the PWS as exhibited via recorded examples of speaker. The quoter’s technical approach will be evaluated on whether it meets the Government’s minimum requirements.

Factor I will be rated acceptable or unacceptable using the ratings and descriptions outlined in the rating table identified below entitled “Technical Ratings and Definitions.” In order to be considered Acceptable, quoters must receive an acceptable rating for the submissions in its entirety. The quoter shall demonstrate they are fully capable of supporting all elements of the PWS within their submissions for Factor I. The quoter must address each of the areas of the PWS in sufficient detail so that the Government can reasonably determine that the quoter possesses the ability to perform the contract. Quoters simply providing general statements or paraphrasing/parroting the PWS in whole or in any part shall result in a rating of unacceptable.

An Unacceptable technical rating in Factor I will not be further evaluated and will not be considered for award.

The Government will only evaluate the Past Performance and Price of quotes that received ratings of acceptable for Factor I. The Government will evaluate the quoter’s submission for Factor I based on the information received in the quoter’s written submission and evaluated in accordance with the table below:

Evaluation of Factor II: Past Performance

Past performance will be rated on an "acceptable" or "unacceptable" basis. There are two aspects to the past performance evaluation. The first aspect is to evaluate whether the quoter’s past performance is relevant or not relevant to the effort to be acquired. The Government will evaluate the quoter’s past performance as relevant or not relevant in accordance with the “Past Performance Relevance Ratings Table” below:

Not Relevant Present/past performance effort involved little or no scope and magnitude similar to that which this solicitation requires.

The second aspect of the past performance evaluation is to determine, as acceptable/unacceptable, the quality of the relevant past performance. The following table entitled “Past Performance Evaluation Ratings Table” will be used to determine the overall past performance rating:

Based on the quoter’s performance record, the Government has a reasonable expectation that the quoter will successfully perform the required effort, or the quoter’s performance is unknown. (See note below)

Unacceptable Based on the quoter’s performance record, the Government has no reasonable expectation that the quoter will be able to successfully perform the required effort.

In order to be considered awardable, there must be an "acceptable" rating in “Past Performance.”

Note: In the case of a quoter without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the quoter may not be evaluated favorably or unfavorably on past performance. Therefore, the quoter shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable.”

Past Performance Relevancy Rating: The agency will evaluate the quoter’s past performance to determine how relevant a recent effort accomplished by the quoter is to the effort to be acquired. In establishing what is relevant for this acquisition, consideration has been given to those aspects of a quoter’s contract history that give the greatest ability to measure whether the quoter will satisfy the current procurement. Evaluation aspects of relevancy will include similarity of scope and magnitude.

Scope: The measure of the similarity of the scope of the PWS and the quoter’s contracts. The

PWS scope meets the majority of the objectives as defined in the solicitation.

Magnitude: The measure of the similarity of the dollar value of actually performed work, individually or in the aggregate, which exists between the PWS and the quoter’s references.

Past Performance Quality: Each quoter’s Past Performance submission that is found to be relevant to the instant requirement will be evaluated to determine the quality of the quoter’s performance under that reference. The

Federal Acquisition Regulation (FAR) requires that (PPI) be collected (FAR Part 42) and used in source selection evaluations (FAR Part 15). The CPARS process establishes procedures for the collection of PPI.

CPARS generated PPI will be one of many tools used to communicate quoter’s strengths and weaknesses to source selection officials and contracting officers. The Government will review this past performance information and determine the quality and usefulness as it applies to the assessment of Past Performance

Acceptability.

Past Performance Evaluation Ratings: The assignment of this rating will be based on the quality of the relevant past performance and will also consider the currency and relevance of the information, source of the information, context of the data, and general trends in contractor’s performance. The quality of performance under a past performance reference that has no relevance to the instant requirement will not be considered in the overall assessment of Past Performance Acceptability.

Evaluation of Factor III: Price

Price will be evaluated in accordance with FAR 13.106-3. For the purpose of preparing a price proposal, the contractor shall assume that the basic period of performance will include (15) base events and (5) option period events. The Government will evaluate the price proposal for the base period and option period.

The quoter’s quoted price will be evaluated on the basis of price reasonableness. The evaluation may include, but is not limited to:

a. Price comparison with other quoters

b. Comparison with Independent Government Estimate (IGE)

The Government may evaluate any and all information submitted by the quoter to support the reasonableness of prices quoted. 52.209-11 REPRESENTATION BY CORPORATIONS REGARDING DELINQUENT TAX LIABILITY OR A

FELONY CONVICTION UNDER ANY FEDERAL LAW (FEB 2016)

(a) As required by sections 744 and 745 of Division E of the Consolidated and Further Continuing Appropriations

Act, 2015 (Pub. L. 113-235), and similar provisions, if contained in subsequent appropriations acts, the Government will not enter into a contract with any corporation that--

(1) Has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, where the awarding agency is aware of the unpaid tax liability, unless an agency has considered suspension or debarment of the corporation and made a determination that suspension or debarment is not necessary to protect the interests of the Government; or

(2) Was convicted of a felony criminal violation under any Federal law within the preceding 24 months, where the awarding agency is aware of the conviction, unless an agency has considered suspension or debarment of the corporation and made a determination that this action is not necessary to protect the interests of the Government.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (NOV 2017)

ALTERNATE I (OCT 2014)

The offeror shall complete only paragraphs (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site located at https://www.sam.gov/portal . If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u) of this provision.

(a) Definitions. As used in this provision--

“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically https://www.sam.gov/portal disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Forced or indentured child labor” means all work or service—

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation,” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except—

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

“Sensitive technology”—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act

(50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”—

(1) Means a small business concern—

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

“Small disadvantaged business concern, consistent with 13 CFR 124.1002,” means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

“Subsidiary” means an entity in which more than 50 percent of the entity is owned—

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

“Veteran-owned small business concern” means a small business concern—

(1) Not less than 51 percent of which is owned by one or more veterans(as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

“Women-owned small business concern” means a small business concern --

(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least

51 percent of the stock of which is owned by one or more women; and

(2) Whose management and daily business operations are controlled by one or more women.

“Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127),” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the
