About this file

This is a solicitation document issued by Miami-Dade County Water and Sewer Department (WASD) for hauling and disposal of dewatered biosolids from the Central District Wastewater Treatment Plant (CDWWTP) on Virginia Key and the North District Wastewater Treatment Plant (NDWWTP) at Interama. The County seeks to establish up to two separate contracts divided into Group 1(A) for 6-10 loads per day (approximately 150-250 wet tons daily or 39,000-65,000 tons annually) and Group 1(B) for 4-6 loads per day (approximately 100-150 wet tons daily or 26,000-39,000 tons annually) of Class B and Non-Class B biosolids using any legal, County-approved disposal method, including composting, Class AA treatment, land application, or landfill disposal. The initial contract term is five years with one optional five-year renewal period. A pre-bid conference and site visit is scheduled for July 8, 2026, at 1:00 PM at CDWWTP, with simultaneous webcast via Microsoft Teams for informational purposes. Loading occurs between 4:00 AM and 4:00 PM Monday through Friday and Saturdays as needed. Award will be made to the lowest priced responsive and responsible bidder per group based on combined pricing for the initial term and Option-to-Renew period.

Bidders must submit separate unit prices for the initial five-year term and the optional five-year renewal period, with pricing fixed for at least twelve months followed by potential annual adjustments based on the Consumer Price Index for Water and Sewer Services (CPI-U Series CUSR0000SEHG). A temporary fuel surcharge may be applied if diesel prices exceed $5.50 per gallon for thirty consecutive days. The County guarantees a minimum annual allocation of 2,600 loads (approximately 65,000 tons), with 1,800 loads minimum for Group 1(A) and 800 loads minimum for Group 1(B); however, actual quantities may vary based on operational needs and biosolids production. Bidders must demonstrate financial and operational capacity, provide two references, obtain required federal USDOT and state FDEP permits and licenses, submit detailed equipment lists and personnel rosters with Commercial Driver's Licenses, and provide letters of guarantee from disposal site permit holders specifying secured allocation. Additional insurance requirements include Commercial General Liability ($1,000,000 each occurrence), Automobile Liability ($1,000,000 combined single limit), Pollution Liability ($1,000,000 per occurrence, $2,000,000 aggregate), and an Umbrella policy ($3,000,000 minimum). A Performance Bond equal to 100 percent of annual contract value is required within fifteen calendar days of award. The County may assess interruption-of-service fees at 50 percent of the bid price per ton for scheduled loads not picked up, with service failures occurring when materials remain on-site for more than twenty-four hours.

Rev. 05.21.2026 v.26-1

SECTION 2

ADDITIONAL/SPECIAL TERMS AND CONDITIONS

2.1 PURPOSE

The purpose of this Solicitation is to establish Contract(s) for the hauling and disposal of dewatered biosolids produced at Miami-Dade County (County) Central District Wastewater Treatment Plant (CDWWTP) on Virginia Key and North District Wastewater Treatment Plant (“NDWWTP”) at Interama, both managed by the Miami-Dade Water and Sewer Department (WASD). The County is re-advertising the services previously solicited under Group 1 of Solicitation No. EVN0037379, which was rejected by the Board of County Commissioners (Board) to allow the County to reassess and update the solicitation following the adoption of significant changes to Florida Statutes and regulatory requirements governing biosolids management.

The previous Group 1 has been restructured into two separate groups, Group 1(A) and Group 1(B), to enhance operational flexibility, increase competition, and reduce the risk of service interruption associated with biosolids hauling and disposal operations. Both groups consist of the hauling and disposal of Class B and Non-Class B biosolids by any legal and approved method for material produced at CDWWTP and NDWWTP. Accordingly, up to two contracts may be established to fulfill the County’s critical logistics, hauling, and disposal requirements. Services may include, but are not limited to, the processing of Class B and Non-Class B biosolids for beneficial uses such as composting, offsite Class AA treatment, land application, landfill disposal, or any other lawful disposal method, in accordance with Chapter 62-640, F.A.C., and all applicable federal, state, and local laws, rules and regulations.

2.2 TERM

The Contract(s) shall commence on the first calendar day of the month succeeding approval of the Contract(s) by the Board of County Commissioners, or designee, unless otherwise stipulated in writing by the County. The initial term of the Contract(s) shall expire on the last day of the sixtieth (60th) month.

2.3 OPTION TO RENEW

Prior to, or upon completion of the initial term, the County shall have the option to renew the Contract(s) for one (1) additional five (5) year term. Continuation of the Contract(s) beyond the initial term, and any option subsequently exercised, is the County’s prerogative, and not a right of the Awarded Bidder(s). This prerogative may be exercised only when such continuation is clearly in the best interest of the County.

The base prices for both the initial term and for the Option-to-Renew (OTR) period will be established at the time of bid submission and contract award. Bidders shall submit separate base prices for the initial five (5) year term and for the OTR five (5) year period in Section 4, Paragraph 4.1, Pricing. If the OTR is exercised, the base prices submitted for the OTR period shall become the contract prices effective upon commencement of the OTR period. Thereafter, annual economic price adjustments shall be calculated in accordance with Paragraph 2.6 below. Notwithstanding the foregoing, if the pricing resulting from the final year of the initial term exceeds the pricing submitted for the first year of the OTR period due solely to approved economic price adjustments, the County may, at its sole discretion, authorize continuation of the adjusted pricing into the OTR period. Such authorization shall be solely at the County's discretion and shall not create any right or entitlement on the part of the Awarded Bidder(s).

The total estimated contract value presented to the Board of County Commissioners for award shall include both the initial term and the OTR period pricing, calculated using the estimated quantities in Paragraph 4.1, extended for five years. Award evaluation shall be based on the combined total value of the initial term and the OTR period.

Should the Awarded Bidder(s) decline the County's right to exercise the OTR, the County will consider the Awarded Bidder(s) in default in accordance with Section 1, Paragraph 1.26, Termination for Default, of the General Terms and Conditions.

2.4 METHOD OF AWARD

Award of the Contract(s) will be made to the lowest priced responsive and responsible Bidder(s) per group, based on the combined total value of the initial term and the Option to Renew (OTR) period pricing submitted in Paragraph 4.1, Pricing.

To be considered for award of a group, the Bidder shall offer a price for all items within the group. Items that will be provided to the County at no cost must show a zero (0) in the price line. The County will determine the Bidder for award of each group by totaling the extended pricing for all items within the group. If a Bidder fails to offer a price for all items within the group, its offer for the group may be deemed non-responsive. Bidders may submit a Bid for one or both groups. The County reserves the right to award one or both groups, or reject any or all groups, as determined to be in the best interest of the County.

Groups being solicited:

• Group 1(A), Hauling and Disposal of Class B and Non-Class B Biosolids (6 – 10 loads per day) by Any Legal Method, Produced at CDWWTP and NDWWTP.

• Group 1(B), Hauling and Disposal of Class B and Non-Class B Biosolids (4 – 6 loads per day) by Any Legal Method, Produced at CDWWTP and NDWWTP.

The Bidder shall provide all the information, documents and/or attachments listed above to be considered for award. All information, documents, and/or attachments listed above are due with the Bid by the Solicitation’s end time and date. The County may, at its sole discretion and in its best interest, allow the Bidder to complete, supplement or supply the required information, documents and/or attachments during the bid evaluation period. Failure to provide all the required information, documents and/or attachments with the Bid or as requested by the County during the Bid evaluation period, may result in the Bidder being declared non-responsive or non-responsible.

During the bid evaluation period, the County’s Strategic Procurement Department (SPD) will review the submitted information, documents and/or attachments submitted by the Bidder. SPD may request additional information from the Bidder and/or obtain additional information from available sources as necessary, to fully evaluate the Bidder’s submittal and to determine whether the Bidder meets the stipulated requirements and has the ability to perform under any resulting Contract(s).

The County shall be the sole judge of a Bidder’s compliance with all requirements and whether the Bidder has the ability to perform under the resulting Contract(s). Failure to meet the stipulated requirements or demonstrate the ability to perform under the resulting Contract(s), as determined by the County, may result in the Bidder being declared non-responsible.

During the term of any resulting Contract(s), the Awarded Bidder(s) has an obligation to advise the County of any changes, intended or otherwise, to the evidence given in compliance with the requirements in this Solicitation. Failure to comply with this obligation may constitute a breach of contract and may result in termination in accordance with Section 1, General Terms and Conditions, Paragraph 1.26, Termination for Default.

2.6 PRICES (FIXED WITH ECONOMIC PRICE ADJUSTMENTS)

The Bidder's prices shall be inclusive of all costs, transportation, permits, charges, and fees (unless otherwise specified in this Solicitation). The initial Contract prices shall remain fixed and firm for a period of no less than twelve (12) months from the Solicitation’s end date. Thereafter, prices may be adjusted upward or downward as follows:

2.6.1 The County may elect to negotiate price adjustments with the Awarded Bidder (decreases or increases) based on changes in the following pricing index: Consumer Price Index for All Urban Consumers (CPI-U), Series id:, CUSR0000SEHG, Water and sewer and trash collection services in U.S. city average, all urban consumers, seasonally adjusted, as published by the U.S. Bureau of Labor Statistics (BLS). The Base CPI Index for adjustments will be the Index published by the BLS for the referenced CPI Series in the month and year when the Solicitation ended (or the month prior to the Solicitation’s end date if the Solicitation’s end month is not published by the BLS), and the Base Price shall be the Contract’s initial price(s).

a) The period used to calculate the adjustment will begin in the month when the Solicitation ended (or the month prior to the Solicitation’s end date if the Solicitation’s end month is not published by the BLS) and will include as many months as have been published by the BLS at the time of the adjustment.

The following is an example of how to calculate an adjustment:

Contract’s Effective Date: May 1, 2022 Solicitation’s End Date: May 7, 2021

Index Point Change Calculation:

Current CPI Index (August 2022) 232.945

Less: Base CPI Index (April 2021) 229.815

Equals: Index Point Change 3.130

Percentage Change Calculation:

Index Point Change 3.130

Divided by: Base CPI Index 229.815

Equals: 0.01362

Multiplied by 100: 1.3620

Equals: Percent Change 1.37%

Price Calculation:

Percent Change: 1.37%

Multiplied by Initial Contract Price (Base Price): $100.00

Equals: Applicable CPI Increase: $1.37

Adjusted Price According to CPI: $101.37

b) The Base Price and the Base CPI Index shall remain constant throughout the Contract term and shall be the basis of all adjustments.

The following is an example of how to calculate a subsequent adjustment:

Index Point Change Calculation:

Current CPI Index (October 2023) 240.100

Less: Base CPI Index (April 2021) 229.815

Equals: Index Point Change 10.285

Percentage Change Calculation:

Index Point Change 10.285

Divided by: Base CPI Index 229.815

Equals: 0.04475

Multiplied by 100: 4.4753

Equals: Percent Change 4.48%

Price Calculation:

Percent Change: 4.48%

Multiplied by Initial Contract Price (Base Price): $100.00

Equals: Applicable CPI Increase: $4.48

Adjusted Price According to CPI: $104.48

Notes:

i. The County may also consider the implementation of a temporary fuel surcharge upon written request from the Awarded Bidder based on the U.S. Energy Information Administration (EIA) “US On-Highway Diesel Fuel Price" for the Lower Atlantic (PADD1C) region if the published diesel price exceeds $5.50 per gallon for thirty (30) consecutive days.

ii. Any approved fuel surcharge will be applied as a temporary percentage adjustment to the Awarded Bidder’s contract prices. The surcharge shall remain in effect until the EIA “US On-Highway Diesel Fuel Price" for the Lower Atlantic (PADD1C) region falls below $5.50 per gallon for thirty (30) consecutive days, at which time the Awarded Bidder’s prices shall revert to the prevailing contract prices in effect at that time, excluding the fuel surcharge.

c) Should the referenced index be discontinued by the BLS, or should its data be unavailable, the County will use the following pricing index: CPI-U Series ID: CUSR0000SASLE, Services less energy services in U.S.

city average, all urban consumers, seasonally adjusted, as published by the U.S. Bureau of Labor Statistics (BLS). Price adjustments may also be negotiated based on other indexes published by the BLS (CPI or PPI) or other economic factors if these economic indicators are evidently proven to have directly affected the contract prices during the contract period.

2.6.2 An Awarded Bidder may initiate a request for price adjustment. The County will review such request as prescribed above and will either: (a) grant the price adjustment as requested, (b) negotiate with the Awarded Bidder to determine the appropriate price adjustment, or (c) reject the request in the County’s best interest. If the County elects to reject the Awarded Bidder's request for an adjustment, the Awarded Bidder is not excused from continuing to perform under the Contract. Failure of the Awarded Bidder to perform under these circumstances may result in the Awarded Bidder being deemed in breach of contract, and the County may terminate the Contract in accordance with Section 1-General Terms and Conditions, Paragraph 1.26-Termination for Default.

2.6.3 Adjusted prices shall remain firm for at least twelve (12) months; thereafter, prices may be readjusted as prescribed above.

2.6.4 Any price adjustments authorized by the County shall be formalized by a Contract Modification, originated and published by SPD, and signed by the Awarded Bidder(s). Under no circumstances should the Awarded Bidder(s) invoice the County a price that is higher than the price authorized through the Contract award or an approved Contract Modification.

SECTION 3

SCOPE OF WORK/TECHNICAL SPECIFICATIONS

3.1. SCOPE OF WORK

The Awarded Bidder(s) shall provide hauling and disposal of dewatered biosolids (Class B and non-Class B), generated at the County’s Central District Wastewater Treatment Plant (CDWWTP) located on Virginia Key, and the North District Wastewater Treatment Plant (NDWWTP) located at Interama. Services may include, but are not limited to, processing Class B and Non-Class B biosolids for beneficial uses, such as composting, offsite Class AA treatment, land application, Class I landfill disposal, or any other legal and County-approved method for the disposal, in accordance with Chapter 62-640, F.A.C., and all applicable laws, rules and regulations. The Solicitation is divided into two groups to fulfill the County’s critical hauling and disposal requirements:

• Group 1(A): Hauling and Disposal of Class B and Non-Class B Biosolids (6 – 10 loads per day) by Any Legal Method, Produced at CDWWTP and NDWWTP.

• Group 1(B): Hauling and Disposal of Class B and Non-Class B Biosolids (4 – 6 loads per day) by Any Legal Method, Produced at CDWWTP and NDWWTP.

Both groups cover the same material types and facilities. The groups are differentiated by daily load capacity — not by material classification. Both Awarded Bidders shall operate concurrently, each maintaining the capacity to haul their respective daily maximum load allocation on every operating day.

WASD is concurrently conducting a Biosolids Management Master Plan ("Master Plan") to evaluate long-term capital infrastructure solutions for biosolids processing and disposal, including solar drying, thermal drying, regional processing facilities, and hybrid approaches. Master Plan recommendations are expected by the second quarter of 2027. The Contract(s) established under this Solicitation are intended to provide operational continuity and regulatory compliance during Master Plan development and capital program implementation. The initial five (5) year term has been structured to align with the Master Plan timeline. During the OTR period, hauled volumes may decrease as WASD commissions long-term biosolids processing infrastructure. The County's exercise of the OTR shall take into account available biosolids volumes at the time of renewal and shall not obligate the County to maintain volumes at initial term levels.
