About this file

This is an Indemnification Agreement form for the City of Lakeland, Florida, applicable to consultants engaged in contract work for the municipality. The document establishes the consultant's obligation to indemnify and hold harmless the City, its officers, and employees from all liabilities, damages, losses, and costs, including reasonable attorneys' fees, arising from the negligence, recklessness, or intentionally wrongful conduct of the consultant or persons employed by the consultant in performance of the contract. The agreement allows the consultant to specify applicability either by timeframe (up to five years) for all contracts and purchase orders within the designated period, or by specific project reference including bid number, purchase order/requisition number, or contract date. The form requires notarization and was revised as of June 3, 2026.

The agreement includes provisions addressing subrogation rights, requiring the consultant and subcontractors to ensure their insurance carriers waive all rights of subrogation against the City except for Professional Liability claims, and in Professional Liability cases, waiving subrogation except where gross negligence is demonstrated by the City. The consultant's acceptance of final payment constitutes a full release of all claims and liability to the City unless otherwise specified in a separate written agreement at the time of final payment. A savings clause ensures that if any provision conflicts with Florida Statutes Sections 725.06 and 725.08, the agreement will be modified to comply with applicable Florida law and remain enforceable to the greatest extent permitted by state law.
