Contractor shall provide Safety Data Sheets (SDS) for all chemicals used, which shall be available on-site at all times.

e. Records and Inspection: Contractor shall maintain accurate and complete records of all work performed under this Agreement, including labor hours and materials used, and shall make such records available to the Olympic Authority upon reasonable request for audit or inspection.

4. Compensation. Contractor shall be compensated for the Services provided under this Agreement based on the monthly rate of $________. Should services be provided for less than a full month, the price paid will be the monthly rate divided by the number of days in the applicable month times the number of days services were furnished.

a. Changes and Additional Services: Any modification to the scope of Services, or any request for additional Services that would result in costs exceeding the approved monthly rate, shall require the prior written approval of both Parties. No such additional or modified Services shall be performed, and no payment shall be due therefor, unless and until a written amendment or addendum has been executed by both Parties.

b. Early Termination: In the event this Agreement is terminated by the Olympic

Authority prior to the expiration of its Term in accordance with Section 10, the Olympic Authority’s obligation to pay, and Contractor’s right to receive payment, shall cease as of the effective date of termination, except for Services properly performed and approved by the Olympic Authority prior to such date.

5. Insurance and Indemnification.

a. Prior to the commencement of the Term of this Agreement, Contractor shall provide evidence of the Insurance Requirements set forth in Attachment B hereto, or such other evidence of insurance as agreed to by the Parties.

b. To the fullest extent permitted by law, Contractor shall defend, indemnify, and hold harmless the Olympic Authority, the State of New York, the Department of Environmental Conservation, the Town of Johnsburg, and their respective directors, officers, employees, agents, and representatives, from and against any and all damages, losses and expenses resulting from third-party claims, including but not limited to reasonable attorneys’ fees, defense costs and legal costs in addition to any judgement or settlement incurred, arising out of or resulting from: (i) bodily injury (including exposure to toxic substances), sickness, disease or death sustained by any person, or to injury to or destruction of tangible property (including loss of use), arising out of or resulting from any act or omission to act by Contractor and/or Contractor’s directors, officers, employees, agents, contractors, subcontractors, and representatives, directly related to its performance of this Agreement and/or the Services constituting negligence or reckless or willful misconduct; and (ii) material breach by Contractor of this Agreement or the inaccuracy of any warranty or representation made by Contractor herein.

c. The obligation of Contractor to indemnify the Olympic Authority (1) shall not be limited in any manner by any limitation of the amount of insurance coverage or benefits, including workers' compensation or other employee benefit acts, provided by Contractor, and (2) shall not be deemed limited or discharged by the enumeration or procurement of any insurance for liability for damages imposed by law upon the Olympic Authority or the State of New York.

d. The Olympic Authority does not agree to any indemnification provisions that require the Olympic Authority to indemnify or save harmless Contractor or third parties.

e. This Section creates no limitation on the right to common-law indemnification. The indemnity provided for herein shall be deemed in addition to and in no way a limitation upon the Olympic Authority’s right of common-law indemnification from Contractor.

f. Nothing contained in this Agreement shall create or give to third parties any claim or right of action against Contractor or the Olympic Authority beyond such as may legally exist without regard to this Agreement.

6. Sub-Consultants.

a. Contractor shall not employ, contract with, or use the services of any consultant without obtaining the prior written approval of the Olympic Authority. No provision of this Agreement shall be construed as an agreement between the Olympic Authority and any consultant to Contractor or with any person, firm or corporation employed by, contracted with or whose services are utilized by Contractor.

b. The foregoing provisions regarding consultants shall not dilute in any way the Contractor’s responsibility to perform the Services set forth in this Agreement at the compensation set forth herein. However, if the Olympic Authority directs Contractor in writing to obtain the services of specialists or consultants not normally required for projects of comparable type, the Olympic Authority will compensate Contractor in an amount mutually agreed upon in writing between the Parties.

7. Independent Contractor. The Parties agree that Contractor is, and at all times during the term of this Agreement, an independent contractor with respect to the Services provided pursuant to this Agreement. Contractor shall act solely as an agent of the Olympic Authority under the terms and conditions set forth in this Agreement, and shall have no authority to negotiate or to enter into contracts or agreements on behalf of the Olympic Authority without the Olympic Authority’s prior written approval. Nothing in this Agreement shall be considered to create the relationship of employer and employee between the Parties, nor create a partnership or joint venture between the Parties.

8. Disputes. In the event of a dispute between the Parties arising out of or related to this Agreement or any attachments hereto, the aggrieved Party shall notify the other Party of the dispute within a reasonable time after such dispute arises. If the Parties cannot thereafter resolve the dispute informally, each Party may, upon the mutual agreement of both Parties, nominate a senior officer of its management to meet to resolve the dispute by direct negotiation.

In such circumstances, the aggrieved Party shall notify the other Party in writing of the item or items in dispute, providing enough specificity to apprise the other Party of the nature of the dispute. The Parties shall then meet or conference at a mutually agreeable place and time, and attempt to negotiate the disputed item or items in good faith. In the event that a mutually agreeable or satisfactory result is unable to be reached, nothing herein contained shall be construed as limiting a Party in exercising its contractual rights or seeking any remedies available to them under the law.

9. Termination. Either Party may terminate this Agreement in the event the other Party materially breaches the terms of this Agreement as follows:

c. The Party who desires to terminate this Agreement shall give written notice of the breach to the breaching Party and shall specify a period of time, which shall not be less than ten (10) days if practicable under the circumstances, in which the breaching Party must either remedy the breach or cease performance under the Agreement.

d. In the event that the breaching Party elects to continue performance, it shall either cure the breach or provide a written statement of the steps to be taken in order to cure the breach within ten (10) days of receipt of the written notice pursuant to the preceding paragraph, or such longer period as may be specified in the written notice of the intent to terminate. If the cure or statement of intent to cure is satisfactory to the non-breaching Party, it shall consent to a continuation of performance, such consent not to be unreasonably withheld.

e. In the event of such termination, postponement, delay, suspension, or abandonment owing to Contractor’s material breach of its obligations under this Agreement that cannot be cured, the Olympic Authority may withhold payment of all or any part of any monies which otherwise may be payable to Contractor under this Agreement, and apply such monies toward any reasonable and unmitigable damages or expenses sustained by the Olympic Authority as a result of such negligent failure including, without limitation, any excess costs incurred by the Olympic Authority in completing the Services by the use or employment of other contractors or otherwise, but only to the extent that Contractor has been found negligent and liable for such amounts by a court of competent jurisdiction in the State of New York.

f. In the event of such termination, postponement, delay, suspension, or abandonment owing to the Olympic Authority’s material breach of its obligations under this Agreement that cannot be cured, the Olympic Authority shall pay to Contractor all amounts due and earned to the time of termination, in accordance with the provisions of this Agreement, but only to the extent that the Olympic Authority has been found negligent and liable for such amounts by a court of competent jurisdiction in the State of New York.

g. Notices given pursuant to foregoing paragraphs, and any notice or writings required under this Agreement, shall be sent to each Party at the address and contacts set forth in Section 16, or at such other address as may be specified in a written notice given by such Party to the others.

10. No Third-Party Beneficiaries. This Agreement is entered into solely for the benefit of the Parties, and nothing contained herein is intended for the benefit of any other person or entity.

11. Waivers. No waiver of any provision of this Agreement of the breach thereof, shall constitute a waiver, or a waiver of any other provision of this Agreement of the breach thereof, and no such waiver shall be effective unless expressed in writing signed by the party against whom enforcement is sought.

12. Headings. The headings used herein are for ease of reference only and shall not define or limit any of the terms or conditions in this Agreement.

13. Representations and Warranties.

14. Notices. Whenever it is provided in this Agreement that a notice or other communication is to be given or directed to either party, the same shall be given or directed to the respective party at its address as set forth below, or at such other addresses as either party may, from time to time, designate by written notice to the other, and unless otherwise mutually agreed between the parties in writing, notice shall be deemed to have been properly given and shall be deemed effective upon receipt when (i) delivered by express overnight mail delivery service with receipt for delivery or (ii) when deposited in the United States mail, postage prepaid, certified with return receipt requested. Any provision or part of this Agreement held to be void or unenforceable under any law or regulation shall be deemed stricken and all remaining provisions shall continue to be valid and binding upon the Parties, who agree that the Agreement shall be reformed to replace such stricken provision or part with a valid and enforceable provision that comes close as reasonably possible to expressing the intent of the stricken provision.
