H2. CAR 1352.228-70 - Insurance Coverage
(a) Workers Compensation and Employer's Liability. The contractor is required to comply with applicable Federal and State workers' compensation and occupational disease statutes. If occupational diseases are not compensable under those statutes, they shall be covered under the employer's liability section of the insurance policy, except when contract operations are so commingled with a contractor's commercial operations that it would not be practical to require this coverage. Employer's liability coverage of at least $100,000 shall be required, except in states with exclusive or monopolistic funds that do not permit workers' compensation to be written by private carriers.
(b) General liability. (1) The contractor shall have bodily injury liability insurance coverage written on the comprehensive form of policy of at least $500,000 per occurrence. (2) When special circumstances apply in accordance with FAR 28.307-2(b), Property Damage Liability
Insurance shall be required in the amount of $0.00.
(c) Automobile liability. The contractor shall have automobile liability insurance written on the comprehensive form of policy. The policy shall provide for bodily injury and property damage liability covering the operation of all automobiles used in connection with performing the contract. Policies covering automobiles operated in the United States shall provide coverage of at least $200,000 per person and $500,000 per occurrence for bodily injury and $20,000 per occurrence for property damage.
(d) Aircraft public and passenger liability. When aircraft are used in connection with performing the contract, the contractor shall have aircraft public and passenger liability insurance. Coverage shall be at least $200,000 per person and $500,000 per occurrence for bodily injury, other than passenger liability, and $200,000 per occurrence for property damage. Coverage for passenger liability bodily injury shall be at least $200,000 multiplied by the number of seats or passengers, whichever is greater.
(e) Vessel liability. When contract performance involves use of vessels, the Contractor shall provide, vessel collision liability and protection and indemnity liability insurance as determined by the Government.
H3. CAR 1352.237-75 - Key Personnel
(a) The contractor shall assign the following four (4) key personnel to manage the Contract as a whole:
Program Manager;
Chief Engineer (Engineer 5);
Subject Matter Expert; and
Systems Architect
(b) The contractor shall obtain the consent of the Contracting Officer prior to making key personnel substitutions. Replacements for key personnel must possess qualifications equal to or exceeding the qualifications of the personnel being replaced, unless an exception is approved by the Contracting Officer.
(c) Requests for changes in key personnel shall be submitted to the Contracting Officer at least
15 working days prior to making any permanent substitutions. The request should contain a detailed explanation of the circumstances necessitating the proposed substitutions, complete resumes for the proposed substitutes, and any additional information requested by the
Contracting Officer. The Contracting Officer will notify the contractor within 10 working days after receipt of all required information of the decision on substitutions. The contract will be modified to reflect any approved changes.
(d) Individual Work Assignments may have additional key personnel requirements, which will also be subject to H3(a) and (b) above.
H4. Observance of Legal Holidays
(a) On-site personnel observe the following holidays: New Year's Day, Birthday of Martin
Luther King, Jr., President’s Day, Memorial Day, Independence Day, Labor Day, Columbus

H5. Accounting System
The Contractor’s accounting system shall be adequate for determining costs applicable to the contract in compliance with FAR Part 31, Contract Cost Principles and Procedures.
H6. Organizational Conflict Of Interest (OCI)
(a) If an offeror is currently providing support, or anticipates providing support that creates or represents an actual or potential organizational conflict of interest (OCI), the offeror shall immediately disclose this actual or potential OCI to GSA in accordance with FAR Subpart 9.5.
The nature of the OCI may involve the prime contractor, subcontractors of any tier, or teaming partners.
(b) The Contractor is required to complete and sign an OCI Statement, per Section L6.2.6 of this solicitation. The offeror must represent either that (1) It is not aware of any facts which create any actual or potential OCI relating to the award of this contract, or (2) It has included information in its proposal, providing all current information bearing on the existence of any actual or potential OCI and has included a mitigation plan in accordance with paragraph (c) below and Section L6.2.6 of this solicitation.
(c) If an offeror with an actual or potential OCI believes the conflict can be avoided, neutralized, or mitigated, the offeror shall submit a mitigation plan to the Government for review.
(d) In addition to the mitigation plan, the CO may require further information from the offeror.
The CO will use all information submitted by the offeror, and any other relevant information known to GSA, to determine whether an award to the offeror may take place, and whether the mitigation plan adequately avoids, neutralizes, or mitigates the OCI.
(e) If any such conflict of interest is found to exist, the CO may determine that the conflict cannot be avoided, neutralized, mitigated or otherwise resolved to the satisfaction of the
Government and the offeror may be found ineligible for award. Alternatively, the CO may determine that it is otherwise in the best interest of the United States to contract with the offeror and include the appropriate provisions to avoid neutralize, mitigate, or waive such conflict in the contract awarded.
H7. Non-Disclosure Requirements
If the contractor acts on behalf of, or provides advice with respect to any phase of an agency procurement, as defined in FAR 3.104-4, then the contractor shall execute and submit a
Corporate Non-Disclosure Agreement (NDA) Form (Attachment J5), and ensure that all its personnel (to include subcontractors, teaming partners, and consultants) who will be personally and substantially involved in the performance of the contract and/or Work Assignment:

All proposed replacement contractor personnel also must be listed on a signed Addendum to
Corporate NDA and be instructed in the requirements of FAR 3.104. Any information provided by contractors in the performance of this Contractor and/or Work Assignment or obtained from the Government is only to be used in the performance of the contract and/or Work Assignment.
The contractor shall put in place appropriate procedures for the protection of such information and shall be liable to the Government for any misuse or unauthorized disclosure of such information by its personnel, as defined above.
