Responses to Request for information( RFI) for Number HSTS02-13-R-MLS263

Question No. Question Answer

Please confirm that the pricing tables in Attachment 4 (1 tab for Full scale, 1 tab for Functional, 1 tab for Advanced Tabletop, 1 tab for Tabletop, 1 tab for Seminar, 1 tab for How to Demo, and 1 tab for CAPSTONE Seminar) are the only pricing requirements for TO 0002. To re-phrase, the Government expects a “package cost” for each type training in each of the contract years, not a consolidation of a given number of training sessions per year, etc.

Yes, The government expects a package cost of each type exercisers and training in each of the contract years.

Amendment 000001, Attachment 3 in excel format, tab “Unburdened Rates”. Please confirm if this tab applies only to SOO Task 2, Training Support Services, or also to SOO Task 3, Exercise Management Support Services, and Task 4, Risk-Based Security Planning Solutions and Activities.

Attachment 3 applies to Task 2. Task 3 and Task 4 for work that under the SOO for the IDIQ.

Amendment 000001, Attachment 3 in excel format, tab “Unburdened Rates”, Note 2, Offerors must differentiate between prime and subcontractor labor: Salary data and resultant direct hourly rates are considered proprietary information and are not disclosed between subcontractors and prime. If the Government desires visibility into subcontractor direct labor rates, this cost and pricing data must be provided in a sealed package directly to the Government for evaluation. Question: Is it the Government’s intent to receive proprietary subcontractor cost and pricing data?

As CPFF task orders are negotiated at the task order level, suggest to require then-current subcontractor cost and pricing data at that time.

1. The Government does not desire visibility into subcontractor direct labor rates that must be provided in a sealed package directly to Government for evaluation.

2. 2. The prime contractor is to provide subcontractor cost.

Amendment 000001, Attachment 3 in excel format, tab “Cost Elements”, Note 2, The Fixed Fee has a ceiling of 10%.

Question: Is the fixed fee percentage proposed by the offeror in this sheet a fixed percentage for duration of the contract, or is it subject to negotiation at the individual task order level?

The Offeror is to propose a Fixed Fee and the Fee is subject subject to negotiation at the individual task order level .

Amendment 000001, Attachment 4 in excel format, Note 2 on each tab, THIS COST BUILDOUT IS FOR EVALUATION

PURPOSES ONLY AND SHALL BE DEMONSTRATED FOR

EACH POTENTIAL EXERCISE UNDER TASK 2 OF THE

STATEMENT OF OBJECTIVES. Task 2 of the SOO is “Training Support Services”, and not related to exercises. Question:

Should the note read “THIS COST BUILDOUT IS FOR

EVALUATION PURPOSES ONLY AND SHALL BE

DEMONSTRATED FOR EACH POTENTIAL EXERCISE UNDER

TASK ORDER 2 (ATTACHMENT 2)”?

The Offeror is to propose a Cost Build Up for evaluation only with the use of Attachment 4. The Offeror is to include cost for each of the types of exercises identified within the attachment tabs.

Section L.10.1 Cost/Price for Task Order 0002, page 95 – Cost Plus Fixed Fee and Time & Materials, states “The offeror shall provide, in accordance with the SOW for Task Order 0002 (RFP Attachment 2) all the services on a Cost Plus Fixed Fee structure.”, and Amendment 000001, Attachment 4 in excel format, as amended in RFP AM 000001. There seems to be a disconnect between the requirement of Section L.10.1 – to estimate the CPFF for the entire SOW of TO 0002 – and the layout/instructions of Attachment 4 – proposing a CPFF for a single event of each type exercise. Question: How does the Government want to see TO 0002 priced - CPFF for the entire SOW and POP, or single CPFF for one of each type exercise?

1) TO 0002 is to be priced CPFF for the entire SOW with cost elements included in Attachment 3. 2) Attachment 4 is to be used for Cost Build-up for exercises types for evaluation only.

Section L.10.1 Cost/Price for Task Order 0002, page 95 – Cost Plus Fixed Fee and Time & Materials, states: …“For the proposal, Task Order 0002 period of performance shall be as follows: Base Year and four 1-year option periods. Although part of the total cost under the Task Order, transition costs must be articulated and defined in a manner that shows a total cost for transition.”

Question: (1) How does the Government want to see TO 0002 priced - CPFF for the entire SOW and POP with transition costs identified where applicable, or single CPFF per one of each type exercise, or a CPFF per year of POP for each type of exercise?

(2) How does the Government want to see transition costs reflected in the single CPFF for one of each type exercise?

1. TO 0002 is to be priced CPFF for the entire SOW with cost elements included in Attachment 3.

2. Task Order 0002 period of performance will be 12 months.

3. The offeror do not need to price transition costs.

Section M.3, Method, page 98, states that …”the total cost for Task Orders 0001 and 0002 will be the total evaluated price”.

Question: Given that TO 0002 cost consists of single estimates of various types of exercises, how will the Government calculate a total cost for Task Order 0002?

1. See statement of work (SOW) for TO 0002 and priced CPFF for the entire SOW with cost elements included in Attachment 3.

2. The total cost should be for all requirements that are included in the SOW for TO 0002.

213 What is the exercise budget for each type exercise? 1. There is none.

2. Each exercise is unique to site and operator.

RFP Section L.10.1, Page 96 – This section describes instructions for the cost/price of Task Order 0002, but it appears there are no instructions for cost/price of Task Order 0001.

Instruction for Task Order 0001 the Offerors shall include fixed hourly rates, number of hours, and labor category descriptions for all positions at the contractor facility for the total period of performance of the IDIQ.

Note: These fixed hourly rates will be utilized for any FFP or T&M task orders. Subcontractor rates must also be proposed.

Section B.5.1, Pricing Rate Tables Paragraph 5 Page 4/“Period of Performance/ Begins/ Ends” Table The Period of performance indicates 1 Oct 2013 – 30 Sept 2019. What is the Period of Performance?

The period of performance will be determined at time of award of the IDIQ contract and any task orders. The ordering Period of the IDIQ is 60 months from date of award. Section B.5.1 represents government facial years not period of performance.

Attachment 3 – Cost Proposal Worksheet Tab 3 – Firm Fixed Price Rates Tab 4 – Fully Burdened Rates Page 1 Base Yr – OPT 4 Columns and L.8 Proposal Requirements Paragraph 1 Page 94 “This shall include a list of personnel labor categories and staff hours for each position and location (Gov’t site/ Contractor site).” Q: The price tables request rates for each labor category. Does the government want both Contractor site and Government site rates for all labor categories in these tables?

Yes, please provide rates for both contractor site and government site rates for all labor categories in the tables.

L.6, General Format Instructions Para 3 on page 89 and Para 1 on page 90 “Electronic copies shall be formatted using MS Office 2003, MS Office Excel 2007 or Portable Document Format (.PDF)…” and table column titled “FORMAT – MS Office” On page 89, the RFP states that PDF is an acceptable file format for electronic copies. On page 90, the table states in the format row, the format requirement is MS Office. Can you please clarify if .PDF files for electronic submission are considered to be compliant with proposal instructions?

The government requires the ability to cut and paste from proposal documents for internal documentation. If Portable (PDF) Document Format can provide this capability it is acceptable.

L6 Submission Format Page 89/Question:

Does the Offeror need to account submission time while the package is in an off-site security screening location? If so, how many days?

The offeror would need to allow for a 24 hour vetting/screening period in order for proposals to reach the office of acquisition by the proposal due date.

L6 Submission Format Page 89/Question:

Will the government please specify what mail method is recommended if USPS and overnight carrier deliveries are not recommended?

Either USPS or overnight carrier are acceptable as amended in L.6 of the RFP.

L6 Submission Format Page 89/Each volume shall be complete in itself in order that evaluation of one volume may be accomplished independently of, and concurrently with, evaluation of the others.

Offerors must also provide seven (7) paper copies of each technical volume, and two paper copies of the cost volume.

Question:

Will the government please clarify how many binders are they expecting for the technical volume? Five (one for each volume with 7 copies of that volume in it) or 28 (one for each volume copy)?

The government expects proposal copies to be assembled with each paper copy of an individual volume to be in a binder. Twenty Eight (28) binders are required.

L6 Submission Format Pages 89, 90/Page 89, Submission Format, identifies two (2) paper copies of the cost volume. Page 90, Table, has no paper copies listed.

Question:

Will the government please clarify the number of paper copies for the cost volume.

Two (2) paper copies of the cost/price volume are required, as are 2 CD's in MS Office formats

B.5.1 Page 5/There are two pricing tables in B.5.1. They are different than the tables in Attachments 3 and 4.

Question:

1) If these 2 tables need completed, do you want them added to either Attachments 3 or 4 or would you provide them in the Price Document narrative?

The Pricing Rate Tables B.5.1 provide labor category descriptions, and labor rates for performance of the requirements as maybe specified in individual Orders.

Please complete Attachments 3 with this information.

B.5.1 Page 4/The pricing rate tables in B.5.1 list a period of performance that begin with October 1, 2013. RFP was released Dec 19, 2013 and the anticipated award is August 14, 2014, Question:

1) Will the government please clarify and/or adjust the periods of performance for base year and subsequent option years to be priced?

The period of performance will be determined at time of award of the IDIQ contract and any task orders. The ordering Period of the IDIQ is 60 months from date of award. Section B.5.1 represents government facial years not period of performance.

B.4.1.3 Page 4/"B.4.1.3 Cost Reimbursement Pricing All TOs issued on a Cost Reimbursement basis will be priced in accordance with approved forward pricing rate agreements (FPRA) rates or provisional rates based on Defense Contract Audit Agency (DCAA)/Defense Contract Management Agency (DCMA) audits (or FAR Part 31, Contract Cost Principles and Procedures rates). Direct and indirect cost rates will be established on a TO basis. For Cost Reimbursement Task Orders, the Contractor will provide complete supporting schedules identifying all applicable direct and indirect rate estimates building up to the TO cost. Contractors shall submit their most recent approved provisional indirect billing rates, if available and actual rates for I-STEP Request for Proposal Part I -The Schedule RFP Section B Supplies or Services and Prices/Costs. Contractors without audited rates shall propose indirect rates in accordance with FAR Part 31 , Contract Cost Principles and Procedures. The fee will be negotiated for each TO consistent with statutory limitations. Profit/fee is unallowable on ODCs.

Contractors with approved rates should submit their most recent accounting system audit and provisional indirect billing and actual rates for both direct and indirect rates. Contractors without audited rates shall propose indirect rates in accordance with FAR Part 31. (TSA considers that only Offerors with approved accounting systems are eligible for contract award per FAR 16.301-3(a)(3)."

FAR 16.301-3(A)(3) is vague - It states, "A cost-reimbursement contract may be used only when - The contractor’s accounting system is adequate for determining costs applicable to the contract or order;"

Question:

An accounting system maybe adequate if it accurately accumulates cost applicable to the contract.

1) Will the government please clarify what the TSA considers adequate for determining costs applicable to the contract or order?

Question:

An accounting system maybe adequate if it accurately accumulates cost applicable to the contract.

Will the government clarify that the assumption that the approved accounting system is only a requirement for the Cost Reimbursable portion is accurate?

Page 84/(c) Performance of work by the Contractor of a subcontractor.

The offeror shall identify in its proposal the total cost of the work to be performed by the offeror, and the total cost of the work to be performed by each subcontractor, under the contract, task order, or delivery order.

(i) The amount of the subcontractor's indirect costs and profit/fee applicable to the work to be performed by the lower-tier subcontractor(s); and

(ii) A description of the added value provided by the subcontractor as related to the work to be performed by the lower-tier subcontractor(s).

Questions:

Will the government please clarify where offerors are to identify the total cost of the work to be performed by the offeror, and the total cost of the work to be performed by each subcontractor?

1. All cost/price data should be submitted in Volume 5 per section L.6 of this solicitation.

2. Attachment 3 is to be completed regardless of the percentage rate.

Attachment 3, tab asks for subcontractor indirect rates. Will the government please confirm this is only needed if more than 70% of the work is to be performed by one subcontractor.

Fully Burdened Rates Page 84 Line B28/Question:

Will the government please clarify whether the subcontractors would be required to submit sealed packages or if it is assumed the subcontractors, if any, would be required to meet the primes rates as proposed.

1. The Government does not desire visibility into subcontractor direct labor rates that must be provided in a sealed package directly to Government for evaluation.

2. The prime contractor is to provide subcontractor cost.
