(d) Comptroller General Examination of Record The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

52.217-8 Option to Extend Services (Nov 1999) The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days before the contract expires.
52.217-9 Option to Extend the Term of the Contract (Mar 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days before the contract expires; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 60 months.

3052.215-70 KEY PERSONNEL OR FACILITIES (DEC 2003)
(a) The personnel or facilities specified below are considered essential to the work being performed under this contract and may, with the consent of the contracting parties, be changed from time to time during the course of the contract by adding or deleting personnel or facilities, as appropriate.
(b) Before removing or replacing any of the specified individuals or facilities, the Contractor shall notify the Contracting Officer, in writing, before the change becomes effective. The Contractor shall submit sufficient information to support the proposed action and to enable the Contracting Officer to evaluate the potential impact of the change on this contract. The Contractor shall not remove or replace personnel or facilities until the Contracting Officer approves the change.
The Key Personnel or Facilities under this Contract:
Corporate Program Manager, On-Site Project Manager, Assistant On-Site Project Manager, Facilities Manager, Financial Manager, Quality and Operations Manager, Logistics Manager, Procurement Specialist, Human Resources Manager and four (4) Regional Managers.

ADDITIONAL INVOICING INSTRUCTIONS:
(a) In accordance with FAR Part 32.905, all invoices submitted to USCIS for payment shall include the following:
(1) Name and address of the contractor.
(2) Invoice date and invoice number.
(3) Contract number, contract line item number and, if applicable, the order number
(4) Description, quantity, unit of measure, period of performance, unit price, and extended price of supplies delivered or services performed.
(5) Shipping and payment terms.
(6) Name and address of contractor official to whom payment is to be sent.
(7) Name (where practicable), title, phone number, and mailing address of person to notify in the event of a defective invoice.
(8) Taxpayer Identification Number (TIN).
(b) Invoices not meeting these requirements will be rejected and not paid until a corrected invoice meeting the requirements is received.
(c) USCIS’ preferred method for invoice submission is electronically. Invoices shall be submitted in Adobe pdf format with each pdf file containing only one invoice. The pdf files shall be submitted electronically using the “To” line in the e-mail address to USCISInvoice.Consolidation@ice.dhs.gov with each email conforming to a size limit of 500 KB.
(d) If a paper invoice is submitted, mail the invoice to:

POSTING OF CONTRACT (OR ORDER) IN FOIA READING ROOM:
(a) The Government intends to post the contract (or order) resulting from this solicitation to a public FOIA reading room.
(b) Within 30 days of award, the Contractor shall submit a redacted copy of the executed contract (or order) (including all attachments) suitable for public posting under the provisions of the Freedom of Information Act (FOIA). The Contractor shall submit the documents to the USCIS FOIA Office by email at foiaerr.nrc@uscis.dhs.gov with a courtesy copy to the contracting officer.
(c) The USCIS FOIA Office will notify the contractor of any disagreements with the Contractor’s redactions before public posting of the contract or order in a public FOIA reading room.

VOLUME BANDS ESTIMATED QUANTITY AND OBLIGATION AMOUNT
The Contractor shall notify the Contracting Officer when it has reason to believe that the amount due in CLIN 0003 will exceed 85 percent of the amount obligated. The Contractor shall not be obligated to continue performance if to do so would exceed the obligated amount in CLIN 0003, unless and until the Contracting Officer notifies the contractor in writing that the estimated quantity and price has been increased.
The Government will not be obligated to pay the Contractor any amount in excess of the estimated quantity as priced in CLIN 0003, and related Option CLINs (which includes Rescheduling Office, Biometric Collection, and Identity Verification Volume Bands). Only through contract modification will the estimated quantity, price, and obligated amount be revised for performance under CLIN 0003.

ADDENDUM TO FAR 52.212-1 INSTRUCTIONS TO OFFERORS – COMMERCIAL
ITEMS
1. Questions:
Questions concerning the solicitation will be submitted on Attachment 9 via e-mail to the USCIS mailbox uscis_asc_recompete@uscis.dhs.gov.
The Government requests questions be submitted by close of business, 5:00 p.m. EST, on
MM/DD/YYYY.
2. Proposal Receipt:
The proposal will be submitted electronically via e-mail to the following USCIS mailbox uscis_asc_recompete@uscis.dhs.gov. USCIS has a firewall limit of 10MB per e-mail, therefore if sending multiple emails; mark each accordingly such as, one of X, two of X and so on. Include in the subject line “Proposal for HSSCCG-17-R-00005 ASC.” USCIS will not accept .zip files. Offerors may contact the Contract Specialist prior to the proposal closing date and time specified to verify receipt of your proposal submission.
The government requests offerors provide past performance references 15 days prior to the proposal due date [reference: Volume II, “Business Proposal,” Section I, “Past Performance” (Factor 4)].

Cover Letter Instructions: The cover letter shall include the following:

The Business proposal shall address Past Performance, Price, Small Business Utilization, and Participation in the DHS Mentor-Protégé Program factors.
