The Contractor shall furnish all personnel, facilities, equipment, material, supplies, and services (except as may be expressly set forth in this contract as furnished by the Government) and otherwise do all things necessary to, or incidental to, performing and providing Program Management Services in support of the Federal Emergency Management Administration (FEMA) Risk MAP
Program.

*Note: The Government may award Cost-Plus- Fixed-Fee (CPFF), Cost-Plus-Award Fee (CPAF), or Firm-Fixed-Price
(FFP) task orders for services, as needed under this CLIN.
All travel made by contractor personnel shall be reimbursed at cost, in accordance with Federal Travel Regulations, under this contract. Total travel shall not exceed $100,000.00 per Task order, unless authorized by Contracting Officer.
The total estimated price for each performance period includes all Direct Labor, Other Direct Costs, Indirect Costs, Travel, G&A and profit/fee. The government reserves the right to shift total estimated cost amounts between performance periods by administrative modification to this contract.
B.3 CONSIDERATION – FIXED PRICE/ESTIMATED COST PLUS AWARD FEE
In consideration for performance under this contract, the government shall reimburse the contractor for allowable, allocable costs incurred, or pay the fixed price, as applicable, and pay the contractor a reasonable profit/fee, and award fee (Attachment D), if applicable, as determined under individual task order(s) executed by the parties. The total value of this contract shall be
B-4 determined by the cumulative amount awarded under all task orders, plus the total firm fixed price of CLINs 0001, 1001, 2001, 3001, and 4001.
B.4 CONTRACT MINIMUM AND MAXIMUM FUNDING LIMITATION
The guaranteed minimum under this contract is $50,000.00. The maximum funding limitation for this contract (inclusive of estimated cost, fixed price, and profit/fee for all Task orders issued) shall not exceed 75 million (includes IGCE plus 15 million, which covers unknowns based on consultation of the Program Management Office), unless increased by a Justification and
Authorization in support of unforeseen legislative changes in the scope of the Program or surge, emergency or disaster operations.
B.5 TASK ORDER FUNDING
Fixed price and cost reimbursable, term and completion type Task Orders may be issued under this contract within the established contract ceiling limitation. Task Order payments shall be made in accordance with the provisions specified in each task order, and may be subject to the withholding provisions of this contract (FAR 52-216-7).
B.6 MODIFICATION OF RATES
The rates contained within Attachment C (Wage Determination) are subject to change, based upon the actual costs incurred. These rates shall not change more frequently than every 12 months.
B.7 PROVISIONAL INDIRECT COST RATES FOR COST REIMBURSEMENT TASK ORDERS
Notwithstanding the provisions of Clause 52.216-7 of this contract entitled, "Allowable Cost and Payment," the allowable indirect costs under this contract shall be obtained by applying provisional indirect rates to bases agreed upon by the parties. The period(s) for which such rates will be established shall correspond to the contractor's fiscal year(s).
Negotiation of final indirect rates shall be in accordance with FAR 52.216-7 and Subpart 42.700 of the Federal Acquisition
Regulation.

BACKGROUND
FEMA’s Federal Insurance & Mitigation Administration (FIMA) manages the National Flood Insurance Program (NFIP), the cornerstone of the nation’s strategy for preparing communities for flood disaster. The program was created to reduce flood damage by identifying risks, encouraging sound floodplain management practices, and providing a mechanism through which people can insure their investments. FEMA, its contractors and its governmental partners provide flood hazard data and maps to support flood insurance and floodplain management activities. Under the Map Modernization program, this was accomplished through a single National Service Provider who provided program management, customer services and other activities to execute the overall program. In the Risk MAP Program, this is now accomplished with 5 separate contractors: one Program Management provider, one Customer and Data Services provider and three Production and Technical Services providers.
In order to leverage the successes of Map Mod and further enhance the usability and value of flood hazard mapping, FEMA developed the Risk MAP program. Risk MAP combines flood hazard mapping, risk assessment tools and Hazard Mitigation
Planning into one seamless program. The intent of this integrated program is to encourage beneficial partnerships and innovative uses of flood hazard and risk assessment data in order to maximize flood loss reduction.
PURPOSE AND SCOPE
FEMA seeks to contract with a company that will assist FEMA to develop, implement and support an integrated program management support model. The objectives are to improve the FEMA Risk MAP programs responsiveness to its stakeholders, achieve compliance with various mandates in the current DHS environment and demonstrate measurable performance enhancements throughout the Risk MAP span of control. The successful offeror will be expected to propose and develop a strategy to improve program performance and cut program costs. The successful offeror will also help FEMA to implement the strategy against a prescribed timeline and performance metrics.
FEMA intends to award a hybrid Fixed Price/Cost Reimbursable contract for this effort.
OBJECTIVES
The following Objectives and Task areas are provided to enable interested offerors to propose a viable, affordable and effective solution.
OBJECTIVE 1: ACHIEVE EFFECTIVE PROGRAM MANAGEMENT: Develop and recommend and assist FEMA to execute a comprehensive program management structure that enhances all the Risk MAP programs furthering the goals of Risk
MAP and measuring the reduction of the Nation’s vulnerability to natural hazards.
• Maintain and execute the Risk MAP Program Management Plan: Assist FEMA with administration, operation and maintenance of the program and project management processes used to manage and govern the Risk MAP
Program as described in the Risk MAP Program Management Plan, which can be found on the Virtual Library website.
• Support Program Governance Operation and RAD Branches: Support FEMA in delivering Program Governance through assistance to the RAD Branch Chiefs with planning and preparing for, facilitating, and documenting key decision points and action items for the regularly scheduled Governance meetings.
• Provide Program Executive Office Services: Provide Program Executive Office support, including assisting
FEMA with coordination, integration, and administration of the Risk MAP Program.
• Provide Program and Capital Planning Support: Support maintenance of the Program’s Acquisition Lifecycle
Framework (ALF) documentation, i.e. Acquisition Program Baseline (APB), Integrated Logistics Support Plan
(ILSP), and Life Cycle Cost Estimate (LCCE).
• Provide Integrated Program Performance Management Assistance & Reporting: Support the Risk MAP Program performance management structure, processes and tools, including the Program Balanced Scorecards and Joint
Program Reviews (JPRs), across the FEMA headquarters and Regions.
• Provide Program Planning and Control Support: Provide program planning and control support through operations of existing program-level Earned Value Management (EVM) functions, assistance to FEMA in transforming its application of EVM, and operations and maintenance of contract-level EVM functions.
• Facilitate the Identification, Development, and Implementation of Project and Process Efficiencies throughout the
Program: Support the Risk MAP Efficiencies Program.
OBJECTIVE 2: INTEGRATION OF RISK MAP PROGRAMS: Design, recommend, and assist FEMA to implement timely, innovative solutions that address, validate, and anticipate Risk MAP partner, user, and stakeholder needs.
• Provide Regional Program Management Support for Each Region: Provide management and leadership support to FEMA Regions to enable delivery of Risk MAP Regional commitments within cost, schedule and quality guidelines.
• Perform Geospatial Data Coordination Management Support: Support the GDC effort responsible for GDC activities at the regional and HQ levels (the “GDC Community”.)
• NDOP/NDEP Migration Analysis and Implementation: Support the migration of the NDEP/NDOP responsibilities to the Ramona service.
• Provide management support for the Guidelines and Standards Steering Committee: Provide support to the
Guidelines and Standards Steering Committee.
OBJECTIVE 3: DESIGN, RECOMMEND, AND ASSIST FEMA TO IMPLEMENT A COMPREHENSIVE NATIONAL
RISK MAP OUTREACH STRATEGY: The strategy will provide stakeholders with a clear understanding of risks and promote actions to reduce those risks.
• Support the design and implementation of the National Flood Risk Awareness Survey: Support FEMA’s implementation of the 2012 National Flood Risk Awareness Survey of local officials and the general public.
• Implement the National Outreach Strategy: Assist FEMA to supplement the community engagement activities performed within Risk MAP projects by helping deliver flood risk messages where no Risk MAP study is taking place.
• Fema.gov Web Update Support: Plan and implement updates to Risk MAP web content.
• Stakeholder Engagement and Risk MAP Publications Development: Support FEMA in disseminating important
Program information.
• Risk MAP Implementation Training: Support the continued development of Risk MAP training for state governments, local governments, tribal governments, and other stakeholders.
• Maintain Community Engagement Tools and Templates and Regional Implementation Support: Maintain community engagement tools and templates with implementation support for Regions.
• Engineering Outreach Activities Conducted by RAD: Update legacy engineering outreach messages and materials to allow FEMA to provide accurate, consistent information to affected stakeholders and to reflect a uniform Program format.

Risk MAP’s goals.

Support the design, planning and delivery of the annual RAD Workshop at a FEMA Regional location to be determined. Provide administrative support for the government employees who will obtain any necessary approvals to hold the conference.

For the purpose of this clause, the Project Officer named in the Designation of Project Officer clause in this contract is the representative of the Contracting Officer. E.3 GOVERNMENT QUALITY ASSURANCE AND SURVEILLANCE PLAN
The Government will perform those quality assurance procedures that may be necessary to verify that performance is in accordance with the terms of the contract. Government quality assurance will be performed routinely by the COR; however, other activities may be called upon to support this effort as required. The Quality Assurance Surveillance Plan (QASP) is provided under Section J, Attachment E.
The QASP will be used by the Government to evaluate the Contractor’s performance over the life of the contract. Through this evaluation, the Contracting Officer Representative (COR) will identify both positive and negative aspects of the Contractor’s performance. This will allow the COR to communicate to the Contractor those aspects that are strengths of their performance, and those aspects considered to be deficiencies/weaknesses in their performance and which need to be addressed and corrected. For those tasks listed in the QASP, the COR or designated quality assurance evaluators will follow the methods of surveillance specified in the contract. The COR or designated quality assurance evaluators will record all surveillance observations and will maintain a file of all inspection results. Government surveillance of tasks not listed in the QASP may occur during the performance of this contract. Such surveillance will be done according to standard inspection procedures or other contract provisions. Unsatisfactory performance for any Performance Standard/Acceptable Quality Level (AQL) item may result in other appropriate action(s) by the Contracting Officer in accordance with the Inspection of Services clause, including Termination for

Default. Any action taken by the Contracting Officer as a result of surveillance will be in accordance with the terms of this contract.
E.4 METHODS OF SURVEILLANCE
The Government may use a variety of surveillance methods to evaluate the Contractor’s performance. These include, but not limited to, random sampling of recurring services, periodic surveillance of the Contractor’s quality control program, test calls, and validated customer complaints.

The table titled, “Performance Requirements Summary” listed on Page 15 contains: the following columns:
1. The requirements that the Government will inspect.
NOTE: The absence of any Contract requirements from the following table shall not detract from its enforceability nor limit the rights or remedies of the Government under any other provisions of the
Contract, including the clause entitled, “Inspection of Services.”
2. The performance standards for each listed requirement. The performance standard represents the minimum requirement that the Government requires the Contractor to achieve.
3. The acceptable quality level (AQL) that specifies an allowable deviation from the performance standard for that service to be found acceptable.
4. The financial incentives/disincentives of the Performance-Based Service portion of this contract. Contractor performance that meets the acceptable quality level for each standard will be deemed acceptable performance by the Government. PERFORMANCE STANDARDS AND GOVERNMENT SURVEILLANCE
The chart below titled “Performance Requirements Summary” delineates certain performance standards for key areas of the requirement, and will be used to assess incentives/disincentives. Not all contract requirements appear below. The absence of any particular contract requirement from the chart (including those listed in Section C), does not relieve the
Contractor of its contractual duty to meet such requirements, and shall not detract from their enforceability nor limit the
E-3 rights or remedies of the Government under any other provisions of the contact, including the clause entitled, “Inspection of Services.” The Government may supplement its performance standards and metrics using those provided by the Contractor in its quality assurance plan. Further, the Government may use the surveillance recommendations proposed by the Contractor to help develop its quality assurance surveillance plan.
PERFORMANCE INCENTIVE/DISCINCENTIVE
A maximum incentive/disincentive equaling a total of +8% of the Contractor’s annual total price prorated for the reporting period for the Performance-Based portion of services under CLIN No. 0001 and optional CLIN Nos. 1001, 2001, 3001, and 4001 if exercised, shall be added/deducted by the Contractor on its monthly invoice submission for the month immediately following notification of the evaluation for services based on the standards set forth in the chart below, and those set forth within the Performance Work Statement. The decision to assess an incentive/disincentive, and its corresponding amount, shall be at the Government’s sole discretion. The Government shall provide an explanation for any incentive/disincentive assessed. The Contractor shall have an opportunity to respond to the
Government’s incentive/disincentive determination. However, the Contracting Officer’s final penalty assessment shall be unilateral, and not subject to further dispute.

METHODS OF SURVEILLANCE
Even though the Government will be monitoring the Contractor’s performance on a continuous basis, the sheer volume of tasks performed by the Contractor make 100% technical inspections impractical. Accordingly, the Government will use inspections, ratings, reviews, and progress reports to monitor the Contractor’s performance under this contract.
QUALITY CONTROL PLAN
The Quality Control Plan is the Contractor’s approach on how the Contractor plans to meet the objectives listed within the Performance Requirement Summary (PRS).
The Contractor shall provide a Quality Control Plan that contains, as a minimum, the items listed below for acceptance not later than 14 calendar days after the Contract effective date. The COTR will notify the Contractor of acceptance or required modifications to the plan on or before 21 calendar days after the Contract effective date. The Contractor shall make appropriate modifications and obtain acceptance of the plan by the COTR on or before 31 calendar days after the Contract effective date.
The plan at a minimum shall include:
1. A description of the inspection system to cover all services listed within the Performance Work Statement and in the PRS above. The description shall include specifics as to the areas to be inspected on both a scheduled and unscheduled basis, frequency of inspections, and the title and organizational placement of the inspectors.
Additionally, control procedures for any Government-provided keys or lock combinations shall be included.
2. A description of the methods to be used for identifying and preventing defects in the quality of services performed.
3. A description of the records to be kept to document corrective or preventive actions taken.

F.2 PERIOD OF PERFORMANCE
The performance period of the Risk MAP PM contract will be 60 months with all options exercised. The duration of this contract shall be a base period of twelve (12) months, and 4 twelve (12) month option periods beginning on the date of award.
All work and services shall be completed on or before twelve (12) months from the effective date or date of award, whichever is later, unless extended by exercise of option, except that task and or delivery orders placed prior to the expiration date shall remain in full force and effect until tasks and or deliveries have been completed.
F.3 PRINCIPAL PLACE OF PERFORMANCE
Principal place of performance will be contractor provided workspace, unless otherwise specified in individual task orders.
F.4 NOTICE OF DELAY
If the Contractor becomes unable to complete the contract work at the time specified because of technical difficulties, notwithstanding the exercise of good faith and diligent efforts in the performance of the work called for hereunder, the Contractor shall give the Contracting Officer written notice of the anticipated delay and the reasons therefore. Such notice and reasons shall be delivered promptly after the condition creating the anticipated delay becomes known to the Contractor but in no event less than forty-five (45) days before the completion date specified in this contract, unless otherwise directed by the Contracting Officer.
When notice is so required, the Contracting Officer may extend the time specified in the Schedule for such period as deemed advisable.

G.2 TECHNICAL DIRECTION AND SURVEILLANCE
Performance of the work under this contract shall be subject to the surveillance and written technical direction of the Contracting
Officer’s Representative (COR), who shall be specifically appointed by the Contracting Officer in writing. Technical direction is defined as directive to the Contractor which approves approaches, solutions, designs, or refinements; fills in details or otherwise completes the general description of work of documentation items; shifts emphasis among work areas or tasks; or otherwise furnishes guidance to the Contractor. Technical direction includes the process of conducting inquiries, requesting studies, or transmitting information or advice by the COR, regarding matters within the general tasks and requirements in Section C of this contract.
The COR does not have the authority to, and shall not, issue any technical direction which:
Constitutes an assignment of additional work outside the Performance work Statement;
Constitutes a change as defined in the contract clause entitled “Changes”;
In any manner causes an increase or decrease in the total fixed price or the time required for contract performance;
Changes any of the expressed terms, conditions, or specifications of the contract; or
Interferes with the Contractor’s right to perform the specifications of the contract.
All technical directions shall be issued in writing by the COR.

The Contractor shall proceed promptly with the performance of technical directions duly issued by the COR in the manner prescribed by this clause and within his/her authority under the provisions of this clause. Any instruction or direction by the COR which falls within one, or more, of the categories defined in (b)(1) through (5) above, shall cause the Contractor to notify the
Contracting Officer in writing within five (5) working days after receipt of any such instruction or direction and shall request the
Contracting Officer modify the contract accordingly. Upon receiving the notification from the Contractor, the Contracting Officer shall either issue an appropriate contract modification within reasonable time or advise the Contractor in writing within thirty (30) days after receipt of the Contractor’s Letter that:
The technical direction is rescinded in its entirety
The technical direction is within the scope of the contract, does not constitute a change under the “Changes” clause of the contract and that the Contractor should continue with the performance of the technical direction.

G.4 TRAVEL COSTS
Costs for transportation, lodging, meals and incidental expenses incurred by contractor personnel on official business are allowable subject to Federal Travel Regulations and FAR 31.205-46, Travel Costs.
All travel costs will be considered to be reasonable and allowable only to the extent that they do not exceed on a daily basis the maximum per diem rates in effect at the time of travel as set forth in the Federal Travel Regulations.

The Federal Emergency Management Agency's (FEMA) Data Management Program was established to meet the regulatory requirements of the Information Technology Management Reform Act (a.k.a. Clinger Cohen Act), as outlined in the
