About this file

This is a Public Improvements Contract template issued by the City of Talent, Oregon for construction and related services. The contract is designed to formalize agreements between the City and contractors for public improvement projects. The document establishes the framework for work performance, compensation, insurance requirements, bonding obligations, and compliance with applicable federal, state, and local laws. The contract term begins upon execution by the City and continues until a specified completion date, with provisions for up to four additional one-year extensions by mutual written consent. The contract includes a one-year warranty period following substantial completion, during which the contractor must remedy any defects in materials or workmanship at no cost to the City. Liquidated damages are assessed at 10 percent of the contract price or $500 per day, whichever is greater, for work not completed by the scheduled completion date.

Compensation is structured as either a lump sum or time-and-materials arrangement, with payment due within 14 days of invoice certification by the City Manager or designee. The contractor is required to maintain comprehensive insurance coverage, including Workers' Compensation, Commercial General Liability with a minimum combined single limit of $2,000,000 per occurrence, and Commercial Automobile Liability with a minimum combined single limit of $1,000,000. Bonding requirements include Performance, Payment, Maintenance (Warranty), and Public Works Bonds as designated by City staff, with amounts typically equal to the full contract price or as specified by Oregon law. The contractor must comply with prevailing wage requirements, maintain a Qualifying Employee Drug-testing Program, and obtain a City of Talent business license prior to commencing work. All work products become the property of the City, and the contractor is responsible for all costs, labor, equipment, materials, and permits necessary for proper performance.
