ADDENDUM
Contract Type: DoDEA-Pacific intends to issue a Firm Fixed Price Indefinite Delivery Indefinite Quantity (IDIQ) Contract.
Planned Period of Performance:
Base Period: 7 September 2010 – 6 September 2011 Option Year 1: 7 September 2011 – 6 September 2012 Option Year 2: 7 September 2012 – 6 September 2013 Option Year 3: 7 September 2013 – 6 September 2014 Option Year 4: 7 September 2014 – 6 September 2015
Invoicing Procedures: In accordance with contract clause FAR 52.212-4, paragraph (g), the contractor shall submit electronic invoices to jennifer.knutson@pac.dodea.edu. All invoices shall have the required information listed in the clause to include the Contract Line Item Number (CLIN) in order for us to accept the invoice.
Method of Payment. Payment for individual task orders will be made by DFAS-Japan upon receipt of a proper invoice and receiving report signed by the government’s representative indicating that the supplies/services have been received, inspected, and accepted.
IDIQ Minimum Guarantee The Government shall satisfy the minimum guarantee requirement of the awarded IDIQ contract by issuance of the first delivery order.

Section C - Descriptions and Specifications
PERFORMANCE WORK STATEMENT
DoDEA Pacific
Performance Work Statement
PROJECT TITLE:
Audio-Visual Transcription and Captioning Services for DoDEA Pacific Solicitation: HE1260-10-R-3004
BACKGROUND:
DoDEA Pacific is seeking contracted services to support compliance with Sections 504 and 508 of the Rehabilitation Amendment to the Americans with Disability Act which requires accessible media for government agencies, students and faculty at public educational institutions, government agencies and organizations who do business with the government or who receive funding from the government.
DoDEA Pacific produces or manages audio-visual media that must be transcribed and/or captioned for distribution via web, DVD, CD-ROM and broadcast.
SCOPE:
DoDEA Pacific will provide the contractor with common electronic audio-visual files such as QuickTime, Windows Media, Flash, MPEG3 audio, MPEG4 video, iTunes audio/video, WAV audio, etc. The contractor shall transcribe the media and provide DoDEA Pacific a review and approve opportunity before a final timed-text transcript is delivered for non-linear editing (NLE) import, DVD/interactive CD authoring, web site deployment, videotape, broadcast, etc.
The contractor shall also offer a live-event captioning capability that is compatible with industry standard media players such as QuickTime, Flash or Windows Media.
PERFORMANCE REQUIREMENTS:
The following technical capabilities are required:
1. Secure (e.g. encrypted) online account management with the following functionality: project submission process with project-specific, customizable transcript/caption output selections;
project status dashboard; and billing management including account history
2. Ability to provide notes during the project submission process to transcriptionist such as acronyms, names and technical and/or professional terms unique to education and government/DoD
3. Ability to accept common media file formats such as: .mov, .flv, .mp3, .m4v, .mp4, .wmv, .wma, .wav, etc.
4. Bulk upload options
5. Must accept .txt or .doc files for transcripts provided by DoDEA-Pacific
6. Multiple caption outputs—at no additional cost—delivered for import into common non-linear editing systems such as Apple Final Cut Pro or Avid Media Composer, DFXP Timed Text for Adobe Flash, Captionate for Flash, DVD Studio Pro subtitles, Google video search data, Sonic Scenarist DVD Captions, raw text transcript with markers, Standalone QuickTime HTML, iTunes chapter captions, etc.
7. Turn-around times from media file upload completion to draft captions ready for review and approval as follows: if transcript provided by DoDEA-Pacific, no more than 3 hours; if transcript is not provided, no more than 3 business days
8. A “rush” option with a turn-around—including transcription service—of no more than 1 business day
9. No required client-side software to make or manage submissions compatible with the service—in other words, DoDEA Pacific will provide industry standard file types and must not be required to transcode to a vendor-supplied codec or to provide a transcript in any format other than .rtf, .txt or .doc.
10. All aspects of the vendor-provided system(s) and service(s) must be easy-to-use to the average person and demand only minimal training or orientation
11. A review-and-approve capability before final captions are delivered
12. Live-event captioning capability that is compatible with industry standard media players such as QuickTime, Flash or Windows Media; must also provide workflow options for content delivery networks such as Akamai, Ustream, or realtime collaboration environments such as Adobe Acrobat Connect (via Defense Connect Online), etc. Final file(s) of program captions must be provided for an on-demand version of the web cast; the file type will be defined for each project and must be an industry standard such as .xml, DFXP Timed Text, .scc, etc.
PERFORMANCE STANDARDS:
Caption output(s) must ensure DoDEA Pacific compliance to requirements of Section 508 of the Workforce Rehabilitation Act as amended in 1998 and the implementing regulations (36 C.F.R. 1194.1 et seq.). Specifically:
1. § 1194.22, Web-based intranet and internet information and applications:
(a) A text equivalent for every non-text element shall be provided (e.g., via “alt”, “longdesc”, or in element content)
(b) Equivalent alternatives for any multimedia presentation shall be synchronized with the presentation.
2. § 1194.24, Video and multimedia products:
(c) All training and informational video and multimedia productions which support the agency’s mission, regardless of format, that contain speech or other audio information necessary for the comprehension of the content, shall be open or closed captioned.
(d) All training and informational video and multimedia productions which support the agency’s mission, regardless of format, that contain visual information necessary for the comprehension of the content, shall be audio described.
(e) Display or presentation of alternate text presentation or audio descriptions shall be user-selectable unless permanent.
DELIVERABLES AND DELIVERY SCHEDULE:
1. English transcriptions must be provided in .txt and/or .doc format(s)
2. Multiple caption outputs—at no additional cost—must be provided for import into common non-linear editing systems such as Apple Final Cut Pro or Avid Media Composer, and/or as DFXP Timed Text for Adobe Flash, Captionate for Flash, DVD Studio Pro subtitles, Google video search data, Sonic Scenarist DVD Captions, raw text transcript with markers, Standalone QuickTime HTML, iTunes chapter captions, etc.
3. Delivery schedule must meet a 3 hour turn-around for transcript-provided projects or a 3 business day turn-around for projects requiring transcription
4. Delivery schedule must also include a “rush” option with a turn-around—including transcription service—of no more than 1 business day

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

52.216-18 ORDERING. (OCT 1995)
(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from date of award through contract expiration date.
(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.
(c) If mailed, a delivery order or task order is considered "issued" when the Government deposits the order in the mail. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Schedule.

52.216-22 INDEFINITE QUANTITY. (OCT 1995)
(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.
(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum". The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum".
(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.
(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after 6 months past the contract expiration date.

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within the period of performance.
52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 5 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 30 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(iii) The taxpayer has entered into an installment agreement pursuant to I.R.C. Sec. 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.
(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).
(ii) The Offeror has ( ) has not ( ), within a three-year period preceding this offer, had one or more contracts terminated for default by any Federal agency.
(2) Principal, for the purposes of this certification, means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager;
head of a division or business segment; and similar positions).
(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.
(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror's responsibility. Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror nonresponsible.
(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.
(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If it is later determined that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (AUG 2009)
An offeror shall complete only paragraph (b) of this provision if the offeror has completed the annual representations and certifications electronically at http://orca.bpn.gov. If an offeror has not completed the annual representations and certifications electronically at the ORCA website, the offeror shall complete only paragraphs (c) through (m) of this provision.
(a) Definitions. As used in this provision --
"Emerging small business" means a small business concern whose size is no greater than 50 percent of the numerical size standard for the NAICS code designated.
"Forced or indentured child labor" means all work or service-
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
Inverted domestic corporation means a foreign incorporated entity which is treated as an inverted domestic corporation under 6 U.S.C. 395(b), i.e., a corporation that used to be incorporated in the United States, or used to be a partnership in the United States, but now is incorporated in a foreign country, or is a subsidiary whose parent corporation is incorporated in a foreign country, that meets the criteria specified in 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
Manufactured end product means any end product in Federal Supply Classes (FSC) 1000-9999, except--
(1) FSC 5510, Lumber and Related Basic Wood Materials;
(2) Federal Supply Group (FSG) 87, Agricultural Supplies;
(3) FSG 88, Live Animals;
(4) FSG 89, Food and Related Consumables;
(5) FSC 9410, Crude Grades of Plant Materials;
(6) FSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) FSC 9440, Miscellaneous Crude Agricultural and Forestry Products;
(8) FSC 9610, Ores;
(9) FSC 9620, Minerals, Natural and Synthetic; and
(10) FSC 9630, Additive Metal Materials.
Place of manufacture means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174).
