A-1 THE QUANTITIES LISTED HEREIN DO NOT COMMIT THE GOVERNMENT TO ORDERING THOSE OR ANY QUANTITIES ABOVE THE MINIMUM QUANTITIES SET FORTH.
A-2 THE CONTRACT RESULTING FROM THIS REQUEST FOR PROPOSAL (RFP) WILL CONSIST OF ONE (1) ONE YEAR BASE ORDERING PERIOD WITH FOUR (4) ADDITIONAL ONE YEAR OPTION PERIODS. TOTAL LENGTH OF THE CONTRACT, IF ALL OPTIONS ARE EXERCISED, IS FIVE (5) YEARS.
A-3: THE FIRST ORDERING PERIOD IS CONSIDERED TO BE FROM THE EFFECTIVE DATE OF CONTRACT AWARD THROUGH THE END OF THE TWELFTH (12TH) MONTH AFTER THE EFFECTIVE DATE OF CONTRACT AWARD.
A-4: QUESTIONS REGARDING THIS RFP SHALL BE SUBMITTED NO LATER THAN 3:00 p.m. LOCAL TIME ON 06 OCTOBER 2009. ALL QUESTIONS MUST BE RECEIVED IN WRITING VIA EITHER ELECTRONIC MAIL OR FACSIMILE AT THE FOLLOWING:

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records--Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

INVOICING/PAYMENTS
CONTRACT PAYMENTS - DELIVERY TICKET INVOICE PROCEDURE
Payments for orders (Communications Service Authorizations (CSAs)) issued under this contract shall be made by the US Government using the Delivery Ticket Invoice (DTI) procedure. The DTI procedure is authorized by Volume 10, Chapter 7, Section 0707 of the Department of Defense (DoD) Financial Management Regulation (FMR). As prescribed by the DoD FMR, payments for CSAs issued under this contract will be provided automatically by the US Government. The vendor shall not submit invoices for telecommunication services provided under this contract. Any invoices submitted by the vendor will not be considered valid. Each DTI created by the contracting officer shall form the basis for payment for each accepted telecommunication service.
The contracting officer shall issue a DTI for each CSA upon acceptance of the telecommunication service by the US Government acceptance official. The DTI will contain the elements required for a valid invoice. It is the responsibility of the vendor to notify the contracting officer of any conflict between the contract price and the amount authorized by the DTI. In the event an erroneous DTI is identified to the contracting officer, a revised DTI will be issued.

52.204-9001 Contract/Order Closeout—Fixed-Price, Time-and-Materials, or Labor-Hours (Jan 2007)
Timely contract closeout is a priority under this contract/order. The Contractor shall submit a final invoice within ninety (90) calendar days after the expiration of this contract/order, unless the Contractor requests and is granted an extension by the Contracting Officer, in writing. In addition, and concurrent with the submission of the final invoice, the Contractor shall notify the Contracting Officer of the amount of excess funds that can be deobligated from this contract/order so the closeout process can begin as soon as possible upon expiration of this contract/order. A bilateral contract/order closeout modification will be forwarded to the Contractor by the Contracting Officer and must be signed by the Contractor and returned to the Contracting Officer within thirty (30) calendar days of issuance of the modification. A Contractor’s failure to respond and/or sign the bilateral closeout modification within thirty (30) calendar days of receipt will constitute approval of the terms of the modification and the modification will subsequently be processed unilaterally by the Contracting Officer to deobligate excess funds and close this contract/order.
If this contract/order contains option periods, the Contractor is required to submit an invoice within ninety (90) calendar days after expiration of the base period of performance and the expiration of each exercised option period of performance to allow for deobligation of excess funds that were obligated in those respective periods of performance.

52.216-1 TYPE OF CONTRACT (APR 1984)
The Government contemplates award of a FIRM FIXED PRICE contract resulting from this solicitation.

52.216-18 Ordering. (OCT 1995)
(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from 29 JAN 2010 through 28 JAN 2015.
(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.
(c) If mailed, a delivery order or task order is considered "issued" when the Government deposits the order in the mail. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Schedule.

52.216-22 Indefinite Quantity. (OCT 1995)
(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.
(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum". The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum".
(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.
(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after 28 JAN 2015.

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 Calendar Days prior to contract expiration.

52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 30 Calendar Days prior to the expiration date of the contract ; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 Calendar Days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 60 months.

252.212-7000 Offeror representations and certifications- Commercial items. (JUN 2005)
(a) Definitions.
As used in this clause-
(1) Foreign person means any person other than a United States person as defined in Section 16(2) of the Export Administration Act of 1979 (50 U.S.C. App. Sec. 2415).
(2) United States means the 50 States, the District of Columbia, outlying areas, and the outer Continental Shelf as defined in 43 U.S.C. 1331.
(3) United States person is defined in Section 16(2) of the Export Administration Act of 1979 and means any United States resident or national (other than an individual resident outside the United States and employed by other than a United States person), any domestic concern (including any permanent domestic establishment of any foreign concern), and any foreign subsidiary or affiliate (including any permanent foreign establishment) of any domestic concern which is controlled in fact by such domestic concern, as determined under regulations of the President.
(b) Certification.
By submitting this offer, the Offeror, if a foreign person, company or entity, certifies that it -
(1) Does not comply with the Secondary Arab Boycott of Israel; and
(2) Is not taking or knowingly agreeing to take any action, with respect to the Secondary Boycott of Israel by Arab countries, which 50 U.S.C. App. Sec. 2407(a) prohibits a United States person from taking.
(c) Representation of Extent of Transportation by Sea. (This representation does not apply to solicitations for the direct purchase of ocean transportation services).
(1) The Offeror shall indicate by checking the appropriate blank in paragraph (c)(2) of this provision whether transportation of supplies by sea is anticipated under the resultant contract. The term "supplies" is defined in the Transportation of Supplies by Sea clause of this solicitation.
(2) Representation.
The Offeror represents that it-
___Does anticipate that supplies will be transported by sea in the performance of any contract or subcontract resulting from this solicitation.
___Does not anticipate that supplies will be transported by sea in the performance of any contract or subcontract resulting from this solicitation.
(3) Any contract resulting from this solicitation will include the Transportation of Supplies by Sea Clause. SOLICITATION PROVISIONS
1. ADDENDUM TO FAR 52.212-1, INSTRUCTIONS TO OFFERORS –- COMMERCIAL ITEMS (JUN 2008)
Paragraph (b) entitled “Submission of Offers” is deleted in its entirety and replaced with paragraph 3, “Proposal Preparation Instructions”, below.
Paragraph (c) entitled “Period for acceptance of offers”, is changed to read: The offeror agrees to hold the prices in its offer firm for 120 calendar days from the date specified for receipt of offers.
Paragraph (e) entitled “Multiple Offers” is tailored to read: “The government will not consider multiple offers presenting alternate terms and conditions for satisfying the requirements of this solicitation.”
Paragraph (h) entitled “Multiple awards” is tailored to read: “The Government intends to award one contract as a result of this solicitation. Unless otherwise provided, offers may not be submitted for quantities less than those specified. Written questions will be answered in writing and provided to all offerors via an amendment to the solicitation. However, due to the time required to research a question and provide an answer via an amendment, questions received less than 14 calendar days prior to the due date of offers specified in this solicitation may not be answered.
2. PROPOSAL PREPARATION INSTRUCTIONS
a. To assure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein. Proposals must be complete, self-sufficient, and respond directly to the requirements of this solicitation. The response shall consist of two (2) parts, Part I – Price Proposal, and Part II – Past Performance Information. Offerors shall submit the entire proposal package on a compact disc (CD).
b. The contracting officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the contracting officer will review this determination and if, in the contracting officer’s opinion, adequate price competition exists no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists offerors may be required to submit information to the extent necessary for the contracting officer to determine the reasonableness of the price.
