This solicitation amendment adds and deletes clauses in Sections H and I, and modifies Sections L and M.

SECTION H - SPECIAL CONTRACT REQUIREMENTS

The following have been added by full text:

H.10 OCI

Organizational Conflict of Interest (OCI) and Protecting and Handling Proprietary Information

Organizational Conflict of Interest (OCI)

(a) The work to be performed by the contractor under this contract is of such a nature that it may create an OCI as contemplated and defined by Subpart 9.5 of the Federal Acquisition Regulation (FAR). The contractor (as defined in paragraph (c) below) shall not engage in contract activities which may impair its ability to render unbiased advice and recommendations, or in which it may gain an unfair competitive advantage as a result of the knowledge, information and experience gained during the performance of this contract.

(b) The Government intends to award individual contracts for Data Center Services, Distributed Computing Services, and Enterprise Network Services known as SITEC unit-based service areas. The contractor shall be ineligible for award of more than one SITEC unit-based service area contract in support of the United States Special Operations Command.

(c) Prior to subcontracting work under this contract the contractor shall determine if the proposed subcontractor is performing work under other SITEC unit-based service areas. If it is determined that the proposed subcontractor is performing work the contractor shall submit a mitigation plan for Contracting Officer (CO) review and approval prior to awarding a subcontract.

(d) The term “contractor” herein used means:

(1) The organization entering into this contract with the Government;

(2) All business organizations with which it merges, joins or affiliates, now or in the future, and in any manner whatsoever, or which hold or may obtain, by purchase or otherwise, direct or indirect control of;

(3) Its parent organization (if any), and any of its present or future affiliates, associates, affiliates; and,

(4) Any organization or enterprise over which it has direct or indirect control (now or in the future).

(e) “Affiliates” means concerns and entities where one controls or has the power to control the other, or a third party or parties’ controls or has the power to control both. It does not matter whether control is exercised, so long as the power to control exists.

(f) Government representatives shall have access to the contractor's premises and the right to inspect all pertinent books and records in order to insure that the contractor is in compliance with Subpart 9.5 of the FAR and this provision.

(g) If the contractor, after award, discovers a potential OCI, a prompt and full disclosure shall be made in writing to the CO. This disclosure shall include a description of the actions the contractor has taken or proposes to take to avoid or mitigate the conflict.

(h) The Government may waive application of this clause when it is determined to be in the best interest of the Government to do so.

Protecting and Handling Proprietary Information

(a) During contract performance the contractor may, either directly or through the Government, receive proprietary technical data and computer software (hereafter “proprietary information") of other contractors. The contractor shall protect such proprietary information with the same caution that a reasonably prudent contractor would use to safeguard highly valuable property. Proprietary information shall not be duplicated, used or disclosed in whole or in part, without prior written permission of the Government, for any purpose other than to perform this contract. This restriction does not limit the contractor's right to use, duplicate or disclose such information if such information was lawfully obtained by the contractor from other sources.

(b) The contractor shall enter into written agreements with all companies whose proprietary information it receives.

In addition, the contractor shall obtain individual non-disclosure agreements from all employees who have access to such data. The contractor shall furnish to the CO copies of these written agreements.

(c) The contractor shall include this provision, including this paragraph, in subcontracts of any tier which involve access to information covered in paragraph (a) above. The use of this clause in such subcontracts shall be read by substituting the word "subcontractor" for the word "contractor" wherever the latter appears.

SECTION M - EVALUATION FACTORS FOR AWARD

The following have been modified:

EVALUATION FACTORS FOR AWARD

M.1 Introduction: This section outlines the criteria the Government will use in evaluating the Offeror’s capabilities and proposal for the USSOCOM SITEC Enterprise Network Services acquisition. The Government will compare each Offeror’s capabilities and proposal elements against the evaluation criteria related to the Government’s requirement defined herein. This is a competitive, best value, source selection using a tradeoff process that will be conducted in accordance with Federal Acquisition Regulation (FAR) Part 15.3 and Defense Federal Acquisition Regulation Supplement (DFARS) Part 215.3.

M.1.1 Basis of Award: This is a best value source selection conducted in accordance with the Federal Acquisition Regulation. The Government will select the best overall offer, based upon an integrated assessment of offerors' technical/management capabilities, past performance assessment, and price. For a proposal to be eligible for award the Offeror must: be deemed responsible in accordance with the FAR, meet all technical requirements of the solicitation, conform to all required terms and conditions, and include all required representations/certifications. An evaluation will be made of each Offeror's proposal resulting in an integrated assessment of the factors set forth below.

Proposals that are unrealistic in terms of technical/management, price, or schedule commitments may be rejected.

To arrive at a best value decision, the source selection authority (SSA) will integrate the source selection team's input, and then assess each offer in accordance with the evaluation factors and subfactors (described below).

The Government reserves the right to award a contract to other than the lowest price Offeror after consideration of all factors. The Government contemplates the award of a single contract; however, the Government reserves the right to make no award if no proposals meet the requirements of the solicitation.

M.1.2 Evaluation: The Government will evaluate proposals received against Qualifying Criteria and the following factors (Technical, Management, Past Performance, and Price). The Government will evaluate Qualifying Criteria (Volume I) on a pass or fail basis. The Government will use a color rating technique to evaluate Technical Criteria (Volume II) and Management Criteria (Volume III). The Government will evaluate relevant Past Performance (Volume IV) and determine the level of confidence in the Offeror’s ability to successfully perform the required effort based on relevant past and present past performance. The Government will not use a color rating to evaluate the Price Proposal (Volume V).

The evaluation factors for this solicitation are listed below. The Technical and Management factors are equal in importance. Past Performance is less important than both the Technical and Management factors and more important than Price. The Technical, Management, and Past Performance factors, when combined, are significantly more important than Price.

Factor 1: Technical

Factor 2: Management

Factor 3: Past Performance

Factor 4: Price

Technical and Management subfactors roll up into an overall rating for each of the factors. The offered prices under Price Proposal will be evaluated separately.

The Government will evaluate risk as an integral part of each of the evaluation of the Technical and Management Factors. The Government’s assessment of risk will be based on whether the information provided demonstrates that the Offerors performance will most likely result in success or failure. Risk will be included in the final evaluation for the Technical and Management factors and will not be evaluated as a separate factor. As part of this risk evaluation, the Government may take into consideration the potential effect that any or all caveats, exceptions, and assumptions that are stated in Offeror’s proposal may have on the capability, completeness, and appropriateness of the proposed solution to fulfill the contract requirements.

Table 1 below provides an overview of the Evaluation Categories and Factors.
