About this file

This email correspondence documents approval from the Illinois Governor's Office for contract exceptions related to a Basic Ordering Agreement (BOA) between the Illinois Educational Labor Relations Board (IELRB) and Westlaw. The communication involves the Office of Illinois Governor JB Pritzker, represented by Deputy General Counsel Scott Lerner, and the IELRB, represented by General Counsel Ellen Maureen Strizak. Westlaw is the vendor providing the contracted services. The request was submitted on September 3, 2026, and approved the same day by the Governor's office.

The contract pertains to renewal of legal research services with Westlaw, with the annual service offer exceeding $20,000, which necessitates the BOA structure rather than reliance on the existing Lexis master contract. Westlaw submitted multiple exceptions to the proposed BOA terms, of which the vendor subsequently withdrew exceptions to items 3 and 29. The IELRB accepted the remaining Westlaw exceptions without objection; however, approval was required from the Governor's office for the indemnification modification proposed in item 10 before the exception could be included in the BidBuy procurement system. Scott Lerner's approval of this indemnification exception allows the IELRB to proceed with finalizing the agreement with Westlaw.

From: Strizak, Ellen <Ellen.Strizak@Illinois.gov> Sent: Thursday, September 3, 2026 12:43 PM To: Lerner, Scott <Scott.Lerner@Illinois.gov> Cc: Crabtree, Jeff <Jeff.Crabtree@Illinois.gov>; Dean, Meredith <Meredith.Dean@illinois.gov> Subject: Request for Approval - Westlaw

Scott, Attached is a Basic Ordering Agreement (“BOA”) related to the IELRB’s renewal for services with Westlaw. As you are aware, Lexis has been on master contract for the past few years. For that reason, the IELRB has to go outside of the master to acquire Westlaw.

This year the Westlaw offer for services exceeds $20k, which requires us to enter into this type of agreement. The IELRB has not seen many of these in the past because we typically don’t make purchases above $20k or they are done via master contract.

The IELRB sent the completed BOA to Westlaw earlier this week and received several exceptions from Westlaw in reply. Beginning on page 10 of the attached BOA, you will see Westlaw’s proposed exceptions highlighted in blue. Please note that as of today, Westlaw has withdrawn its exceptions to items 3 and 29. The IELRB can agree and does not object to the remaining terms offered by Westlaw. However, per the State Purchasing Officer’s office, the IELRB cannot agree to the indemnification modification to item 10 without the approval from the Governor’s office. Accordingly, the IELRB requests formal approval from the Governor’s office for the indemnification exception that we can attach to the procurement in BidBuy.

Very truly yours, Ellen Maureen Strizak (she/her) General Counsel Illinois Educational Labor Relations Board 160 N.
