About this file

This is an addendum to an RFP/RFQ for on-call geotechnical, materials testing, and special inspection engineering consulting services issued by a California municipality. The addendum modifies terms and conditions of the original solicitation for consulting services to be provided on an as-needed basis. The contract will be subject to prevailing wage requirements and the City's Project Labor Agreement. Key dates, submission requirements, scope modifications, or clarifications included in this addendum supersede corresponding provisions in the original RFP/RFQ documents. Respondents are required to acknowledge receipt and acceptance of all addenda as part of their proposal submissions.

Specific pricing structures, insurance requirements, bonding obligations, and other contractual terms referenced in this addendum establish the framework for evaluation and award of on-call consulting services agreements. The amendment addresses modifications to the original solicitation terms, including any changes to scope, compensation structures, selection criteria, or administrative procedures. Firms responding to this opportunity must comply with all addendum provisions in addition to the base RFP/RFQ requirements, with the resulting agreement subject to prevailing wage and Project Labor Agreement compliance as mandatory conditions of contract performance in the State of California.

QUESTIONS AND ANSWERS

Attachment 4: Questions and Answers

Page | 1 M:\Inspect\Geotechnical On Call 2025\2025 Consultants\02 RFP\03 RFP Amendment 1\Attachment 4 Q and A.docx

Question 1

Does the sealed fee proposal count against the 50-page limit?

➢ No. Sealed fee proposals do not count against the 50-page limit.

Question 2

Are the five hard copies and USB due within five business days after September 16 — roughly

September 23?

➢ Delivery of hard copy documents and USB drive are due September 23, 2026.

Question 3

Will forms, including Exhibits C and D, be considered part of the page count?

➢ No. Forms for Attachment D will not be counted towards page count. There is no Exhibit

C in the RFP. There is an Attachment C which is the City's QAP, provided for reference.

Do you have fillable forms for Exhibits C and D?

➢ Yes. For Attachment D see the fillable form in excel format in the Documents Tab, added via addendum. There is no Exhibit C in the RFP.

Do subconsultants need to complete Exhibits C and D?

➢ Yes. Subconsultants need to provide the information required by Attachment D.

Question 4

The Project Labor Agreement included in the RFP/RFQ is not signed by Operating Engineers

Local 12. Operating Engineers Local 12 is the union that would be responsible for the scope of work detailed in the RFP/RFQ. Has Local 12 signed on to this agreement? If not, will the scope of work be exempt from the PLA?

➢ No, Operating Engineers Local 12 has not signed the City of Chula Vista’s Project Labor

Agreement. As a result, the Construction and/or Building Inspector and Field Soils and

Material Tester job classifications are not subject to the PLA requirements. Refer to

RFP/RFQ Section IV Project Labor Agreement (PLA) Applicability.

Question 5

Regarding Consultant Services Agreement, Section 1.4, Standard of Care: Will the City strike the word "highest" from this provision? The language creates a heightened warranty that the

Consultant will perform above the appropriate standard of care for professional services. This risk is generally inconsistent with professional services agreements, where the Consultant is typically responsible for performing in accordance with the care and skill ordinarily used by members of the same profession.

➢ No. The City will not strike the word "highest".

Question 6

Regarding Consultant Services Agreement, Section 1.6 and Exhibit A Section 5, Security for

Performance: Will the City confirm that the "Security for Performance" box in Exhibit A, Section 5 will be marked "None"? Such security is generally not appropriate for professional services.

➢ Yes. Security for Performance will not apply to Two Party Agreements issued under this

RFP/RFQ.

Question 7

Regarding Consultant Services Agreement, Section 2.4, Retention Policy: Will the City remove this provision so that no retention will be withheld from payments due to Consultant?

Professional services do not involve the same performance and completion risks as construction work, for which retention is more commonly utilized. As such, retention is generally not appropriate for professional services.

➢ Yes. Retention Policy will not apply to Two Party Agreements issued under this

RFP/RFQ.

Question 8

Regarding Consultant Services Agreement, Section 4.1, Indemnification, General: Will the

District revise the indemnification provision as follows? The current language is inconsistent with industry standards for professional services. 4.1 General. To the maximum extent allowed by law, Consultant shall timely and fully protect, defend, reimburse, indemnify and hold harmless City, its elected and appointed officers, agents, employees and volunteers (collectively, "Indemnified Parties"), from and against any and all claims, demands, causes of action, costs, expenses, (including reasonable attorneys' fees and court costs), liability, loss, damage or injury, in law or equity, to property or persons, including wrongful death. (Remove: in any manner arising out of or incident to) (Replace With: to the extent caused by) and (Remove: alleged)

(Replace With: negligent) acts, omissions, negligence, or willful misconduct of Consultant, its officials, officers, employees, agents, and contractors, arising out of or in connection with the performance of the Required Services, the results of such performance, or this Agreement. This indemnity provision does not include any claims, damages, liability, costs and expenses arising from the (Remove: sole) negligence or willful misconduct of the Indemnified Parties. (Remove:

Also covered is liability arising from, connected with, caused by or claimed to be caused by the active or passive negligent acts or omissions of the Indemnified Parties which may be in combination with the active or passive negligent acts or omissions of the Consultant, its employees, agents or officers, or any third party.)

➢ No.
