About this file

This is a Sole Source Justification Form (Bulletin Reference Number 27-440DFPR-INFOT-B-52202) submitted by the Illinois Department of Financial and Professional Regulation (IDFPR), Office of the Secretary, Division of Information Technology. The document justifies a sole source procurement with Tyler Technologies, Inc. for maintenance, support, hosting, and decommissioning services for the agency's legacy systems.

The contract covers maintenance, support, hosting, and data management services for IDFPR's Integrated Licensing and Enforcement System (ILES) and Credential, Licensing, Enforcement and Regulation (CLEAR) database systems, both proprietary Tyler Technologies software. The estimated contract value is $1,163,297.72 for a one-year term beginning July 1, 2026, and ending June 30, 2027, with no renewal options. Funding will be provided through State Appropriated Funds. Services include technical support, patches and updates, Virtual Private Cloud hosting on Amazon Web Services, Database Administrator services, disaster recovery capabilities, and transition services related to IDFPR's migration to a new regulatory licensing solution called CORE. Billing will occur monthly on an as-needed basis, with costs only incurred for services actually utilized. The contract contemplates a transition from active ILES and CLEAR maintenance to cold storage services as the agency decommissions these legacy systems during the fiscal year. Tyler Technologies is identified as the sole source provider due to its ownership of the proprietary software and code, with no alternative vendors capable of meeting IDFPR's July 1, 2026 deadline.

Bulletin Reference Number 27-440DFPR-INFOT-B-52202

Requesting Agency/University IDFPR - 440

1. Provide a detailed explanation of the need for the supplies or services:

ILES and CLEAR hold the entire application, licensing, and enforcement histories of our assigned professions and entities. Both systems are based on Tyler Technologies' proprietary software and coding which has been modified over the years to meet the evolving regulatory needs of the agency. ILES and CLEAR are essential to IDFPR's mission accomplishment and ensuring the safety of Illinois citizens with regards to our licensed professionals. ILES/CLEAR maintenance is required for keep IDFPR's current/remaining systems running effectively for daily regulatory operations.

Software maintenance and support is vital to keeping ILES and CLEAR up and running accurately, and getting technical assistance from the vendor when needed. The annual maintenance provides for technical support (phone, email, on-site) and installation of patches and fixes. The vendor will also be working on Internet upgrades for Chrome, Edge, and Firefox. Denial of this maintenance would mean no system updates/patches, which could lead to instability or shutdowns of the systems and stall or stop IDFPR's regulatory oversight of our professions and ability to protect consumers.

Data management is necessary for the impending transition off of these solutions to the new regulatory solution currently being procured through an active RFP. IDFPR is coordinating with Tyler Technologies to document an exit strategy for ILES and CLEAR and ensure clean and accurate data is migrated to the new regulatory solution selected. The active RFP requires a project plan for the new solution's implementation over a multi-phased, multi-divisional approach.

The agency has transitioned to a vendor-hosted solution. The agency will still be able to access the data in real-time as the ILES and CLEAR systems will remain web-based. The agency will work with the vendor to maintain a quarterly invoicing term so IDFPR will be billed correctly for the services being provided.

2. Provide a list and describe in detail the specifications required to satisfy the need:

Services for this Sole Source request include, but are not limited to: hosting, maintenance, and select transition services associated with the ILES and CLEAR systems. The IDFPR utilizes two eLicense installations, known as “ILES” and “CLEAR”. The ILES solution supports IDFPR in the administration of 60+ professional and occupational regulatory Boards and 300+ Credential Types. The CLEAR solution supports IDFPR in the administration of 13+ banking and financial institutions Boards and 112+ Credential Types. This document includes budgetary estimates and information related to annual hosting, maintenance, and support services with the ILES and CLEAR systems along with optional direct support services associated with new/modified legislative and administrative mandates that directly impact our ILES and CLEAR systems.

The recommended design to host IDFPR’s environments includes the full complement of the vendor's hosting experience, designed around hosting best practices for our software. The solution provided includes the design and implementation of a Virtual Private Cloud (VPC) for a secure environment, the complete infrastructure of the hosted environment (including servers, OS, and database licensing costs), and the maintenance to keep everything running smoothly in the Amazon Web Services (AWS) cloud. Hosting with the vendor includes Database Administrator (DBA) services to support system maintenance and release processes. Additional benefits include having the option for customized backups, increased resiliency, and Disaster Recovery built right into the functionality of the hosted environment. The hosted solution will operate under mutually agreed upon definitions, designated contacts, issue escalation, support hours, service levels, end user support, data encryption, security, and incident reporting. Vendor installation tasks, maintenance tasks, and service agreements will also be mutually agreed upon. Hosting services requirements (no transition services), along with the annual maintenance and support and Tier 1 and Tier 2 direct support resources, will be in the FY27 contract.

Requesting Agency/University IDFPR - 440

3. Provide detail explaining the justification selected in Section IV to explain why the requested supplies or services are the only ones available that can satisfy the agency or university requirements?

ILES and CLEAR are both Tyler Technologies' proprietary software and code. Only the patent holder can make changes to their software. Attempts by agency staff or others to perform system changes would void all warranties and support. Software maintenance and modifications must remain in effect until the systems are integrated in a future enterprise technology solution. Neither IDFPR nor DoIT have the appropriately qualified personnel available to handle any additional maintenance or support functions related to this system. All documentation, modifications, instructions, and corrections provided under this Agreement and relating to the Vendor's licensed software and its operations are subject to the same terms and conditions as contained in our License Agreement and are the proprietary property of Tyler.

Due to the incumbent vendor being the proprietary patent owner of the ILES and CLEAR software and code, the costs to maintain status quo of maintenance, support, and hosting of our systems for FY27 result in the Vendor being the most economically feasible, responsive, and responsible provider for this request. Competitively bidding supplementary maintenance and support resource that are not the vendor would result in a much higher use of resources (time, money, people, etc.) for the agency, the current Vendor, and the supplementary resources. The vendor's in-house resources are the most qualified, best suited, and most cost effective solutions IDFPR has to provide all services scoped and quoted.

IDFPR's regulatory oversight is an ever evolving landscape. On an annual basis, IDFPR's regulatory oversight will change. Whether it be adding or subtracting a licensed profession, increasing or decreasing the quantity or complexity of a profession, or rectifying operational and audit compliance issues, something changes annually. These changes have a direct impact on IDFPR's core operations (business) and systems (IT = ILES and CLEAR) in accomplishing the agency's mission. These business and IT pillars do not work separately or in a vacuum - they are ingrained within each other. So, if one part changes, the other needs to as well. Allowing IDFPR to utilize the Vendor's optional direct support services, it will allow IDFPR to prioritize resources and focus on new/modified legislative and administrative mandates that directly impact our ILES and CLEAR systems without the existing professions having to suffer from this resources re-allocation. Depending on the quantity of modification, IDFPR may see an increase in systems performance and security, which users and constituents will reap the benefits of.

4. What are the unique features of the supplies or services that are not available in any other product or by any other vendor? Provide specific quantifiable factors/qualifications:

ILES and CLEAR are not off-the-shelf products. The base software, known as CAVU eLicense, was extensively customized to meet the needs of each legacy agency. As the proprietary owner, the vendor provides proficient staff to apply modifications and patches to the systems which are critical to IDFPR's mission and daily regulatory operations and must be securely maintained. Also, with the transfer of these services from a state-hosted server system to a vendor-hosted server system will require the utilization of the proprietary owner to successfully maintain, support, and host.

5. Has the Agency or University considered alternative supplies or services to satisfy their need? Yes No

5a. If no, why weren't alternatives evaluated?

Tyler Technology is the only vendor who can meet FPR's needs by July 1, 2026.

6. Are there resellers or distributors?

Yes No N/A

7. What efforts were made to get the best possible price (i.e. did the agency/university negotiate) and how did you determine the price for this purchase is considered fair and reasonable?

The FY26 annual maintenance, support, hosting, direct support resource services, and decommissioning/cold storage cost comes to an est. $1,163,297.72. This cost is a maximum amount that shall not be exceeded. We anticipate the cost to be lower than what is listed.

The pricing line-items are to be billed on a monthly, as-needed basis. So, if IDFPR does not utilize a line-item, we will not be billed for it.

To start FY27, we will not be billed the cold storage line items until decommissioning of ILES and/or CLEAR is executed. Later in FY27, we will utilize the cold storage line items, however, the line items for ILES and/or CLEAR maintenance, support, and hosting will not be billed. This billing transition will be dependent on IDFPR's successful migration to our new regulatory licensing solution, CORE. It's anticipated that the decommissioning of ILES will occur during FY27.

8. Will this purchase obligate the State to this vendor for future purchases such as maintenance, licensing or continuing need?

Yes No

9. What will be the financial or other impact to the State if this sole source is not approved and a competitive bid is required?

The data in ILES and CLEAR are integral to IDFPR's mission and daily regulatory operations. Allowing maintenance to lapse will result in data breaches, system errors, along with system and operational failures throughout the agency. Allowing credentialing of unqualified persons or unethical professionals to continue licensed practice (ILES) or allowing financial/fiduciary entities to operate outside sound legal business practices (CLEAR) will negatively impact the health, safety, and welfare of Illinois citizens as well as threaten economic development, new business start-ups, home ownership, and the financial security of consumers. These systems are also tied into our Fiscal processes. Without proper execution of license applications, renewals, and disciplines, IDFPR would be unable to accurately and effectively collect the revenue from these processes. As IDFPR is not funded by taxes through the General Revenue Fund but rather funded through the license applications, renewals, and disciplines, this would be a catastrophic blow to the agency's revenue and cash flow. If that occurs, IDFPR is at risk to laying off nearly all employees until this revenue flow is rectified.

Regarding a competitive bid, the software is patented and maintenance is available from only one source: Tyler Technologies. There is no other source until ILES and CLEAR are converted into the future state technology solution.

With the new regulatory solution collaborations occurring, there is no logical business reason to undertake the massive effort, expense, and regulatory operation disruptions involved in replacing ILES and CLEAR with another product until we have fully implemented and transitioned onto the regulatory solution.

10. Is there any additional information you would like to add to justify this sole source?

N/A

FY23 costs increased after getting approved to include Tier 1 and Tier 2 direct support resources. FY24 costs were maintained from the previous year but was increased in FY25. FY26 saw a slight decrease in total costs.
Q1Answer: ILES and CLEAR hold the entire application, licensing, and enforcement histories of our assigned professions and entities.

Q2Answer: Services for this Sole Source request include, but are not limited to: hosting, maintenance, and select transition services associated with the ILES and CLEAR systems.

Q3Answer: ILES and CLEAR are both Tyler Technologies' proprietary software and code.

Q4Answer: ILES and CLEAR are not off-the-shelf products.

Q5aAnswer: Thentia Cloud. Please see responses for 5b and 5c.
Q5aAnswer: Tyler Technology is the only vendor who can meet FPR's needs by July 1, 2026.
Q5bAnswer: There are other licensing systems available, however, they are typically designated for one profession and/or one operational need. IDFPR regulates over 200 license types that make up nearly 1.2 million licensees and charters along with multiple operational needs (licensing, enforcement, examination, board management, payments, reporting, audits, etc.). To have a system only do a single profession or regulatory operational need will not suffice. IDFPR needs to ensure that all application information securely and accurately fulfills all regulatory licensing requirements and any regulatory enforcement actions taken are recorded in the same system at the same time.

Please see attachment 5b for additional information.

Q5cAnswer: No formal market evaluation was conducted and no alternative vendors were contacted. Although, early research was done via general Internet searches and Executive staff's professional experiences. Further efforts became unnecessary with the collaboration with other State agencies on the release off master became available and IDFPR's request for a new regulatory solution through that procurement method became available.

IDFPR utilized the Workforce Analysis services of a state-wide master contract vendor, RSM. This mapped out all current licensing and enforcement processes to be LEAN reviewed, documented, and used as a basis for subsequent procurements for a replacement regulatory solution. This work product will be the foundational information used in successfully implementing the new requested regulatory solution. IDFPR's ultimate intention is to get to get a replacement regulatory solution in the most effective method possible that provides the highest value to meet our regulatory, customer service, and operational needs.

Q7Answer: The FY26 annual maintenance, support, hosting, direct support resource services, and decommissioning/cold storage cost comes to an est.

Q9Answer: The data in ILES and CLEAR are integral to IDFPR's mission and daily regulatory operations.
