SECTION I - CONTRACT CLAUSES

52.228-1 BID GUARANTEE (SEP 1996)

(a) Failure to furnish a bid guarantee in the proper form and amount, by the time set for opening of bids, may be cause for rejection of the bid.

(b) The bidder shall furnish a bid guarantee in the form of a firm commitment, e.g., bid bond supported by good and sufficient surety or sureties acceptable to the Government, postal money order, certified check, cashier's check, irrevocable letter of credit, or, under Treasury Department regulations, certain bonds or notes of the United States. The Contracting Officer will return bid guarantees, other than bid bonds, (1) to unsuccessful bidders as soon as practicable after the opening of bids, and (2) to the successful bidder upon execution of contractual documents and bonds (including any necessary coinsurance or reinsurance agreements), as required by the bid as accepted.-

(c) The amount of the bid guarantee shall be $1,000,000.

(d) If the successful bidder, upon acceptance of its bid by the Government within the period specified for acceptance, fails to execute all contractual documents or furnish executed bond(s) within 10 days after receipt of the forms by the bidder, the Contracting Officer may terminate the contract for default.-

(e) In the event the contract is terminated for default, the bidder is liable for any cost of acquiring the work that exceeds the amount of its bid, and the bid guarantee is available to offset the difference.

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

PKOC L-002 PROPOSAL FORMAT/ PREPARATION INSTRUCTIONS (Jan 2011)

A. To assure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. Failure to meet a requirement will result in the entire proposal being considered non-responsive and will not be considered for award. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. The response shall consist of three (3) separate parts:

Part I – Price Proposal

Part II – Technical Proposal/Mission Capability

Part III – Past Performance Information.

B. The contracting officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the contracting officer will review this determination and if, in the contracting officer’s opinion, adequate price competition exists no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists, offerors may be required to submit information to the extent necessary for the contracting officer to determine the reasonableness and affordability of the price.

C. The offeror shall submit an original and three (3) copies of their proposal with each part clearly labeled in separate bindings. An electronic copy shall be submitted as well. It is preferred that each Proposal Part be submitted on a separate CD.

D. Submitting Electronic Proposals: Offerors shall follow these instructions:

1. Electronic storage media shall be submitted in one of the following formats: prerecorded (pressed) CD-ROM or CD-R.

a. If you submit documents using Microsoft Office 2007 (or an earlier version), save files in default format; e.g. with Word, "Save as type" set to "Word Document (*.docx)" only.

b. If you submit documents using Microsoft Word XP (2003) or 2007:

2. For Word 2007 documents, set "Save as type" to .docx

3. For Word 2003 you must install the Office Compatibility Pack from www.microsoft.com.

a. When using Microsoft Excel XP (2003) or 2007:

4. For Excel 2007 spreadsheets, set "Save as type" to "Microsoft Excel Workbook (*.xls)".

5. For Excel 2003 you must install the Office Compatibility Pack from www.microsoft.com.

a. When using Microsoft PowerPoint XP (2003) or 2007:

a. Submit any Microsoft Project files in Microsoft Project 2007 or later. There are no special “save” functions required for later versions of Project.

b. Submit PDF documents using only Adobe Acrobat 9.0. Do NOT submit any documents in PDF format that are copied as “images”. When creating PDF files always create to enable textual search and copy functions.

E. Specific Instructions:

1. PART I – PRICE PROPOSAL: The price proposal is not limited as to the number of pages.

(a) Complete blocks 14 through 20 of the RFP Section A, SF 1442. In doing so, the offeror accedes to the contract terms and conditions as written in the RFP Sections A through M. These sections constitute the model contract.

(b) Price: The price proposal shall consist of a contract coefficient for each line item as solicited in the Price Schedule. This coefficient shall be applied to all projects associated with this contract.

1) Offeror shall explain the basis for the methodology and development of the coefficients for each line item (CLINs 0001-0006). The explanation shall, as a minimum address:

i. the offeror’s perception of the accuracy of the unit price book (RS MEAN®) and the City Cost Index (CCI) Weighted Average Total for Dayton, OH (this would include any decrements included in the coefficient to adjust for a perceived high Dayton CCI, Davis Bacon labor rate adjustments, etc);

ii. the basis for any assumptions regarding expected volume (dollars) of work under the contract;

iii. The development of each coefficient using the following example as a guide: EXAMPLE - Working hours 1.06325 = 1 + ((0.17 (17% General Overhead) - .12 (12% Decrement based on evaluation of RS MEAN® and CCI Weighted Avg Total for Dayton, OH) x 1.15 G&A x 1.10 Profit)); and

iv. The offered coefficients shall contain all allowable contractor costs, including contingencies and profit. Examples of such costs are; gross receipts taxes, payroll taxes (FICA, workmen's compensation, state and federal unemployment taxes for direct payroll employees, etc), superintendents' salaries, builders' risk insurance, initial contract startup mobilization, demobilization expenses, and bond premiums. The offered coefficients shall also contain various overhead expenses, including, project estimating, site office overhead, field office building, furniture, equipment, on-site office staff salaries, vehicle and construction equipment maintenance, office administrative expenses, and a proportional share of home office overhead. The coefficients shall also include all insurance, special clothing for workers, traffic barricades, additional supervision, as well as, paperwork fees associated with a particular delivery order, for example, asbestos removal plan, lead abatement plan, consultant fees, all on and off site storage, etc. The coefficients shall be entered into Section B of the solicitation, underneath the CLIN descriptions.

(c) Offerors shall submit Sections A through M in their entirety. Complete the necessary fill-ins and certifications in Section K.

(d) The offeror shall complete the certifications and representations as described in FAR 52.204-8 by going to the ORCA website at https://orca.bpn.gov/.

(e) As applicable, provide a letter from the Small Business Administration (SBA) showing proof of Section 8(a) status, approved joint venture, or approved mentor/protégé agreement. If a teaming arrangement is contemplated, provide complete, verifiable information as to the arrangement.

(f) Provide the bid bond documentation as required in this solicitation.

(g) Project Distribution: It is estimated that the maximum dollar amount of this contract will be distributed as follows (this shall be reflected in the proposed coefficient for each CLIN/performance period identified in Section B):

96 % Work accomplished during standard working hours

4 % Work accomplished during non-standard working hours

*Note: Standard hours are Mon. – Fri., 7:30 am – 4:30 pm EST and Nonstandard hours are all others

(h) Historical Task Order Data:

1) Construction projects under this contract will generally range from $2,000 to $100,000.

2) Feasible to be expected to accomplish up to one hundred (100) simultaneous projects and up to one hundred and fifty (150) projects annually.

3) Following is other pertinent historical information from the previous SABER 5-Year contract (FA8601-07-D-0008) at Wright-Patterson Air Force Base as accumulated during the period January 2007 through September 2009:

Total dollars spent on all task orders issued: $50,905,020.97

Total number of task orders issued: 365 as of 30 Sep 2009

4) Following is other pertinent historical information from the current SABER 1-Year contract (FA8601-10-D-0009) at Wright-Patterson Air Force Base as accumulated during the period July 2010 through September 2010:

Total dollars spent on all task orders issued: $5,032,010.10

Total number of task orders issued: 63 as of 30 Sep 2010

2. PART II – TECHNICAL PROPOSAL/MISSION CAPABILITY: Technical proposals shall be limited to 45 pages of text. This page limitation applies to the total number of pages for items (a)(Program Management) and (b)(Project Planning and Execution) of this section but not item (c)(Seed Project). Title Page, Table of Contents, Cover Letter and Tabs are excluded from the 45 page limitation. Text on one side only of an 8 ½ x 11 sheet of paper constitutes one page, and text on both sides of an 8 ½ x 11 sheet of paper constitutes two pages. The 45-page limitation includes personnel resumes. Pages in excess of 45 pages will be removed and will not be evaluated.

The specific topics to be addressed in Part II are as follows:

SUB-FACTOR 1: PROGRAM MANAGEMENT

Element 1-1: Management Organization - Purpose is to identify key staff personnel, hiring criteria for key staff personnel, define lines of on-site management authority and interface with the home office. Proposal shall address the following:

a. Provide an organizational chart that identifies key personnel by level of education, experience, and training. Key staff positions include Contract Manager, Quality Control Manager, Project Superintendent, Environmental Manager, Design/Drafting and Estimating/Negotiating.

b. Describe the level of technical support available on-site to ensure timely response to design requirements, i.e., estimating, drafting, engineering, etc.

c. Provide a list of proposed architect-engineering (A-E) firms and professional engineering support. If the offeror does not plan to use in-house design staff, include a plan for mobilizing these design firms to develop project designs under the compressed time constraints required for this overall effort.

d. Define interface with home office or corporate headquarters for such aspects as management, technical, and financial support.

e. Describe the hiring criteria for key staff positions to include level of education, experience and background, and skill levels and training.

f. Describe lines of authority between the key positions and the home office.

g. Identify the level of decision-making authority specifically vested in the local Contract Manager, on-site head of project management.

h. Show the overall organizational ability to manage the number of project task orders required for this contract.

Element 1-2: Quality Control - Purpose is to define the on-site management’s staff responsibilities for project surveillance activities and ensure quality control measures are in place. Proposal shall address the following:

a. Describe superintendent/inspector assignment controls to ensure appropriate quality control personnel or superintendents are assigned to the appropriate work discipline.

b. Describe the number of jobs assigned per superintendent/inspector.

c. Describe the plan for identifying and documenting performance problems.

d. Describe the tools/methods to be used to identify poor performing subcontractors and/or in-house personnel.

e. Describe how often work will be inspected and how interface with Government managers, inspectors, and planners will be accomplished.

Element 1-3: Initial Contract Startup - Purpose is to evaluate offeror’s ability to handle the large initial startup of the contract. Proposal shall address the following:

· Describe startup strategy and staffing plans needed to locate an office, staff, and support equipment necessary to be functional in the required time period.

Element 1-4: Subcontract Management - Purpose is to ensure offeror has an effective plan for acquiring qualified subcontract support and to define company policy, procedures, and responsibilities for post-award management of subcontractors. Proposal shall address the following:

a. Identify the proposed level of subcontracting and in-house work accomplishment.

b. Describe the availability of subcontractor support for disciplines not provided by in-house resources.

c. Describe the method and criteria to be used in selection of subcontractors.

d. Describe policies and procedures for subcontractor management, including surveillance, quality control, scheduling, and performance.

e. Describe plan for normal and contingency response times using subcontractors.

f. Describe the process/system for soliciting subcontractors and measures to be employed to ensure appropriate level of experience and quality of work.

g. Specify the number of subcontractors to be lined up for each major functional discipline in accordance with R.S. MEANS. Also include indications of each subcontractor’s level of experience and quality of work.

h. Describe purchasing system for acquisition of materials, equipment, etc., to be purchased by the prime contractor versus those to be provided by subcontractors.

Element 1-5: Workload Management – Purpose is to ensure offeror has an effective plan for managing the workload associated with this effort. Proposal shall address the following:

a. Describe the plan for handling surges in workloads due to cyclical funding.

b. Describe the process to execute a large number of multi-discipline task orders in a highly compressed time frame as a result of cyclical funding.

c. Describe the plan for obtaining additional subcontractor support and augmenting existing in-house project supervision for both design and construction during peak workload periods during any contract year.

SUB-FACTOR 2: PROJECT PLANNING AND EXECUTION

Element 2-1: Project Design, Development, and Execution - Purpose is to ensure the offeror’s understanding of the planning, development, execution and completion of task orders/projects necessary to accomplish the work as required by this solicitation. Proposal shall address the following:

a. Describe procedures for ensuring sufficient minimal designs are prepared to include engineering calculations, and drawings for all applicable disciplines.

b. Describe the process for documenting the scope of work (a description of construction methods and procedures).

c. Describe the estimating process, (a numbered construction line item listing quantities and non pre-priced items).

d. Describe the contents of a typical design submittal. Description may include a written plan and/or checklist which demonstrates projects will contain a concise technical description, execution narrative, and engineering calculations and design requirements. It will set the standard expected under all subsequent projects purchased under the terms of this contract.

Element 2-2: Minimum Designs - Purpose is to ensure the offeror’s understanding of the minimum design requirements. Proposal shall address the following:

· Describe an understanding of the design process to develop a minimum level of design effort required to accomplish the task order / projects for this contract.

Element 2-3: Performance Period Management - Purpose is to identify methods and procedures for scheduling work, developing performance periods, tracking projects, and submittals, that will ensure offeror has considered the importance of sound planning, adequate project development, and follow-through activities to ensure timely project completion. Proposal shall address the following:

· Describe procedures, processes, and methods (i.e., critical path or equally effective method) for tracking projects and interface with Government planners and inspectors.

Element 2-4: Warranty and Punch List Item Management - Purpose is to define on-site management staff’s responsibilities for timely response and completion of warranty repairs and punch list items during contract period and after expiration of the contract. Proposal shall address the following:

a. Provide a plan that describes a logical and achievable approach to timely response and completion of routine, urgent, and emergency warranty repairs.

b. Provide a plan that describes a logical and achievable approach to timely completion of punch list items after final inspection of individual projects.

SUB-FACTOR 3: SEED PROJECT - This item is not included in the 45 page proposal page limitation for technical proposals, and is therefore not limited as to the number of pages. The seed/initial project (Project Number #04-1994, Renovate Restrooms / Facility 20434) specified in Attachment 4 in Section J of the solicitation shall be the first award made against the resulting contract from this solicitation. The following items shall be required for the proposal of the above mentioned project.

Element 3-1: 35% level of design of the project scope. Written proposal shall include:

a. Drawings including final basic floor plans, rough architectural and structural sections and details, preliminary mechanical and electrical equipment and distribution layouts, fully developed elevations, schedules, and tables, and any other information required to clearly illustrate and describe the design.

b. Preliminary finish color and material board, if applicable.

Element 3-2: Detailed written scope of the project proposal. Written proposal shall include (as applicable):

a. Performance period

b. General conditions: temporary utilities, material storage, construction site security

c. Outline list of submittals (environmental, material, etc.)

d. Surveying/testing requirements

e. Demolition

f. Scope of new work Element 3-3: Detailed price proposal -A detailed price breakout, using RS Means line items, showing the price to accomplish the effort. Also, the price breakout shall specify how the contract coefficient is applied to the proposed price of this effort. The proposed coefficient for the Base Period (CLIN 0001) shall be applied to the seed project.

3. PART III – PAST PERFORMANCE INFORMATION – Limited to no more than two (2) pages per contract listed. Only references for same or similar type effort shall be submitted.

(a) Offerors shall submit information on contracts they consider relevant (in terms of scope, magnitude, and complexity) in demonstrating their ability to perform all requirements as specified in the project specifications and drawings. This information may include data on efforts performed by other divisions, corporate management, and critical subcontractors or teaming contractors, if such resources will significantly influence the performance of the requirements.

(b) If a teaming arrangement is contemplated, provide complete information as to the arrangement, including any relevant and recent past performance information on previous teaming arrangements with same partner. If this is a first time joint effort, each party to the arrangement must provide a list of past and present relevant contracts. Past performance information pertaining to a subcontractor cannot be disclosed to the prime offeror without the subcontractor’s consent. Provide with the proposal a letter from all subcontractors that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime contractor.

1. For all current or past contracts deemed relevant, provide all the information requested in the following paragraphs:

a. Company/Division Name

b. Program Title

c. Contracting Agency

d. Contract Number

e. Type of Contract (Fixed Price, etc)

f. Dates Performed

g. Contract Value (including any option years)

h. Name, Address & Telephone/Fax Number of Government Program Director/Manager, Administrative Contracting Officer (ACO) or CO.

i. Explain in sufficient detail which aspects of each contract are deemedrelevant to the proposed effort.

j. Relevancy Data: Indicate if the offeror was the prime contractor or a subcontractor and provide the name of the prime contractor if the offeror was a subcontractor. Indicate the percentage of the project actually performed by the offeror and the type of work that was performed. If the offeror performed as part of a teaming arrangement or joint venture, indicate the names of all team members and the work performed by each. If necessary, the offeror may include additional comments to clarify the relevancy of the project.

(c) Offerors shall submit no more than five (5) relevant contracts/jobs performed presently or within the past three (3) years. Offerors are required to explain what aspects of each contract are deemed relevant to the proposed effort. Offerors are permitted, but not required, to submit information on significant achievements or explain past problems considered relevant to the requirements. The Government may submit past performance questionnaires to the references provided.

(d) In addition to the data provided by each offeror in this part of the proposal, the Government may use data obtained from other sources (Past Performance Information Retrieval System, which pull information input into CCASS; other Government sources, commercial sources, etc.) in the development of the Integrated Past Performance Assessment Rating.

(e) If no past performance information is submitted as a part of the offeror’s proposal, the entire proposal will be considered non-responsive and will not be considered for award. For those offeror’s who do not have any relevant past performance information to submit, a statement to that effect will satisfy the requirement for a past performance volume.

F. Documents submitted in response to this RFP must be fully responsive to and consistent with the following:

1. Requirements of the RFP including the Contract Line Item Numbers (CLINS), drawings, specifications, and government standards and regulations pertaining to the specification.

2. Evaluation Factors for Award in Section M of this RFP.

3. Any limitation on the number of proposal pages. Pages exceeding the page limitations set forth in Section L will not be read or evaluated, and will be removed from the proposal.

4. Format for proposal Parts I, II, and III shall be as follows:

a. A page is defined as one face of a sheet of paper containing information.

b. The proposals will be on 8 ½” x 11” paper except for fold-outs used for charts, tables, or diagrams, which may not exceed 11” x 17”.

c. Typing shall not be less than size 10 font. Size 9 font is acceptable for organizational charts, tables and diagrams.

d. Elaborate formats, bindings or color presentations are not desired or required.

Questions and Responses

QUESTION 27

Is it the intent of the Government to have offerors submit past performance information on the Architect and Engineer since they will be including efforts for the task order performance and their resources will significantly influence the performance of the contract requirements?

RESPONSE

Offerors are not required to submit past performance information on Architect and Engineer firms. However, offerors “may include data on efforts performed by other divisions, corporate management, and critical subcontractors or teaming contractors, if such resources will significantly influence the performance of the requirements.” Reference 3(a); Part III: Past Performance Information

QUESTION 28

Reference PKOC L-0002.E.2. (page 57 of 76) of the RFP - Resumes are referred to in only one location in the RFP at the bottom of page 57 which contains the following statement: The 45-page limitation includes personnel resumes. Pages in excess of 45 pages will be removed and will not be evaluated.

*Question: Are resumes to be submitted?

*Question: If resumes are to be submitted, should they be submitted only for the Key Personnel positions identified in the RFP?

*Question: If resumes are to be submitted, please identify the information that the Government requests for each position.

*Question: Are there any special requirements or limitations to the resumes or their length?

RESPONSE

The Sub-Factors and associated elements specify what is to be submitted. Offerors may choose to provide resumes at their discretion.

QUESTION 29

Is it the government’s intention that the contractor submit a $5 million dollar bid bond, and if awarded a payment and performance for the same amounts? I noticed that the government has two different amounts which is unusual.

RESPONSE

Please refer to Amendment 2 to the solicitation for updated bonding requirements.

QUESTION 30

RFP Page 56 of 72, 7(c) states: Hard copies generated from this tool shall be used in the hard copy of the past performance volume subject to the limitations outlined in this RFP and should be Tab I of the past performance volume.

RFP Page 60 of 73, 3. – PART III – PAST PERFORMANCE INFORMATION, states: Limited to no more than two (2) pages per contract listed.

When using the MS Access tool, even if we answer the required questions in a minimal way, the electronic “Past Performance” document generated by the tool will print at least two paper pages. If I include the “Business Relationships” section generated by the tool, at least one other paper page will be generated, for a total of 3 paper pages. Together, the two printed documents exceed two-page limit stated on page 60. Thus, by adhering to the requirements of 7(c), one would automatically break the page limitations as outlined in PART III.

Q: Is the “Past Performance” section generated by the MS Access tool limited to 2 paper pages?

Q: Is the “Business Relationships” section generated by the MS Access tool excluded from the allowable 2 paper pages?

RESPONSE

Please review Amendment 2 to the solicitation which removes the Past Performance Tool requirement.

QUESTION 31

Reference Amendment 0001, Question 15.

Question: Would you consider not including a cover letter and tabs as part of the page count?

RESPONSE

Please review Amendment 2 to the Solicitation. Cover letter and tabs will not be counted as part of the page restriction.

QUESTION 32

Pg. 44 of (1), (2) Performance and Payment bonding: “The penal amount of performance bonds at the time of contract award shall be 5,000,000.” “The penal amount of payment bonds at the time of contract award shall be $5,000,000.”

(3) Additional Bond Protection

(i) The CO may require additional bond performance and payment bond protection as the contract price increases”

Question: Due to the expected volume of work under each year of the contract, based off the provided history, may the awarded contractor opt to provide the Government with performance and payment bonding in the amounts of $15,000,000 each?

RESPONSE

Performance and Payment bonds shall be required as detailed in clause 52.228-15. The awardee may provide the Government with performance and payment bonding in the amounts of $15,000,000 each if they desire.

QUESTION 33

In the Statement of Work provided for the SABER, it is indicated on page 5, paragraph 3.1.3, that the AF Form 3065 is a bi-weekly report. On page 19 of the Statement of Work, paragraph 18.5, it is indicated that this is a weekly report. Would the Air Force clarify if the AF Form 3065 is to be submitted weekly or bi-weekly?

On Page 24 of 73, the solicitation references commencing work with 10 days of contract award; however, Section 1.0 on page 4 of the SABER Statement of Work (SOW) references 30 days from time of award for mobilization activities and Section 14.0 on page 15 of the SABER SOW indicates the first 21 calendar days following award will be designated as a start-up period. Would you please clarify the expectations of WPAFB regarding contract mobilization and start-up?

Within 10 days of receipt of the NTP, the awardee is to initiate the start-up process for which they have 30 days from contract award to complete.

There is a conflict within Section 41.4 on page 29 of the SABER SOW. Would you please clarify that the Safety Plan is to be submitted within 30 days of contract award and not ten?

The SABER SOW, Item 5.0 on page 7, indicates a Management Plan with both duplicate and differing information from the Technical submittal requirements. The notation is that this Plan is to be included in the Contractor’s response to the initial RFP. Please indicate whether or not this Plan is included in the 45-page limitation for Part II, Technical Proposal.

Section L specifies what is to be submitted in response to the RFP. That is what should be submitted.

To help ensure that the Air Force receives the most qualified contractor under a best-value scenario, would WPAFB consider reviewing past performance of all technically-acceptable contractors prior to the evaluation of the price proposals?

Element 3-3 of the Sample Project on page 60 of 73 requests that the contractor apply to proposed coefficient to the seed project. This will result in the Contractor’s price being revealed prior to the evaluation of the Pricing volume. Would the Air Force consider instead requiring an estimate for the Sample Project utilizing a coefficient of 1.0 for evaluation purposes?

Referencing Element 1-4g of Part II, Subfactor 1, please confirm or correct our understanding that the Air Force is looking for an overview of the contractor’s subcontractor qualification program regarding level of experience and quality of work. If WPAFB is looking for actual data for specific subcontractors, and given that this is an IDIQ contract with the potential to require a significant number of subcontractors of all trades, please confirm that this information will be excluded from the page limitations on this section. Otherwise, due to the length of this submittal information, the contractor may be unable to adequately respond to the remaining submittal requirements.
