Rules and Assumptions. Additionally, submit one hard copy of the entire proposal to include Prime, Subcontractor and Internal Work Organizations. All documents and copies shall be delivered to the attention of Oya Harrison and
Amanda Ruffin, 235 Byron Street, Suite19A, Robins AFB GA. 31098.
Additionally, please provide five (5) CDs of the entire proposal. The paper copies and CDs are to be received five (5) calendar days after receipt of proposal submission.
2. The subject effort is anticipated to exceed the $2,000,000.00 threshold for providing Certified Cost or Pricing Data under the Truth in Negotiations Act;
therefore, Certified Cost or Pricing Data must be submitted IAW FAR 15.403-5, including FAR table 15-2.
3. The proposal for this effort shall comply with FAR 15.4 and specifically with
15.404-3, Subcontract Pricing Considerations, as applicable. As necessary, RTN SAS shall substantiate all material and subcontractor costs in accordance with the applicable sections of FAR Part 15 in the cost proposal with special attention to
Table 15-2 in FAR 15.408. Please submit with your proposal a subcontracting plan and a subcontractor analysis in accordance with FAR 15.404-3, Subcontracting Price
Considerations and FAR Table 15-2, Instructions for Submitting Cost/Pricing
Proposals When Cost or Pricing Data are required. In accordance with DFARS
244.402(a), the prime contractor is responsible for making a determination on subcontract commerciality. Cost Analysis Reports (CARs) shall be included in the initial proposal.
4. The contractor shall make available the SOW/PWS, RFPs, and pricing instructions for Subcontractors/IWOs.
5. The contractor shall provide a Field Service Representative table that delineates persons by locations.
6. The subject effort is anticipated to exceed the $700,000 threshold for providing a subcontracting plan. Subcontracting plans shall be submitted along with the proposal. Reference FAR 19.704, DFARS 219.704, AFFARS 5319.704(a)(1), and
AFLCMC/WIGK-HAAK for subcontracting plan requirements. The Government requires all subcontractor and IWO unsanitized proposal submissions at or over the
$2M TINA threshold sent directly to the PCO, Mrs. Oya Harrison; PCO, Mrs.
Amanda Ruffin; and Price Analyst, Mrs. Sarah Watson. Raytheon Space and
Airborne Systems shall maintain the configuration management of all subcontractor and IWO proposals; as well as, ensure that changes in prime proposal requirements and/or documentation that impact subcontractor and IWO proposals are properly flowed down to those impacted subcontractors and IWOs in a timely manner. The proposals are required within seven (7) calendar days of submission to Raytheon
Space and Airborne Systems.
7. The submission of PCARS/IRRs shall be submitted with the initial proposal.
Additionally, please provide the submission of internal technical reviews along with each PCAR and IRR.
8. Requests for pricing assistance need to be communicated as soon as possible and should be sent directly to the Government Procuring Contracting Officer (PCO) vice sending each request to various DCMA field offices. This requirement also applies to second/third tier suppliers in order to eliminate possible duplication of reviews. The requests should include a copy of the sanitized proposal, denial of access letter, PCAR, Proposal Adequacy
Checklist, and a completed PF1 form (Appendix H).
9. Attachment 11 documents the Governments mapping of the PWS to the Contract Line Item
Numbers (CLINs). Request the contract review and provide any changes to this document within 30 days of this RFP. Also the contractor shall map the CLINs amounts to the Work
Breakdown Structure (WBS) to the Performance Work Statement (PWS). In addition mapping from CLINs to basis of estimates (BOEs) and cost model elements should also be clearly delineated. The proposed CLIN structure for this effort is outlined above.
10. The Government requests Raytheon perform a top level evaluation (parametric analysis) on the total dollars vs the total flight hours flown on the previous three CLS contracts compared to the current CLS VI proposal. State any assumptions made along with any issues or concerns that have occurred to affect the rate. Provide analysis with calculations to USG. Provide actuals used and flight hour data to the USG. CLS proposals have consistently been over bid each year causing USG to obligate funding that can be applied to other crucial programs resulting in unliquidated obligations that are held throughout the length of the contract before funds are de-obligated.
11. Provide realized profit/fee for previous CLS&S task orders:
a. Provide actuals to date for the following task orders: CLS II, III, and IV. Identify how much actuals apply to each contract type. Provide total invoiced/billed dollars for the same time period. USAF will compare the data provided with data available in
WAWF and MOCAS.
b. Calculate realized profit percentages for each of the aforementioned task orders.
c. Provide details on how Raytheon is arriving on the realized profit/fee percentages (i.e.
what methodology or approaches are being utilized in calculating realized profit/fee percentages).
12. This effort will be accomplished as a performance based service contract. Therefore, in accordance with (IAW) FAR 22.1006(a), FAR 52.221-41 Service Contract Act of 195, as amended (Nov 2007), will be included in this contract. IAW FAR 52.222- 41(c)(1), the applicable Wage Determination (WD) for all CONUS personnel covered by the
ACT will be attached to the contract. Request Raytheon identify which Wage
Determination(s) found at www.beta.sam.gov (previously www.wdol.gov) apply to this contract, which labor categories of each WD apply for each site, and whether any unique categories will be submitted to the Department of Labor for each site. Request this information be provided as soon as it is available.
13. In accordance with SAF/AQC Policy Memo 10-C-04, the Contracting Officer will schedule a proposal kick-off meeting within 30 days of contractor receipt of the final
RFP. Included in this meeting will be Air Force, Raytheon Space and Airborne Systems, DCAA, DCMA, Navy Price Fighters, and major subcontractors at Raytheon’s discretion. The purpose of this meeting is to discuss procurement schedule, requirements, and expectations on timely contractor support. The contractor shall provide a date, time, and call-in information to the PCO within 7 calendar days of this
RFP.
14. Provide the following plan/reports:
i. Submit the Mission Essential Plan IAW - DFARS 252.237-7023
Continuation of Essential Contractor Services.
ii. Safety Plan IAW Appendix F (Attachment 06)
iii. Subcontracting Plan Approved 04 October 2017.
15. If improvements are needed in the attached PWS, the Government requests RTN SAS coordinate with the Global Hawk Program Office (GHPO) prior to proposal submission.
The updated PWS language may be included in the proposal package.
16. The Quality Assurance Surveillance Plan (QASP) is included in this RFP attachment 12 to give RTN SAS insight into how Contractor performance will be evaluated and what role the
Contractor will play in the Multi-Functional Team (MFT). The QASP is not placed as an attachment to the contract, but it is an extension of how the contractor will be monitored and evaluated.
17. The proposal must address all requirements of this RFP and only those requirements.
If the contractor determines the RFP does not capture all requirements or contains unnecessary requirements, contact the undersigned as soon as possible. Any such issues must be addressed prior to the submittal of the proposal for this effort. Any changes to the requirements contained in the RFP will require an amendment;
including any necessary revision(s) of the appropriate requirement document(s).
18. In response to this Request for Proposals (RFP), the offeror shall prepare and submit certified cost or pricing data and supporting attachments in accordance with Table
15-2 of FAR 15.408 for the following line items. Further, the offeror shall (1) utilize the DFARS 252.215-7009, Proposal Adequacy Checklist (PAC) (Attachment 8), in pre- submission proposal quality reviews, and (2) furnish the completed checklist as part of their proposal submission.
1) The responsibility for providing a well-prepared and fully supported cost proposal lies solely with the offeror. The basis and rationale for all proposed costs shall be provided as part of the proposal so that the Contracting Officer
(CO) has the information necessary to evaluate the reasonableness of the proposed price.
2) If the offeror is unsure as to whether a checklist item is required in support of the proposal, or how to adequately comply with a checklist item, the offeror shall contact the CO as soon as possible after receipt of the RFP, but in any case prior to proposal submittal, to resolve the questions.
i. Non-compliances with the DFARS PAC and the additional requirements of this provision will require immediate correction.
However, completion of the checklist does not relieve the offeror from the responsibility to comply with all applicable regulations and any special requirements of the solicitation.
ii. The offeror is encouraged to flow down this provision to subcontractors/affiliates required to submit certified cost or pricing data in support of this RFP.
3) Any instructions within the RFP shall take precedent over the checklist.

USG (whichever comes first).
3) The Offeror shall release its solicitation package to its respective suppliers will be established within a reasonable amount time (no greater than 4 weeks) after release of the RFP by the USG.
Offeror is advised that the contracting officer may find costs associated with revision/rework of inadequate cost proposals unreasonable, and will consider the nature and extent of any proposal inadequacies when assessing/negotiating profit.
In order to ensure initial submission of a fully compliant and adequate proposal, and subsequently avoid any delays associated with proposal inadequacies, DFARS 252.215- 7009 checklist must be filled out and provided with the proposal. If there are major non- compliances with the attached checklist or statement of work, the entire proposal may be returned and the offeror will be expected to provide a revised, adequate proposal within 30 days at no additional cost. Minor non-compliance will require immediate correction in order to proceed with proposal evaluation and negotiations.
Be advised that proposal inadequacies will be considered in profit negotiations.
Cost Proposal Requirements. In addition to the requirements identified in the DFARS PAC, the following also apply to the cost proposal submitted in response to this RFP.
1) Breakout by Year. If the proposal includes more than one CLIN, the proposal shall include a breakout of CLIN prices by cost element by Contractor Fiscal Year (CFY).
At the Contracting Officer’s direction, the breakout by year shall also be provided by:
mailto:oya.harrison@us.af.mil mailto:amanda.ruffin@us.af.mil
Government Fiscal Year (GFY)
_X_ Calendar Year (CY)
The proposal shall define the timeframe of the Contractor Fiscal Year (for example, January – December).
2) If the proposal includes more than one CLIN/subCLIN, recurring/non-recurring costs shall be identified for each CLIN/subCLIN.
3) When the proposal includes material costs, the proposal shall include a consolidated bill of materials (CBOM) at the total contract level in an electronic, sortable format
(Excel spreadsheet or other format approved in writing by the Contracting Officer).
i. When the amounts proposed in the CBOM include application of escalation, the proposal shall identify the base value, the escalation rate(s) used, and the escalation amount associated with each item escalated.
ii. When the proposed amount is based on historical data which has been adjusted (for example, for differences in quantity), the CBOM shall clearly identify the adjustments made to the historical data and the reason for each adjustment.
iii. When the amounts proposed in the CBOM for material include minimum buys, the minimum buy quantity and cost shall be clearly identified.
iv. An electronic CBOM providing traceability to the CLIN level, WBS level, etc. is required.
4) All costs proposed on the basis of Cost Estimating Relationships (CER) or Sector
Established Estimating Factors (SEEFs) shall be fully supported. The proposal shall identify the basis for the proposed rate, shall identify the base to which the rate is applied, and shall clearly demonstrate the calculation of proposed costs based on
CERs/SEEFs.
5) For any costs incurred prior to proposal submission, the proposal shall identify actual hours and cost incurred as well as hours/costs to complete and the time phasing associated with these hours/costs. This information/data shall be provided in a time-phased cost element summary format.
6) Submission of Historical Actual Costs Incurred.
i. In regard to material/subcontractor pricing: Regardless the basis of the proposed pricing for the current effort (i.e. current quote/proposal, purchase order history, long term agreement, etc.), the proposal shall provide all historical actuals for at least the last three (3) years for each material part number proposed. Actuals provided should be inclusive of the following at a minimum:
a. Part Number
b. Unit price from each of the previous buys
c. Date of each previous buy
d. Quantity of part ordered per previous buy
e. A breakout, as applicable, of any non-recurring costs (set-up charges, data, etc.) and minimum order quantities per part
If the proposed pricing per part within the bill of materials is not reflective of the most recent (as compared to the date of the proposal submission) purchase order pricing, rationale for the use of other pricing data needs to be provided within the proposal submitted to the USG.
The application of and basis for any adjustments to historical prices (such as escalation, quantity adjustment factors, etc.) need to be clearly identified and explained with the proposal submission to the USG.
ii. In regard to proposed hours/skill mix: Regardless the basis of the proposed pricing for the current effort (i.e. previous actuals, engineering estimate, etc.), the proposal shall provide historical actuals for the last three (3) calendar years. Actuals provided should be inclusive of the following at a minimum:
a. Task/BOE identification numbers
b. PoP per task with start and stop dates
c. Applicable WBS(s) and PWS paragraphs per task to include BOEs
d. Mapping of previous contract period WBS to BOEs used in prior proposals (i.e. BOE matrix)
e. Mapping of current proposal WBS to BOEs and correlation to d.
above
f. CLIN traceability
g. Contract type
h. Actual cost and hours/skill mix(es) incurred, including a breakout of actuals as recurring/non-recurring costs (as applicable). If performance is not complete on any of the specified contract actions, provide an estimate to complete and the basis for that estimate. Actuals shall be by WBS with mapping of all BOEs related to the WBS actuals.
i. In the instance of new scope, proposal shall include comparisons to similar programs and clearly distinguish the new scope hours/skill mixes from scope based on actuals.
j. BOEs shall use actual and recent data, as close as possible to actual proposal submission date. Estimating rationale such as “per management direction”, “engineering judgment”, or any other debatable substantiation shall be avoided whenever possible. All rationale shall be factual based.
If the proposed hours and/or skill mix per respective task is not reflective of the most recent (as compared to the date of the proposal submission) actuals incurred, rationale for not using the actuals needs to be provided within the proposal submitted to the USG.
The application of and basis for any adjustments to historical hours (such as learning curves, complexity/scaling factors, etc.) need to be clearly identified and explained with the proposal submission to the USG.
The basis of any proposed CERs/SEEFs needs to be clearly identified and explained with the proposal submission to the USG.
iii. The contractor shall also request suppliers provide the information listed in the above paragraphs (6)(i) a. through e. and (6)(ii) a. through j. on prior contracts for items that the prime is purchasing from the subcontractors for this effort. The expectation is for the prime to obtain the data from the subcontractors prior to the prime’s initial proposal submission. If the subcontractor deems the information proprietary, the subcontractor may submit the information directly to the CO.
7) The proposal shall identify those actions where assist audits have been requested by the prime or sub-tier contractors and identify the request date and scheduled receipt date for those audits. The need for assist audits resulting from proprietary data rights assertions at any tier shall be identified to the CO as soon as the offeror becomes aware of the need. Government performance of assist audits does not relieve the offeror of the responsibility to accomplish and provide its price/cost analysis of the subcontracts.
8) If the offeror intends to request Performance-Based Payments (PBP), the offeror’s proposal shall include a monthly expenditure profile, proposed events and their projected completion dates, proposed values for each event, completion criteria for each event, and an identification of each event as severable or cumulative.
9) Commercial item considerations:
i. The offeror shall provide support for any subcontractor Commercial Item
Determinations (CID), addressing, at a minimum, the following:
a. A description of the supplies or services;
b. Specific identification of the type of commercial item claim (FAR
2.101 commercial item sub-definitions (1) through (8)), and the basis on which the item meets the definition; and
c. For modified commercial items (commercial item sub-definition
(3)), classification of the modification(s) with supporting rationale as either:
1. Of a type customarily available in the commercial marketplace (FAR 2.101 commercial item sub-definition
(3)(i)); or
2. A minor modification of a type not customarily available in the commercial marketplace made to meet Federal
Government requirements (FAR 2.101 commercial item sub-definition (3)(ii)).
d. All CID support shall be presented un-redacted unless approved in advance by the CO.
Note: Per FAR 15.403-1(c)(3)(iii)(B), modifications that meet the definition of minor modifications of a type not customarily available in the commercial marketplace as defined in FAR 2.101, paragraph (3)(ii) of the commercial item definition, will require the submission of certified cost and pricing data when the total price of all such modifications exceeds the greater of the threshold for certified cost or pricing data (FAR 15.403-4) or 5% of the total price of the contract at the time of contract award.
ii. For proposed subcontract commercial items “of a type”, or “evolved” or modified (FAR 2.101 commercial item sub-definitions (1) through (3)), the offeror shall provide a technical description of the differences between the proposed item and the comparison item and thoroughly address the cost differences between the proposed item and the comparison item.
iii. The offeror shall request (and include the USG CO) data other than certified cost or pricing data to establish price reasonableness of the proposed subcontract commercial item (to include any modifications not subject to the requirement to submit certified cost or pricing data) by supplying (a) through
(d) below. Subcontractors may submit data directly to the CO if the subcontractor deems the data proprietary.
a. Information/data related to competition, if competition is the offeror’s basis for asserting the reasonableness of the proposed subcontract price.
b. Information/data related to prices (sales data, market price assessments, etc.).
c. The prime contractor’s or higher tier subcontractor’s price analysis/price reasonableness determination for the commercial subcontract in accordance with FAR 15.404-3(b)(1) and (2).
d. Cost information/data (cost element breakdown and supporting documentation not subject to certification in accordance with FAR
15.406-2). Instances where cost information may be required include but are not limited to commercial items offered but never actually sold to the public, “of a type” commercial items, or when sales data is limited and/or not recent and/or not for the same/similar quantities.
Note: The preferred method of establishing the price reasonableness of commercial items is to obtain commercial sales data. It is recognized that other methods, such as market price assessment data or evaluation of cost data not subject to certification, are also acceptable when prior sales data cannot be obtained. Sales data shall
(1) demonstrate sales to the general public; (2) be current; and (3) where possible, be in like quantities. Items sold to state, local, or foreign governments or items sold with applications only to state, local, or foreign government or US Government end items are not considered to be sales to the general public unless the proposed commercial item meets the FAR 2.101 commercial item definition sub-definition.
10) Additional Cost/Price Proposal Requirements:
i. The CBOM shall be submitted in an unlocked Excel document with visible formulas.
b) Submission of electronic cost model: The proposal submission shall include an unlocked electronic cost model with visible formulas demonstrating the mathematical calculation of the proposed cost (in Excel) for both the prime proposal and all IWOs. The electronic cost model shall include build-up by year of cost in total and by CLIN/subCLIN, consistent with the yearly breakout required by paragraph (e)(1) of this provision, or as directed by the CO.
If applicable, the electronic cost model shall link each Work Breakdown Structure (WBS) to the applicable CLINs. The electronic cost model shall roll up to an annual and total program summary by cost element. All information supporting each CLIN should be visible and verifiable in the electronic cost model. The formulas included in the electronic cost model shall not be locked, and the model shall be editable by the Government.
c) Submission of a labor hour matrix: The USG requests that a mapping of the proposed hours and skill mix by BOE/WBS, CLIN and period be provided as part of the proposal submission. See embedded attachment for an example:
The USG requests that RTN SAS flow-down the requirement to provide a labor hour matrix, by BOE/WBS, CLIN and period to all suppliers for inclusion in their respective proposal packages.
d) In addition to proposal submittal through electronic means to the CO, the Offeror (Prime
Contractor) shall submit one (1) additional electronic copy to the Navy Price Fighters (NPF) and DCMA ICAT, if applicable.
e) The Offeror shall take actions to minimize formal proposal updates/refreshes/revisions. The
Offeror shall coordinate with the CO as early as possible throughout the acquisition if an update is required. In no event shall a proposal update/refresh/revision be submitted without prior coordination with the CO.
1) The Offeror shall provide to the USG additional data as it becomes available. Such data is inclusive of supplier proposals, more current purchase order data, etc.
f) The Offeror shall provide basis of estimates and rationale for all Other Direct Cost (ODCs), to include any travel worksheets, in an excel format.
g) The Offeror shall conduct a proposal walkthrough with the USG as requested. To facilitate a timely and meaningful walkthrough supporting data for the discussion topics shall be provided 72 hours in advance of the scheduled walkthrough. Request proposal walkthrough with subcontractors and IWO’s present. Break-out sessions as required.
h) Should RTN SAS disagree with the terms of this RFP instructions, the CO shall be notified within seven (7) calendar days of the date of receipt. Exceptions taken to terms and conditions of the solicitation, to any of the attachments, or to other parts of the solicitation shall be identified and RTN SAS shall notify the CO in writing with supporting rationale release. Each exception shall be specifically related to each paragraph and/or specific attachment to which the exception is taken.
