FOR

LEASE VEHICLES WITH MAINTENANCE

UNITED STATES MILITARY TRAINING MISSION (USMTM)

KINGDOM OF SAUDI ARABIA

STATEMENT OF WORK (SOW)

LEASE VEHICLES WITH MAINTENANCE FOR USMTM

1. DESCRIPTION OF SERVICES. The Contractor shall provide all personnel, equipment, tools, materials, management supervision, quality control and labor necessary to perform maintenance associated with the leased vehicles for the United States Military Training Mission (USMTM), Kingdom of Saudi Arabia, as defined in this SOW, in accordance with commercial practice. The Contactor shall provide vehicles that meet the specifications identified in Attachment 2.

1.1. INSPECTION AND MAINTENANCE OF LEASED VEHICLES.

1.1.1. LEASE. The Contractor shall lease vehicles identified in Attachment 2 for USMTM. The Contractor shall deliver the vehicles to the locations specified in the contract. Delivery will include locations outside of the Riyadh area. Locations for delivery include Dammam, Dhahran, Jubail, Khamis, Taif, Jeddah, Tabuk, and King Khalid Military City. The contractor shall pick up the vehicles at the same place where they were delivered after completion of the lease period.

1.1.2. MAINTENANCE. The leased vehicles shall be maintained properly to keep operational conditions anytime during the leasing period. The Contractor shall pick up/return the vehicles from/to the designated locations in the Government installations. Locations for pick up/return include Dammam, Dhahran, Jubail, Khamis, Taif, Jeddah, Tabuk, and King Khalid Military City. The Contractor shall provide loaner/replacement vehicles at no cost to the Government at the time the leased vehicle is picked up/turned in for maintenance/repair when a vehicle requires maintenance/repair resulting in an absence of more than 24 hours and/or when it is requested by the Government. The loaner vehicles do not have to be the same model being leased but shall be a similar type. Each vehicle shall be maintained periodically as stated in below sub-paragraphs. The Contractor shall repair any defects, and replace items to include but are not limited to: consumed oils, parts, battery and components identified in the periodical inspection or an on-call repair request at no cost to the Government.

The Contractor shall repair any defects on the leased vehicles caused by normal fair wear and tear at no cost to the Government within five (5) working days of notification. This includes, but is not limited to, the replacement of un-repairable tires. The Contractor shall prepare and submit a written report in the same way as described in the preventive maintenance section 1.1.2.1. for on-call repairs. Contractor shall be responsible for retrieving or repairing the leased vehicle.

1.1.2.1. Preventive Maintenance. The Contractor shall inspect the leased vehicles periodically at the

Contractor designated maintenance shop or dealer. An annual inspection in addition to the 6-month inspection is required. When annual inspection and 6-month inspection take place at the same time, annual inspection serves the 6-month inspection as well. Upon completion of each periodic maintenance/inspection, the Contractor shall prepare and submit a written English report to the Government within two (2) business days. The report shall include the date and time of the maintenance/inspection, description of the vehicles and its location, description of repairs, and the name of the personnel performing the maintenance/inspection. The Contractor shall repair any defects, and replace consumed oils, parts, and components identified in the periodical inspection. This includes, but is not limited to, tires and batteries.

1.1.2.2. On-Call Repair. The Contractor shall be responsible for retrieving or repairing the leased vehicle. The

Contractor shall repair any defects on the leased vehicles caused by normal fair wear and tear at no cost to the Government within (5) working days of notification. This includes, but is not limited to the replacement of un-repairable tires. The Contractor shall prepare and submit a written report in the same way as described in the preventive maintenance section 1.1.2.1. for on-call repairs. The Contractor shall provide loaner/replacement vehicles in the same way as described in maintenance section 1.1.2.

1.1.2.3. Towing. In case of need for towing service contact, the Government shall contact 24-hour support towing services provided by contractor when the Government is not capable of towing the damaged leased vehicle to recover in the operation area.

1.2. INSPECTION AND MAINTENANCE OF LEASED VEHICLES.

1.2.1. Condition of Leased Vehicles. Each vehicle furnished under this contract shall be new at time of initial delivery. The model year shall be not older than three years at time of initial delivery. Vehicles shall be of good quality and in safe operating condition. The Government shall accept or reject the vehicles promptly after receipt. If the Contracting Officer determines that any vehicle furnished is not in compliance with this contract, the Contracting Officer will promptly inform the Contractor in writing. If the Contractor fails to replace the vehicle or correct the defects as required by the Contracting Officer, the Government may –

1.2.1.1. By contract or otherwise, correct the defect or arrange for the lease of a similar vehicle and shall charge or set off against the Contractor any excess costs occasioned thereby; or

1.2.1.2. Terminate the contract under Federal Acquisition Regulation (FAR) clause 52.212-4(m).

1.2.2. Option Period Vehicles. The vehicles to be provided for each option year shall be the same vehicle provided in the previous year unless otherwise agreed to by the Government.

1.2.3. Registration. All vehicles will be registered under the Contractor’s name. A copy of the registration will be provided to the Government at the time of delivery.

1.2.4. Insurance. All vehicles shall have a full coverage auto insurance policy to include collision (at-fault with another vehicle, person or object) and comprehensive (theft, vandalism and nature damage).

1.2.5. Damage and Accident. The Government reserves the right to repair any damages on the leased vehicle caused by negligence or fault of the Government at no cost to the Contractor at repair facilities and towing services authorized by the Contractor.

1.2.6. Lease Agreement. Each vehicle shall have a detailed lease agreement provided by the Contractor. This document shall include a statement that all USMTM personnel are authorized to drive the vehicles provided.

1.2.7. Traffic Violations. Traffic violations shall be paid for by the contractor immediately and a copy of the violation shall be provided within 48 hours to the Government. All reimbursements will be paid to the Contractor using monthly statements.

1.2.8. Border Cross Passes. All vehicles provided from the contractor shall be drivable outside of the Kingdom of

Saudi Arabia. The Contractor shall provide border cross passes for lease vehicles when requested within five

(5) business days after submission. Each border cross submission from the Government shall contain a copy of the driver’s passport, visa, civilian driver’s license, mobile phone number, registration, and insurance for the vehicle being requested.

1.2.9. Buyout Option. The Government reserves the right to purchase leased vehicles from the contractor at any time during the lease period. Purchasing of leased vehicles will be negotiated on a case-by-case basis.

1.3. Contractor Personnel

1.3.1. Contract Manager. The contractor shall provide a contract manager who shall be responsible for the performance of the work. The name of this person, and an alternate or alternates who shall act for the contractor when the manager is absent, shall be designated in writing to the contracting officer. The contract manager or alternate shall have full authority to act for the contractor on all contract matters relating to daily operation of this contract.

1.3.2. Contractor Employees. Contractor personnel shall be easily recognizable as contractor employees. This may be accomplished by wearing distinctive clothing bearing the name of the company or by wearing appropriate badges which contain the contractor’s company name and the employee’s name.

1.3.3. Removal of Contractor’s Employees. The Contractor shall utilize only experienced, responsible and capable employees in the performance of this contract. The Contracting Officer may require that the Contractor remove from the Government job any of his/her employees who endanger persons or property, or whose continued employment under this contract is inconsistent with the interests of military security.

1.3.4. Third Country Nationals (TCN). The Security Forces on each base control entry to the base. Under certain circumstances, the TCN might be denied entry. It is the Contractor’s responsibility to coordinate with Security Forces at each base when there is a question about particular circumstances.

2. SERVICE DELIVERY SUMMARY.
