The following have been modified:

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (OCT 2015)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) "Remit to" address, if different than mailing address;

(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.

(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.

(f) Late submissions, modifications, revisions, and withdrawals of offers:

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.

Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.

(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.

(i) Availability of requirements documents cited in the solicitation. (1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to--GSA Federal Supply Service Specifications Section, Suite 8100, 470 East L'Enfant Plaza, SW, Washington, DC 20407, Telephone (202) 619-8925, Facsimile (202) 619-8978.

In order to be evaluated acceptable on the technical factor, all technical sub-factors must be evaluated as acceptable. If any technical sub-factor is evaluated as unacceptable, the entire technical factor will be evaluated as unacceptable. The four (4) sub-factors listed below will be used to assess whether the proposal will satisfy the Government’s minimum requirements. This will be done through the evaluation of the Technical Proposal against the requirements to determine whether the proposal is acceptable or unacceptable. Within the technical factor, there will be four (4) sub-factors that the offeror is required to meet.

At any time during the evaluation, the offeror may be required to submit other than certified cost and pricing data to the extent necessary for the CO to perform a price analysis to determine the reasonableness of the price IAW FAR 15.404.

L6.2 IAW FAR 52.217-8, Option to Extend Services, the total evaluated price will be inclusive of all CLINs, the base period and all option periods including the 6-month extension (i.e., see Attachment 2, Price Proposal). 52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Factors Factor 1: Technical Capability Factor 2: Price

The proposal shall clearly address your proposed approach for meeting all technical requirements set forth within the DMCA Performance Work Statement (PWS). Lowest Price Technically Acceptable (LPTA) is accomplished through the establishment of minimum requirements to be evaluated on an “acceptable” or “unacceptable” basis.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

ADDENDUM TO 52.212-2 EVALUATION – COMMERCIAL ITEMS (OCT2014)

M1 EVALUATION:

M1.1 The Government will utilize the Lowest Price Technically Acceptable (LPTA) IAW Federal Acquisition Regulation (FAR) part 12, Acquisition of Commercial Items, and FAR part 13, Simplified Acquisition Procedures, Defense Federal Acquisition Regulation Supplement (DFARS) 212 and 213 and Air Force Federal Acquisition Regulation Supplement (AFFARS) 5312 and 5313; and DoD Source Selection Procedures.

M1.2 The LPTA method is one of the simplified best value selection methods that permit award to the lowest priced offeror that meets the minimum requirements identified in the PWS. The Government will award a single contract to the contractor whose written response is technically acceptable and the lowest price. For LPTA, this is done through the establishment of minimum requirements to be evaluated on an “acceptable” or “unacceptable” basis, which definitions are as follows:

● Acceptable – Proposal clearly meets the minimum requirements of the solicitation/Request for Proposal (RFP)

● Unacceptable – Proposal does not clearly meet the minimum requirements of the solicitation/RFP

M1.3 The Government intends to initially rank the proposals by total overall price and only evaluate the three (3) lowest priced proposals. The Government will then evaluate those three (3) proposals as provided in the solicitation/RFP for Technical Capability and Price. Those outside the three (3) lowest priced proposals will not be evaluated, unless necessary to obtain the desired effective competition of offerors rated as “acceptable” in all technical sub-factors.

M1.4 If there are not three (3) technically acceptable proposals, the evaluation pool will be increased by evaluating the next lowest priced proposal. This process will continue until there is one (1) “acceptable” proposal or until all offerors’ proposals have been evaluated, whichever is reached first. All proposals will assessed for fair and reasonable IAW Far 15.404.

M1.5 The contract may be awarded to the offeror who is deemed responsible IAW the FAR, as supplemented, who proposal conforms to the solicitation/RFP (i.e., to include all stated terms and conditions, representations and certifications and all other information required by FAR 52.212-1, Instruction to Offerors - Commercial Items in the solicitation/RFP) and is judged, based on the evaluation factors and sub-factors, to represent the best value to the Government. However, the Government reserves the right to not award a contract depending on the quality of proposals submitted and availability of funds. To arrive at an award decision, offerors’ proposals will be evaluated based upon the established criteria in FAR 52.212-2, Evaluation – Commercial Items:

FACTORS:

Factor 1: Technical Capability Factor 2: Price

M2 FACTOR 1: TECHNICAL CAPABILITY PROPOSAL – PART I(ACCEPTABLE/UNACCEPTABLE):

Proposals shall clearly address offeror’s proposed approach for meeting all technical requirements set forth within the Data Mining, Capture and Access (DMCA) Performance Work Statement (PWS) as well as meet all four (4) Technical Capability sub-factors required for award.

M2.1 Technical Capability rating reflects the degree to which the proposed approach meets or does not meet the minimum requirements. A rating of “Unacceptable” in one or more sub-factors will constitute an overall rating of “Unacceptable” for the technical evaluation. Offeror must pass all elements listed under each sub-factor to receive an “Acceptable” rating for that sub-factor. The Technical Capability evaluation will use the ratings outlined below.

Rating Description Acceptable Proposal clearly meets the minimum requirements of the solicitation/RFP

Unacceptable Proposal clearly does not meet the minimum requirements of the solicitation/RFP

M2.2 Offeror’s submitted the original and one (1) electronic copy of the Technical Proposal and it was within the page limit of 20 pages.

M2.3 Offeror’s proposal clearly demonstrated/experience with their proposed approach for meeting all technical requirements set forth within the DMCA PWS and sub-factors 1-3.

M2.3.1 Sub-factor 1 – Labor (Program Management): The offeror proposed a plan to, both, staff and manage the services required in the PWS. The proposal included a plan detailing labor categories and descriptions, skills matrix and effort (hours/FTEs) required, which clearly demonstrates the ability to support the task requirements with low risk to the Government (PWS 2.1).

M2.3.2 Sub-factor 2 – Technical Experience: The offeror demonstrated experience developing frameworks to integrate both data and tools as well as present these data feeds and tools to enable collaboration between users. The framework demonstrated the ability to enable geo-visualization of the data in User-Defined Operating Picture (UDOP) and integrate user collaboration options, such as sharable data feeds, conferencing and chat capabilities.

The offeror also demonstrated experience and the ability to integrate: Data Catalog Services, Data Access and Dissemination Services, Data Translation Services and UDOP Services. Lastly, the offeror demonstrated experience with creating training/socialization materials (PWS 1.5).

M2.3.3 Sub-factor 3 – Technical Approach: The offeror specifically identified the approach/technology proposed, along with the standards utilized and the tools and methodologies of how the solution/approach was developed. The Government evaluated the approach/solution to ensure it was viable and with low risk to the Government (PWS 1.3).

M2.3.4 Sub-factor 4 – Transition Plan: The offeror proposed an acceptable transition plan for the period of 20 Jan 2017 through 2 Feb 2017. The offeror clearly demonstrated their approach to provide a sound and seamless transition. The plan included a staffing matrix IAW the price proposal that indicated the number of positions by labor category/description of fully qualified/skilled and trained personnel from award (i.e., during transition) to full performance (PWS 5.0).

M2.3.4.1 At a minimum, the offeror included the below:

M2.3.4.1.1 The offeror showed no interruption or degradation of services for DMCA requirements, M2.3.4.1.2 The offeror showed adequate staffing with qualified/skilled personnel possessing appropriate security clearances from award (i.e., during transition) to full performance and

M2.3.4.1.3 The offeror identified transition risks and measures to mitigate them.

M3 FACTOR 2: PRICE PROPOSAL – PART II (FAIR AND REASONABLENESS): Offeror’s proposed price was assessed for fair and reasonableness IAW FAR 15.404. As required by FAR 15.404, a price analysis evaluation will be performed to ensure that the final agreed-to price is fair and reasonable. As a part of the price evaluation, the offeror’s Compensation Plan for Professional Employees will be assessed IAW FAR 52.222-46. The total price inclusive of all CLINs X001 through X004 and 0005, for the base period and all option periods including the 6-month extension was evaluated.

M3.1 Offeror completed price proposal by filling in the labor categories, descriptions of the labor categories, experience/training, hours and labor rates for all CLINs excluding CLIN X003, Travel and CLIN X004 Data and returned the original and one (1) electronic copy of the price proposal for the base period and all option periods including the 6-month extension, except for CLIN X003, which are Government populated.

M3.2 This will include an evaluation of the extent to which proposed prices indicate a clear understanding of the solicitation requirements, and reflect a sound approach to satisfying those requirements. The price proposal will be evaluated for the lowest total price. Therefore, it is extremely important that price proposal is complete and accurate.

M3.3 CLIN X003 are Government populated and CLIN X004 are not separately priced. The prices proposed for CLINs X003 and X004 shall be evaluated with CLINs X001 through X004 and 0005 to determine price fair and reasonableness in the base period of performance (POP), and X001 through X004 for all option periods.

Note: The price proposed for the 6-month extension will be half the previous option period 4 (i.e., the rates for the 6-month extension will be the same as the rates for option period 4) IAW FAR 52.217-8, Option to Extend Services.

Offeror completed price proposal by filling in the labor categories, descriptions of the labor categories, experience/training, hours and labor rates for all CLINs excluding CLIN X003, Travel and CLIN X004 Data and returned the original and one (1) electronic copy of the price proposal for the base period and all option periods including the 6-month extension, except for CLINs X003 and X004, which are Government populated, and not separately priced, respectively.

M3.4 Options. The Government will evaluate proposals for award purposes by adding the total price for all options periods to the total price for the basic requirement. Offerors are cautioned against submitting an unbalanced proposal. The Government will analyze the proposal to determine whether they are unbalanced with respect to price. The Government may consider an proposal unbalanced if there is a significant difference between proposed option periods or if the proposed prices from year to year are above that which would be considered reasonable adjustment for inflation. Evaluation of option periods shall not obligate the Government to exercise the option period(s). The 6-month extension shall be priced by the offeror IAW FAR 52.217-8, Option to Extend Services. If the extension is exercised, the price for the current option period will be pro-rated IAW FAR 52.217-8, Option to Extend Services, at the rates specified for that option period.

The price evaluation is based upon the total price inclusive of all CLINs X001 through X004 and 0005, including all option periods and the 6-month extension.
