CLAUSES INCORPORATED BY FULL TEXT
52.209-5 CERTIFICATION REGARDING RESPONSIBILITY MATTERS (OCT 2015)
(a)(1) The Offeror certifies, to the best of its knowledge and belief, that-
(i) The Offeror and/or any of its Principals-
(A) Are ( ) are not ( ) presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;
(B) Have ( ) have not ( ), within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, State, or local) contract or subcontract; violation of Federal or
State antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property (if offeror checks “have”, the offeror shall also see 52.209-7, if included in this solicitation); and
(C) Are ( ) are not ( ) presently indicted for, or otherwise criminally or civilly charged by a governmental entity with, commission of any of the offenses enumerated in paragraph (a)(1)(i)(B) of this provision.;
and
(D) Have , have not , within a three-year period preceding this offer, been notified of any delinquent
Federal taxes in an amount that exceeds $3,500 for which the liability remains unsatisfied.
(1) Federal taxes are considered delinquent if both of the following criteria apply:
(i) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.
(ii) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.
(2) Examples. (i) The taxpayer has received a statutory notice of deficiency, under I.R.C. Sec. 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. 2. Volume I – PRICE PROPOSAL
2.1. The Contract Line Item Number (CLIN) pricing structure in the Bid Schedule (Attachment 1) is based on a
Firm-Fixed Price for the period of performance and the Cost Reimbursable CLIN for travel allowance for the
Beneficiary Services Representative. Offerors must propose on all CLINs with the exception of the Cost
Reimbursable CLIN for the travel allowance which includes a not to exceed amount of $3,108.48 for the base and each option year. Failure to comply will render the proposal unacceptable and ineligible for award in the absence of discussions. Complete (Attachment 1), Bid Schedule. Contractors are required to fill in the unit price for all CLINs identified in the Bid Schedule. The Unit Price shall be rounded to the penny to avoid rounding errors. Do not alter the Bid Schedule Excel spreadsheet; only fill in the proposed unit price for each labor category. The annual total column will be automatically calculated by the spreadsheet. The Government will only accept bid schedules that have been filled out electronically on the provided spreadsheet. Do not manually fill out the unit prices. Failure to comply with the above instructions may render the proposal unacceptable and ineligible for award in absence of discussions. If there is a difference in price between the SF 1449 and Attachment 1, the SF1449 takes precedence.
2.2. Complete the necessary fill-ins and certifications in provisions.
2.2.1. The CLIN pricing structure in the Bid Schedule is based on a Firm-Fixed Price for the period of performance, as well as a Cost Reimbursable CLIN for travel allowance in accordance with Joint Travel
Regulations for the Beneficiary Services Representative. Offerors must propose on all unpriced CLINs.
Failure to comply will render the proposal unacceptable and ineligible for award in the absence of discussions. Contractors are required to fill in the unit price for all CLINs identified in the Bid Schedule.
The Unit Price should be rounded to the penny to avoid rounding errors. Do not alter the Bid Schedule;
only fill in the proposed unit price for each CLIN. Failure to comply with the above instructions will render the proposal unacceptable and ineligible for award in absence of discussions.
3. Volume II – Technical and Management Approach. An Offeror must, at a minimum, demonstrate technical acceptability for each of the following factors:
3.1. The proposals shall be evaluated against the following sub factors identified in Addendum to 52.212-2:
i. Technical Factor 2.4.1. - Management Plan
ii. Technical Factor 2.4.2. - Quality Control Plan
FAR 52.212-2
FAR 52.212-2 EVALUATION—COMMERCIAL ITEMS
1. BASIS FOR CONTRACT AWARD: This is a lowest price technically acceptable evaluation in which competing offerors' price and technical ability will be evaluated. Only offerors who are determined technically acceptable and whose price is determined reasonable are eligible for award. This award will be based on the guidance of FAR Subpart 13.5.
2. Unless specifically identified in your proposal, by submission of its offer, the offeror agrees to all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or sub-factors. All technically acceptable offers shall be treated equally except for their prices. Failure to meet a technical requirement will result in an offer being determined technically unacceptable. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. The evaluation process shall proceed as follows:
2.1. Technical Acceptability. The Government will evaluate the technical submission on a pass/fail basis and assign ratings of Acceptable or Unacceptable as defined in 2.2 below.
2.2. The ratings consist of:
RATING DEFINITION
Acceptable Proposal clearly meets the minimum requirements of the solicitation
Unacceptable Proposal does not clearly meet the minimum requirements of the solicitation
2.3. The offeror’s submission shall, at a minimum, address each of the sub-factors in 2.4 below, as they apply to the
Performance Work Statement (PWS). Detailed instructions are included in the proposal preparation instructions section of this solicitation. During evaluation of each proposal, the Government will assign each sub-factor a rating as shown in 2.2 above. A rating of unacceptable in one or more technical sub-factors will constitute an overall rating of unacceptable for the technical evaluation. An overall rating of technical unacceptability may render the proposal ineligible for further award consideration in the absence of discussions.
2.4. The submissions shall be evaluated against the following sub-factors:
Technical Factor 2.4.1. - Management Plan
Standard: As part of the proposal, offerors will demonstrate a clear understanding of the requirement necessary to accomplish the mission for the entire scope of the PWS and period of performance. The Government will evaluate the management plan to include a hiring and retention plan to ensure that it reflects a sound management approach and clear understanding of the contract requirements. This evaluation will include an assessment of the offeror's ability to provide uninterrupted high-quality work and the ability to attract, recruit, and retain qualified service personnel in accordance with the PWS. The vendor may mark their technical proposal as proprietary, not releasable.
Plans indicating unrealistic, hiring and retention may be considered technically unacceptable.
The standard has been met when: Offeror’s hiring and retention plan demonstrates an understanding and plan to ensure the ability to obtain and retain suitably qualified personnel to meet mission objectives.
Technical Factor 2.4.2. – Quality Control Plan
Standard: As part of the proposal, offerors will demonstrate a clear understanding of the requirements necessary to accomplish the mission for the entire scope of the PWS and period of performance. The Government will evaluate the Quality Control Plan to assure that it reflects a sound approach and clear understanding of the contract requirements. This evaluation will include an assessment of the offeror's ability to provide uninterrupted consistent and successful performance work and the ability to ensure consistent and successful performance and consistent service in accordance with the PWS. The vendor may mark their technical proposal as proprietary, not releasable.
Plans indicating unrealistic Quality Control Plans may be considered technically unacceptable.
The standard has been met when: Offeror’s Quality Control Plan will ensure the ability to achieve consistent and successful performance to meet mission objectives.
3. Evaluation of Proposals. Proposals initially will be ranked based on total evaluated price. Total price will be determined by multiplying the quantities identified in the Bid Schedule by the proposed unit price for each Contract
Line Item Number (CLIN). The extended amounts for each CLIN will then be totaled to obtain the total for each performance period. The extended total for the basic performance will then be added to the extended total for each
Option period, to obtain the total evaluated price. Evaluation of option prices will not obligate the Government to exercise options. If five or fewer proposals are received, the Government will evaluate all proposals for technical acceptability. If more than five proposals are received, the Government will then evaluate the five lowest priced proposals for Technical Acceptability. However, the Government reserves the right to evaluate additional proposals for technical acceptability if deemed to be in their best interest. If additional proposals are evaluated for technical acceptability, they will be evaluated in the order of total evaluated price, when the agency determines that none of the initial five lowest priced proposals are qualified as acceptable. The agency will reject and not consider for award any proposal found technically unacceptable and ineligible for award under the terms of this RFP, in the absence of discussions.
3.1. Price Evaluation. The Government will evaluate the price information submitted in each offeror’s price proposal, as required by Addendum to FAR 52.212-1, paragraph 2. Volume I – PRICE PROPOSAL as described below. Any other data provided by the offeror with their price proposal that is not required by Addendum to FAR
52.212-1. Volume I – PRICE PROPOSAL will not be considered or evaluated. Evaluation of the options will not obligate the Government to exercise the option(s). Proposals will initially be ranked based on total evaluated price.
Total price will be determined by multiplying the quantities identified in the Bid Schedule by the proposed unit price for each Contract Line Item Number (CLIN). The extended amounts for each CLIN will then be totaled to obtain the total for each performance period. The extended total for the basic performance will then be added to the extended total for each Option period, to obtain the total evaluated price. Evaluation of option prices will not obligate the Government to exercise options.
3.1.1. The Total Evaluated Price consists of the base and all options periods including a potential extension exercise under FAR 52.217-8. The Cost Reimbursable CLINs for the travel allowance are also included in the Total
Evaluated Price. The contract will include four 1-year option periods and FAR clause 52.217-8, Option to Extend
Services, with the potential to extend the contract an additional 6 months beyond the contract performance period.
In the event that the Government requires continued performance, the Government’s evaluation of prices proposed will be considered fair and reasonable as applied to an extension of services. Should an extension of services be required, rates will be adjusted only as a result of revisions to applicable prevailing Department of Labor wage rates.
3.1.2. Price Reasonableness. The Government will conduct a complete analysis on the lowest priced technically
“Acceptable” proposal, to determine if proposal prices are reasonable in accordance with FAR 13.106-3(a). All prices for all contract periods will be evaluated for reasonableness, which will be determined based on adequate competition and/or comparison to the Independent Government Estimate as described in FAR 13.106-3. Evaluation of option prices will not obligate the Government to exercise options. Additionally, unreasonably high proposed costs or prices, initially or subsequently, may be grounds for eliminating a proposal from competition either on the basis that the Offeror does not understand the requirement or has submitted an unreasonable proposal.
3.2 Contractor Responsibility: The Government will verify contractor responsibility in accordance with FAR
9.104-1.
3.3 Discussions: The Government intends to award without discussions, however, if discussions are to be conducted, the Government will first establish the competitive range comprised of the most highly rated proposal, unless the range is further reduced for the purposes of efficiency. If after discussions have begun, the Government determines that a proposal should no longer be included in the competitive range, that proposal will be eliminated from consideration for award. Prior to establishing the competitive range, the Government will evaluate all revisions, the Government will then award to the Offeror remaining in the competitive range with the lowest evaluated price whose proposal is technically acceptable.
