About this file

This is a Budget Detail and Payment Provisions exhibit for a California Public Utilities Commission (CPUC) contract for equipment processing services. The contract establishes a maximum base contract amount of $9,600,000.00, with optional yearly extensions of up to $5,000,000.00 per year and unanticipated tasks not to exceed $400,000.00, for a total contract cap of $25,000,000.00 including transition-in and transition-out costs. The contractor will invoice monthly in arrears through the CPUC's Electronic Claim and Application Portal (eCAP) upon completion and acceptance of work, with invoices referencing deliverable and task numbers, authorized Deliverable Expectation Documents (DEDs), timesheets, and supporting artifacts. All invoices must be submitted within ninety calendar days following each fiscal year or the end of the contract term, whichever comes first, with a statement identifying final billing.

Payment will be made in accordance with California's Prompt Payment Act, requiring the state to pay properly submitted invoices within forty-five calendar days of receipt. The CPUC will withhold twenty percent of all invoiced amounts until the contractor satisfactorily completes all required services and final billing, at which time retained funds will be released. Internal contractor administrative and overhead costs are included in contract pricing and are not separately billable. The contractor is responsible for collecting and remitting applicable sales taxes based on the service delivery location; travel and per diem expenses are not reimbursable under the contract. If the state's Budget Act fails to appropriate sufficient funds for the program in any fiscal year, the state may cancel the contract without liability or offer an amendment reflecting reduced funding amounts.
