The Review Appraiser will be compensated $2,000 per report, not to exceed $6,000 total. The contract has a performance timeline of 150 calendar days and includes provisions for professional liability insurance, with the Review Appraiser required to maintain a $1,000,000 policy. BETWEEN THE

OHIO DEPARTMENT OF NATURAL RESOURCES

AND

Stephen Ewan, Inc.

THIS AGREEMENT is between the Ohio Department of Natural Resources, 2045 Morse Road, Building E-2, Columbus, Ohio 43229, acting by and through its Director (“Department”), and

Stephen Ewan, Inc., 3871 Rosewood Dr., Amelia, OH 45102, (“Review Appraiser”).

Expenditures for this Agreement are partially or fully funded by federal funds. ODNR received a federal grant under the terms and conditions of the Forest Legacy Program, awarded through the

USDA- Forest Service. This grant was identified by Federal Award Identification Number (FAIN)

24-DG-11094200-007, which became effective on March 27, 2024, with a total award amount of

$1,450,000.00, and an approved indirect rate of 36%. This grant was made under Assistance

Listing Number 10.676 Forest Legacy Program.

The parties agree as follows:

I. NATURE OF CONTRACT

A. The Review Appraiser shall be employed as an independent contractor, to fulfill the terms of this Agreement and to act as a Review Appraiser to the Department.

B. The Department enters into this Agreement in reliance upon Review Appraiser’s representations that Review Appraiser is familiar with recognized appraisal practices and that the Review Appraiser is qualified to perform the services as outlined in this

Agreement.

C. The Review Appraiser shall perform the services to be rendered under this Agreement and the Department shall not hire, supervise, or pay any assistants to the Review

Appraiser in its performance of services under this Agreement. The Department shall not be required to provide any training to the Review Appraiser to enable the Review

Appraiser to perform services required hereunder.

II. SCOPE OF WORK

A. The scope and content of the Review Appraiser’s work under this Agreement shall follow generally accepted appraisal practices as set forth in the Uniform Appraisal

Standards for Federal Land Acquisitions (“UASFLA Standards”) and the Forest Legacy

Program (FLP) Implementation Guidelines.

B. Prepare the preliminary appraisal instructions to be incorporated into the contract specifications for the project, which identifies the USDA Forest Service and Ohio

Department of Natural Resources as the only Clients; specifies that the appraisal opinions, conclusions, and/or report (prior to review and approval) shall only be transmitted to the Review Appraiser; and requires the final, approved appraisal report be delivered to the client according to the contract and the appraisal instructions.

C. Coordinate with ODNR to identify characteristics of “assignment-qualified” appraisers for each appraisal assignment based on qualifications, market familiarity/geographic coverage, property type to be appraised, scope of work, and completion of current training in the most recent version of the UASFLA.

D. In conjunction with ODNR, review the Contract Appraiser qualifications contained in the current version of the FLP Implementation Guidelines (Section 16) before the

Contract Appraiser is employed to conduct a project appraisal

E. Approve the final selection of the Contract Appraiser based on their qualifications to complete the appraisal assignment.

F. Organize and conduct a pre-work meeting or teleconference between the chosen

Contract Appraiser, the Review Appraiser, and ODNR. Per the FLP Implementation

Guidelines, the pre-work meeting or teleconference must occur before the appraisal takes place. The Review Appraiser will finalize the project specific appraisal instructions as a result of the consultation

G. Review the appraisal report for compliance with the appraisal instructions, contracting specifications, including applicable appraisal standards (UASFLA, USPAP, FS policy, and FLP Implementation Guidelines). At the discretion of the assigned Review

Appraiser, perform a field review of the subject and comparable sales. In most cases, a field review by the Review Appraiser is expected. The Review Appraiser provides comments to the Contract Appraiser regarding items found in the appraisal report. These communications are shared solely between the Review Appraiser and the Contract

Appraiser.

H. Approve or reject the final appraisal report and notify the Contract Appraiser to send copies to the client

I. The Review Appraiser shall conduct an Appraisal Review of the Appraisal Report to ensure that such appraisal was prepared in accordance with sound, recognized appraisal practices, the Department’s requirements and USPAP [-and - UASFLA] standards.

J. The Review Appraiser’s review of the Appraisal Report shall include a Technical

Review of the original Appraisal Report.

K. The Review Appraiser shall provide a written report (“the Review Report”) to the

Department which states the Review Appraiser’s opinion regarding the Appraisal Report.

The Review Appraiser’s opinion shall encompass the completeness, adequacy, relevance, appropriateness, and reasonableness of the work under review, and the data appearing therein, and the suitability of the methods used, specifically, as guided by the terms of

USPAP Advisory Opinion AO-20:

1. The Review Appraiser shall express an opinion as to the compliance of the

Appraisal Report under applicable standards, including the UASFLA Standards and FLP Implementation Guidelines.

2. The Review Appraiser shall issue a finding of “Approved” or Not Approved”

3. The Review Appraiser shall indicate whether the Appraisal work(s) under review is “Recommended” or Not Recommended”

L. If the Review Appraiser’s determines that the Appraisal Report evidences a lack of compliance with the applicable standards, the Review Appraiser shall first seek revisions, addenda, or additional substantiation of the conclusions from the original field appraiser, as necessary to rectify any apparent issues of non-compliance.

M. If it is the Review Appraiser’s determination whether any change in the Property, or in conditions in the area, warrant any change or changes in the Appraisal Report, the

Review Appraiser may recommend corrections, additions and/or supplemental appraisal reports to the Appraisal Report where changes in the Property or conditions in the area warrant such recommendations.

N. [At the option of the Department, the Review Appraiser may be provided with an additional Appraisal Report on the same subject Property performed by another

Appraiser, and if so, the Review Appraiser shall provide a second written Review Report presenting the Review Appraiser’s opinion to include the items in Section II E, above. In such cases where two Appraisal Reports are under review, the Review Appraiser shall make a determination as to each report’s finding of “Approved” or “Not Approved,” and shall provide a summary statement indicating which of the Appraisal Reports serves as the “Recommended” basis for substantiating the real property value.]

III. TIME OF PERFORMANCE

A. The services as stated in Section II, Scope of Work, shall be concluded within One

Hundred Fifty (150) calendar days of the Review Appraiser being notified in writing by the Department to begin work (the “Due Date”).

D. Upon request of any representative of the Department, or any representative of the office of the Attorney General of the State of Ohio, the Review Appraiser agrees to make themselves available for necessary pre-trial conferences and to testify as to the opinions and conclusions that the Review Appraiser has expressed in the Review Appraisal(s) in any judicial proceedings involving a determination of the value of the Property. C. The Review Appraiser shall be paid for services rendered up to the date the Review

Appraiser received notice of suspension or termination, less any payments previously made, provided the Review Appraiser has supported such payments with detailed factual data containing services performed and hours worked. In the event of suspension or termination, any payments made by the Department for which the Review Appraiser has not rendered services shall be refunded.

D. In the event this Agreement is terminated prior to its completion, the Review

Appraiser, upon payment as specified, shall deliver to the Department all data, maps, photographs or other materials furnished to the Review Appraiser by the Department and work products and documents which have been prepared by the Review Appraiser in the course of providing services under this Agreement. All such materials shall become, and remain the property of, the Department, to be used in such manner and for such purpose as the Department may choose.
