About this file
This is a Sample Basic Ordering Agreement (BOA) template for Argonne National Laboratory with Fixed Price Work Orders for domestic services. The agreement establishes the framework for Argonne National Laboratory to issue work orders for Outplacement Services, dated July 30, 2026, to support employees who are involuntarily separated due to layoffs and workforce restructuring. The scope includes career transition support services with emphasis on skills assessment and resume preparation, along with other related career assistance services. The services are to be provided on an as-needed basis in a professional, confidential, and timely manner.
The BOA effective term runs from October 5, 2026 through October 4, 2027, with an option for two successive one-year extensions, subject to thirty days' written notice. Work orders will specify individual scope, period of performance, firm fixed prices, and technical reporting requirements, with no minimum number of work orders guaranteed. All work must be delivered F.O.B. Lemont, Illinois unless otherwise specified. The contractor must maintain technical liaison with the Laboratory's Technical Representative and submit reports as directed. Payments are contingent on individual work order terms, and the Laboratory Procurement Official is the sole authority to obligate funds and authorize changes. The agreement incorporates Argonne Terms and Conditions (dated February 13, 2023), Intellectual Property Provisions for Commercial Supplies and Services (dated December 12, 2023), and requires signature by both parties before work initiation.
