About this file

This document is a Contract Amendment from the Arizona Department of Administration State Procurement Office, specifically Amendment #4 for Contract CTR067401, which involves a Statewide Furniture, Products, and Related Products contract with Forward Tilt LLC. The contract was originally awarded on August 30, 2023, with an initial one-year term and the option to renew for up to five years total.

The amendment revises the Pricing Document to reflect various increases in manufacturer list prices from multiple vendors. These price increases range from 2.5% to 7% across different manufacturers, including 9 to 5, Allsteel, Arcadia, Bernhardt Design, Clarus, Dekko, Fellowes, Hightower, Human Active Technology, Global Furniture Group, Kimball International Brands, Krueger International, Loftwall, Magnuson Group, MPS Acoustics, Enwork, Rodenbeck, Safco, Sit On It, Snowsound, Allermuir, NuCraft, and Spec. The increases are attributed to rising costs in raw materials, labor, transportation, and other operational expenses. The contract maintains the option to renew in increments, with the total contract term not to exceed five years.

Subject: CTR067401 Forward Tilt Price Increase Request Determination

Dear Ms. Mallett, In accordance with Section 4.4 Price Increase, the State has reviewed Forward Tilt’s price increase request. Upon review, it was determined that most increases will be granted, while others will not.

As agreed during our conversations, the State of Arizona will not approve surcharge fees for the tariffs mentioned in the manufacturer's letters due to a lack of supporting data. The approved price increases will be applied to the list price on the effective date indicated on the contract amendment and are detailed in the chart below. This decision is based on the following points:

● Any requested increases that fall within the scope of typical yearly adjustments have been approved.

● Surcharges citing tariffs as the reason have been rejected due to insufficient justification and supporting documentation.

Thank you for your time and patience. We appreciate your continued partnership with the State of

Arizona. If you have any questions, please contact me at selena.leon@azdoa.gov.

From: Dekko Sales Team

Subject: Price Action

At Dekko, we are committed to delivering high-quality products and exceptional service to all customers. It is clear we are in an unprecedented time as the geopolitical landscape continues to change, and clarity is limited.

With the April tariff announcement on imports, we have taken significant actions to move our supply chain. Unfortunately, there are still impacts that we are unable to manage in the short term. Due to this, we are required to implement a price adjustment. Beginning May 5th, the sell price will increase by 2.5%. This adjustment will apply to all orders, including those that have not shipped, and will be applied as a surcharge. As we are able to mitigate the tariff impact or if they are rescinded, we will adjust the surcharge as quickly as we can.

This continues to be a fluid situation; the Dekko Sourcing Team is continuing to take strategic measures to identify alternative sourcing options while leveraging our domestic manufacturing capabilities. For those customers who require solutions-based manufacturing, Dekko has strategic locations in the US that can immediately support a wide array of components, sub-assembly, and finished goods products. We appreciate your continued partnership and support as we navigate this evolving landscape together.

Your Dekko Sales Associate will address any questions and provide updates as they become available.

Sincerely, Andy Cowell Executive Director of Sales

RE: AZ State Contract Price Increase Justification

To whom it may concern, While we have been able to keep our yearly price increases to a minimum, we are projecting a price increase of approximately 5% in January of 2026. This price increase is primarily due to rising raw material costs, increased freight costs, global supply chain disruptions and increased general inflation. Utilities and overheads have also been added to next year’s list of price increases. The increased tariffs in recent months have also added to our overall costs.

Thank you and please feel free to reach out to me with any questions.

AZ State Pricing – Arcadia/Encore Six Sig

Please find the information below as it relates to our price increase of 5% and the processes put into place to keep this at a minimum.

• Cell manufacturing is in place for some processes, which has helped reduce our footprint and lets us work with smaller batch sizes; Reducing WIP.

• We’ve shifted component purchasing to be data-driven rather than relying on “gut feel”, which has helped with efficiency and reducing waste.

• Our managers and supervisors have gone through Yellow Belt training to get familiar with Lean principles.

• We’re currently rolling out 5S in certain areas of the facility to improve organization and workflow.

• Our approach to problem-solving is very DMAIC-focused, making sure we define, measure, and improve processes in a structured way.

• We have a continuous improvement mindset as we’re always looking for ways to improve and cut out waste wherever we can.

Please let me know if you have any questions.

RE: Bernhardt Design request for Price Adjustment- State of Arizona -Projected

Dear Diana:

Bernhardt Design values its relationship with Forward Tilt and the State of Arizona. Due to increasing material, labor, and transportation costs across our industry, we are implementing a 3% price increase on our products on January 6. 2026. Depending on the outcome of the furniture tariff review in the next 45 days, we will either pass along our current 5% tariff surcharge that was implemented in May 2025 in response to additional tariff announcements or increase the surcharge to offset a portion of the market cost.

Price increases are never easy, and we do not take them arbitrarily. We are a proud North Carolina-based manufacturer of premium furniture who, like most of our industry, leverage a global supply chain for the highest quality input materials. While many of the materials we source come from domestic suppliers, tariffs on imported goods from Europe, Asia, Canada, and Mexico, as well as steel and aluminum products, directly impact our costs.

Please let me know if you have any questions or need any further information.

Dear Diana & Forward Tilt Team, At Clarus we greatly appreciate our partnership with Forward Tilt as a trusted partner and distributor of our glassboard products, including those supplied under the State of Arizona Furniture Contract. We are writing to inform you of a necessary price adjustment for our glassboard products, effective 9/1/2025 and to provide a clear explanation for this change to support your continued success in the market.

Reasons for Price Increase

The price adjustment is driven by several unavoidable factors impacting our production and operational costs, which we have worked diligently to mitigate. These include:

1. Rising Raw Material Costs

2. Increased Labor Costs

3. Transportation and Logistics Expenses

4. Investments in Quality and Compliance

There are no current plans for a price increase within the period 9/1/2025 – 3/1/2026.

The price increase effective 9/1/2025 is calculated to cover only the necessary cost adjustments while ensuring the continued quality and reliability of our glassboard products.

Re: Clear Design Price Increase – July 2025

In response to sustained cost increases across materials and operations, Clear Design implemented a price adjustment effective July 28, 2025. The details are as follows:

A general 5% List Price increase has been applied to all products, with a few exceptions. This is our first price increase since August 2023.

We are not implementing a further increase to height adjustable frames.

A 3% increase will be applied to the non-height-adjustable items.

There are no tariffs or surcharges applied to any products.

With this most recent price increase, Clear Design is not anticipating any further price increases in the near future. However, with the uncertainty of governmental changes that affect manufacturing and raw materials, Clear Design reserves the right to make changes as needed and will provide proper notification and assistance with existing contracts and project opportunities.

RE: State of Arizona - Price Increase Notifications #CTR067395

To Whom It May Concern:

We are writing to inform you of an upcoming change to our pricing structure, effective September 1, 2025

Due to changes in global trade policy, including a 10% tariff affecting goods from the European Union which took effect April 5, 2025 and a 50% tariff on certain steel imports, we are experiencing significant increases in material and production costs. To help offset these impacts and continue delivering the quality and service you expect, we will begin applying a 5% tariff surcharge to all orders.

This fee is necessary to offset the direct impact these tariffs are having on our supply chain.

We have worked diligently to absorb the remaining portion of these rising costs and have explored every alternative before making this decision.

We appreciate your understanding and continued partnership as we navigate these changes together.

Human Active Technology – Pricing Update – June 13, 2025

Dear Valued Customer, Global trade policies are constantly evolving, and we are doing everything we can to minimize the impact of pricing on you and your customers.

Effective on June 23, 2025 we are making a small adjustment to our pricing to adapt to these changes.

Key Points

• Price Increase: Effective June 23, 2025 we will be implementing a price increase which will average 2.75% across our entire product offering.

• New orders: New Purchase Orders placed on all products on or after June 23, 2025 will be subject to the new published list price. Purchase orders need to reflect the tariff surcharge.

• Quotes: Pending quotes with orders placed on or after June 23, 2025, will be subject to the newly published list price and the current tariff surcharge based on the NET cost of the order. If you need a new quote, please contact your HAT sales representative.

• Order changes may be subject to surcharges: Canceled and re-entered orders, as well as specification changes, will be assessed based on their entry date.

• Price Guide: Will be updated online June 23, 2025.

• Specification Tools: All specification tools, including CET and Worksheet, will be updated on June 23, 2025.

• HAT Collective Online Tools: Price Guides and online quoting tools will be updated on June 16, 2025.

• Tariff Surcharge: Current tariff surcharge of 3.5% or 6% (product dependent) will be replaced with a flat 5% surcharge

• Standard terms and conditions apply to all orders.

We continue to monitor this situation closely and will keep you updated as things develop. As of June 4th, additional Tariffs have been implemented by the current administration. At this time, we have all current tariffs factored in.

Should tariffs change up or down we will react as needed. If you have questions or want to discuss how this might affect your orders, please reach out to your HAT representative.

We appreciate your partnership and are committed to navigating these changes together.

Sincerely, Kevin McClelland CFO | Human Active Technology

Dear Valued Customer:

We sincerely value your continued partnership with Kimball International. We continue to pursue efforts to mitigate the effect of inflationary pressures on our customers through a combination of cost avoidance, supplier concessions, nearshoring and productivity initiatives.

Despite these efforts, Kimball International continues to experience rising commodity costs in our direct and indirect supply chains and we now find it necessary to make changes to our pricing. As a result, we are implementing a price increase to the commercial market at an average rate of approximately 4%, to be effective on August 2, 2025.

The average 4% price increase is made up of increases ranging from 2% to 7% on all products within our Kimball, National, Etc., Interwoven and David Edward brands. For a detailed list of price increases by brand, product type, and series, please see below.

We are requesting your acceptance of our August 2, 2025 price lists, which reflect this price adjustment.

Thank you for your continued support of Kimball International in these unprecedented times.

RE: Formal Notice of Price Adjustment – Effective September 3, 2025

Due to sustained increases in commodity costs over the past three years, Krueger International, Inc. (KI) will implement a price adjustment across its product portfolio, effective September 3, 2025. This adjustment will vary by product, resulting in an average increase of approximately 5.5%.

This price adjustment applies to all orders under current contracts and agreed-upon terms between KI and Tucson Business Interiors (State of Arizona). The decision is driven by rising costs of key materials such as steel, aluminum, copper, packaging, and select imported components.

Please consider this as KI’s formal written notice of the upcoming price increase. We kindly request your prompt review and acknowledgment of this change, as required by our contract.

The 2025 commercial electronic price lists will be updated and available at www.ki.com on or before September 2, 2025.

Quote and Order Validity:

• Quotes remain valid for 30 days.

• KI will honor quoted prices for 60 days following receipt of the corresponding purchase order.

• Quotes older than 30 days or orders scheduled for delivery more than 60 days after PO receipt on old pricing will be subject to pricing updates based on the then-current rates.

We appreciate your understanding and continued partnership. Should you have any questions or require further clarification, please don’t hesitate to reach out.

Additionally, a 2.48% tariff surcharge will be applied to all quotes and orders.

RE:2025 Price increases

Dear Mr. Knapp, We understand that any price increase can be challenging to absorb. Please know this decision was not made lightly and we made every effort to minimize the impact of the below rising costs on our customers.

However, to maintain the quality of our products, we must adjust our pricing accordingly based on several factors, including:

• Rising Material Costs: The cost of raw materials, such as wood, metal, and upholstery fabrics, has continued to rise significantly over the past year.

• Increased Labor Costs: Wages for our skilled craftsmen have also increased, reflecting the rising cost of living.

• Supply Chain Challenges: Ongoing disruptions in the global supply chain have led to higher transportation costs and longer lead times.

We are expecting an increase of 3-8% on 1-1-25.

Thank you for your understanding.

Based on conversations with our customers broker and counterparts in Italy, we expect trade relations to normalize with Italy and we don’t anticipate these Tariffs remaining in place at such a high percentage (25% on Steel / Aluminum, and 20% on all other products). If an order is placed today for which the Temporary Tariff Charge is applied to the quote and invoice, should the Tariffs be lifted at the time of importing the order, Snowsound will waive the line item from the invoice yet to be paid.

Please let us know if you have any questions – hopefully this clarifies the point about Tariffs.
