About this file

This is a Justification for Sole Source Procurement Form (MMO#102) submitted by the South Carolina Department of Disabilities and Special Needs to the State Fiscal Accountability Authority for the acquisition of Energy Management System (EMS) repair and maintenance services from Schneider Electric Buildings Americas, Inc. The agency seeks preventive maintenance and technical services for existing EMS systems and front-side interface equipment located at all Regional Centers throughout South Carolina. Services to be provided include software updates, system monitoring for irregularities, sensor cleaning and servicing, and repair services through an agreed-upon service rate. No specific contract term, renewal options, response dates, or award dates are identified in the justification document.

The sole source procurement is justified based on the existing proprietary nature of the equipment and Schneider Electric's exclusive authorization to service the installed Schneider Energy Management Direct Digital Control (DDC) System Equipment and Signal Graphic Software. The agency performed market research confirming that Schneider Electric is the only company authorized to meet service requirements for the designated territory. A December 2021 cost-benefit analysis determined that upgrading to non-proprietary equipment would cost approximately $2 million, making conversion infeasible at the current time. The justification indicates that a Drug-Free Workplace certification will be required from the vendor if the contract value exceeds $50,000. The General Counsel, Constance Holloway, is the authorized signatory on the form, though the signature date field remains incomplete.

JUSTIFICATION FOR

SOLE SOURCE PROCUREMENT

Agency: South Carolina Department of Disabilities and Special Needs

Sole Source Vendor: Schneifer Electric Buildings Americas, Inc.

Based upon the following determination, Agency proposes to acquire the supplies, construction, information technology, and/or services described herein from the Vendor named above per S.C. Code

Ann. §11-35-1560 and S.C. Regulation 19-445.2105, Sole Source Procurement.

Description of the Agency need that this procurement meets: EMS Repair and Maintenance services for the existing EMS systems and the front side interface at all Regional Centers

Description of market research Agency performed to determine the availability of products or services that would meet the Agency’s needs: This Sole Source request is based upon existing proprietary equipment.

Description of supplies, construction, information technology, and/or services Vendor will provide under the contract: Schneider Electric Building Americas, Inc. wil provide prevenitive maintenance and technical service to the EMS systems at DDSN’s Regional Centers. This will includes software updates, monitoring the system for irregularits, cleaning and servicing of sensors, along with providing repair services through an agreed upon service rate.

Detailed explanation why no other vendor’s supplies, construction, information technology, and/or services will meet the needs of the Agency: Schneider Electric is the independent field office with the assigned territory. The existing energy management system that is installed in the Regional

Centers throughout the state, are Schneider Energy Management Direct Digital Control (DDC)

System Equipment and Signal Graphic Software. Schneider Electric personnel are authorized to program and service this equipment, and the system requires regularly scheduled preventative maintenance and periodic system upgrades. Currently Schneider Electric is the only company authorized to meet the services requirements for this area. In December 2021, DDSN

Engineering conducted a cost benefit analysis to upgrade regional campus EMS equipment to non-porpority equipment so that this sole source would no longer be needed. The cost to convert the system would cost the Agency approximately $2 million. It has been determined to not be feasible at this time. Therefore, this sole source agreement is necessary for the Agency to maintaine it’s existing systems.
