PREVAILING WAGE REQUIREMENTS: This project is a public work in the state of California.

Therefore, prevailing wage rates will be enforced.

Pursuant to Division 2, Part 7, Chapter 1 of the Labor Code of the State of California (including sections 1771 and 1773.2), Developer has obtained from the Department of Industrial Relations of the State of California the general prevailing rate of per diem wages, and the general prevailing rate of holiday and overtime work in the locality in which the public work is to be performed for each craft, classification or type of workers needed to perform the Work, and they are on file in the office of the Developer at 1156 N. Mountain Avenue, Upland, CA 91786. The Contractor to whom the Contract is awarded, and its subcontractors, shall pay to all workers in the performance of the Work not less than the prevailing rate of wages needed to execute the contract. Copies of schedules of prevailing wage rates may be obtained on the California Department of Industrial Relations website http://www.dir.ca.gov/dlsr and will be made available by the Developer upon request.

If this Agreement is subject to the payment of federal prevailing wages under the Davis-Bacon Act (40 U.S.C. § 3141 et seq.), then the Contractor shall pay the higher of either the state or federal prevailing wage applicable to each laborer.

DEPARTMENT OF INDUSTRIAL RELATIONS (DIR) COMPLIANCE: This project is a public work and is subject to compliance monitoring and enforcement by the Department of Industrial Relations (DIR).

In bidding on this work, it shall be the Bidder’s sole responsibility to evaluate and include the cost of complying with all labor compliance requirements under this contract and applicable law in its bid.

REGISTRATION WITH THE DEPARTMENT OF INDUSTRIAL RELATIONS: Pursuant to Labor Code sections 1725.5, 1771.1, and SB 854, Public Works Contractor Registration Program, all contractors and subcontractors who bid or work on Public Works projects must be registered with, and pay an annual fee to, the State Department of Industrial Relations (DIR), subject to the limited exceptions set forth in Labor Code Section 1771.1(a) (regarding the submission of a bid as authorized by Business & Professions Code Section 7029.1 or Public Contract Code Section 10164 or 20103.5), provided that contractors and subcontractors subject to such exceptions shall be registered with the DIR at the time the contract is awarded. No bid will be accepted, except as provided above, nor any contract entered into, without proof of the contractor’s and subcontractors’ current registration with the Department of Industrial Relations to perform public work. If awarded a contract, the Bidder and its subcontractor, of any tier, shall maintain active registration with the Department of Industrial Relations for the duration of the Project.

In accordance with provisions of Section 1770 of the California Labor Code, the Director of Industrial Relations has determined general prevailing rates of per diem wages for various localities throughout the State. INSTRUCTION TO BIDDERS

Please read these instructions carefully. If you do not submit a complete Bid, the Developer may determine that your Bid is non-responsive, in which case the Developer will reject your Bid.

Any bid form submitted other than specified in this bid solicitation will be rejected. All documents to be submitted with the bids are contained in the Bid Proposal Documents. BID SECURITY: All Bids shall be accompanied by cash, a certified bank draft, or a bond from an accredited surety company payable to the Developer for an amount not less than ten percent (10%) of the bid submitted. The bid security will be declared forfeited if the successful bidder refuses or fails to enter into a contract within ten (10) days following receipt of the Notice of Award with the contract documents, in accordance with California Public Contract Code Sections 20170 through 20174.

All required bonds and insurance shall be issued by companies which are admitted to doing business in California and which have a rating of B plus 5 or better in the current edition of Best's Key Rating Guide. Acceptable bond forms and insurance policy endorsements are enclosed.

DISQUALIFICATION OF BIDDERS: More than one bid from an individual, firm partnership, corporation, or association under the same or different names will not be considered. Reasonable grounds for believing that any bidder is interested in more than one bid for the work contemplated will cause the rejection of all bids in which such bidder is interested. If there is reason for believing that collusion exists among the bidders, all bids will be rejected and none of the participants in such collusion will be considered in future bids.

IB-2

This restriction does not apply to subcontractors or suppliers who may submit quotations to more than one bidder, and while doing so, may also submit a formal proposal as a prime contractor.

The type of securities deposited and the method of release shall be approved by the Developer.

VALIDITY OF BIDS: The Bidder shall guarantee that the Total Bid Price shall be valid for 120 working days after the bid due date.

ADDENDA: The correction of any discrepancies or omissions from the specifications or other contract documents or any interpretation thereof during the bidding period will be made only by written addendum. A completed and signed Addendum Acknowledgement Form shall be returned to Developer with the bid proposal. Failure to do so may result in bid rejection.

Each bidder shall be fully responsible for informing himself as to whether or not any such addenda have been issued. The effect of all addenda to the Contract Documents shall be considered in the bid, and said addenda shall be made a part of the contract documents and shall be returned with them. Failure to cover in his bid any such addenda issued may render his bid irregular and may result in its rejection by the DEVELOPER.

QUESTIONS OR REQUESTS FOR INTERPRETATION: All questions or requests for interpretation regarding this bid solicitation must be submitted via PlanetBids. Requests for interpretations or clarifications received within 7 calendar days prior to bid opening will not be answered. Final Addendums will be issued no later than 72 hours prior bid opening.

Bidders submitting such requests are responsible for their timely delivery and confirmation of receipt. Developer will interpret or correct the Contract Documents only by a written Addendum, and such Addendum will be emailed to each person receiving a set of such documents. Developer is not bound by any oral interpretation of the Contract Documents made by any Developer employee. If Bidder fails to raise any issue regarding such interpretation or correction or if the Developer fails to respond to a request, Bidder will be deemed to have accepted all risks associated with that issue. Bidder specifically waives the right to request a Change Order, equitable adjustment, or to request additional time, or to seek recovery in quantum meruit in conjunction with any such issue. Bidder further waives the right to assert arguments of estoppel or implied or express warranty of design with regard to any such issue.

Owner reserves the right to cancel this bid solicitation, reject any or all bids, and, to the extent not prohibited by law, to waive any minor irregularity or informality in any bid that does not give the bidder a competitive advantage over other bidders and to take the bids under advisement for the bid guarantee period shown above, as may be necessary in the best interests of Owner. Owner is not required to provide a reason should it chooses to cancel this bid.

The contract will be awarded to the lowest responsive and responsible bidder based on the total cost of the Base Bid only, excluding any Alternate Bid Items. The evaluation and potential award of any Alternate Bid Schedules will be determined at the sole discretion of the awarding agency after the receipt and review of all bids.

Travel and subsistence payments to each workman needed to execute the work shall be made as such travel and subsistence payments are defined in the applicable collective bargaining agreements filed in accordance with Section 1773.8 of the Labor Code. The Contractor and all subcontractors shall comply with the provisions of Section 1774 of the Labor Code and other statutes relating to prevailing wages, benefits, overtime and so forth. Failure to comply with the subject section will subject the Contractor to penalty and forfeiture provisions of Section 1775 of the Labor Code.

Pursuant to the provisions of Section 1770 of the Labor Code, the general prevailing rate of wages has been ascertained (which rate includes employer payments for health and welfare, vacation, pension and similar purposes) applicable to the work to be done, for straight time, overtime, Saturday, Sunday and holiday work. The holiday wage rate listed shall be applicable to all holidays recognized in the collective bargaining agreement of the particular craft, classification or type of workmen concerned.

IB-9

The DEVELOPER will not recognize any claim for additional compensation because of the payment by the Contractor of any wage rate in excess of the prevailing wage rate set forth in the contract.

The possibility of wage increases is one of the elements to be considered by the Contractor in determining his bid, and will not under any circumstances be considered as the basis of a claim against the DEVELOPER on the contract.

The Contractor and subcontractors shall comply with Section 1777.6 which stipulates that it shall be unlawful to refuse to accept otherwise qualified employees as registered apprentices solely on the grounds of race, religious creed, color, national origin, ancestry, sex, or age (of such employee), except as provided in Section 3077.

WORKER'S COMPENSATION CERTIFICATE

Section 3700 of the State Labor Code requires that every employer shall secure the payment compensation by either being insured against liability to pay compensation with one or more insurers or by securing a certificate of consent to self-insure from the State Director of Industrial Relations.

In accordance with this section and with Section 1861 of the State Labor Code, the contractor shall sign a Compensation Insurance Certificate (on enclosed form) which is included with the Contract Agreement, and submit same to DEVELOPER and Construction Manager along with the other required contract documents, prior to performing any work. Reimbursement for this requirement shall be considered as included in the various items of work.

CLAYTON ACT AND CARTWRIGHT ACT

Section 7103 of the Public Contract Code specifies that in executing a public works contract to supply goods, services or materials, the Contractor or Subcontractor offers and agrees to assign all rights, title and interest in and to all causes of action it may have under Section 4 of the Clayton Act (15 U.S.C. Sec. 15) or under the Cartwright Act (Chapter 2 commencing with Sec. 16700) of Part 2 of Division 7 of the Business and Professions Code, arising from purchase of goods, services or materials pursuant to the contract or subcontract. This assignment shall become effective when final payment is tendered to the Contractor without further acknowledgment by the parties.
