The document outlines mandatory insurance requirements, data protection obligations, warranty standards, ordering procedures, and operational guidelines for the selected firm. The contract establishes a term agreement with specific conditions governing how goods and services will be ordered through purchase orders based on statements of work mutually agreed upon by the University and the selected firm. The University makes no guarantee regarding the volume of business provided under the agreement.
The contractual provisions require the firm to maintain comprehensive insurance coverage including Commercial General Liability of $1,000,000 per occurrence and $2,000,000 aggregate, Automobile Liability of $1,000,000, Workers' Compensation at statutory amounts, Professional Liability of $1,000,000, Employment Practices Insurance of $1,000,000, and Cyber Security Liability of $1,000,000, with all policies naming the Commonwealth of Virginia and VCU as additional insureds. The firm must comply with VCU's Data Protection Addendum if handling sensitive VCU data and must provide a 30-day warranty on all materials and equipment. The contract prohibits the firm from terminating within the first five years; thereafter, termination notices must be submitted on May 1st with an effective date of May 31st of the following year. The University may terminate without penalty with 180 days' written notice. Additionally, the firm must comply with VCU's exclusive beverage agreement with Pepsi Bottling Group and must extend any special educational or promotional discounts to the University immediately upon availability.
