About this file

This file contains mandatory Terms and Conditions for a contract awarded by the Virginia Office of the Attorney General (OAG) for the replacement of the Medical Fraud Control Unit (MFCU) eDiscovery platform. The document establishes the general and special contractual requirements that will be incorporated into any resulting contract award. The solicitation seeks qualified suppliers to establish a contract through competitive negotiations for infrastructure replacement of the current eDiscovery platform. The contract will have an initial term of two years, with options for the Commonwealth to renew for up to two additional two-year periods at its sole discretion. Written notification of renewal intent must be provided at least 30 calendar days prior to expiration of any current term. The purchasing agency reserves the right to cancel and terminate any resulting contract, in part or in whole, without penalty, upon 60 days written notice to the contractor. All vendors must register in the eVA electronic procurement solution portal and pay applicable vendor transaction fees, which are assessed at one percent of the order value, capped at $500 for DSBSD-certified small businesses and $1,500 for other businesses.

The contractor must maintain errors and omissions insurance coverage in the amount of $5,000,000 per occurrence and comply with all Virginia Information Technologies Agency (VITA) security procedures and Commonwealth agency security requirements. The contractor's liability is limited to twice the cumulative contract value, excluding claims arising from intentional misconduct, fraud, recklessness, or bodily injury and property damage resulting from negligence. The contractor must provide 24-hour, seven-day-a-week maintenance support with on-site response within a specified timeframe and complete repairs within 24 to 48 hours of initial notification. A Service Level Agreement will be established within 30 days of the contract effective date, with performance reports required at minimum every six months. All software, hardware, and deliverables must be new and unused unless otherwise specified, and the Commonwealth retains all intellectual property rights to work product created during contract performance. The contract is subject to availability of legislative appropriations, and any performance degradation or failure may result in contract non-renewal, termination for convenience, or termination for breach.
