About this file
This is a Data Sharing and Security Appendix to a contract between the San Francisco Human Services Agency (SFHSA) and a vendor providing services related to the administration of public benefits programs. The appendix establishes the terms and conditions governing the vendor's access to and use of City data, including personally identifiable information (PII) and protected health information (PHI). The agreement requires vendors to implement comprehensive data security measures, maintain confidentiality, and comply with all applicable local, state, and federal privacy laws. Key provisions include mandatory encryption of electronic files meeting FIPS 140-2 standards, implementation of multi-factor authentication for system access, annual privacy and security training for all data users, and antivirus software with daily updates on all systems processing City data. The vendor must designate a Single Point of Contact (SPOC) and site administrators responsible for data user provisioning, deprovisioning, and oversight. Data access is strictly limited to the minimum necessary to accomplish the stated purpose and is role-based, with the City retaining the right to audit, deny, revoke, or modify access at its sole discretion.
The appendix imposes strict liability on the vendor for data breaches, unauthorized access, or mishandling of City data. Vendors must immediately notify SFHSA of any data breach, compromised passwords, or legal requests within 48 hours and provide detailed breach reports within 10 days, including mitigation measures and corrective actions. City data may not be faxed, mailed, or transferred outside the United States. The vendor bears all costs associated with breach remediation, notification to affected individuals, and any regulatory fines or civil penalties resulting from the vendor's failure to comply with privacy laws. The appendix requires vendors to establish a documented disaster recovery plan for electronic data and undergo cybersecurity risk assessments as determined by SFHSA. All provisions of the appendix survive termination or expiration of the underlying contract. Vendors may not re-disclose City data or publish materials containing such data without prior written City approval and must de-identify all materials to protect client anonymity.
