About this file
This is a Short-Form Contract template issued by the City and County of San Francisco, Office of Contract Administration, for the procurement of emerging technology products, software, and services to be prototyped and tested in a sandbox environment. The contract is competitively selected through Request for Qualifications Sourcing Event ID 0000011726, which established a prequalified pool of suppliers. The scope of work consists of four sequential phases: Phase 1 (Discover and Prototype), Phase 2 (Iterative Development), Phase 3 (System Validation), and Phase 4 (Handoff, including Chapter 22J compliance documentation). The contract term commences on the Contractor's start date and expires one year thereafter, unless earlier terminated. The City retains the option to extend the agreement through a Long-Form Contract amendment, with the combined term of the Short-Form and Long-Form contracts not to exceed ten years. The maximum authorized award across all multiple agreements under Civil Service Commission approval (PSC number DHRPSC0006176) is three million dollars, though individual contract values and terms are subject to departmental business needs.
Compensation is structured as phase-based payments due upon each phase's acceptance, with the total contract value not to exceed the amount specified in Appendix B. The Local Business Enterprise subcontracting participation requirement has been waived pursuant to waiver 14BPREBID0002862. City Data remains the exclusive property of the City, and the Contractor must support data export or deletion upon request. The Contractor is required to maintain multiple insurance coverages including Commercial General Liability ($1,000,000), Professional Liability ($1,000,000), Technology Errors and Omissions Liability ($1,000,000), and Cyber and Privacy Liability ($1,000,000). The contract incorporates mandatory City requirements including compliance with the Americans with Disabilities Act, San Francisco labor and employment codes, health care accountability ordinances, and Chapter 12M regarding private information protection. The Contractor may use Generative Artificial Intelligence in performance but must disclose such use and shall not input confidential or non-public information into Generative AI systems. All work must be performed in the United States, and City Data must be securely disposed of within ten business days following contract termination or expiration.

The City’s Project Manager may waive a variation in the Work if, in his or her opinion, such variation does not materially change the Work or the Program’s performance.
Acceptance Procedure.
Acceptance of Phases and System. Upon completion of each Phase of Solution development, City and Contractor shall conduct Acceptance Testing of the System in accordance with Appendix D, Acceptance Test Plan. City will not be deemed to have Accepted any Program or the System until Contractor receives written notice of Acceptance from City.

If notified promptly in writing of any informal claim (other than a judicial action) brought against City based on an allegation that City’s use of the Programs constitutes Infringement, Contractor will pay the costs associated with resolving such claim and will pay the settlement amount (if any), provided that Contractor shall have sole control of the resolution of any such claim and all negotiations for its settlement. In the event that a final injunction shall be obtained against City’s use of the Programs by reason of Infringement, or in Contractor’s opinion City’s use of the Programs is likely to become the subject of Infringement, Contractor may at its option and expense (a) procure for City the right to continue to use the Programs as contemplated hereunder, (b) replace the Programs with non-infringing, functionally equivalent substitute Programs, or (c) suitably modify the Programs to make its use hereunder non-infringing while retaining functional equivalency to the unmodified version of the Programs. If none of these options is reasonably available to Contractor, then this Agreement may be terminated at the option of either Party hereto and Contractor shall refund to City all amounts paid under this Agreement for the development and license of the infringing Programs.
Under no circumstances will City indemnify, defend, or hold harmless Contractor.
Warranties Warranty of Authority; No Conflict. Each Party hereby warrants to the other that it is authorized to enter into this Agreement and that its performance thereof will not conflict with any other agreement.
Warranty of Performance Specifications; Warranty Services. Contractor hereby warrants that when fully implemented, the developed Programs, configuration, customization and services performed by Contractor pursuant to this Agreement, when fully implemented, including technical and functional system integration that includes planning, fit/gap analysis, design, configuration, enhancements and custom programming, and developed interfaces (collectively “System Integration and Customization”), will perform in accordance with the required functionality defined in Appendix A. Upon City issuing written notice to Contractor of a warranty breach under this section, Contractor shall correct and repair the configuration and customized code provided by Contractor during the Warranty Period, at no charge to City, within thirty (30) days following the notice.
Liability of the Parties Liability of City. CITY’S TOTAL LIABILITY UNDER THIS AGREEMENT, INCLUDING WITHOUT LIMITATION ITS PAYMENT OBLIGATIONS UNDER THIS AGREEMENT, SHALL BE LIMITED TO THE PAYMENT OF THE COMPENSATION PROVIDED FOR IN SECTION 3.3.1, “CONTRACT NOT TO EXCEED AMOUNT,” OF THIS AGREEMENT. NOTWITHSTANDING ANY OTHER PROVISION OF THIS AGREEMENT, IN NO EVENT SHALL CITY BE LIABLE, REGARDLESS OF WHETHER ANY CLAIM IS BASED ON CONTRACT OR TORT, FOR ANY SPECIAL, CONSEQUENTIAL, INDIRECT OR INCIDENTAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE SERVICES PERFORMED IN CONNECTION WITH THIS AGREEMENT Liability for Use of Equipment. City shall not be liable for any damage to persons or property as a result of the use, misuse or failure of any equipment used by Contractor, or any of its subcontractors, or by any of their employees, even though such equipment is furnished, rented or loaned by City.
Liability for Incidental and Consequential Damages. Contractor shall be responsible for incidental and consequential damages resulting in whole or in part from Contractor’s acts or omissions.
Payment of Taxes Contractor to Pay All Taxes. Except for any applicable California sales and use taxes charged by Contractor to City, Contractor shall pay all taxes, including possessory interest taxes levied upon or as a result of this Agreement, or the Services delivered pursuant hereto. Contractor shall remit to the State of California any sales or use taxes paid by City to Contractor under this Agreement. Contractor agrees to promptly provide information requested by City to verify Contractor’s compliance with any State requirements for reporting sales and use tax paid by City under this Agreement.
Possessory Interest Taxes. Contractor acknowledges that this Agreement may create a “possessory interest” for property tax purposes. Contractor accordingly agrees on behalf of itself and its permitted successors and assigns to timely report on behalf of City to the County Assessor the information required by San Francisco Administrative Code Section 23.39, as amended from time to time, and any successor provision. Contractor further agrees to provide such other information as may be requested by City to enable City to comply with any reporting requirements for possessory interests that are imposed by applicable law.
Termination and Default Termination for Convenience.
City shall have the option, in its sole discretion, to terminate this Agreement, at any time during the term hereof, for convenience and without cause. City shall exercise this option by giving Contractor written notice of termination (“Notice of Termination”). The Notice of Termination shall specify the date on which termination of the Agreement shall become effective (“Termination Date”).
Upon receipt of the Notice of Termination, Contractor shall commence and perform, with diligence, all actions necessary on the part of Contractor to affect the termination of this Agreement on the Termination Date and to minimize the liability of Contractor and City to third parties as a result of the termination. All such actions shall be subject to the prior approval of City.
Within 30 days after the Termination Date, Contractor shall submit to City an invoice, which shall set forth the reasonable cost to Contractor, without profit, for all Services provided prior to the Termination Date, for which City has not already made payment.
In no event shall City be liable for costs incurred by Contractor or any of its subcontractors after the Termination Date.

If Contractor defaults a second time in the same manner as a prior default cured by Contractor, in addition to all other remedies available to City, City may in its sole discretion immediately terminate the Agreement for default or grant an additional period not to exceed five days for Contractor to cure the default.

On and after any Event of Default, City shall have the right to exercise its legal and equitable remedies, including, without limitation, the right to terminate this Agreement or to seek specific performance of all or any part of this Agreement. The omission by either Party at any time to enforce any default or right reserved to it, or to require performance of any of the terms, covenants, or provisions hereof by the other Party at the time designated, shall not be a waiver of any such default or right to which the Party is entitled, nor shall it in any way affect the right of the Party to enforce such provisions thereafter.
Rights and Duties upon Termination or Expiration.
Upon termination of this Agreement, Contractor will submit an invoice to City for an amount which represents the value of its work or services actually performed prior to the effective date of termination for which Contractor has not previously been compensated, except that with respect to reimbursement for Contractor’s services, in no event will the compensation paid for the month in which termination occurs be greater than the scheduled deliverable fee if the engagement is deliverable based, or the monthly fee multiplied by a fraction, the numerator of which will be the days in the month elapsed prior to the termination and the denominator of which shall be 31.
