PERFROMANCE WORK STATEMENT
FOR
Centralized Repair for RSU/RCS Small Digital Voice Switch Systems (SDVS) Components
5 February 2020
GENERAL – PART 1
1.1. GENERAL: This Performance Work Statement (PWS) defines the scope of work to provide all equipment, tools, return shipping, and transportation required to provide maintenance, diagnostic service, remanufactured, or replacement of the SDVS components for five Air Force bases (Columbus, AFB, MS; Laughlin AFB, TX; Sheppard AFB, TX; JBSA-Randolph AFB, TX; and Vance AFB, OK).
1.2. DESIGN: The contractor is responsible for ensuring constructability, operability, and code compliance of the SDVS Systems.
1.3. REPAIRS: All parts in need of remanufacturing will be shipped to the contractor’s facility
In Accordance With (IAW) paragraph 2.3 where performance of remanufacturing will occur.
1.4. WARRANTY:
1.4.1. In subsequent paragraphs, the term “seller” refers to Northrup Grumman and the term “buyer” refers to the Government.
1.4.2. Northrup Grumman the seller shall provide a one-year warranty on materials and labor for each remanufactured part is required to ensure good quality workmanship, materials, and to provide any commercial warranty on materials or equipment included in the requirement that exceed this one-year, all-inclusive warranty. The buyer shall obtain and be issued a commercial warranty for the SDVS, which begin after site acceptance.
1.4.3. Northrup Grumman Systems Corporation Warranty Clause:
Seller covenants and agrees that the work and equipment delivered to the government under this order shall be free from defects in material and workmanship at the time of delivery. Seller will at its option, verify, repair, correct or replace, FOB point of manufacture, any such work or equipment which proves to be defective, provided that Seller is given written notice by Buyer of any such defect no later than (1) year after delivery, (as hereinafter defined). Seller shall at its option, participate in the defect investigation of the work and/or equipment at the installation site and repair, correct or replace the defective item at such site or at its designated facility.
Repair, correction or replacement in the manner provided above shall constitute fulfillment of all Seller’s obligations under this assurance. Such assurance shall not apply to design or to any equipment or parts which have been subjected to accident, misuse or unauthorized alteration, to normal wear (which includes components with the innate requirements, if the failed equipment or parts were not installed by the Seller).
This assurance shall apply to and include correction of Technical Data pertinent to defective work and equipment as to the extent delineated herein above, but in no event to include computer software. If the repair, correction, or replacement of work, equipment is not within the scope of this clause, then Seller shall require a separate purchase order from the Buyer.
THE FOREGOING COVENANTS ARE EXCLUSIVE AND ARE IN LIEU OF ANY
WARRRANTY OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE
OR OTHER WARRANTY OF QUALITY, WHETHER EXPRESS, STATUTORY OR
IMPLIED IN NO EVENT SHALL SELLER BE LIABLE FOR SPECIAL INDIRECT,
INCIDENTAL, OR CONSEQUENTIAL DAMAGES INCLUDING ANY DELAY AND
DISRUPTION IMPACT.
NGSC DMS Clause
(a) A diminishing manufacturing source or material shortages component (DMS component) is a component or material, intended to be incorporated directly into an end item specified to be delivered under the purchase order or contract that is unavailable from all manufacturers known to the Buyer, in the quantity necessary to comply with the delivery terms of the purchase order or contracts.
(b) The Seller shall promptly notify the Buyer in writing whenever the Seller believes that one or more of the components or materials intended to be incorporated directly into an end item specified to be delivered under the purchase order or contract is a DMS component. The notice shall identify the part number, national stock number, and nomenclature of each DMS component.
(c) If the Seller believes that one or more of the components or materials intended to be incorporated directly into an end item specified to be delivered under the purchase order or contract is a DMS component, the Seller may request contractual relief according to this clause. The Seller shall submit the request in writing to the Buyer within thirty (30) days after the Seller discovers a DMS situation.
(d) If the Buyer determines that one or more of the components or materials identified are bona fide DMS components, the Buyer shall, within thirty (30) calendar days of receipt of the request, notify the Seller accordingly. The notice shall constitute the Buyer’s acknowledgment that, if the Seller fails to deliver the end item within the time specified in the purchase order or contract, the Buyer will consider the DMS components to be a cause beyond the control and without the fault or negligence of the Seller to the extent the Seller’s failure to perform is attributable additional costs associated with the alternative sources or work-around solutions to such DMS situation.
PRODUCTS TECHNICAL – PART II
2.1. Contractor shall remanufacture, repair or replace the items that are no longer repairable parts of 32 SDVS. The Government’s current inventories of SDVS parts to be covered under this contract are listed in Table 1:

2.2. Contractor shall be responsible for notification of non-serviceable part(s). The contractor shall return the non-serviceable parts to the Government IAW paragraph 2.3. Government will be responsible for the negotiated diagnostic fee for non-serviceable parts.
2.3. Government shall be responsible for shipping costs to contractor’s location. Contractor shall be responsible for shipping costs from contractor’s location to base(s) identified in the delivery order. End-user base location addresses are listed in Table 2:

2.4. Turn-around time starts at receipt of the failed component and ends at time of shipment to the Government. NG will provide a turn-around time of 45 (forty-five) days for all in-house repairable components and 90 (ninety) days for vendor repairable components. CLINs 0009, 1009, 2009, 3009, 4009, are identified as vendor repairable components and 0018, 1018, 2018, 3018, and 4018 are identified as diagnostic fee.
2.5. The Contractor by this contract are considered mission essential. During national crisis, the Contractor shall provide all services stated in this contract without interruption. The CO will notify the Contractor of a declared crisis through the most expeditious secured means determined at the time of the crisis.
