FAR Clauses Incorporated by Full Text

52.211-11 Liquidated Damages-Supplies, Services, or Research and Development. 2000-09 As prescribed in 11.503(a), insert the following clause in solicitations and contracts:

LIQUIDATED DAMAGES-SUPPLIES, SERVICES, OR RESEARCH AND DEVELOPMENT (SEPT 2000)

(a) If the Contractor fails to deliver the supplies or perform the services within the time specified in this contract, the Contractor shall, in place of actual damages, pay to the Government liquidated damages of $313.93 per calendar day of delay.

(b) If the Government terminates this contract in whole or in part under the Default-Fixed-Price Supply and Service clause, the Contractor is liable for liquidated damages accruing until the Government reasonably obtains delivery or performance of similar supplies or services. These liquidated damages are in addition to excess costs of repurchase under the Termination clause.

(c) The Contractor will not be charged with liquidated damages when the delay in delivery or performance is beyond the control and without the fault or negligence of the Contractor as defined in the Default-Fixed-Price Supply and Service clause in this contract.

52.212-2 EVALUATION - COMMERCIAL ITEMS (Oct 2014)

(a) The Government intends to award without discussing, however reserves the right to enter into direct negotiations for this solicitation. An evaluation will be made to verify that the offeror is technically capable of providing the required services and is a fair and reasonable price. Award is also subject to acceptance of all terms and conditions of the contract and a dete1mination of a fair and reasonable price. The Federal Acquisition Regulation (FAR), as supplemented by the Defense Federal Acquisition Regulation Supplement (DFARS) and the Air Force Federal Acquisition Regulation Supplement (AFFARS) will be used to evaluate the offer and award this requirement.

Technical Capability Verification and Price Determination: The Government will evaluate the offeror's proposal received according to the evaluation criteria identified in the solicitation. The offeror's

F A 3 0 2 2 2 0 R 0 0 0 8 technical proposal will be evaluated to ensure supplies can be refurbished or replaced and provided to the Government within the specified time outlined in this solicitation. The Government will evaluate the offeror's technical proposal to ensure that it reflects a sound understanding of this requirement. The Government will evaluate the offeror's price proposal to ensure the price can be determined to be fair and reasonable. The Government intends to award this procurement based on technical capability and a determination of a fair and reasonable price.

(b) As part of the fair and reasonable price determination, the Government will evaluate its option to extend services (see FAR Clause 52.217-8) by adding six (6) months of each offeror's final price to the offeror's total price. The offeror shall not submit a price for the potential six (6) month extension of services period.

The Government may choose to exercise the Extension of Services at the end of any performance period, utilizing the rates of that performance period.

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer1s specified expiration time, the Government may accept an offer) negotiations after its receipt, unless a written notice of withdrawal is received before award.

EVALUATION CRITERIA

1. BASIS FOR CONTRACT AWARD

a. The award will be based on Technical Acceptability and Price. Relative Importance of Factors:

Price is equal to Technically Acceptable.

b. The evaluation process will proceed as follows:

Factor 1: Technical Evaluation: The Technical evaluation provides an assessment of the contractor's capability to satisfy the Government's requirements. The Government will evaluate the Proposal to determine technical acceptability or technical unacceptability (price excluded). In order to be considered technically acceptable, the Technical proposal must demonstrate a clear understanding of the requirement of all areas described in the solicitation and further demonstrate a practical/functional technical approach that meets the needs of the solicitation. Failure to meet these criteria will result in the Proposal being deemed technically unacceptable.

Technical Acceptability will be evaluated on an Acceptable/Unacceptable basis, assigned ratings of Acceptable or Unacceptable as defined in following Table.

Factor 2 Price: The price will be evaluated to determine price reasonableness. The responder's price submission will be evaluated considering the proposal to the technical requirements. The techniques and procedures described under FAR Part 15.404-1(b) will be the primary means of assessing price submission

F A 3 0 2 2 2 0 R 0 0 0 8 reasonableness. To be viable for award, the responder's price must be determined reasonable. The Government will evaluate the responder's price submission for reasonableness based on the following:

i. Price analysis techniques to ensure a fair and reasonable price.

ii. Comparing the price submission to the technical proposal to determine whether the cost associated with the proposal is incorporated in the price submission. The evaluation techniques described under FAR 15.404-l

(b) and (e), as determined appropriate, may also be performed in further analyzing Factor 2.

iii. Reasonableness may be determined by comparing the Responder's total price proposal to the Independent Government Estimate (IGE).

The response must consist of one (I) cover sheet, (2) Technical Response and (3) Pricing breakdown worksheet. All required copies are due by 7 August 2020, no later than 4:00 pm CST.

c. The Government intends to make a single award as a result of the Request for Proposal if the Government's objectives and requirements set forth in the solicitation are satisfied. Awards will encompass the entire Performance Work Statement (PWS) dated 5 February 2020. No partial award will be made.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

52.217-6 Option for Increased Quantity.

Local processing office (LPO) is the office responsible for payment certification when payment certification is done external to the entitlement system.

(c) WAWF access. To access WAWF, the Contractor shall-

(1) Have a designated electronic business point of contact in the System for Award Management at https://www.sam.gov; and

(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this web site.

(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the Web Based Training link on the WAWF home page at https://wawf.eb.mil/

(e) WAWF methods of document submission. Document submissions may be via web entry, Electronic Data Interchange, or File Transfer Protocol.

(f) WAWF payment instructions. The Contractor shall use the following information when submitting payment requests and receiving reports in WAWF for this contract or task or delivery order:

(1) Document type. The Contractor shall submit payment requests using the following document type(s):

(i) For cost-type line items, including labor-hour or time-and-materials, submit a cost voucher.

(ii) For fixed price line items

As prescribed in 237.7603(a), use the following clause:

CONTINUATION OF ESSENTIAL CONTRACTOR SERVICES (OCT 2010)

(a) Definitions. As used in this clause-

(1) "Essential contractor service" means a service provided by a firm or individual under contract to DoD to support mission-essential functions, such as support of vital systems, including ships owned, leased, or operated in support of military missions or roles at sea; associated support activities, including installation, garrison, and base support services; and similar services provided to foreign military sales customers under the Security Assistance Program. Services are essential if the effectiveness of defense systems or operations has the potential to be seriously impaired by the interruption of these services, as determined by the appropriate functional commander or civilian equivalent.

(2) "Mission-essential functions" means those organizational activities that must be performed under all circumstances to achieve DoD component missions or responsibilities, as determined by the appropriate functional commander or civilian equivalent. Failure to perform or sustain these functions would significantly affect DoD's ability to provide vital services or exercise authority, direction, and control.

(b) The Government has identified all or a portion of the contractor services performed under this contract as essential contractor services in support of mission essential functions. These services are listed in attachment 1, Performance Work Statement (PWS), dated 5 February 2020.

(c)(1) The Mission-Essential Contractor Services Plan submitted by the Contractor, is incorporated in this contract.

(xv) The Contractor shall maintain and update its plan as necessary. The Contractor shall provide all plan updates to the Contracting Officer for approval.

(xvi) As directed by the Contracting Officer, the Contractor shall participate in training events, exercises, and drills associated with Government efforts to test the effectiveness of continuity of operations procedures and practices.

(d)(1) Notwithstanding any other clause of this contract, the contractor shall be responsible to perform those services identified as essential contractor services during crisis situations (as directed by the Contracting Officer), in accordance with its Mission-Essential Contractor Services Plan. (2) In the event the Contractor anticipates not being able to perform any of the essential contractor services identified in accordance with paragraph (b) of this section during a crisis situation, the Contractor shall notify the Contracting Officer or other designated representative as expeditiously as possible and use its best efforts to cooperate with the Government in the Government's efforts to maintain the continuity of operations.

(e) The Government reserves the right in such crisis situations to use Federal employees, military personnel or contract support from other contractors, or to enter into new contracts for essential contractor services.

(xvii) Changes. The Contractor shall segregate and separately identify all costs incurred in continuing performance of essential services in a crisis situation. The Contractor shall notify the Contracting Officer of an increase or decrease in costs within ninety days after continued performance has been directed by the Contracting Officer, or within any additional period that the Contracting Officer approves in writing, but not later than the date of final payment under the contract. The Contractor's notice shall include the Contractor's proposal for an equitable adjustment and any data supporting the increase or decrease in the form prescribed by the Contracting Officer. The parties shall negotiate an equitable price adjustment to the contract price, delivery schedule, or both as soon as is practicable after receipt of the Contractor's proposal.

(xviii) The Contractor shall include the substance of this clause, including this paragraph (g), in subcontracts for the essential services.

252.237-7024 Notice of Continuation of Essential Contractor Services. 2010-10

(i) Challenges associated with maintaining essential contractor services during an extended event, such as a pandemic that occurs in repeated waves;

(ii) The time lapse associated with the initiation of the acquisition of essential personnel and resources and their actual availability on site;

(iii) The components, processes, and requirements for the identification, training, and preparedness of personnel who are capable of relocating to alternate facilities or performing work from home;

(iv) Any established alert and notification procedures for mobilizing identified "essential contractor service" personnel;

and

(v) The approach for communicating expectations to contractor employees regarding their roles and responsibilities during a crisis.

5352.201-9101 Ombudsman OMBUDSMAN (Jun 2016)

(a) An ombudsman has been appointed to hear and facilitate the resolution of concerns from offerors, potential offerors, and others for this acquisition. When requested, the ombudsman will maintain strict confidentiality as to the source of the concern. The existence of the ombudsman does not affect the authority of the program manager, contracting officer, or source selection official.

Further, the ombudsman does not participate in the evaluation of proposals, the source selection process, or the adjudication of protests or formal contract disputes. The ombudsman may refer the interested party to another official who can resolve the concern.

(b) Before consulting with an ombudsman, interested parties must first address their concerns, issues, disagreements, and/or recommendations to the contracting officer for resolution. Consulting an ombudsman does not alter or postpone the timelines for any other processes (e.g., agency level bid protests, GAO bid protests, requests for debriefings, employee-employer actions, contests of OMB Circular A-76 competition performance decisions).

HEALTH AND SAFETY ON GOVERNMENT INSTALLATIONS (NOV 2012)

(a) In performing work under this contract on a Government installation, the contractor shall:

(1) Take all reasonable steps and precautions to prevent accidents and preserve the health and safety of contractor and Government personnel performing or in any way coming in contact with the performance of this contract; and

(2) Take such additional immediate precautions as the contracting officer may reasonably require for health and safety purposes.

(b) The contracting officer may, by written order, direct Air Force Occupational Safety and Health (AFOSH) Standards and/or health/safety standards as may be required in the performance of this contract and any adjustments resulting from such direction will be in accordance with the Changes clause of this contract.

(c) Any violation of these health and safety rules and requirements, unless promptly corrected as directed by the contracting officer, shall be grounds for termination of this contract in accordance with the Default clause of this contract.

5352.242-9000 Contractor Access to Air Force Installations 11/1/2012

COLUMBUS AFB INSTALLATION SECURITY REQUIREMENTS AND INFORMATION

1. Contractor Access to Columbus Air Force Base Installations

(a) Background Checks: All contractor and subcontractor personnel requiring entry on Columbus AFB (CAFB) must submit to a local background check to include criminal history checks conducted by the 14th Security Forces Squadron (14 SFS). Cooperation with the investigation is mandatory for entry to CAFB. Contractor personnel convicted of certain crimes will not be allowed to work on CAFB. Such crimes include, but are not limited to the following: espionage, sabotage, treason or terrorism; felony convictions; violent crimes against persons; sex crimes; drug crimes related to distribution or intent to distribute and firearms/explosives violations.
