SECTION II – CONTINUATION OF THE SF1449
DESCRIPTION: Special Studies, Reporting, Research, and Business Services Support Basic Purchasing Agreement (BPA)
AGREEMENT TYPE: This is a BPA with Firm-Fixed Price BPA Calls
SERVICES: The Contractor shall provide the supplies and/or services in accordance with the attached Performance Work Statement (PWS) and terms and conditions.
TERM OF BPA: See Term of BPA, Ordering Period in Section III.
BPA ORDERING:
a. Orders for this BPA may be issued only by the contracting agency shown in Block 9, Page 1 (SF 1449).
b. The Government makes no guarantee that orders placed under these BPAs will be of equal dollar value.
c. HUD intends for this BPA to have 2 “pools”. Pool one is unrestricted and will be evaluated based on the offeror’s response to Sample Task 4.1. Pool 2 is a small-business set aside and will be evaluated based on the offeror’s response to Sample Task 4.2. HUD intends to establish up to 4 BPAs for each pool. The sample tasks are for evaluation purposes only and will not result in an actual BPA call. Offerors may submit quotes for both pools, if eligible, but may submit quotes for only one.
SECTION III - BLANKET PURCHASE AGREEMENT
BPA HOLDER ADMINISTRATIVE DATA
(A) Authority This BPA is entered into pursuant to the Federal Acquisition Regulation (FAR) 13.303, Blanket Purchase Agreements.
(B) Prevailing Terms and Conditions All orders placed against this BPA are subject to the terms and conditions of the clauses and provisions in full text or incorporated by reference herein.
PROHIBITED ACTIVITIES
The BPA holder shall not participate in any activity that could potentially be considered or give the appearance of an Organizational Conflict of Interest.
a. Definition.
An "Organizational Conflict of Interest" means that because of other activities or relationships with other persons, a person is unable or potentially unable to render impartial assistance or advice to the Government, or the person's objectivity in performing the agreement work is or might be otherwise impaired, or a person has an unfair competitive advantage (FAR 2.101). An OCI may result when:
(1) Activities or relationships create an actual or potential conflict of interest related to the performance of the Performance Work Statement (PWS) of this Agreement; or
(2) When the nature of the PWS on this Agreement creates an actual or potential conflict of interest with respect to the Contractor in relation to a future acquisition.
b. In accordance with the guidance in FAR Subpart 9.5, the Contracting Officer has determined that potentially significant organizational conflicts of interest could result if the Contractor is allowed to act as a prime contractor, subcontractor, or consultant in future HUD acquisitions that include requirements that may be established or affected by the performance of the Performance Work Statement by the Contractor under this Agreement. As a result, the following shall be considered a prohibited activity for the awardee of BPA Calls under this Agreement:
A BPA Holder shall be prohibited from competing for any future contract or order that directly results from the recommendations provided by the BPA
Holder under any order(s) associated with this BPA. This does not include follow-on activities for the next phase of a project related to consulting services, but rather the execution of a program action recommended during performance of projects under this BPA.
A BPA Holder shall not be eligible for award of any BPA Calls competed under these BPAs if that contractor provided support services under another HUD contract or BPA Call or GSA award on behalf of HUD that involved the recommendation of an award or the development of the requirements document for the BPA Call to be competed under these BPAs.
The Contractor shall not process actions for or perform any other agreement actions for their own company. All agreement awards must be signed by a Government Contracting Officer.
These prohibitions do not make an offeror ineligible for a BPA award. However, a BPA Holder for which such a conflict of interest exists will be ineligible for award of the relevant BPA Call under the BPA. Should a BPA Holder identify a conflict of interest upon reviewing the Performance Work Statement for a proposed BPA Call, that BPA Holder is required to notify the Contracting Officer immediately of the conflict. Additionally, the Contracting Officer may determine during the course of a BPA Call competition that a conflict of interest exists as a result of a BPA Holder's involvement in other HUD activities.
In such a case, the affected BPA Holder will be excluded from award consideration for that BPA Call.
REPRESENTATIVE OF THE CONTRACTING OFFICER
a. The following personnel at the appropriate ordering Program Office is authorized to act as an official representative of the Contracting Officer:
Contracting Officer’s Representative (COR): Eunice Dodson, Eunice.e.dodson@hud.gov at (202) 402-2639, at the BPA level

b. The above are designated by the Contracting Officer and are authorized to act within the limitations specified herein and written restrictions specifically imposed under the terms of the order and by the Contracting Officer. This authority shall extend to the following: inspection, acceptance, or rejection of work.
c. This designation does not include authority to direct changes in scope, price, terms or conditions of the agreement or order. The authority herein also does not include authority to execute modifications to the agreement or order, which require the signature of the Contracting Officer, or to bind the Government by agreement in terms of a proposed agreement change.
BPA Calls
BPA Calls against BPAs will be competed on a Past Performance/Price Trade-Off basis, as established in the solicitation, for each order. Offerors will be required to submit a proposed Technical Approach and Firm-Fixed Price Proposal for each order. BPA Calls will be issued as Firm-Fixed Price as specified in the solicitation. The BPA Holders shall furnish all the necessary qualified personnel, materials, facilities, and management resources to furnish the services set forth in the Performance Work Statement (PWS) within the terms specified and at the price(s) stated.

The Government will reimburse the cost of travel required in conjunction with performance of orders issued under this agreement. Reimbursement for travel is limited to that required in the performance of the order. Specific Government direction to attend meetings or gather information shall be reimbursed on a cost-reimbursable basis only. Local travel or the relocation of BPA holder personnel from other geographic areas for the purpose of staffing an order, are not subject to reimbursement. The Government will not pay travel charges for travel to and from the BPA holder employee's home and HUD office or to and from one company building to another (either within a company or to and from a prime to a sub company). Travel costs subject to reimbursement are limited to travel occurring at the direction of the Government, performed in conjunction with a specific requirement for a mailto:Eunice.e.dodson@hud.gov trip authorized in the order. Any travel conducted without pre-approval by the COR will not be reimbursed.

This will be based upon the order's Performance Work Statement for the specific effort. Orders will be formally issued to the BPA holders as opposed to individual BPA holder employees.
b. The services required under the Agreement constitute professional and management services within the definition provided by FAR 37.201. Under this Agreement the Government will obtain professional services, which are essential to the mission but not otherwise available within.
c. The Government will neither supervise BPA holder employees nor control the method by which the BPA holder performs the required tasks. Under no circumstances shall the Government assign tasks to, or prepare work schedules for, individual BPA holder employees. It shall be the responsibility of the BPA holder to manage their employees and to guard against any actions that are of the nature of personal services or give the perception of personal services. The BPA holders solicited will respond to a SOO with a Performance Work Statement (PWS), a proposed technical solution including labor mix and hours, and a proposed ceiling or fixed price for the order. Note: The Government will accept order proposals only from BPA holders that it has solicited. The PWS and labor mix will be incorporated into any resulting order. The proposed technical solution may also be incorporated in the order.
c. Order Accounting: The BPA holders’ order accounting system shall provide traceability of all labor hour and cost reimbursable elements (e.g., travel, material, other authorized direct costs) ordered by each program’s funding citations, if required, by the program office. Technical “tasking” assignments for the BPA holders will be transmitted by the BPA Call SCOR to the BPA holders’ Principal Contract Manager(s).
d. Cancellation: This BPA may be canceled if the BPA holder fails to perform in accordance with the terms and conditions of this BPA, any order established under this BPA, or if deemed as in the best interests of the Government. The BPA holder must strictly comply with all terms and conditions or the Contracting Officer may determine that performance by the BPA holder has been unsatisfactory and cancel this BPA.
INVOICES
Inspection and acceptance shall be accomplished as follows: The Government for all services furnished under any resulting call order hereby designates the SCOR in the program office as the point of final inspection and acceptance. The BPA holder will submit each invoice per Invoice Submission instructions, including all back-up data as instructed in HUDAR clause 2452.232-70 Alt II or 2452.232-71 Alt II, as applicable. If the invoice is incomplete or inaccurate, HUD will reject the invoice for correction. The SCOR will then forward an accepted invoice via the Invoice Processing Platform (IPP) for payment. Final payment for each order will be accomplished by final invoice accompanied by a receiving report.
