SECTION II – CONTINUATION OF THE SF1449
DESCRIPTION: Special Studies, Reporting, Research, and Business Services Support Basic Purchasing Agreement (BPA)
AGREEMENT TYPE: This is a BPA with Firm-Fixed Price BPA Calls
SERVICES: The Contractor shall provide the supplies and/or services in accordance with the attached Performance Work Statement (PWS) and terms and conditions.
TERM OF BPA: See Term of BPA, Ordering Period in Section III.
BPA ORDERING:
a. Orders for this BPA may be issued only by the contracting agency shown in Block 9, Page 1 (SF 1449).
b. The Government makes no guarantee that orders placed under these BPAs will be of equal dollar value.
c. HUD intends for this BPA to have 2 “pools”. Pool one is unrestricted and will be evaluated based on the offeror’s response to Sample Task 4.1. Pool 2 is a small-business set aside and will be evaluated based on the offeror’s response to Sample Task 2. HUD intends to establish 4 BPAs for each pool. The sample tasks are for evaluation purposes only and will not result in an actual BPA call. Offerors may submit quotes for both pools, if eligible, but may submit quotes for only one.
SECTION III - BLANKET PURCHASE AGREEMENT
BPA HOLDER ADMINISTRATIVE DATA
(A) Authority This BPA is entered into pursuant to the Federal Acquisition Regulation (FAR) 13.303, Blanket Purchase Agreements.
(B) Prevailing Terms and Conditions All orders placed against this BPA are subject to the terms and conditions of the clauses and provisions in full text or incorporated by reference herein.
PROHIBITED ACTIVITIES
The BPA holder shall not participate in any activity that could potentially be considered or give the appearance of an Organizational Conflict of Interest.
a. Definition.
An "Organizational Conflict of Interest" means that because of other activities or relationships with other persons, a person is unable or potentially unable to render impartial assistance or advice to the Government, or the person's objectivity in performing the agreement work is or might be otherwise impaired, or a person has an unfair competitive advantage (FAR 2.101). An OCI may result when:
(1) Activities or relationships create an actual or potential conflict of interest related to the performance of the Performance Work Statement (PWS) of this Agreement; or
(2) When the nature of the PWS on this Agreement creates an actual or potential conflict of interest with respect to the Contractor in relation to a future acquisition.
b. In accordance with the guidance in FAR Subpart 9.5, the Contracting Officer has determined that potentially significant organizational conflicts of interest could result if the Contractor is allowed to act as a prime contractor, subcontractor, or consultant in future HUD acquisitions that include requirements that may be established or affected by the performance of the Performance Work Statement by the Contractor under this Agreement. As a result, the following shall be considered a prohibited activity for the awardee of BPA Calls under this Agreement:
A BPA Holder shall be prohibited from competing for any future contract or order that directly results from the recommendations provided by the BPA
Holder under any order(s) associated with this BPA. This does not include follow-on activities for the next phase of a project related to consulting services, but rather the execution of a program action recommended during performance of projects under this BPA.
A BPA Holder shall not be eligible for award of any BPA Calls competed under these BPAs if that contractor provided support services under another HUD contract or BPA Call or GSA award on behalf of HUD that involved the recommendation of an award or the development of the requirements document for the BPA Call to be competed under these BPAs.
The Contractor shall not process actions for or perform any other agreement actions for their own company. All agreement awards must be signed by a Government Contracting Officer.
These prohibitions do not make an offeror ineligible for a BPA award. However, a BPA Holder for which such a conflict of interest exists will be ineligible for award of the relevant BPA Call under the BPA. Should a BPA Holder identify a conflict of interest upon reviewing the Performance Work Statement for a proposed BPA Call, that BPA Holder is required to notify the Contracting Officer immediately of the conflict. Additionally, the Contracting Officer may determine during the course of a BPA Call competition that a conflict of interest exists as a result of a BPA Holder's involvement in other HUD activities.
In such a case, the affected BPA Holder will be excluded from award consideration for that BPA Call.
REPRESENTATIVE OF THE CONTRACTING OFFICER
