SECTION B: PROPOSAL EVALUATION AND CRITERIA

All proposals received by the stated deadline will receive a comprehensive, fair, and impartial evaluation. An evaluation committee appointed by JMAA will evaluate the proposals using the three-phase process described below.

1. PHASE 1: COMPLIANCE PHASE (PASS/FAIL)

The Procurement Officer will review all proposals to determine whether the following mandatory requirements have been satisfied:

(a) Proposal submission deadline met.

(b) Required format followed (digital copy, hard copy if applicable, redacted copy if applicable).

(c) Proposal validity period requirement met (180 days).

(d) Minimum Qualifications met (Part III, Section A.3).

(e) Scope of Work Confirmation (Exhibit 9) submitted.

(f) References (Part III, Section A.5) provided.

(g) Management Proposal (Part III, Section A.6) answered.

(h) Cost Proposal (Exhibit 10) provided and submitted separately.

(i) Signed Statement of Affirmations (Exhibit 7) submitted.

(j) Signed Acknowledgement of RFP Amendments, if any, submitted.

(k) Resumes for Key Staff provided.

(l) Conflicts of Interest and Gratuities Certification (Exhibit 3) submitted.

Failure to comply with any of these requirements may result in elimination from further consideration.

2. PHASE 2: ANALYSIS PHASE (SCORED, 100-POINT SCALE)

Evaluation factors are listed below in order of importance and weight:

Evaluation Factor Weight Cost Proposal 60%

a. Price 50%

b. Financial Responsibility 5%

c. Performance Bond Commitment 5% Management Proposal 40% Scope of Services Confirmation Pass/Fail Record of Past Performance Pass/Fail

a. Price (50%): JMAA will use the following formula to allocate points. The maximum fifty (50) points will be assigned to the lowest responsive and responsible proposal price. All other proposals will be scored as follows:

(X / Y) x 50 = Z, where X equals the lowest bid price, Y equals the Offeror's price, and Z equals the assigned points.

b. Financial Responsibility (5%): Offerors shall include statements of financial standing for the last three (3) fiscal years.

c. Performance Bond Commitment (5%): Offerors shall provide a written commitment to supply a Performance Bond as described in this RFP.

d. Management Proposal (40%): The evaluation committee will assess personnel, equipment, facilities, and other resources; the Offeror's ability to implement and maintain the proposed management structure; and the Offeror's documented record of past performance.

e. Scope of Services Confirmation (Pass/Fail): Written confirmation of capability for all core services identified in Exhibit 9.

f. Record of Past Performance (Pass/Fail): Client references will be contacted to verify acceptable performance for programs similar in size and scope.

Upon completion of the Analysis Phase, the top-scoring Offeror and all Offerors within ten (10) points of the top score will be named finalists.

3. PHASE 3: FINALIST PHASE

The evaluation committee will determine, from among the finalists, whose proposal is most advantageous to JMAA.

Best and Final Offer: At JMAA's sole discretion, all finalists may be given the opportunity to provide a "best and final offer" relative to their financial proposal. If a finalist chooses not to submit a best and final offer, the original financial proposal will be considered the best and final offer. Unsolicited best and final offers will not be accepted. Scoring from the Analysis Phase will be adjusted to reflect any best and final offer received.

Selection and Negotiation: JMAA will initiate negotiations with the highest-ranked Vendor. If an agreement cannot be reached, JMAA may reject the ranked Vendor and proceed to the next highest-ranked Vendor. This process will continue until an agreement is reached or JMAA determines that no acceptable agreement can be negotiated.

SECTION C: COST PROPOSAL

1. SEPARATE SUBMISSION REQUIREMENT. The Cost Proposal must be submitted separately from all other proposal components. If submitting hard copies, the Cost Proposal shall be placed in its own sealed binder, clearly labeled with the Project Name, Project Number 2026-22, Company Name, and the designation "Cost Proposal." If submitting electronically, the Cost Proposal shall be uploaded as a separate file from the technical proposal.

2. EXHIBIT 10: PRICE SHEET. All pricing shall be submitted exclusively on the Price Sheet provided as Exhibit 10. The Offeror shall complete all fields in both Table 1 (Annual Cost Proposal) and Table 2 (Unit Pricing). Incomplete or partially completed Price Sheets may result in the proposal being deemed non-responsive.

3. PRICING INCLUSIONS. The price stated in the Cost Proposal shall include the full cost of providing the Services described in the Scope of Work (Part I, Section D), including but not limited to:

(a) Supply and placement of all dumpsters and compactors in the number, size, and type specified for each location.

(b) All scheduled pickups at the frequencies stated in the Scope of Work.

(c) Transportation of collected waste to an approved disposal facility.

(d) All disposal and landfill fees, tipping fees, and related charges.

(e) All labor, fuel, equipment, maintenance, and overhead costs.

(f) All applicable taxes, permits, and regulatory compliance costs.

4. UNIT PRICING. The Offeror shall provide unit pricing for additional pickups and additional dumpsters as set forth in Table 2 of Exhibit 10. Unit pricing will govern the cost of any additional services requested by JMAA during the term of the Agreement, as described in Part I, Section D.

5. RATE GUARANTEE. All rates and pricing quoted in the Cost Proposal are guaranteed and shall remain firm through the initial three (3) year contract term. Pricing for optional renewal years (Year 4 and Year 5) shall also be stated in Exhibit 10 and shall remain firm if the applicable renewal term is exercised by JMAA.

6. NO VARIABLE PRICING. Proposals shall not include variable, conditional, or multiple pricing options. Any Cost Proposal containing alternative pricing structures will be rejected as non-responsive.

7. ANTI-COLLUSION CERTIFICATION. By submission of the Cost Proposal, the Offeror certifies the following:

(a) All prices contained in the Cost Proposal have been arrived at independently, without consultation, communication, or agreement with any other Offeror or competitor for the purpose of restricting competition as to any matter relating to such prices.

(b) No attempt has been made, and no attempt will be made, by the Offeror to induce any other person or entity to submit or not submit a proposal for the purpose of restricting competition.

(c) No person or agency has been employed or retained on a percentage, commission, or other contingent arrangement to solicit or secure this contract, except bona fide employees or bona fide established commercial selling agencies maintained by the Offeror for the purpose of securing business.

8. PERFORMANCE BOND COMMITMENT. The Cost Proposal shall include a written commitment from the Offeror to provide a Performance Bond in the amount of the three (3) year contract term total price upon contract award. The Offeror shall also commit to increasing the Performance Bond in accordance with each optional renewal year cost, as exercised by JMAA. The commitment letter shall identify the surety company and confirm that the surety is licensed to do business in the State of Mississippi.

9. FINANCIAL RESPONSIBILITY. The Offeror shall include with the Cost Proposal statements of financial standing for the last three (3) fiscal years. Acceptable documentation includes audited financial statements, reviewed financial statements, or compiled financial statements prepared by a certified public accountant. If such statements are not available, the Offeror shall provide an explanation and submit alternative evidence of financial capacity sufficient to perform the Services for the full contract term.

SECTION D: JMAA TERMS AND CONDITIONS

1. STANDARD FORM OF AGREEMENT. The selected Vendor will be required to execute JMAA's Standard Form of Agreement, a draft copy of which is included as Exhibit 11. Clauses deemed mandatory by JMAA are nonnegotiable. Vendors should review Exhibit 11 carefully before submitting a Proposal.

2. INSURANCE REQUIREMENTS. Vendors are required to maintain, at their own expense, the following insurance coverage throughout the entire term of the Agreement, including any renewal periods:

(a) Commercial General Liability Insurance: No less than One Million Dollars ($1,000,000.00) per occurrence and Two Million Dollars ($2,000,000.00) in the aggregate for bodily injury and property damage, including blanket contractual liability, broad-form property damage, personal injury, and products/completed operations coverage.

(b) Motor Vehicle Liability Insurance: No less than One Million Dollars ($1,000,000.00) per occurrence covering all owned, hired, and non-owned vehicles used in the performance of the Services.

(c) Workers' Compensation Insurance: In full compliance with the Mississippi Workers' Compensation Law, covering all employees engaged in the performance of the Services.

3. POLICY STANDARDS. All required insurance policies shall:

(e) Require no less than thirty (30) days' prior written notice to JMAA before any modification, cancellation, or termination of coverage.

4. DEDUCTIBLES AND COVERAGE. The Vendor shall be solely responsible for all deductibles under its insurance policies. The Vendor shall bear all costs and losses arising from any inadequacy or absence of coverage and shall have no claim or recourse against JMAA for any such costs or losses.

5. EVIDENCE OF INSURANCE. Certificates of insurance evidencing all required coverage must be delivered to JMAA: (a) promptly before execution of the Agreement; (b) before commencing any Services; and (c) at such other times as JMAA may request. Failure to provide timely evidence of insurance may delay or prevent execution of the Agreement.

6. PERFORMANCE BOND. The selected Vendor shall provide a Performance Bond in the amount of the three (3) year contract term total price. The Performance Bond shall be issued by a surety company authorized to do business in the State of Mississippi. If JMAA exercises any optional renewal term, the Vendor shall increase the Performance Bond to reflect the renewal year cost prior to the commencement of each renewal period.

7. INDEPENDENT CONTRACTOR. The Vendor shall at all times be regarded as and shall operate as an independent contractor. Nothing in the Agreement shall be construed to create the relationship of principal and agent, partners, joint venturers, or employer and employee between JMAA and the

Vendor. The Vendor shall have no authority to bind JMAA or to make any representation on behalf of

JMAA.

8. GOVERNING LAW, JURISDICTION, AND VENUE. The Agreement shall be governed by and construed in accordance with the laws of the State of Mississippi, without regard to conflict of law principles.
